(a) Definitions. As used in this provision--
Administrative proceeding means a non-judicial process that is adjudicatory in nature in order to make a determination of fault or liability (e.g., Securities and Exchange Commission Administrative Proceedings, Civilian Board of Contract Appeals Proceedings, and Armed Services Board of Contract Appeals Proceedings). This includes administrative proceedings at the Federal and State level but only in connection with performance of a Federal contract or grant. It does not include agency actions such as contract audits, site visits, corrective plans, or inspection of deliverables.
Federal contracts and grants with total value greater than $10,000,000 means--
(1) The total value of all current, active contracts and grants, including all priced options; and
(2) The total value of all current, active orders including all priced options under indefinite-delivery, indefinite-quantity, 8(a), or requirements contracts (including task and delivery and multiple-award Schedules).
Principal means an officer, director, owner, partner, or a person having primary management or supervisory responsibilities within a business entity (e.g., general manager; plant manager; head of a division or business segment; and similar positions).
(b) The offeror ( ) has ( ) does not have current active Federal contracts and grants with total value greater than $10,000,000.
(c) If the offeror checked “has” in paragraph (b) of this provision, the offeror represents, by submission of this offer, that the information it has entered in the Federal Awardee Performance and Integrity Information System (FAPIIS) is current, accurate, and complete as of the date of submission of this offer with regard to the following information:
(1) Whether the offeror, and/or any of its principals, has or has not, within the last five years, in connection with the award to or performance by the offeror of a Federal contract or grant, been the subject of a proceeding, at the Federal or State level that resulted in any of the following dispositions:
(i) In a criminal proceeding, a conviction.
(ii) In a civil proceeding, a finding of fault and liability that results in the payment of a monetary fine, penalty, reimbursement, restitution, or damages of $5,000 or more.
(iii) In an administrative proceeding, a finding of fault and liability that results in--
(A) The payment of a monetary fine or penalty of $5,000 or more; or
(B) The payment of a reimbursement, restitution, or damages in excess of $100,000.
(iv) In a criminal, civil, or administrative proceeding, a disposition of the matter by consent or compromise with an acknowledgment of fault by the Contractor if the proceeding could have led to any of the outcomes specified in paragraphs (c)(1)(i), (c)(1)(ii), or (c)(1)(iii) of this provision.
(2) If the offeror has been involved in the last five years in any of the occurrences listed in (c)(1) of this provision, whether the offeror has provided the requested information with regard to each occurrence.
(d) The offeror shall post the information in paragraphs (c)(1)(i) through (c)(1)(iv) of this provision in FAPIIS as required through maintaining an active registration in the System for Award Management database via https://www.acquisition.gov (see 52.204-7).
(End of provision)
52.212-2 EVALUATION--COMMERCIAL ITEMS (OCT 2014)
(a) The Government will award a contract resulting from this solicitation to the responsible offeror whose offer conforming to the solicitation will be most advantageous to the Government, price and other factors considered. The following factors shall be used to evaluate offers:
(1) Past/Present Performance
(2) Price
(b) Options. The Government will evaluate offers for award purposes by adding the total price for all options to the total price for the basic requirement. The Government may determine that an offer is unacceptable if the option prices are significantly unbalanced. Evaluation of options shall not obligate the Government to exercise the option(s).
(c) A written notice of award or acceptance of an offer, mailed or otherwise furnished to the successful offeror within the time for acceptance specified in the offer, shall result in a binding contract without further action by either party. Before the offer's specified expiration time, the Government may accept an offer (or part of an offer), whether or not there are negotiations after its receipt, unless a written notice of withdrawal is received before award.
ADDENDUM TO FAR 52.212-2, EVALUATION - COMMERCIAL ITEMS
The following is inserted as new paragraph (d) of the provision:
“(d) BASIS FOR CONTRACT AWARD: This is a competitive Lowest Price Technically Acceptable (LPTA) source selection conducted in accordance with Federal Acquisition Regulation (FAR) Parts 12 and 15, Department of Defense (DoD) FAR Supplement Procedures, Guidance and Information Subpart 215.3, and Air Force FAR Supplement (AFFARS) Mandatory Procedure (MP) 5315.3. By submission of its offer in accordance with the instructions provided in clause FAR 52.212-1, Instructions to Offerors – Commercial Items, the offeror accedes to the terms of this model contract. Failure to meet a requirement may result in an offer being determined unacceptable. Award will be made to the lowest Total Evaluated Price (TEP) offer that meets the acceptability standards for non-price factors. The evaluation process will include the following:
1. Past/Present Performance. Next, the Government will evaluate recent and relevant performance information on all technically acceptable offerors based on (1) the references provided by the offeror (Attachment 3 – Past/Present Performance Reference List), (2) past/present performance information obtained from questionnaires (Attachment 4 - Past/Present Performance Questionnaire), and (3) any data independently obtained from other https://www.acquisition.gov/ file://Periwinkle/SAF_AQC_ORG/AQCP/5640%20-%20AFFARS/AFAC%20Working%20Folders%20--%20PM/far/FAR31.doc#b522121
Government or commercial sources. If a reference identified does not submit a questionnaire, the Government will follow up with the reference POC, but it is not responsible for the failure of a reference POC to provide a questionnaire.
(i) Recent performance information includes contracts performed and/or being performed for any customer within the last three (3) years from the issuance date of the solicitation.
(ii) Relevant performance includes performance of efforts involving LP Gas distribution Services that are similar in scope, magnitude, and complexity that this solicitation requires. The Government will assess relevancy for each contract and assign a ratings as described in Table 3 below:
Table 3. Past/Present Performance Relevancy Ratings
Rating Rating Definition Relevant Past/Present performance effort involved essentially the same or similar coscope and magnitude of effort and complexities this solicitation Not Relevant Past/Present performance effort involved little or none of the scope and magnitude of effort and complexities this solicitation requires.
The purpose of the past/present performance evaluation is to assess the offeror’s ability to provide LP Gas Services that meet the solicitation requirements based on the offeror’s demonstrated record of performance. The assessment process will result in an overall performance rating of Acceptable or Unacceptable as defined in Table 3 below.
Offerors must receive a past/present performance rating of “Acceptable” to be eligible for award.
For offerors in a teaming arrangement where two or more companies form a partnership or joint venture (JV), the following will apply: (i) for a JV at least one partner must be rated “Acceptable” rating, and (ii) for prime-subcontractor(s) partnerships, the prime must be rated “Acceptable” in order for the partnership to be rated “Acceptable” as a whole.
Table 4, Past/Present Performance Evaluation Ratings Rating Description
Acceptable Based on the offeror’s performance record, the Government has a reasonable expectation that the offeror will successfully perform the required effort, or the offeror’s performance record is unknown.
Unacceptable Based on the offeror’s performance record, the Government does not have a reasonable expectation that the offeror will be able to successfully perform the required effort.
Note: In the case of an offeror without a record of relevant past/present performance or for whom information on past/present performance is not available or so sparse that no meaningful past/present performance rating can be reasonably assigned, the offeror may not be evaluated favorably or unfavorably on past/present performance (see FAR 15.305(a)(2)(iv)). Therefore, the offeror shall be determined to have an unknown (or “neutral”) past/present performance. In the context of acceptability/unacceptability, a neutral rating shall be considered “Acceptable”.
2. Price. Lastly, the Government will rank all proposals rated acceptable in technical and past/present performance by price, to include all option prices. An offeror’s proposed prices will be determined by the amount stated in the Price Schedule in the Offeror’s completed price exhibit (Attachment 2 – Price Exhibit). The price evaluation will document the reasonableness and completeness of the proposed total evaluated price. The Government reserves the right to perform price realism analysis.
In order to meet the requirements of FAR Part 6 and FAR Part 17, the price equivalent to the six (6) months extension of services authorized by FAR 52.217-8 will be evaluated separately, and will be factored as part of the total evaluated price (TEP) for award.
Total Evaluated Price (TEP): A TEP will be computed for each offer in order to meet the requirements of FAR Parts 6 and 17. The price of a six-month extension authorized by 52.217-8, Option to Extend Services, will be added to the proposed price for each potential contract performance period.
The TEP is a two-part computation. First, The Offferor’s total proposed price will be determined by multiplying the quantities identified for each exhibit line item Number (ELIN) by the unit price, limited to two decimal places to confirm the estimated total amount for each ELIN; the sum of all estimated amounts will be the Offeror’s total proposed price. Second the total proposed price plus the sum of the Option to Extend Services clause 52.217-8 formula (shown below) will constitute the TEP.
Only CLINS 0001, 1001, 2001, 3001, and 4001 will be evaluated. The formula for the Option to Extend Services amount is as follows:
Base Year = 0001 x 0.5* Option Year One (1) = 1001 x 0.5* Option Year Two (2) = 2001 x 0.5* Option Year Three (3) = 3001 x 0.5* Option Year Four (4) = 4001 x 0.5*
Note: 0.5* is the multiplicative factor used to derive the 6 months quantity value were clause 52.212-8 to be utilized.
Evaluating the Option CLINs does not obligate the Government to exercise the Options.
Quotations are expected to be in Japanese Yen, however, this does not restrict submission of quotes in United States Dollars. For the purpose of evaluation the exchange rate used for comparison will be ¥122.4519=$1
4. Offerors are cautioned to submit sufficient information and in the format specified in the FAR 52.212-1, Instructions to Offerors, and SERV-ADD 52.212-1. Offerors may be asked to clarify certain aspects of their proposal.
Communication conducted to resolve minor or clerical errors will not constitute discussions and the contracting officer reserves the right to award a contract without the opportunity for proposal revision.
5. The Government intends to award a contract without discussions with respective offerors. The Government, however, reserves the right to conduct discussions if deemed in its best interest.
6. Award will be made to the lowest priced offer, based on TEP, which meets the acceptability standards for non-price factors.
