CLAUSES INCORPORATED BY FULL TEXT
52.212-2 EVALUATION--COMMERCIAL ITEMS (JAN 1999)
(a) The Government will award a contract resulting from this solicitation to the responsible offeror whose offer conforming to the solicitation will be most advantageous to the Government, price and other factors considered. The following factors shall be used to evaluate offers:
(1) PRICE
(2) TECHNICAL ACCEPTABILITY
(3) PAST PERFORMANCE ACCEPTABILITY
Lowest Price Technically Acceptable (LPTA): Technical Proposal Evaluation
a. Each offer that is evaluated on technical proposal will be assigned either an Acceptable or Not Acceptable rating as follows:
i. Acceptable: Based on the offeror’s technical proposal, the government has confidence the offeror will successfully perform the required effort.
ii. Not Acceptable: Based on the offeror’s technical proposal, doubt exists that the offeror can successfully perform the required effort.
Lowest Price Technically Acceptable (LPTA): Past Performance Proposal Evaluation (IAW FAR 15.101- 2)
a. Each offer that is evaluated on past performance will be assigned either an Acceptable or Not
i. Acceptable: Based on the offeror’s past performance, the government has confidence the offeror will successfully perform the required effort.
ii. Not Acceptable: Based on the offeror’s past performance, doubt exists that the offeror can
(b) Options. The Government will evaluate offers for award purposes by adding the total price for all options to the total price for the basic requirement. The Government may determine that an offer is unacceptable if the option prices are significantly unbalanced. Evaluation of options shall not obligate the
Government to exercise the option(s).
(c) A written notice of award or acceptance of an offer, mailed or otherwise furnished to the successful offeror within the time for acceptance specified in the offer, shall result in a binding contract without further action by either party. Before the offer's specified expiration time, the Government may accept an offer (or part of an offer), whether or not there are negotiations after its receipt, unless a written notice of withdrawal is received before award.
Addendum to FAR 52.212-2 Evaluation – Commercial Items
BASIS FOR CONTRACT AWARD:
1. This will be a competitive best value source selection conducted in accordance with Federal
Acquisition Regulation (FAR). The government intends to award a single contract to the offeror whose proposal conforms to the solicitation requirements; who is deemed responsible in accordance with the
Federal Acquisition Regulation (FAR) 13; and who demonstrates the capability of the performing the services necessary to fulfill the requirements of the contract. The potential awardees’ proposal will be determined the best overall value to the Government.
2. The best value will be determined by evaluating the offeror’s Price, Technical and Past Performance proposals as stipulated in this solicitation.
3. Subjective judgment on the part of the Government is implicit in the evaluation process. Compliance with evaluation criteria is determined solely by the Government.
4. Proposals that are unrealistic in terms of price, or reflect an inherent inability to provide the necessary requirements of the PWS may be rejected.
5. Offerors are specifically advised that under this evaluation method, the lowest priced proposal may not necessarily receive the award. Likewise, the proposal receiving the highest Technical or Past
Performance rating may not necessarily be awarded the contract.
6. Price Evaluation.
Initially offers shall be ranked according to price, including option prices. An offeror’s proposed prices will be determined by multiplying quantities identified in the Pricing Schedule by the unit price for each item to confirm the extended amount for each. Copies of the Pricing Schedule will be necessary in order to submit a proposal for each Option Year. The government will assess, and evaluate, an Offeror’s price for each Contract Line Item Number (CLIN), to include the basic period of performance, all option years, and the bottom line price to determine reasonableness and completeness. Any inconsistencies in price must be clarified.
(a) Prices/costs must be compatible with proposed scope of effort and operations and reflect reasonable economy and efficiency. For evaluation purposes, the total evaluated price of an offer shall be determined by summing the total amounts (quantity multiplied by unit price) over the basic and all option periods.
(b) The 6 months extension service period, will not be included as part of the total evaluated price, but shall be evaluated for reasonableness.
(c) The government will multiply the offeror’s proposed Unit Price for option year four (4), by a quantity of 6 months, in order to evaluate the extension of services authorized by FAR 52.217-8, Option to Extend
Services. To meet the requirements of FAR 6 and 17, the price of the 6 months extension of services authorized by 52.217-8, Option to Extend Services will be evaluated, but will not be factored as part of the total evaluated price for award.
7. Technical Proposal Evaluation--Lowest Price Technically Acceptable (LPTA):
Offerors are cautioned to submit sufficient information, and in the format specified in this solicitation.
Offerors may be asked to clarify certain aspects of their proposal. Communication conducted to resolve minor or clerical errors would not constitute discussions and the contracting officer reserves the right to award a contract without the opportunity for a proposal revision.
(a) Each technical proposal evaluated will be assigned either an Acceptable or Not Acceptable rating as follows:
i. Acceptable: Based on the offeror’s technical proposal, the government has confidence the offeror will successfully perform the required effort.
ii. Not Acceptable: Based on the offeror’s technical proposal, doubt exists that the offeror can
(b) The offerors must submit an acknowledgment that they can meet all the requirements outlined in the Performance-Based Work Statement (PWS).
8. Past Performance Proposal Evaluation (FAR 15.101-2) Lowest Price Technically Acceptable (LPTA):
Offerors are cautioned to submit sufficient information, and in the format specified in this solicitation.
Offerors may be asked to clarify certain aspects of their proposal (for example, the relevance of past performance information) or respond to adverse past performance information to which the offeror has not previously had an opportunity to respond. Exchanges conducted to resolve minor or clerical errors would not constitute discussions and the contracting officer reserves the right to award a contract without the opportunity for a proposal revision.
(a) Each offer that is evaluated on past performance will be assigned either an Acceptable or Not
i. Acceptable: Based on the offeror’s past performance, the government has confidence the offeror will successfully perform the required effort.
ii. Not Acceptable: Based on the offeror’s past performance, doubt exists that the offeror can
(b) The Experience/ Past and Present performance data sheet (attachment 4) must be related to the services outlined in the PWS. Provide a list of no more than five (5) of the most relevant contracts performed for Federal Agencies or commercial customers within the last Three (3) years. Offerors should submit the documents with their price proposal
9. Offerors are specifically advised that under this evaluation method, any proposal that fails to include each area specified above, (PRICE, TECHNICAL, AND PAST PERFORMANCE) will not be considered for award.
Note: The Government reserves the right to limit the number of references it decides to review and/or contact, and to contact references other than those provided by the offerors. The Government also reserves the right to limit and/or increase the number of questions it asks offerors references. The government reserves the right to obtain additional information/documentation not submitted by offerors.
(End of provision)
52.212-3 OFFEROR REPRESENTATIONS AND CERTIFICATIONS--COMMERCIAL ITEMS (APR 2012)

(i) Taxes are considered delinquent if both of the following criteria apply:
(A) The tax liability is finally determined. The liability is finally determined if it has been assessed. A liability is not finally determined if there is a pending administrative or judicial challenge. In the case of a judicial challenge to the liability, the liability is not finally determined until all judicial appeal rights have been exhausted.
(B) The taxpayer is delinquent in making payment. A taxpayer is delinquent if the taxpayer has failed to pay the tax liability when full payment was due and required. A taxpayer is not delinquent in cases where enforced collection action is precluded.
(ii) Examples.
(A) The taxpayer has received a statutory notice of deficiency, under I.R.C. Sec. 6212, which entitles the taxpayer to seek Tax Court review of a proposed tax deficiency. This is not a delinquent tax because it is not a final tax liability. Should the taxpayer seek Tax Court review, this will not be a final tax liability until the taxpayer has exercised all judicial appeal rights.
(B) The IRS has filed a notice of Federal tax lien with respect to an assessed tax liability, and the taxpayer has been issued a notice under I.R.C. Sec. 6320 entitling the taxpayer to request a hearing with the IRS Office of Appeals contesting the lien filing, and to further appeal to the Tax Court if the IRS determines to sustain the lien filing. In the course of the hearing, the taxpayer is entitled to contest the underlying tax liability because the taxpayer has had no prior opportunity to contest the liability. This is not a delinquent tax because it is not a final tax liability. Should the taxpayer seek tax court review, this will not be a final tax liability until the taxpayer has exercised all judicial appeal rights.
(C) The taxpayer has entered into an installment agreement pursuant to I.R.C. Sec. 6159. The taxpayer is making timely payments and is in full compliance with the agreement terms. The taxpayer is not delinquent because the taxpayer is not currently required to make full payment.
(D) The taxpayer has filed for bankruptcy protection. The taxpayer is not delinquent because enforced collection action is stayed under 11 U.S.C. 362 (the Bankruptcy Code).
