(2) An identifier assigned by a member of the North Atlantic Treaty Organization (NATO) or by the NATO Support and Procurement Agency (NSPA) to entities located outside the United States and its outlying areas that the DLA Commercial and Government Entity (CAGE) Branch records and maintains in the CAGE master file. This type of code is known as a NATO CAGE (NCAGE) code.
Highest-level owner means the entity that owns or controls an immediate owner of the offeror, or that owns or controls one or more entities that control an immediate owner of the offeror. No entity owns or exercises control of the highest level owner.
Immediate owner means an entity, other than the offeror, that has direct control of the offeror. Indicators of control include, but are not limited to, one or more of the following: Ownership or interlocking management, identity of interests among family members, shared facilities and equipment, and the common use of employees.
(b) The Offeror represents that it [ ___ ] has or [ ___ ] does not have an immediate owner. If the Offeror has more than one immediate owner (such as a joint venture), then the Offeror shall respond to paragraph (c) and if applicable, paragraph (d) of this provision for each participant in the joint venture.
(c) If the Offeror indicates ``has'' in paragraph (b) of this provision, enter the following information:

52.209-5 CERTIFICATION REGARDING RESPONSIBILITY MATTERS (OCT 2015)
(a)(1) The Offeror certifies, to the best of its knowledge and belief, that-
(i) The Offeror and/or any of its Principals-
(A) Are ( ) are not ( ) presently debarred, suspended, proposed for debarment, or declared ineligible for the award of contracts by any Federal agency;
(B) Have ( ) have not ( ), within a three-year period preceding this offer, been convicted of or had a civil judgment rendered against them for: commission of fraud or a criminal offense in connection with obtaining, attempting to obtain, or performing a public (Federal, State, or local) contract or subcontract; violation of Federal or State antitrust statutes relating to the submission of offers; or commission of embezzlement, theft, forgery, bribery, falsification or destruction of records, making false statements, tax evasion, violating Federal criminal tax laws, or receiving stolen property (if offeror checks “have”, the offeror shall also see 52.209-7, if included in this solicitation); and
(C) Are ( ) are not ( ) presently indicted for, or otherwise criminally or civilly charged by a governmental entity with, commission of any of the offenses enumerated in paragraph (a)(1)(i)(B) of this provision.;
and
(D) Have , have not , within a three-year period preceding this offer, been notified of any delinquent Federal taxes in an amount that exceeds $3,500 for which the liability remains unsatisfied.
(1) Federal taxes are considered delinquent if both of the following criteria apply:
(i) The tax liability is finally determined. The liability is finally determined if it has been assessed. A liability is not finally determined if there is a pending administrative or judicial challenge. In the case of a judicial challenge to the liability, the liability is not finally determined until all judicial appeal rights have been exhausted.
(ii) The taxpayer is delinquent in making payment. A taxpayer is delinquent if the taxpayer has failed to pay the tax liability when full payment was due and required. A taxpayer is not delinquent in cases where enforced collection action is precluded.
(2) Examples. (i) The taxpayer has received a statutory notice of deficiency, under I.R.C. Sec. 6212, which entitles the taxpayer to seek Tax Court review of a proposed tax deficiency. This is not a delinquent tax because it is not a final tax liability. Should the taxpayer seek Tax Court review, this will not be a final tax liability until the taxpayer has exercised all judicial appeal rights.
(ii) The IRS has filed a notice of Federal tax lien with respect to an assessed tax liability, and the taxpayer has been issued a notice under I.R.C. Sec. 6320 entitling the taxpayer to request a hearing with the IRS Office of Appeals contesting the lien filing, and to further appeal to the Tax Court if the IRS determines to sustain the lien filing. In the course of the hearing, the taxpayer is entitled to contest the underlying tax liability because the taxpayer has had no prior opportunity to contest the liability. This is not a delinquent tax because it is not a final tax liability. Should the taxpayer seek tax court review, this will not be a final tax liability until the taxpayer has exercised all judicial appeal rights.
(iii) The taxpayer has entered into an installment agreement pursuant to I.R.C. Sec. 6159. The taxpayer is making timely payments and is in full compliance with the agreement terms. The taxpayer is not delinquent because the taxpayer is not currently required to make full payment.
(iv) The taxpayer has filed for bankruptcy protection. The taxpayer is not delinquent because enforced collection action is stayed under 11 U.S.C. 362 (the Bankruptcy Code).
(ii) The Offeror has ( ) has not ( ), within a three-year period preceding this offer, had one or more contracts terminated for default by any Federal agency.
(2) Principal, for the purposes of this certification, means an officer, director, owner, partner, or a person having primary management or supervisory responsibilities within a business entity (e.g., general manager; plant manager;
head of a division or business segment; and similar positions).
(b) The Offeror shall provide immediate written notice to the Contracting Officer if, at any time prior to contract award, the Offeror learns that its certification was erroneous when submitted or has become erroneous by reason of changed circumstances.
(c) A certification that any of the items in paragraph (a) of this provision exists will not necessarily result in withholding of an award under this solicitation. However, the certification will be considered in connection with a determination of the Offeror's responsibility. Failure of the Offeror to furnish a certification or provide such additional information as requested by the Contracting Officer may render the Offeror nonresponsible.
(d) Nothing contained in the foregoing shall be construed to require establishment of a system of records in order to render, in good faith, the certification required by paragraph (a) of this provision. The knowledge and information of an Offeror is not required to exceed that which is normally possessed by a prudent person in the ordinary course of business dealings.
(e) The certification in paragraph (a) of this provision is a material representation of fact upon which reliance was placed when making award. If it is later determined that the Offeror knowingly rendered an erroneous certification, in addition to other remedies available to the Government, the Contracting Officer may terminate the contract resulting from this solicitation for default.

(B) The payment of a reimbursement, restitution, or damages in excess of $100,000.
(iv) In a criminal, civil, or administrative proceeding, a disposition of the matter by consent or compromise with an acknowledgment of fault by the Contractor if the proceeding could have led to any of the outcomes specified in paragraphs (c)(1)(i), (c)(1)(ii), or (c)(1)(iii) of this provision.
(2) If the offeror has been involved in the last five years in any of the occurrences listed in (c)(1) of this provision, whether the offeror has provided the requested information with regard to each occurrence.
(d) The offeror shall post the information in paragraphs (c)(1)(i) through (c)(1)(iv) of this provision in FAPIIS as required through maintaining an active registration in the System for Award Management database via https://www.acquisition.gov (see 52.204-7).

52.212-1 INSTRUCTIONS TO OFFERORS--COMMERCIAL ITEMS (ADDENDUM)
“Notice to Offeror(s)/Supplier(s): Funds are not presently available for this effort. No award will be made under this solicitation until funds are available. The Government reserves the right to cancel this solicitation, either before or after the closing date. In the event the Government cancels this solicitation, the Government has no obligation to reimburse an offeror for any costs.”
A. To ensure timely and equitable evaluation of the proposals, the offeror must follow the instructions contained herein. The proposals must be complete, self-sufficient, and respond directly to the requirements of this RFP.
B. The contracting officer has determined there is a high probability of adequate price competition in this acquisition. Upon examination of the initial offers, the contracting officer will review this determination and if, in the contracting officer's opinion, adequate price competition exists no additional data will be requested. However, if at any time during this competition the contracting officer determines that adequate price competition no longer exists, offerors may be required to submit cost and pricing data to the extent necessary for the contracting officer to determine the reasonableness and affordability of the price.
C. Documents submitted in response to this RFP must be fully responsive to and consistent with the following:
1. Requirements of the RFP (CLINs), Performance Work Statement (PWS), and Government standards and regulations pertaining to the PWS.
2. Instructions and the evaluation factors for award as stated.
3. All documents shall be submitted electronically.
DETAILED INSTRUCTIONS: The proposal shall consist of two (2) separate parts;
Part I – Past Performance Part II – Price
PART I – PAST PERFORMANCE INFORMATION - Only references for recent and relevant contracts are desired.
The offeror shall provide past performance information from no more than 10 (ten) recent and relevant contracts performed. The offeror shall use the form at Attachment 4 to request surveys from the most relevant customers.
Questionnaires received directly from the offeror will not be evaluated. The offeror shall provide questionnaire reference information with the proposal as stated below. Incomplete information will not be evaluated. In addition to the questionnaires submitted, the Government will also use past performance information obtained from other sources (including, but not limited to, the Federal Awardee Performance and Integrity Information System, System for Award Management, and the Past Performance Information Retrieval System) in the evaluation of the offeror’s past performance.
Recency Assessment: An assessment of each offeror’s past performance information will be made to determine if it is recent. To be recent, the effort must be ongoing or must have been performed during the past seven (7) years. To be recent, a current effort must be ongoing for at least six (6) months prior to the date of issuance of this solicitation.
A completed effort must have been performed during the past seven (7) years from the date of issuance of this solicitation. Past performance information that fails this condition will not be evaluated.
Relevancy Assessment: The Government will evaluate all recent performance information to determine if it is relevant. To be relevant each recent/past performance effort should involve essentially the same scope, magnitude of effort, and complexities of this solicitation. Past performance information that fails to demonstrate all the conditions listed below will not be evaluated. Relevancy will be weighed on the estimated workloads listed in the Performance Work Statement and the requirements of this solicitation.
Satisfaction for Contracts Completed: Provide any information currently available (letter, metrics, customer surveys, independent survey, etc.) which demonstrate customer satisfaction with overall job performance for past efforts/contracts (similar in scope, magnitude of effort and complexities required for this solicitation.) In addition, explain corrective actions taken, if any, for substandard performance and any current performance problems.
Offerors may be asked to respond to adverse past performance information to which the offeror has not previously had an opportunity to respond.
Past Performance Surveys (Attachment 6): It is the offeror’s responsibility to send the performance questionnaire (Attachment 6) to no more than ten (10), of the most relevant contracts performed for Federal, State or local Government agencies and commercial customers meeting the recency above and ensure that the completed questionnaires are submitted to the POCs below no later than the time and date specified in the solicitation for receipt of proposals. The Government will conduct a good faith effort to follow-up to obtain performance surveys but performance questionnaires referred by the offeror and not received by the POCs below will not be evaluated for award. To ensure timely delivery of the performance questionnaire the following non-directive guidance is provided.
(i) Contact the individual who will be conducting the evaluation and confirm that this individual will be completing the questionnaire.
(ii) Forward the cover letter and questionnaire to the individual completing the questionnaire along with a summary of examples of noteworthy performance.
(iii) Follow-up to ensure that the individual conducting the evaluation received the questionnaire and obtain a suspense for completion and delivery of the questionnaire.
(iv) Contact the Government points of contact named in the FBO notice herein and confirm receipt of the questionnaire.
The offeror shall provide the following survey reference information for each questionnaire requested with the proposal. Attachment 6 can be used to provide this information. As stated above, the Government will make a good faith effort to follow-up on questionnaires not received; however, the Government accepts no responsibility if questionnaires are not received directly from the reference. Failure to provide all the information listed will render the offeror non-responsive.
(i) Company/Division name (Include a point of contact for this offer, CAGE, and DUNS Number.)
(ii) Identify if work performed as prime contractor, subcontractor, or through teaming arrangements/joint ventures and what percentage or portion of the work the contractor was responsible for.

(x) Comments regarding any known performance deemed unacceptable to the customer, or not in accordance with the contract terms and conditions and your corrective actions.
Past performance regarding predecessor companies, key personnel who have relevant experience, or subcontractors that will perform major or critical aspects of the requirement will not be considered as highly as past performance information for the principal offeror.
Subcontractor Consent: Past performance information pertaining to a subcontractor cannot be disclosed to the prime offeror without the subcontractor’s consent. Provide with the proposal a letter from all subcontractors that will perform major or critical aspects of the requirement, consenting to the release of their past performance information to the prime contractor.

PART II – PRICE SCHEDULE – Submit one (1) original copy and two (2) copies.
(a) Insert proposed unit and extended prices on the Schedule for each Contract Line Item Number (CLIN), including all option periods. The offeror need not complete pricing for CLINs X013 and X019, see paragraph (b) below for submission requirements regarding these CLINs. The extended amount must equal the whole dollar unit price multiplied by the number of units. The proposal must be submitted for a base year plus four (4) option years. As part of the price evaluation, the Government will evaluate the Option to Extend Services under FAR Clause 52.217-8 by adding one-half of the offeror's final option period prices to the offeror's total price. Thus, the offeror's total price for the purpose of evaluation shall include the base period and all option periods, including the option at FAR 52.217-8.
Offerors are required only to price the base year and option periods. The Government will correct any apparent mathematical miscalculations, such as extended amount not equal to unit price multiplied by number of units, to determine the total evaluated price.
(b) Complete and return Attachment 5, Price Breakout. This information will be used to evaluate CLINs X013 and X019 and pricing will be included in the extended description of the CLINs on the resulting contract. The Government will evaluate these CLINs by adding each unit price for a total CLIN price. This will be added to the total prices submitted in paragraph a. Failure to complete and return attachment 5 will result in the offer being considered non responsive and excluded from the evaluation.
(b) Complete the necessary fill-ins and certifications in provisions incorporated into the RFP by full text and return along with the proposal.
Formatting – Format Proposal Parts I and II as follows:
(a) The proposal will be 8 1/2” x 11” except for attachments such as charts, tables, or diagrams.
(b) A page is defined as one face of a sheet of paper containing information.
(c) Typing shall not be less than 12 pitch.
(d) Elaborate formats, bindings or color presentations are not required.
(e) Microsoft Word or Adobe PDF format is acceptable.

52.212-2 EVALUATION--COMMERCIAL ITEMS (OCT 2014)
(a) The Government will award a contract resulting from this solicitation to the responsible offeror whose offer conforming to the solicitation will be most advantageous to the Government, price and other factors considered. The following factors shall be used to evaluate offers:
(1) Past Performance
(2) Price
Past performance is significantly more important than price. The factors in order of importance starting with the most important are: past performance, price.
(b) Options. The Government will evaluate offers for award purposes by adding the total price for all options to the total price for the basic requirement. The Government may determine that an offer is unacceptable if the option prices are significantly unbalanced. Evaluation of options shall not obligate the Government to exercise the option(s).
(c) A written notice of award or acceptance of an offer, mailed or otherwise furnished to the successful offeror within the time for acceptance specified in the offer, shall result in a binding contract without further action by either party. Before the offer's specified expiration time, the Government may accept an offer (or part of an offer), whether or not there are negotiations after its receipt, unless a written notice of withdrawal is received before award.
Basis for Award: This competitive acquisition will utilize the Tradeoff source selection procedures in accordance with Federal Acquisition Regulation (FAR) Part 15.3, Department of Defense (DOD) Source Selection Procedures, Air Force Federal Acquisition Regulation Supplement (AFFARS) 5315.3, and AFFARS Mandatory Procedures (MP) 5315.3 to make an integrated assessment for a best value award decision. In using the best value approach, the Government seeks to award to the offerors who give the Air Force the greatest confidence that each will best meet or exceed our requirements affordably and in a way that will be advantageous to the Government.
