The following have been modified:

ADDENDUM 52.212-1

ADDENDUM TO 52.212-1 INSTRUCTIONS TO OFFERORS---COMMERCIAL ITEMS (Jan 2017)

1. To assure timely and equitable evaluation of the proposal, the offeror must follow the instructions contained herein. The proposal must be complete, self-sufficient, and respond directly to the requirements of this solicitation.

The response shall consist of three (3) separate parts; Part I – Price Proposal, and Part II – Past Performance Information, and Part III - Technical.

1.1. The Contracting Officer has determined there is a high probability of adequate price competition in this acquisition. Upon examination of the initial offers, the contracting officer will review this determination and if, in the contracting officer’s opinion, adequate price competition exists no additional cost information will be requested.

However, if at any time during this competition the contracting officer determines that adequate price competition no longer exists offerors may be required to submit information other than cost or pricing data to support a determination of price reasonableness.

1.2. FAR 52.212-1, paragraph (b) and sub paragraphs are changed to read:

(b) Submission of offers. Submit signed and dated offers to the office specified in this solicitation at or before the exact time specified in this solicitation. Offeror must submit their proposal with a completed SF 1449 that complies with the following instructions. As a minimum, offers must show --

1.3. FAR 52.212-1, paragraph (b) sub paragraph (11) is changed and sub paragraphs (12), (13) and (14) are added as follows:

(11) The response shall consist of an electronic copy of the signed and completed SF 1449 and any 1449 amendments or revisions, and an electronic copy for each required document (with signature where a signature is applicable). E-mail proposals must be Microsoft (Word and/or Excel) or PDF Format only. The proposal file should not exceed 5MB in size. Files using .zip or any other file compression utility will not be permitted.

(12) The offeror shall submit the completed proposal, all other documents identified within this Addendum and attachments for submission with the proposal, and all amendments and representations and certifications electronically to:

(13) No later than date/time listed in block 8 of Standard Form (SF) 1449. Hard copies of proposals will be accepted as long as proposal includes one copy supplied on disk. Files using .zip or any other compression utility will not be permitted and proposal will be considered unresponsive. Electronic copies will only be accepted using Word, Excel, and PDF formats.

1.4. FAR 52.212-1, paragraph (c), is changed to read:

(c) Period for acceptance of offers. The offeror agrees to hold the prices in its offer firm until 1 April 2018.

1.5. FAR 52.212-1, paragraph (e), is changed to read:

(e) Offerors are not authorized to submit multiple offers or present alternative terms and conditions.

Alternate proposal will not be considered.

2. Required Contract Documents/Price. The offeror’s proposal shall include a signed copy with original signature of the SF 1449 completed as required, along with any amendments that may be issued. The proposal shall consist of three (3) separate parts: Part I – Technical, Part II – Past Performance Information and Part III - Price.

2.1. PART I – Technical - Submit original and one (1) copy

2.1.1. Technical Factor: An original and one copy of the technical information or document. The technical proposal shall address the offeror’s ability to meet the requirement set forth in this solicitation. Unnecessary elaboration or other presentations beyond that sufficient to present a complete and effective quote are not desired and may be construed as an indication of the offeror’s lack of understanding or cost consciousness. The information or document shall contain all the pertinent information necessary to permit evaluation of proposal. The technical information or documents shall contain no pricing information.

2.1.1.1. The technical document shall address the following:

2.1.1.1.1. Narrative addressing capability to meet solicitation requirements and requirements stated in the SoW to include a management plan for quality control.

2.1.1.1.1.1. Documentation showing that track inspectors meet the Federal Railroad Administration (FRA) qualifications for track inspectors in FRA “Track Safety Standards” chapter 5 under specific requirements of 213.7, or US Army Track Inspector Certificates documenting the inspectors are certified as track inspectors by the US Army.

2.1.1.1.1.1.1. At least five years of experience providing maintenance and inspections for railroads.

2.1.2. PART II – PAST PERFORMANCE INFORMATION- Only references for same or similar type contracts are desired. Submit original and one (1) copy.

2.1.2.1. Quality and Satisfaction Rating for Contracts Completed in the Past Three Years: Provide information currently available (letters, metrics, customer surveys, independent surveys, etc.) which demonstrates customer satisfaction with overall job performance and quality of completed product for same or similar type contract. In addition, explain corrective actions taken in the past, if any, for substandard performance and any current performance problems such as cost overruns, extended performance periods, numerous warranty calls, etc.

2.1.2.2. Past Performance Surveys: The Government will evaluate the quality and extent of offeror’s performance deemed relevant to the requirements of this solicitation. The Government will use information submitted by the offeror and other sources such as other Federal Government offices and commercial sources, to assess performance.

Provide a list of no more than five (5), of the most relevant contracts performed for Federal agencies and commercial customers within the last three (3) years. Relevant contracts include furnishing commercial clothes washers and dryers, installation, rental, maintenance and repair of electrical clothes washers and electric and gas dryers. This service includes, but is not limited to, replacing unserviceable washers and dryers with new leased units of the same type and style required. The evaluation of past performance information will take into account past performance information regarding predecessor companies, key personnel who have relevant experience, or subcontractors that will perform major or critical aspects of the requirement when such information is relevant to the instant acquisition.

Furnish the following information for each contract referenced:

(i) Company/Division name

(ii) Service

(iii) Contracting Agency/Customer

(iv) Contract Number and Contract Type (e.g. firm fixed price, time & material, etc.)

(v) Contract Dollar Value (Initial, final and an explanation of the difference)

(vi) Period of Performance

(vii) Verified, up-to-date name, address, FAX and telephone number of the contracting officer

(viii) Contracting Officers Representative’s name, address, telephone & Fax numbers

(ix) Brief summary of the requirements

(x) Comments regarding compliance with contract terms and conditions

(xi) Comments regarding any known performance deemed unacceptable to the customer, or not in accordance with the contract terms and conditions.

If a teaming arrangement is contemplated, provide complete information as to the arrangement, including any relevant and recent past/present performance information on previous teaming arrangements with same partner. If this is a first time joint effort, each party to the arrangement must provide a list of past and present relevant contracts.

2.1.2.3. Subcontractor Consent: Past performance information pertaining to a subcontractor cannot be disclosed to the prime offeror without the subcontractor’s consent. Provide with the proposal a letter from all subcontractors that will perform major or critical aspects of the requirement, consenting to the release of their past performance information to the prime contractor.

2.1.2.4. The Government may evaluate Offerors’ financial history as part of past performance which may include past payments to employees, suppliers and/or subcontractors.

2.1.2.5. Documents submitted in response to this solicitation must be fully responsive to and consistent with the following:

2.1.2.5.1. Requirements of the solicitation and Performance Work Statement (PWS), and Government standards and regulations pertaining to the PWS.

2.1.2.5.2. Evaluation Factors for Award.

2.1.2.6. PAST PERFORMANCE QUESTIONNAIRE – One of the integral considerations in proposal evaluations is the verification of the offeror’s past performance which reflect the offeror’s ability to perform on the proposed effort. We depend upon information received from agencies that have firsthand experience with the offeror to assist the Government with the performance evaluation.

The Government has provided a Past Performance Questionnaire (See Attachment 4) to aid the prospective offerors with obtaining past performance information. Offeror should make copies of this questionnaire and forward to agencies with which they have had relevant and recent contracts. The customer filling out the questionnaire must have received washer and dryer or similar services provided by responding offeror within the last five (5) years.

The Past Performance Questionnaire attached provides information for your customers on how to fill out the questionnaire, when and where to submit, and explains the evaluation codes used in performance evaluation. These questionnaires must be received by the 20th Contracting Squadron point-of-contact on the date designated as this allows the evaluators to have all performance information at the same time the proposals are submitted for review.

Offerors need to make their customers aware of these deadlines as Past Performance Questionnaires received after the due date will not be considered for evaluation.

2.2. PART III – PRICE. The Contracting Officer has determined there is a high probability of reasonable price competition for this acquisition.

2.2.1. Complete blocks 12, 17a, and 30a, b, and c of the SF1449. In doing so, the offeror accedes to the contract terms and conditions as written in the Solicitation, with attachments. The Solicitation constitutes the model contract.

2.2.2. Insert proposed unit and extended prices in the Pricing Schedule. The extended amount must equal the whole dollar unit price multiplied by the number of units. The proposal(s) must be submitted for a base period plus four

(4) Option Years. All unit and extended prices shall be rounded to the nearest whole cent.

3. ALL AMENDMENTS TO SOLICITATION (if applicable).

4. PROOF OF INSURANCE. Submit Copies of Proof of Insurance - When the clause at 52.228-5, Insurance -- Work on a Government Installation, is required to be included in a fixed-price contract by 28.310, the coverage specified in 28.307 is the minimum insurance required and shall be included in the contract Schedule or elsewhere in the contract. Proof of insurance shall be required for acceptance of offer. Contract Insurance Requirements (See Attachment 5) as referenced by AFFARS 5328.310(a)(S-90) to aid the prospective offerors. The Contractor shall, at its own expense, provide and maintain during the entire performance of this contract, at least the kinds and minimum amounts of insurance required in FAR paragraph 28.307-2(a), (b), and (c). The following coverage is required and needs to be provided in proposal:

Workers Compensation and Employers Liability: $100,000.00 General Liability: $500,000.00 per occurrence Automobile Liability: $200,000 per person, $500,000 per occurrence and $20,000.00 per occurrence for property damage

ADDENDUM 52.212-2

ADDENDUM TO FAR 52.212-2 EVALUATION—COMMERCIAL ITEMS (Oct 2014)

BASIS FOR AWARD: This is a lowest price technically acceptable (LPTA) source selection process in which the best value is expected to result from selection of the technically acceptable proposal with the lowest evaluated price.

By submission of its offer, the offeror accedes to all solicitation requirements, including terms and conditions, representations and certifications, and technical requirements, in addition to those identified as evaluation factors or subfactors. All technically acceptable offers shall be treated equally except for their prices and performance records.

Failure to meet a requirement may result in an offer being determined technically unacceptable. Offerors must clearly identify any exception to the solicitation terms and conditions and provide complete accompanying rationale.

Only the solicitation package of responsive Offerors shall be evaluated. The following factors and subfactors shall be used to evaluate offers:

Evaluation criteria: Evaluation criteria consists of factors and sub-factors. Each proposal will be evaluated against three evaluation factors: Technical, Past Performance and Price.

1. Factor 1 - Technical. Initially, the Government’s Technical Evaluation Team shall evaluate each offeror’s technical approach on a pass/fail basis, assigning ratings of Acceptable or Unacceptable. Each proposal shall be evaluated against the following subfactors:

Subfactor 1: Management Plan - Narrative addressing capability to meet solicitation requirements and requirements stated in the SoW to include a management plan for quality control.

Subfactor 2: Specification Requirements – Documentation showing that track inspectors meet the Federal Railroad Administration (FRA) qualifications for track inspectors in FRA “Track Safety Standards” chapter 5 under specific requirements of 213.7, or US Army Track Inspector Certificates documenting the inspectors are certified as track inspectors by the US Army.

Subfactor 3: At least five years of experience providing maintenance and inspections for railroads.

Note: Technical acceptability will be rated at the sub-factor level, assigning each sub-factor a rating of “Acceptable” or “Unacceptable.” The offeror’s proposal must be rated “Acceptable” in all Technical Sub-factors to be eligible for award.

Technical Ratings

Rating Description Acceptable Proposal meets the requirements of the solicitation.

Unacceptable Proposal does not meet the requirements of the solicitation.

2. Factor 2 - Past Performance. Using past performance questionnaires, the Contracting Officer shall seek relevant and recent past performance information based on: (1) the past efforts provided by the offeror and (2) data independently obtained from other Government and commercial sources. Relevant past performance includes performance of efforts involving railraod maintenance and inspection services that are similar or greater in scope magnitude and complexity than the effort described in this solicitation. The purpose of the past performance evaluation is to allow the Government to assess the offeror’s ability to perform the effort described in the solicitation, based on the offeror’s demonstrated present and past performance. The Government will evaluate the quality and extent of offeror's performance with the same or similar size and scope to the requirements of this solicitation.

Note: In the case of an offeror without a record of relevant past performance or for whom information on past performance is not available or so sparse that no meaningful past performance rating can be reasonably assigned, the offeror may not be evaluated favorably or unfavorably on past performance. Therefore, the offeror shall be determined to have unknown past performance. In the context of acceptability / unacceptability, “unknown” shall be considered “acceptable.” Past Performance will be rated on an “acceptable” or unacceptable” basis using the following ratings. The offer’s proposal must be rated “Acceptable” in order to be eligible for award.

Past Performance Evaluation Ratings

Rating Description

Acceptable Based on the offeror’s performance record, the Government has a reasonable expectation that the offeror will successfully perform the required effort, or the offeror’s performance record is unknown.

Unacceptable

Based on the offeror’s performance record, the Government has no reasonable expectation that the offeror will be able to successfully perform the required effort.

Unknown Confidence (Acceptable)

No recent/relevant performance record is available or the offeror’s performance record is so sparse that no meaningful confidence assessment rating can be reasonably assigned.

3. Factor 3 - Price. The Government shall rank all technically acceptable offers by price, including option prices.

An offeror’s proposed prices will be determined by multiplying the quantities identified in Section B by the proposed unit price for each Contract Line Item Number or Subcontract Line Item Number to confirm the extended amount for each. Copies of the Pricing Schedule will be necessary in order to submit a proposal for each Option Year.

Price will be evaluated in order to determine if it is fair, reasonable and balanced. Offers should be sufficiently detailed to demonstrate their reasonableness.

4. Options. The Government will evaluate offers for award purposes by adding the total price for all options to the total price for the basic requirement. The Government may determine that an offer is unacceptable if the option prices are significantly unbalanced. The total evaluated price will consist of the sum of all Contract Line Items for base year, option years, plus 50% of the last option year (four) IAW FAR Clause 52.217-8 Option to Extend Services. Note: Offerors shall not include a price for the Option to Extend Services or the Cost Reimbursable contract line items.

Note: Evaluation of options shall not obligate the Government to exercise the option(s).

A written notice of award or acceptance of an offer, mailed or otherwise furnished to the successful offeror within the time for acceptance specified in the offer, shall result in a binding contract without further action by either party.

Before the offer's specified expiration time, the Government may accept an offer (or part of an offer), whether or not there are negotiations after its receipt, unless a written notice of withdrawal is received before award.

The Government intends to award a contract without discussions with respective offerors. The Government, however, reserves the right to conduct discussions, if deemed in its best interest.
