52.204-1 APPROVAL OF CONTRACT (DEC 1989)

This contract is subject to the written approval of Mr. Bernard W. Clemens, Jr. and shall not be binding until so approved.

(End of clause)

The following have been modified:

52.212-1 INSTRUCTIONS TO OFFERORS--COMMERCIAL ITEMS (OCT 2015)

(a) North American Industry Classification System (NAICS) code and small business size standard. The NAICS code and small business size standard for this acquisition appear in Block 10 of the solicitation cover sheet (SF 1449). However, the small business size standard for a concern which submits an offer in its own name, but which proposes to furnish an item which it did not itself manufacture, is 1000 employees.

(b) Submission of offers. Submit signed and dated offers to the office specified in this solicitation at or before the exact time specified in this solicitation. Offers may be submitted on the SF 1449, letterhead stationery, or as otherwise specified in the solicitation. As a minimum, offers must show--

(1) The solicitation number;

(2) The time specified in the solicitation for receipt of offers;

(3) The name, address, and telephone number of the offeror;

(4) A technical description of the items being offered in sufficient detail to evaluate compliance with the requirements in the solicitation. This may include product literature, or other documents, if necessary;

(5) Terms of any express warranty;

(6) Price and any discount terms;

(7) "Remit to" address, if different than mailing address;

(8) A completed copy of the representations and certifications at FAR 52.212-3 (see FAR 52.212-3(b) for those representations and certifications that the offeror shall complete electronically);

(9) Acknowledgment of Solicitation Amendments;

(10) Past performance information, when included as an evaluation factor, to include recent and relevant contracts for the same or similar items and other references (including contract numbers, points of contact with telephone numbers and other relevant information); and

(11) If the offer is not submitted on the SF 1449, include a statement specifying the extent of agreement with all terms, conditions, and provisions included in the solicitation. Offers that fail to furnish required representations or information, or reject the terms and conditions of the solicitation may be excluded from consideration.

(c) Period for acceptance of offers. The offeror agrees to hold the prices in its offer firm for 30 calendar days from the date specified for receipt of offers, unless another time period is specified in an addendum to the solicitation.

(d) Product samples. When required by the solicitation, product samples shall be submitted at or prior to the time specified for receipt of offers. Unless otherwise specified in this solicitation, these samples shall be submitted at no expense to the Government, and returned at the sender's request and expense, unless they are destroyed during preaward testing.

(e) Multiple offers. Offerors are encouraged to submit multiple offers presenting alternative terms and conditions or commercial items for satisfying the requirements of this solicitation. Each offer submitted will be evaluated separately.

(f) Late submissions, modifications, revisions, and withdrawals of offers:

(1) Offerors are responsible for submitting offers, and any modifications, revisions, or withdrawals, so as to reach the Government office designated in the solicitation by the time specified in the solicitation. If no time is specified in the solicitation, the time for receipt is 4:30 p.m., local time, for the designated Government office on the date that offers or revisions are due.

(2)(i) Any offer, modification, revision, or withdrawal of an offer received at the Government office designated in the solicitation after the exact time specified for receipt of offers is “late” and will not be considered unless it is received before award is made, the Contracting Officer determines that accepting the late offer would not unduly delay the acquisition; and--

(A) If it was transmitted through an electronic commerce method authorized by the solicitation, it was received at the initial point of entry to the Government infrastructure not later than 5:00 p.m. one working day prior to the date specified for receipt of offers; or

(B) There is acceptable evidence to establish that it was received at the Government installation designated for receipt of offers and was under the Government's control prior to the time set for receipt of offers; or

(C) If this solicitation is a request for proposals, it was the only proposal received.

(ii) However, a late modification of an otherwise successful offer, that makes its terms more favorable to the Government, will be considered at any time it is received and may be accepted.

(3) Acceptable evidence to establish the time of receipt at the Government installation includes the time/date stamp of that installation on the offer wrapper, other documentary evidence of receipt maintained by the installation, or oral testimony or statements of Government personnel.

(4) If an emergency or unanticipated event interrupts normal Government processes so that offers cannot be received at the Government office designated for receipt of offers by the exact time specified in the solicitation, and urgent Government requirements preclude amendment of the solicitation or other notice of an extension of the closing date, the time specified for receipt of offers will be deemed to be extended to the same time of day specified in the solicitation on the first work day on which normal Government processes resume.

(5) Offers may be withdrawn by written notice received at any time before the exact time set for receipt of offers. Oral offers in response to oral solicitations may be withdrawn orally. If the solicitation authorizes facsimile offers, offers may be withdrawn via facsimile received at any time before the exact time set for receipt of offers, subject to the conditions specified in the solicitation concerning facsimile offers. An offer may be withdrawn in person by an offeror or its authorized representative if, before the exact time set for receipt of offers, the identity of the person requesting withdrawal is established and the person signs a receipt for the offer.

(g) Contract award (not applicable to Invitation for Bids). The Government intends to evaluate offers and award a contract without discussions with offerors. Therefore, the offeror's initial offer should contain the offeror's best terms from a price and technical standpoint. However, the Government reserves the right to conduct discussions if later determined by the Contracting Officer to be necessary. The Government may reject any or all offers if such action is in the public interest; accept other than the lowest offer; and waive informalities and minor irregularities in offers received.

(h) Multiple awards. The Government may accept any item or group of items of an offer, unless the offeror qualifies the offer by specific limitations. Unless otherwise provided in the Schedule, offers may not be submitted for quantities less than those specified. The Government reserves the right to make an award on any item for a quantity less than the quantity offered, at the unit prices offered, unless the offeror specifies otherwise in the offer.

(i) Availability of requirements documents cited in the solicitation. (1)(i) The GSA Index of Federal Specifications, Standards and Commercial Item Descriptions, FPMR Part 101-29, and copies of specifications, standards, and commercial item descriptions cited in this solicitation may be obtained for a fee by submitting a request to--GSA Federal Supply Service Specifications Section, Suite 8100, 470 East L'Enfant Plaza, SW, Washington, DC 20407, Telephone (202) 619-8925, Facsimile (202) 619-8978.

Additional copies will be issued for a fee.

(4) Nongovernment (voluntary) standards must be obtained from the organization responsible for their preparation, publication, or maintenance.

(j) Data Universal Numbering System (DUNS) Number. (Applies to all offers exceeding $3,500, and offers of $3,500 or less if the solicitation requires the Contractor to be registered in the System for Award Management (SAM) database. The offeror shall enter, in the block with its name and address on the cover page of its offer, the annotation “DUNS” or “DUNS +4” followed by the DUNS or DUNS +4 number that identifies the offeror's name and address. The DUNS +4 is the DUNS number plus a 4-character suffix that may be assigned at the discretion of the offeror to establish additional SAM records for identifying alternative Electronic Funds Transfer (EFT) accounts (see FAR Subpart 32.11) for the same concern. If the offeror does not have a DUNS number, it should contact Dun and Bradstreet directly to obtain one. An offeror within the United States may contact Dun and Bradstreet by calling 1-866-705-5711 or via the internet at http://fedgov.dnb.com/webform. An offeror located outside the United States must contact the local Dun and Bradstreet office for a DUNS number. The offeror should indicate that it is an offeror for a Government contract when contacting the local Dun and Bradstreet office.

(k) System for Award Management. Unless exempted by an addendum to this solicitation, by submission of an offer, the offeror acknowledges the requirement that a prospective awardee shall be registered in the SAM database prior to award, during performance and through final payment of any contract resulting from this solicitation. If the Offeror does not become registered in the SAM database in the time prescribed by the Contracting Officer, the Contracting Officer will proceed to award to the next otherwise successful registered Offeror. Offerors may obtain information on registration and annual confirmation requirements via the SAM database accessed through https://www.acquisition.gov.

(l) Debriefing. If a post-award debriefing is given to requesting offerors, the Government shall disclose the following information, if applicable:

c. General Format and Content. The offeror shall submit the following volumes of material. A complete proposal consists of three separate volumes:

3. Volume I – Past and Present Performance.

(a) The Government will consider contractors' past/present performance references of other relevant contracts they have recently performed, in conjunction with other information available to the Government (i.e. Past Performance Information Retrieval System (PPIRS)).

(b) Past and present performance, for the purpose of satisfying the above requirement, means recent and relevant work, comparable to this acquisition. RECENT- Any contract effort with performance within five (5) years of issuance date of this solicitation. RELEVANCY is defined in 52.212-2 Addendum, whether or not it was government work or commercial work. Identify the corporate division that performed the contract/subcontract, if applicable.

(c) The Past and Present Performance Volume may be provided to the government or commercial points of contact for verification. Past and present performance information on recent contracts not listed by the contractors, or that of previous or planned subcontractors, may also be solicited directly from the Contracting Officer or other authoritative government or commercial sources. Verification of past and present performance information may also be handled telephonically. The Past and Present Performance Volume shall include a list of all customers to whom a Past and Present Performance Questionnaire was provided, including current point of contact and phone number.

(d) Provide a comprehensive list of recent and relevant contracts as defined in paragraph above, over the past five (5) years from the issuance date of this solicitation. If you believe a classified project is significant for this proposal, then simply state "Classified" where appropriate and provide points of contract. Include the following:

(1) Contract Number

(2) Total dollar value (original and Final)

(3) Contracting Agency

(4) Title of Contract

(5) Government program manager (name, address, phone number)

(6) Description of program/project

(7) Contracting Officer (name, address, and phone number)

(8) Period of performance

(9) Type of Contract (Firm Fixed Price, Fixed Price Incentive, Cost Plus Fixed Fee, Cost Plus Award Fee, etc.)

(e) Provide the Past and Present Performance (Volume I) by 09:00am Mountain Standard Time, 27 June 2016.

(f) Contractor Past and Present Performance Questionnaires. Contractors shall provide the reproducible Past and Present Performance Contractor Performance Questionnaire, Attachment 3, to its customers for direct response back to the Government. The Past and Present Performance Information obtained directly from contractors’ customers will be used, in addition to information from other sources, to evaluate contractors’ past and present performance in accordance with the criteria set forth in Clause 52.212-2 of this solicitation. Completed Contractor Past and Present Performance Questionnaires sent directly to the Government from any offeror will not be considered in the evaluations. It is the responsibility of contractors to ensure that their customers complete the questionnaires for all projects that are to be considered in the evaluation of a contractor’s past/present performance and to ensure that its customers send such completed questionnaires directly to the Contracting Office not later than the date and time established for receipt of proposals.

(g) Each offeror shall send out the Past and Present Performance Questionnaire located at Attachment 3 to each of the offeror’s past performance references Points of Contact (POC) identified in the contracts listed in the Past Performance Volume. If this is a first time joint effort, each party to the arrangement must provide a list of past and present relevant contracts.

(i) Past performance information pertaining to a teaming partner, joint venture, and/or subcontractor cannot be disclosed to a private party without that party’s consent. Because a prime contractor is a private party, the Government will need that consent before disclosing teaming partner, joint venture, or subcontractor past and present performance information to the prime during exchanges. A “neutral/unknown” confidence assessment rating will be assigned for a lack of any past performance information. This will not automatically disqualify an offeror, but is a factor considered in the evaluation process as described in the addendum for FAR 52.212-2.

(k) All questionnaires and references are to be submitted to the Contracting Officer at 28th Contracting Squadron no later than by 09:00am Mountain Standard Time, 27 June 2016. ADDENDUM TO FAR 52.212-2 EVALUATION – COMMERCIAL ITEMS (JAN 1999)

1. Basis for Award.

a. BASIS FOR CONTRACT AWARD: This is a competitive best value source selection in which competing Offerors' past performance will be significantly more important than price. This may result in an award to a higher confidence rating, higher priced Offeror where the decision is consistent with the evaluation criteria. By submission of its offer, the Offeror accedes to all solicitation requirements, including terms and conditions, representations and certifications, and technical requirements. Failure to meet a requirement may result in an offer being determined unacceptable. The Government intends to award one contract. The Government seeks to award to the Offeror who in the Government’s estimation, provides the greatest overall benefit in response to the solicitation. All such offers shall be treated equally except for their technical capability, prices and performance records. The evaluation process shall proceed as follows:

b. Evaluation Process:

(1) Initially offers shall be considered for technical capability in accordance with the evaluation criteria described in paragraph 2(a)(3).

(2) Offers with an Acceptable technical rating will then be ranked according to price, including option prices, described in paragraph 2(a)(2).

(3) The three lowest priced Offeror’s will then receive a performance confidence assessment in accordance with the evaluation criteria described in paragraph 2(a)(1).

(4) If none of the three lowest priced Offerors is judged to have a Substantial Confidence performance assessment, the next lowest priced Offeror will be evaluated and the process will continue (in order by price) until an Offeror is judged to have a Substantial Confidence performance assessment or until all Offerors are evaluated. The Source Selection Authority shall make an integrated assessment best value award decision if the lowest priced Offeror is not judged to have a Substantial Confidence performance assessment.

(5) Prior to award, a responsibility determination will be made as described in FAR Part 9.

c. Offerors must include prices for fixed priced items in Attachment 1 - Fixed Price List, as well as transcribe appropriate total CLIN prices on the SF 1449 of the solicitation for the basic period and all option periods. Failure to do so may be considered by the Government as non-responsive and cause for rejection of the entire offer.

d. The Government intends to award a contract without discussions with respective offerors. The Government, however, reserves the right to conduct discussions if deemed in its best interest.

e. Offerors are cautioned to submit sufficient information and in the format specified in the FAR addendum to 52.212-1, Instructions to Offerors. Offerors may be asked to clarify certain aspects of their proposal or respond to adverse past performance information to which the offeror has not previously had an opportunity to respond. Communication conducted to resolve minor or clerical errors will not constitute discussions and the Government reserves the right to award a contract without the opportunity for proposal revision.

1. Evaluation Factors for Award

a. Three evaluation factors will be used to evaluate proposals: Past Performance, Price and Technical Capability, with past performance being significantly more important than price.

1. Factor 1: Past Performance

a) Past performance will be evaluated on recency and relevancy. Each offeror will receive an integrated overall Performance Confidence Rating. Past performance will be evaluated as a measure of the Government’s confidence in the offeror’s ability to successfully perform based on previous and current contract efforts.

b) For the purpose of this evaluation, “recent” is defined as performance occurring within the last five (5) years from the date of release of this solicitation. The following relevancy definitions apply to each citation reviewed:

Rating
Definition
Very Relevant
Present/past performance effort involved essentially the same scope and magnitude of effort and complexities this solicitation requires.
Relevant
Present/past performance effort involved similar scope and magnitude of effort and complexities this solicitation requires.
Somewhat Relevant
Present/past performance effort involved some of the scope and magnitude of effort and complexities this solicitation requires.
Not Relevant
Present/past performance effort involved none of the scope and magnitude of effort and complexities this solicitation requires.

c) The Government will use past performance information submitted by the offerors’ references, other sources such as other federal government offices, Past Performance Information Retrieval System (PPIRS)/Contractor Performance Assessment Reports (CPARS), and private and commercial sources. The Government is not bound by the offeror’s opinion of relevancy. Relevancy is defined above. More relevant past performance will be a stronger predictor of future success and have more influence on the past performance confidence assessment than past performance of lesser relevance. Consideration will be given to whether the past performance information is applicable to the prime contractor, teaming partners, and/or joint venture actually performing that part of the requirement. This information may include efforts performed by other divisions, critical subcontractors, or teaming contractors, if such resources will be brought to the current effort.

d) Where the relevant past and present performance record indicates performance problems, the Government will consider the number and severity of the problems and the appropriateness and effectiveness of any corrective actions taken (not just planned or promised). The Government may review more recent contracts, or performance evaluations, to ensure corrective actions have been implemented and to evaluate their effectiveness. If the offeror clearly demonstrates management actions employed in overcoming problems and the effects of those actions, in terms of improvements achieved or problems rectified, this may allow the offeror to be rated higher than might otherwise be indicated. The Government will evaluate/assess all past performance information, positive and negative. Offerors will be offered the opportunity to respond to negative past performance reports if they had not had the opportunity to do so previously. An offeror without a record of relevant past performance will receive a past performance rating of “Unknown Confidence.”

e) Each offeror will be assessed a Performance Confidence Rating described below, taking into account the recency, relevancy, and quality of each citation reviewed:

PERFORMANCE CONFIDENCE ASSESSMENTS

Rating
Description
Substantial Confidence
Based on the offeror’s recent/relevant performance record, the Government has a high expectation that the offeror will successfully perform the required effort.
Satisfactory Confidence
Based on the offeror’s recent/relevant performance record, the Government has a reasonable expectation that the offeror will successfully perform the required effort.
Limited Confidence
Based on the offeror’s recent/relevant performance record, the Government has a low expectation that the offeror will successfully perform the required effort.
No Confidence
Based on the offeror’s recent/relevant performance record, the Government has no expectation that the offeror will be able to successfully perform the required effort.
Unknown Confidence (Neutral)
No recent/relevant performance record is available or the offeror’s performance record is so sparse that no meaningful confidence assessment rating can be reasonably assigned.

2. Factor 2: Price.

a) The Government will evaluate prices using the Total Evaluated Price (TEP) method. The TEP will include the base period, all option periods which combined will equal the TEP. All option period prices will be used in TEP evaluation but these prices will not be funded in the initial contract award. The Total Contract Price for award will be the sum of extended prices for CLINs 0001-4004.

b) All extensions of the unit prices shown will be subject to verification by the government. In case of variation between the unit price and the extension, the unit prices will be considered to be the offer.

c) The Government may determine that an offer is unacceptable if the CLIN prices are significantly unbalanced. Evaluation of options shall not obligate the Government to exercise the options(s).

d) If a modification to an offer is submitted which provides for a lump sum adjustment to the total price, the application of the lump sum adjustment to each item in the offer schedule must be stated. If it is not stated, the offeror agrees that the lump sum adjustment shall be applied on a pro rata basis to each item in the offer schedule.

e) Offerors are required to submit offers on all items listed in Attachment 1, Fixed Price List, as well as well as transcribe appropriate total CLIN prices on the SF 1449 of the solicitation for the basic period and all option periods.

f) Reasonableness:. The offeror’s Price proposal will be evaluated to ensure it is fair and reasonable, pursuant to FAR 15.404. For additional information see FAR 31.201-3.

g) Realism:. The offeror’s Price proposal may be evaluated to ensure it is realistic, pursuant to FAR 15.305(a)(1). For additional information see FAR 15.404-1(d)

h) Unbalanced Pricing: The Government will analyze proposals to determine whether they are unbalanced with respect to prices, variable quantity matrix factors, and separately priced line items in accordance with FAR 15.404-1. An offer may be rejected if the contracting officer determines that the lack of balance poses an unacceptable risk to the Government.

3. Factor 3: Technical Capability.

a) An evaluation of technical acceptability of each offeror's technical capability proposal shall be made. The contracting officer may conduct discussions, request clarifications, and/or have communications with offerors to determine technical acceptability of their proposal IAW the solicitation requirements. The basis for evaluation of technical capability proposals is described below. At a minimum, the technical capability proposal shall consist of the following:

Subfactor 1: A Quality Control Plan as outlined in Section 4.4 of the SOW.

Description: Offer must provide a detailed Quality Control Plan which shall address all requirements outlined in Section 4.4 of the SOW. The plan must also address methods to be used for identifying and preventing damages/claims before the performance becomes unacceptable. The plan shall include procedures to identify unfavorable performance trends, problem areas, and the corrective actions that would be taken. As part of the QCP, offerors shall include an Inventory Process Plan to ensure minimum levels of fixed price items are available in the onsite inventory. The plan must include a remedy process for vendors who fail to deliver items by the assigned delivery dates as well as a remedy process for items not delivered by the required delivery date.

Measure of Merit: This standard is met when the QCP demonstrates an effective performance/quality monitoring system that addresses all requirements of the SOW and will enable the contractor to identify and correct their own errors/discrepancies. The QCP must also include an Inventory Plan for Store Stock items and delivery processes/corrections to issues.

Subfactor 2: Management/Manpower Plan.

Description: The offeror shall provide a management staffing approach that adequately provides personnel qualified to meet the requirements of the SOW. This should include retention of personnel, organization structure, and related commercial and/or government experience supporting COCESS. The offeror shall submit a realistic manpower schedule that adequately depicts personnel by labor/skills to include a hiring and retention objective enabling contract performance at Ellsworth AFB, SD. Offeror shall include personnel position(s) responsible for tracking all item orders, inventory, and backorders to include direct chain of supervision for inquiries or concerns.

Measure of Merit: This standard is met when the plan demonstrates a Contract Manager and personnel who can adequately fulfill the requirements of the SOW, along with a retention plan and hiring processes. Provide information on the individual’s name, title, duty, years of experience, and experience level relating to similar projects in size and scope on key personnel.

Subfactor 3: Web-based online ordering system.

Description: Offeror shall provide system access to demonstrate they have a web based on-line ordering system. Offerors shall provide one temporary login to allow evaluation.

Measure of Merit: This standard is met when the following capabilities are demonstrated: (1) Ability to provide user access to functionality via a web browser without requiring software client. (2) Ability to view order history, live order tracking / status and modify / cancel. (3) Ability to attach notes to the purchase order. (4) Ability to delete purchase orders.

b) The Government will evaluate the offeror’s technical capability proposal identified above. The Government’s evaluation team shall evaluate overall technical capability on an Acceptable/Unacceptable…
