52.229-11 - Tax on Certain Foreign Procurements-Notice and Representation. Jun 2020

As prescribed in 29.402-3(a), insert the following provision:

Tax on Certain Foreign Procurements—Notice and Representation (Jun 2020)

(a) Definitions. As used in this provision—

Foreign person means any person other than a United States person.

Specified Federal procurement payment means any payment made pursuant to a contract with a foreign contracting party that is for goods, manufactured or produced, or services provided in a foreign country that is not a party to an international procurement agreement with the United States. For purposes of the prior sentence, a foreign country does not include an outlying area.

United States person as defined in 26 U.S.C. 7701(a)(30) means

(1) A citizen or resident of the United States;

(2) A domestic partnership;

(3) A domestic corporation;

(4) Any estate (other than a foreign estate, within the meaning of 26 U.S.C. 701(a)(31)); and

(5) Any trust if–

(i) A court within the United States is able to exercise primary supervision over the administration of the trust;

and

(ii) One or more United States persons have the authority to control all substantial decisions of the trust.

(b) Unless exempted, there is a 2 percent tax of the amount of a specified Federal procurement payment on any foreign person receiving such payment. See 26 U.S.C. 5000C and its implementing regulations at 26 CFR 1.5000 C-1 through 1.5000C-7.

(c) Exemptions from withholding under this provision are described at 26 CFR 1.5000C-1(d)(5) through (7).

The Offeror would claim an exemption from the withholding by using the Department of the Treasury Internal Revenue Service Form W-14, Certificate of Foreign Contracting Party Receiving Federal Procurement Payments, available via the internet at www.irs.gov/w14. Any exemption claimed and self-certified on the IRS Form W-14 is subject to audit by the IRS. Any disputes regarding the imposition and collection of the 26 U.S.C.

5000C tax are adjudicated by the IRS as the 26 U.S.C. 5000C tax is a tax matter, not a contract issue. The IRS Form W-14 is provided to the acquiring agency rather than to the IRS.

(d) For purposes of withholding under 26 U.S.C. 5000C, the Offeror represents that

(1) It [ ] is [ ] is not a foreign person; and

(2) If the Offeror indicates “is” in paragraph (d)(1) of this provision, then the Offeror represents that—I am claiming on the IRS Form W-14 [ ] a full exemption, or [ ] partial or no exemption [Offeror shall select one] from the excise tax.

(e) If the Offeror represents it is a foreign person in paragraph (d)(1) of this provision, then—

(1) The clause at FAR 52.229-12, Tax on Certain Foreign Procurements, will be included in any resulting contract; and

(2) The Offeror shall submit with its offer the IRS Form W-14. If the IRS Form W-14 is not submitted with the offer, exemptions will not be applied to any resulting contract and the Government will withhold a full 2 percent of each payment.

(f) If the Offeror selects “is” in paragraph (d)(1) and “partial or no exemption” in paragraph (d)(2) of this provision, the Offeror will be subject to withholding in accordance with the clause at FAR 52.229-12, Tax on Certain Foreign Procurements, in any resulting contract.

(g) A taxpayer may, for a fee, seek advice from the Internal Revenue Service (IRS) as to the proper tax treatment of a transaction. This is called a private letter ruling. Also, the IRS may publish a revenue ruling, which is an official interpretation by the IRS of the Internal Revenue Code, related statutes, tax treaties, and regulations. A revenue ruling is the conclusion of the IRS on how the law is applied to a specific set of facts. Instructions, Conditions, & Notices to Offerors or Quoters

Miscellaneous text in this section has been modified to:

Addendum to FAR 52.212-1: Instructions, Conditions, and Notices to Offerors

This section is for solicitation purposes only. This section will be removed from any resultant award, but will be deemed incorporated by reference.

Addendum to 52.212-1(c), Period for Acceptance of Offers. The paragraph is tailored as follows: The offeror agrees to hold the prices in its offer firm until 30 November 2021.

Proposal Requirements

1. To assure timely and equitable evaluation of proposals, offerors must follow the instructions contained herein.

Offerors are required to meet all solicitation requirements, including terms and conditions, representations and certifications, and technical requirements. Failure to meet a requirement may result in an offer being ineligible for award. Offerors must clearly identify any exception to the solicitation terms and conditions and provide complete accompanying rationale. The response shall consist of two (2) separate volumes:

PART I - Price Proposal PART II - Past Performance Information

2. The contracting officer has determined there is a high probability of adequate price competition in this acquisition. Upon examination of the initial offers, the contracting officer will review this determination and if, in the contractor officer's opinion, adequate price competition exists, no additional cost information will be requested and certification under FAR 15.406-2 will not be required. However, if at any time during this competition the contracting officer determines that adequate price competition no longer exists, offerors may be required to submit information to the extent necessary for the contracting officer to determine the reasonableness of the price. Furthermore, if only one proposal is received, the proposal will be evaluated for price fair and reasonableness.

3. Specific Instructions

PART I: PRICE PROPOSAL - Submit one electronic copy by email OR if mail/handcarry, submit one paper copy and three discs with digital copies

(a) Complete blocks 12, 17a, 30a, b and c of the SF1449. In doing so, the offeror accedes to the contract terms and conditions as written in the RFP, with attachments.

(b) Insert proposed unit prices in Section B for each Contract Line Item Number (CLIN), including all option periods. Do not round further than two (2) decimal places. The amount must equal the whole dollar unit price multiplied by the number of units.

(c) Complete the necessary fill-ins and certifications in Provisions. Provision 52.212-3 shall be returned in its entirety.

(d) If applicable, provide a letter from the Small Business Administration (SBA) showing proof of HUBZone status

PART II: PAST PERFORMANCE - Submit one electronic copy by email OR if mail/handcarry, submit one paper copy and three discs with digital copies

(a) Quality and Satisfaction Rating for Contracts Completed in the Past Five Years: The offeror shall provide a list of three (3) to five (5) of the most relevant contracts performed for Federal agencies and commercial customers within the last five (5) years, limited to no more than three (3) pages per contract listed. Only references for same or similar type contract desired. Provide any information currently available (letters, metrics, customer surveys, independent surveys, etc.) which demonstrates customer satisfaction, with overall job performance and quality of completed product for same or similar type contract. In addition, explain corrective actions taken in the past, if any, for substandard performance and any current performance problems such as cost overruns, extended performance periods, numerous warranty calls, etc.

(b) Performance Surveys: Past Performance should be submitted using the attached Past Performance Questionnaire (PPQ) (Attachment 3). Offeror will send Past Performance Surveys to references for completion.

References will send completed Past Performance Surveys directly to the Contracting Office. Relevant performance includes performance of efforts involving Fire Protection and Emergency Services that are similar or greater in scope, magnitude, and complexity to the effort described in this solicitation. Relevancy is also defined as below:

The government will evaluate the quality and extent of offeror's performance deemed relevant to the requirements of this RFP. The Government will use information submitted by the offeror and other sources such as other Federal Government offices and commercial sources, to assess performance. The evaluation of past performance information will take into account past performance information regarding predecessor companies, key personnel who have relevant experience, or subcontractors that will perform major or critical aspects of the requirement when such information is relevant to this acquisition. Furnish the following information for each contract listed:

(i) Company/Division name

(ii) Product/Service

(iii) Contracting Agency/Customer

(iv) Contract Number

(v) Contract Dollar Value

(vi) Period of Performance

(vii) Verified, up-to-date name, address, FAX & telephone number of the contracting officer

(viii) Comments regarding compliance with contract terms and conditions

(ix) Comments regarding any known performance deemed unacceptable to the customer, or not in accordance with the contract terms and conditions

If a teaming arrangement is contemplated, provide complete information as to the arrangement, including any relevant and recent past performance information on previous teaming arrangements with same partner. If this is a first time joint effort, each party to the arrangement must provide a list of past relevant contracts.

(c) Subcontractor consent: Past performance information pertaining to a subcontractor cannot be disclosed to the prime offeror without the subcontractor's consent. Provide with the proposal a letter from all subcontractors that will perform major or critical aspects of the requirement, consenting to the release of their past performance information to the prime contractor.

(d) Financial Institution Information: Complete attached Financial Institution Reference Sheet (Attachment 4) and return with the proposal.

4. Documents submitted in response to this RFP must be fully responsive to and consistent with the following:

(a) Requirements of the RFP (CLINs and PWS) and government standards and regulations pertaining to the

PWS

(b) Evaluation factors for award in the section titled Addendum to FAR 52.212-2; Evaluation - Commercial Items

(c) Any limitation on the number of proposal pages. Pages exceeding the page limitations set forth in section titled Addendum to FAR 52.212-1: Instruction to Offerors will not be read or evaluated, and will be removed from the proposal.

(d) Format for proposal Part II: Print shall be no smaller than font size 12. Paper size shall be 8 1/2" x 11", except for fold-outs used for charts, tables, or diagrams, which may not exceed 11" x 17". A page is defined as one face of a sheet of paper containing information. Margins shall be no smaller than 1 inch and each page within a volume shall be numbered consecutively. Elaborate formats, bindings or color presentations are not desired or required. Each page should contain the following legend at the bottom of each sheet:

(e) Information regarding submission of proposal: In addition to the page limitations set forth above, proposal volumes shall comply with the following format.

(i) Electronic proposal submissions are preferred. Send your electronic proposals to carly.larson@us.af.mil and graham.pritchett@us.af.mil. If your files are too large to transmit via email, please contact Mrs. Carly Larson, carly.larson@us.af.mil, and an alternative method will be provided to upload electronic proposals (DoD SAFE).

If you are unable to submit electronically, proposals must be either hand carried or mailed directly to the 319th Contracting Squadron at:

(ii) The sealed envelope or package used to submit the proposal must show the time and date specified for receipt. Each volume shall be marked with the RFP number and the offeror's name and address, and the number of the volume (I, II). Proposals shall be in the English language and all monies shall be proposed in United States dollars.

(iv) SOME DELAY SHOULD BE ANTICIPATED WHEN HAND CARRYING PROPOSALS. Offerors should allow sufficient time to schedule a drop off at the installation gate with either Mr. Graham Pritchett or Mrs. Carly Larson. Send a request for drop-off to graham.pritchett@us.af.mil and carly.larson@us.af.mil. Late proposals will be processed in accordance with FAR 52.212-1(f) "Late submission, modifications, revisions, and withdrawals of offers."
