52.209-5 CERTIFICATION REGARDING RESPONSIBILITY MATTERS (APR 2010)

(a)(1) The Offeror certifies, to the best of its knowledge and belief, that-

(i) The Offeror and/or any of its Principals-

(A) Are ( ) are not ( ) presently debarred, suspended, proposed for debarment, or declared ineligible for the award of contracts by any Federal agency;

(B) Have ( ) have not ( ), within a three-year period preceding this offer, been convicted of or had a civil judgment rendered against them for: commission of fraud or a criminal offense in connection with obtaining, attempting to obtain, or performing a public (Federal, State, or local) contract or subcontract; violation of Federal or State antitrust statutes relating to the submission of offers; or commission of embezzlement, theft, forgery, bribery, falsification or destruction of records, making false statements, tax evasion, violating Federal criminal tax laws, or receiving stolen property (if offeror checks “have”, the offeror shall also see 52.209-7, if included in this solicitation); and

(C) Are ( ) are not ( ) presently indicted for, or otherwise criminally or civilly charged by a governmental entity with, commission of any of the offenses enumerated in paragraph (a)(1)(i)(B) of this provision.; and

(D) Have , have not , within a three-year period preceding this offer, been notified of any delinquent

Federal taxes in an amount that exceeds $3,000 for which the liability remains unsatisfied.

(1) Federal taxes are considered delinquent if both of the following criteria apply:

(i) The tax liability is finally determined. The liability is finally determined if it has been assessed. A liability is not finally determined if there is a pending administrative or judicial challenge. In the case of a judicial challenge to the liability, the liability is not finally determined until all judicial appeal rights have been exhausted.

(ii) The taxpayer is delinquent in making payment. A taxpayer is delinquent if the taxpayer has failed to pay the tax liability when full payment was due and required. A taxpayer is not delinquent in cases where enforced collection action is precluded.

(2) Examples. (i) The taxpayer has received a statutory notice of deficiency, under I.R.C. Sec. 6212, which entitles the taxpayer to seek Tax Court review of a proposed tax deficiency. This is not a delinquent tax because it is not a final tax liability. Should the taxpayer seek Tax Court review, this will not be a final tax liability until the taxpayer has exercised all judicial appeal rights.

(ii) The IRS has filed a notice of Federal tax lien with respect to an assessed tax liability, and the taxpayer has been issued a notice under I.R.C. Sec. 6320 entitling the taxpayer to request a hearing with the IRS Office of Appeals contesting the lien filing, and to further appeal to the Tax Court if the IRS determines to sustain the lien filing. In the course of the hearing, the taxpayer is entitled to contest the underlying tax liability because the taxpayer has had no prior opportunity to contest the liability. This is not a delinquent tax because it is not a final tax liability. Should the taxpayer seek tax court review, this will not be a final tax liability until the taxpayer has exercised all judicial appeal rights.

(iii) The taxpayer has entered into an installment agreement pursuant to I.R.C. Sec. 6159. The taxpayer is making timely payments and is in full compliance with the agreement terms. The taxpayer is not delinquent because the taxpayer is not currently required to make full payment.

(iv) The taxpayer has filed for bankruptcy protection. The taxpayer is not delinquent because enforced collection action is stayed under 11 U.S.C. 362 (the Bankruptcy Code).

(ii) The Offeror has ( ) has not ( ), within a three-year period preceding this offer, had one or more contracts terminated for default by any Federal agency.

(2) Principal, for the purposes of this certification, means an officer, director, owner, partner, or a person having primary management or supervisory responsibilities within a business entity (e.g., general manager; plant manager;

head of a division or business segment; and similar positions).

(b) The Offeror shall provide immediate written notice to the Contracting Officer if, at any time prior to contract award, the Offeror learns that its certification was erroneous when submitted or has become erroneous by reason of changed circumstances.

(c) A certification that any of the items in paragraph (a) of this provision exists will not necessarily result in withholding of an award under this solicitation. However, the certification will be considered in connection with a determination of the Offeror's responsibility. Failure of the Offeror to furnish a certification or provide such additional information as requested by the Contracting Officer may render the Offeror nonresponsible.

(d) Nothing contained in the foregoing shall be construed to require establishment of a system of records in order to render, in good faith, the certification required by paragraph (a) of this provision. The knowledge and information of an Offeror is not required to exceed that which is normally possessed by a prudent person in the ordinary course of business dealings.

(e) The certification in paragraph (a) of this provision is a material representation of fact upon which reliance was placed when making award. If it is later determined that the Offeror knowingly rendered an erroneous certification, in addition to other remedies available to the Government, the Contracting Officer may terminate the contract resulting from this solicitation for default.

(End of provision)

52.209-7 INFORMATION REGARDING RESPONSIBILITY MATTERS (JULY 2013)

(a) Definitions. As used in this provision--

Administrative proceeding means a non-judicial process that is adjudicatory in nature in order to make a determination of fault or liability (e.g., Securities and Exchange Commission Administrative Proceedings, Civilian

Board of Contract Appeals Proceedings, and Armed Services Board of Contract Appeals Proceedings). This includes administrative proceedings at the Federal and State level but only in connection with performance of a Federal contract or grant. It does not include agency actions such as contract audits, site visits, corrective plans, or inspection of deliverables.

Federal contracts and grants with total value greater than $10,000,000 means--

(1) The total value of all current, active contracts and grants, including all priced options; and

(2) The total value of all current, active orders including all priced options under indefinite-delivery, indefinite-quantity, 8(a), or requirements contracts (including task and delivery and multiple-award Schedules).

Principal means an officer, director, owner, partner, or a person having primary management or supervisory responsibilities within a business entity (e.g., general manager; plant manager; head of a division or business segment; and similar positions).

(b) The offeror ( ) has ( ) does not have current active Federal contracts and grants with total value greater than

$10,000,000.

(c) If the offeror checked “has” in paragraph (b) of this provision, the offeror represents, by submission of this offer, that the information it has entered in the Federal Awardee Performance and Integrity Information System (FAPIIS) is current, accurate, and complete as of the date of submission of this offer with regard to the following information:

(1) Whether the offeror, and/or any of its principals, has or has not, within the last five years, in connection with the award to or performance by the offeror of a Federal contract or grant, been the subject of a proceeding, at the Federal or State level that resulted in any of the following dispositions:

(i) In a criminal proceeding, a conviction.

(ii) In a civil proceeding, a finding of fault and liability that results in the payment of a monetary fine, penalty, reimbursement, restitution, or damages of $5,000 or more.

(iii) In an administrative proceeding, a finding of fault and liability that results in--

(A) The payment of a monetary fine or penalty of $5,000 or more; or

(B) The payment of a reimbursement, restitution, or damages in excess of $100,000.

(iv) In a criminal, civil, or administrative proceeding, a disposition of the matter by consent or compromise with an acknowledgment of fault by the Contractor if the proceeding could have led to any of the outcomes specified in paragraphs (c)(1)(i), (c)(1)(ii), or (c)(1)(iii) of this provision.

(2) If the offeror has been involved in the last five years in any of the occurrences listed in (c)(1) of this provision, whether the offeror has provided the requested information with regard to each occurrence.

(d) The offeror shall post the information in paragraphs (c)(1)(i) through (c)(1)(iv) of this provision in FAPIIS as required through maintaining an active registration in the System for Award Management database via https://www.acquisition.gov (see 52.204-7).

Government will not reimburse any firm for their proposal preparation cost.

A. FAR 52.212-1(b)(8), is changed to read:

(8) A completed copy of the representations and certifications at FAR 52.212-3.

B. FAR 52.212-1(b)(10), is changed to read:

C. FAR 52.212-1(c), is changed to read:

(c) Period for acceptance of offers. The Offeror agrees to hold the prices in its offer firm for

D. To assure timely and equitable evaluation of proposals, Offerors must follow the instructions contained herein. Offerors are required to meet all solicitation requirements, including terms and conditions, representations and certifications, and technical requirements. Failure to meet a requirement may result in an offer being ineligible for award. Offerors must clearly identify any exception to the solicitation terms and conditions and provide complete accompanying rationale.

The response shall consist of three (3) separately bound parts, Part I - Technical Capability, Part II – Price Proposal, and Part III – Past Performance Information.

E. Relationship between Solicitation FAR 52.212-1 and FAR 52.212-2. Your attention is directed to the functional relationship between FAR 52.212-1 and FAR 52.212-2 of this solicitation. Provide with the proposal a letter from all subcontractors that will perform major or critical aspects of the requirement, consenting to the release of their past performance information to the prime Offeror.

j. If the Offeror claims there is no past performance, then that status must be identified to the Contracting Officer not later than the date/time proposals are due from all Offerors. Lack of any past performance will not automatically disqualify an Offeror, but it is a factor that is considered when assigning the confidence assessment described in 52.212-2.

k. Joint Venture/Teaming Arrangement. If applicable, Offerors must provide a consent letter executed by each teaming partner and/or joint venture partner authorizing release of past performance information so the Offeror can respond to such information. If a teaming arrangement is contemplated, Offerors must provide complete information as to the arrangement, including any relevant and recent past/present performance information on previous teaming arrangements with the same partner. If this is a first time joint effort, each party to the arrangement must provide a list of past and present relevant contracts.

52.212-2 EVALUATION--COMMERCIAL ITEMS (OCT 2014)

A. The Government will award a firm fixed price contract resulting from this solicitation to the responsible Offeror whose offer conforming to the solicitation will be most advantageous to the

Government, price and other factors considered. This acquistion will utilize the Performance

Price Tradeoff (PPT) process to make a best value award decision. The following factors shall be used to evaluate offers:

Part I – TECHNICAL CAPABILITY

Part II – PRICE

Part III – PAST PERFORMANCE

*Past Performance is significantly more important than Price, however cost/price will contribute substantially to the selection decision.

B. Options. The Government will evaluate offers for award purposes by adding the total price for all options to the total price for the basic requirement. The Government may determine that an offer is unacceptable if the option prices are significantly unbalanced. Evaluation of options shall not obligate the Government to exercise the option(s). In the event the Government extends services under the authority of FAR 52.217-8, “Option to Extend Services”, unit pricing for the last option year exercised preceding the extension shall remain in effect. These prices are already determined to have been evaluated at time of contract award.

C. A written notice of award or acceptance of an offer, mailed or otherwise furnished to the successful Offeror within the time for acceptance specified in the offer, shall result in a binding contract without further action by either party. Before the offer’s specified expiration time, the

Government may accept an offer (or part of an offer), whether or not there are negotiations after its receipt, unless a written notice of withdrawal is received before award.

Addendum to FAR 52.212-2:

BASIS FOR CONTRACT AWARD: This is a competitive best value source selection in which competing Offerors' Past Performance history will be evaluated as being significantly more important than cost or price; however cost/price will contribute substantially to the selection decision. This may result in an award to a higher rated, higher priced Offeror where the decision is consistent with the evaluation criteria. By submission of its offer, the Offeror accedes to all solicitation requirements, including terms and conditions, representations and certifications, and technical requirements. Failure to meet a requirement may result in an offer being determined unacceptable. The Government intends to award one contract. The Government seeks to award to the Offeror who in the Government’s estimation, provides the greatest overall benefit in response to the requirements. All such offers shall be treated equally except for their technical capability, prices and performance records. The evaluation process shall proceed as follows:

A. Evaluation Process:

1. Initially offers shall be considered for technical capability in accordance with the evaluation criteria described below in paragraph B.1..

2. Offers meeting technical capability will then be ranked according to price, including option prices.

3. The three lowest priced Offeror’s will then receive a performance confidence assessement in accordance with the evaluation criteria described below in paragraph B.2..

4. If none of the three lowest priced Offerors is judged to have a Substantial Confidence performance assessment, the next lowest priced Offeror will be evaluated and the process will continue (in order by price) until an Offeror is judged to have a Substantial Confidence performance assessment or until all Offerors are evaluated. The Source Selection Authority shall make an integrated assessment best value award decision if the lowest priced Offeror is not judged to have a Substantial Confidence performance assessment.

5. Prior to award, a responsibility determination will be made as described in FAR Part 9.

B. Evaluation Criteria:

1. TECHNICAL CAPABILITY:

a. First, the technical capability of all offers will be evaluated on an ACCEPTABLE /

UNACCEPTABLE basis.

(1) ACCEPTABLE – Proposal clearly meets the minimum requirements of the solicitation.

(2) UNACCEPTABLE – Proposal does not clearly meet the minimum requirements of the solicitation.

b. Evaluators shall assign a rating of ACCEPTABLE / UNACCEPTABLE based on the minimum requirements stated below.

c. Sub-Factor 1 – Web-based On-Line Ordering System

1. CRITERIA: Offeror shall provide system access to demonstrate they have a web

-based on-line ordering system. Offerors shall provide 1 temporary login to allow evaluation.

2. MINIMUM STANDARD OF ACCEPTABILITY: The minimum standard is met when the following capabilities are demonstrated:

(A) Ability to provide user access to functionality via a web browser without requiring client software.

(B) Ability to view order history, live order tracking/status and modify/cancel.

(C) Ability to attach notes to the purchase order.

(D) Ability to delete purchase orders.

d. Sub-Factor 2 – Key Personnel

1. CRITERIA: Offeror shall provide information identifying the key personnel with a description of their work experience.

2. MINIMUM STANDARD OF ACCEPTABILITY: The minimum standard is met when the Offeror provides information for the following discipline:

(A) Project Manager. The individual’s name, title, duty, years of experience and experience level relating to similar contracts in size and scope. The narrative for the Project

Manager must show a minimum of three (3) years’ experience relating to similar contracts in size and scope.

e. Those offers not meeting the minimum standard for acceptability will not be considered for award.

2. PRICE PROPOSAL:

a. Next, offers that are deemed technically acceptable shall be ranked according to price, including option prices. The Offerors price proposal will be submitted in a separate volume. No price information is to be included in the past performance sections of the proposal.

b. For award purposes, the Government will evaluate offers by the total contract price.

The total contract price consists of the total price of all Base and Option Years of this solicitation. The total price of the Base or Option Year is the sum of: 1) the CLIN, to include the

COCESS mark-up fee multiplied against $500,000.00, and 2) Exhibit A extended unit prices for the applicable year. NOTE: The $500,000.00 figure will be used for Government evaluation purposes only. It does not represent a guarantee to the amount of non-priced item sales in any given year. Offerors shall not perform the mark-up calculation nor input that calculation against the CLIN price. The extended amounts for the base year, to include, all option years, mark-up fee calculations, and Exhibit A, will be added together for a total contract price and will be used for the ranking of Offerors. Unit prices shall prevail in the event the extended price is calculated incorrectly. Each Offeror’s price proposal will be evaluated for completeness and reasonableness. Unrealistically low proposed costs/prices may be grounds for eliminating a proposal from competition either on the basis that either the Offeror does not understand the requirement or the Offeror has made an unrealistic proposal. Proposed unit prices of the fixed price list, including options, will be evaluated for unbalanced pricing IAW FAR 15.404-1(g).

Unbalanced pricing exists when, despite an acceptable total evaluated price, the price of one or more contract line items or sub-line item(s) appear to be significantly overstated or understated as indicated by the application of cost or price analysis techniques.

c. The Offeror shall submit complete pricing data for all items listed in Exhibit A;

substitutions are not acceptable for any items for this evaluation. Exhibit A unit prices shall be inclusive of any mark-up. Proposed prices will become fixed prices on the contract. In the event the Government extends services under the authority of FAR 52.217-8, “Option to Extend

Services”, unit pricing for the last option year exercised preceding the extension shall remain in effect. These prices are already determined to have been evaluated at time of contract award.

Evaluation of options shall not obligate the Government to exercise the option(s).

d. Price evaluation will be conducted as follows:

(1) Total evaluated amount for Base Year and Option Year CLINs (SF 1449

Continuation Sheet Schedule): The CLIN, plus mark-up fee calculation, are all added together for an extended total price for each specific year. Note: The mark-up fee will be multiplied against $500,000.00 for each year. The $500,000.00 figure will be used for Government evaluation purposes only. It does not represent a guarantee to the amount of non-priced items sales in any given year. Example: Base Year total = $____ [CLIN] + ___% [mark-up fee] *

$500,000.00. The “specific year” is defined as the Base Year or an Option Year.

(2) Total evaluated amount for Exhibit A, Base Year and Option Years: Each line item will be calculated by multiplying the quantity in the column titled “Used Last FY” against the unit price for each specific year. All line items will be added together for an extended total price for each specific year. The “specific year” is defined as the Base Year or an Option Year.

(3) Total evaluated Contract Amount: (Base Year = Total Evaluated Amount for

Base Year CLIN + Total Evaluated Amount for Exhibit A Base Year) + (Option Year 1 = Total

Evaluated Amount for Option Year 1 CLIN + Total Evaluated Amount for Exhibit A Option

Year 1) + (Option Year 2 = Total Evaluated Amount for Option Year 2 CLIN + Total Evaluated

Amount for Exhibit A Option Year 2) + (Option Year 3 = Total Evaluated Amount for Option

Year 3 CLIN + Total Evaluated Amount for Exhibit A Option Year 3) + (Option Year 4 = Total

Evaluated Amount for Option Year 4 CLIN + Total Evaluated Amount for Exhibit A Option

Year 4).

e. The Government will use various techniques and procedures described under FAR

15.404-1(b) as the primary means of assessing proposal reasonableness. The evaluation techniques described under FAR 15.404-1(c), as determined appropriate, may also be performed in further determining the reasonableness of the proposal.

f. The Contracting Officer has determined there is a high probability of adequate price competition in this acquisition. Upon examination of the initial offers, the Contracting Officer will review this determination and if, in the Contracting Officer’s opinion, adequate price competition exists, no additional cost/price information will be requested. However, if at any time during this competition the Contracting Officer determines that adequate price competition no longer exists, Offeror’s may be required to submit information to the extent necessary for the

Contracting Officer to determine the reasonableness of price.

g. An Offeror’s proposal may be rejected if the Contracting Officer determines the lack of realistic, balanced, or reasonable price information contained in any portion of an Offerors price proposal.

3. EVALUATING PAST PERFORMANCE:

a. Finally, the Past Performance Evaluation Team (PPET) will conduct the past performance evaluation on the three lowest priced technically acceptable offers. The PPET will primarily rely on information provided by Offeror’s completed Past Performance Questionnaires and/or from the Contractor Performance Assessment Reporting System (CPARS). However, the

Government may use information previously obtained from Past Performance Questionnaires or data independently obtained from other government and commercial sources in the evaluation process. In the event an Offeror submits a Past Performance Questionnaire and it is subsequently determined that the referenced project was formally evaluated in the CPARS, CPARS ratings shall take precedence.

b. First, each past performance reference shall undergo a recency determination. In order to be determined recency, the contract effort shall have been performed during the past three (3) years from the date of issuance of this solicitation.

c. Next, each recent past performance reference shall undergo a relevancy determination.

Relevant past performance is defined as contracts that required the Offeror to operate a supply store for resale using a similar complexity of effort as provided in the Statement of Work contained in this solicitation. At a minimum, previous efforts must have supported a multi-craft facility maintenance operation that provided building supplies, repair parts and system components to carpenters, electricians, heating, ventilation and air conditioning mechanics, plumbers, and entomologists. Total square footage of warehouse facilities supported must equal or exceed approximately 2,000 square feet with annual expenditures greater than $500,000.00 expended on a minimum of 500 separate and distinct commodities. A web-based system shall have been utilized for ordering, tracking orders and viewing order status.

d. In determining relevancy for individual contracts, consideration will be given to the effort, or portion of the effort, being proposed by the Offeror, joint ventures, subcontractors and/or teaming partners whose contract is being reviewed and evaluated. The following relevancy definitions apply:

(1) VERY RELEVANT: Present/past performance effort involved essentially the same scope and magnitude of effort and complexities this solicitation requires.

(2) RELEVANT: Present/Past performance effort involved similar scope and magnitude of effort and complexities this solicitation requires.

(3) SOMEWHAT RELEVANT: Present/past performance effort involved some of the scope and magnitude of effort and complexities this solicitation requires.

(4) NOT RELEVANT: Present/past performance effort involved little or none of the scope and magnitude of effort and complexities this solicitation requires.

e. A relevancy determination of the Offerors present and past performance, including joint ventures, subcontractors and/or teaming partners, will be made.

f. The Past Performance Evaluation will be accomplished by reviewing aspects of an

Offerors recent and relevant past performance.

g. As a result of an analysis of those positive and negative aspects indicators identified, each Offeror will receive an integrated Performance Confidence Assessment, which is the rating for the Past Performance factor. Although the past performance evaluation focuses on performance that is relevant to the Mission Capability Sub factors and price, the resulting

Performance Confidence Assessment is made at the Past Performance factor level and represents an overall evaluation of contractor performance. The purpose of the past performance evaluation is to allow the Government to assess the Offerors ability to perform the effort described in the solicitation, based on the…
