Provide with the proposal a letter from all subcontractors that will perform major or critical aspects of the requirement, consenting to the release of their past performance information to the prime Offeror.
j. If the Offeror claims there is no past performance, then that status must be identified to the Contracting Officer not later than the date/time proposals are due from all Offerors. Lack of any past performance will not automatically disqualify an Offeror, but it is a factor that is considered when assigning the confidence assessment described in 52.212-2.
k. Joint Venture/Teaming Arrangement. If applicable, Offerors must provide a consent letter executed by each teaming partner and/or joint venture partner authorizing release of past performance information so the Offeror can respond to such information. If a teaming arrangement is contemplated, Offerors must provide complete information as to the arrangement, including any relevant and recent past/present performance information on previous teaming arrangements with the same partner. If this is a first time joint effort, each party to the arrangement must provide a list of past and present relevant contracts.

52.212-2 EVALUATION--COMMERCIAL ITEMS (OCT 2014)
A. The Government will award a firm fixed price contract resulting from this solicitation to the responsible Offeror whose offer conforming to the solicitation will be most advantageous to the Government, price and other factors considered. This acquistion will utilize the Performance Price Tradeoff (PPT) process to make a best value award decision. The following factors shall be used to evaluate offers:
Part I – TECHNICAL CAPABILITY Part II – PRICE Part III – PAST PERFORMANCE *Past Performance is significantly more important than Price, however cost/price will contribute substantially to the selection decision.
B. Options. The Government will evaluate offers for award purposes by adding the total price for all options, including the optional 6 month extension of services, to the total price for the basic requirement. The Government may determine that an offer is unacceptable if the option prices are significantly unbalanced. Evaluation of options shall not obligate the Government to exercise the option(s). In the event the Government extends services under the authority of FAR 52.217-8, “Option to Extend Services”, unit pricing for the last option year exercised preceding the extension shall remain in effect. These prices are already determined to have been evaluated at time of contract award.
C. A written notice of award or acceptance of an offer, mailed or otherwise furnished to the successful Offeror within the time for acceptance specified in the offer, shall result in a binding contract without further action by either party. Before the offer’s specified expiration time, the Government may accept an offer (or part of an offer), whether or not there are negotiations after its receipt, unless a written notice of withdrawal is received before award.
Addendum to FAR 52.212-2:
BASIS FOR CONTRACT AWARD: This is a competitive best value source selection in which competing Offerors' Past Performance history will be evaluated as being significantly more important than cost or price; however cost/price will contribute substantially to the selection decision. This may result in an award to a higher rated, higher priced Offeror where the decision is consistent with the evaluation criteria. By submission of its offer, the Offeror accedes to all solicitation requirements, including terms and conditions, representations and certifications, and technical requirements. Failure to meet a requirement may result in an offer being determined unacceptable. The Government intends to award one contract. The Government seeks to award to the Offeror who in the Government’s estimation, provides the greatest overall benefit in response to the requirements. All such offers shall be treated equally except for their technical capability, prices and performance records. The evaluation process shall proceed as follows:
A. Evaluation Process:
1. Initially offers shall be considered for technical capability in accordance with the evaluation criteria described below in paragraph B.1..
2. Offers meeting technical capability will then be ranked according to price, including option prices.
3. The three lowest priced Offeror’s will then receive a performance confidence assessement in accordance with the evaluation criteria described below in paragraph B.2..
4. If none of the three lowest priced Offerors is judged to have a Substantial Confidence performance assessment, the next lowest priced Offeror will be evaluated and the process will continue (in order by price) until an Offeror is judged to have a Substantial Confidence performance assessment or until all Offerors are evaluated. The Source Selection Authority shall make an integrated assessment best value award decision if the lowest priced Offeror is not judged to have a Substantial Confidence performance assessment.
5. Prior to award, a responsibility determination will be made as described in FAR Part 9.
B. Evaluation Criteria:
1. TECHNICAL CAPABILITY:
a. First, the technical capability of all offers will be evaluated on an ACCEPTABLE / UNACCEPTABLE basis.
(1) ACCEPTABLE – Proposal clearly meets the minimum requirements of the solicitation.
(2) UNACCEPTABLE – Proposal does not clearly meet the minimum requirements of the solicitation.
b. Evaluators shall assign a rating of ACCEPTABLE / UNACCEPTABLE based on the minimum requirements stated below.
c. Sub-Factor 1 – Web-based On-Line Ordering System
1. CRITERIA: Offeror shall provide system access to demonstrate they have a web
-based on-line ordering system. Offerors shall provide 1 temporary login to allow evaluation.
2. MINIMUM STANDARD OF ACCEPTABILITY: The minimum standard is met when the following capabilities are demonstrated:
(A) Ability to provide user access to functionality via a web browser without requiring client software.
(B) Ability to view order history, live order tracking/status and modify/cancel.
(C) Ability to attach notes to the purchase order.
(D) Ability to delete purchase orders.
d. Sub-Factor 2 – Key Personnel
1. CRITERIA: Offeror shall provide information identifying the key personnel with a description of their work experience.
2. MINIMUM STANDARD OF ACCEPTABILITY: The minimum standard is met when the Offeror provides information for the following discipline:
(A) Project Manager. The individual’s name, title, duty, years of experience and experience level relating to similar contracts in size and scope. The narrative for the Project Manager must show a minimum of three (3) years’ experience relating to similar contracts in size and scope.
e. Those offers not meeting the minimum standard for acceptability will not be considered for award.
2. PRICE PROPOSAL:
a. Next, offers that are deemed technically acceptable shall be ranked according to price, including option prices. The Offerors price proposal will be submitted in a separate volume. No price information is to be included in the past performance sections of the proposal.
b. For award purposes, the Government will evaluate offers by the “total evaluated amount” (see para f.(1) below). The “total contract amount” (see para f.(2) below) consists of the total evaluated amount of the Base and Option Period CLINs of this solicitation. The total price of the Base Period, or an Option Period, is the sum of CLINs X001, X002, and X004 for the respective year. Offerors shall insert proposed prices in X001, X002, and X004. NOTE: Failure to include pricing in CLINS X001, X002 & X004, or any item in Exhibit A, shall deem the proposal unresponsive and the proposal will not be considered for award. The extended amounts for the base period, to include, all option periods and extension of services, will be added together for a total evaluated amount and will be used for the ranking of Offerors. Unit prices shall prevail in the event the extended price is calculated incorrectly. Each Offeror’s price proposal will be evaluated for completeness and reasonableness. Unrealistically low proposed costs/prices may be grounds for eliminating a proposal from competition either on the basis that either the Offeror does not understand the requirement or the Offeror has made an unrealistic proposal. Proposed unit prices of all priced CLINs and fixed price list items will be evaluated for unbalanced pricing
IAW FAR 15.404-1(g). Unbalanced pricing exists when, despite an acceptable total evaluated price, the price of one or more contract line items or sub-line item(s) appear to be significantly overstated or understated as indicated by the application of cost or price analysis techniques.
c. The Offeror shall submit complete pricing data for all items listed in Exhibit A – Fixed Price List; substitutions are not acceptable for any items for this evaluation. Insert proposed unit and extended prices in Exhibit A. The total for all extended line items for a given period will be the total price for X002 and shall be inserted as such on the SF 1449 for the applicable period. NOTE:
Failure to include pricing for any item in Exhibit A, or carrying that years’ total price to the respective CLIN X002, shall deem the proposal unresponsive and the proposal will not be considered for award.
d. Non-Priced Items, Not to Exceed (NTE) CLIN X003, for the base and all options will not be priced by the offeror and therefore will not be evaluated by the Government. Do NOT include a price in CLIN X003.
e. Proposed prices will become fixed prices on the contract. In the event the Government extends services under the authority of FAR 52.217-8, “Option to Extend Services”, unit pricing for the last option period exercised preceding the extension shall remain in effect. These prices are already determined to have been evaluated at time of contract award. Evaluation of options shall not obligate the Government to exercise the option(s).
f. Price evaluation will be conducted as follows:
(1) “Total Evaluated Amount” for Base Period and Option Period CLINs and Extension of Services (see note within this paragraph below): The CLINs, are all added together for an extended total price for that specific period. Example: Base period total = CLIN 0001 + 0002 + 0004; Option Period 1 total = CLIN 1001 + 1002 + 1004; etc.. NOTE: The Option to Extend Services Clause 52.217-8 will also be evaluated for the Offerors’ proposed prices. The 52.217-8 Extension of Services will be added/calculated to the Offeror’s price proposal. Example: Total Evaluated Amount for Extension of Services = CLIN 5001 monthly rate X 6 + CLIN 5002 +
CLIN 5004.
(2) “Total Contract Amount” is: (Base Period = Total Evaluated Amount for Base Period) + (Option Period 1 = Total Evaluated Amount for Option Period 1) + (Option Period 2 = Total Evaluated Amount for Option Period 2) + (Option Period 3 = Total Evaluated Amount for Option Period 3 CLIN) + (Option Period 4 = Total Evaluated Amount for Option Period 4 CLIN) + (Option Period 5 = Total Evaluated Amount for Option Period 5 CLIN).
g. The Government will use various techniques and procedures described under FAR 15.404-1(b) as the primary means of assessing proposal reasonableness. The evaluation techniques described under FAR 15.404-1(c), as determined appropriate, may also be performed in further determining the reasonableness of the proposal.
h. The Contracting Officer has determined there is a high probability of adequate price competition in this acquisition. Upon examination of the initial offers, the Contracting Officer will review this determination and if, in the Contracting Officer’s opinion, adequate price competition exists, no additional cost/price information will be requested. However, if at any time during this competition the Contracting Officer determines that adequate price competition no longer exists, Offeror’s may be required to submit information to the extent necessary for the Contracting Officer to determine the reasonableness of price.
i. An Offeror’s proposal may be rejected if the Contracting Officer determines the lack of realistic, balanced, or reasonable price information contained in any portion of an Offerors price proposal.
3. EVALUATING PAST PERFORMANCE:
a. Finally, the Past Performance Evaluation Team (PPET) will conduct the past performance evaluation on the three lowest priced technically acceptable offers. The PPET will primarily rely on information provided by Offeror’s completed Past Performance Questionnaires and/or from the Contractor Performance Assessment Reporting System (CPARS). However, the Government may use information previously obtained from Past Performance Questionnaires or data independently obtained from other government and commercial sources in the evaluation process. In the event an Offeror submits a Past Performance Questionnaire and it is subsequently determined that the referenced project was formally evaluated in the CPARS, CPARS ratings shall take precedence.
b. First, each past performance reference shall undergo a recency determination. In order to be determined recency, the contract effort shall have been performed during the past three (3) years from the date of issuance of this solicitation.
c. Next, each recent past performance reference shall undergo a relevancy determination.
Relevant past performance is defined as contracts that required the Offeror to operate a supply store for resale using a similar complexity of effort as provided in the Statement of Work contained in this solicitation. At a minimum, previous efforts must have supported a multi-craft facility maintenance operation that provided building supplies, repair parts and system components to carpenters, electricians, heating, ventilation and air conditioning mechanics, plumbers, and entomologists. Total square footage of warehouse facilities supported must equal or exceed approximately 2,000 square feet with annual expenditures greater than $500,000.00 expended on a minimum of 500 separate and distinct commodities. A web-based system shall have been utilized for ordering, tracking orders and viewing order status.
d. In determining relevancy for individual contracts, consideration will be given to the effort, or portion of the effort, being proposed by the Offeror, joint ventures, subcontractors and/or teaming partners whose contract is being reviewed and evaluated. The following relevancy definitions apply:
(1) VERY RELEVANT: Present/past performance effort involved essentially the same scope and magnitude of effort and complexities this solicitation requires.
(2) RELEVANT: Present/Past performance effort involved similar scope and magnitude of effort and complexities this solicitation requires.
(3) SOMEWHAT RELEVANT: Present/past performance effort involved some of the scope and magnitude of effort and complexities this solicitation requires.
(4) NOT RELEVANT: Present/past performance effort involved little or none of the scope and magnitude of effort and complexities this solicitation requires.
e. A relevancy determination of the Offerors present and past performance, including joint ventures, subcontractors and/or teaming partners, will be made.
f. The Past Performance Evaluation will be accomplished by reviewing aspects of an Offerors recent and relevant past performance.
g. As a result of an analysis of those positive and negative aspects indicators identified, each Offeror will receive an integrated Performance Confidence Assessment, which is the rating for the Past Performance factor. Although the past performance evaluation focuses on performance that is relevant to the Mission Capability Sub factors and price, the resulting Performance Confidence Assessment is made at the Past Performance factor level and represents an overall evaluation of contractor performance. The purpose of the past performance evaluation is to allow the Government to assess the Offerors ability to perform the effort described in the solicitation, based on the Offerors demonstrated past performance.
h. When relevant performance record indicates performance problems, the Government will consider the number and severity of the problems and the appropriateness and effectiveness of any corrective actions taken (not just planned or promised). The Government may review more recent contracts or performance evaluations to ensure corrective actions have been implemented and to evaluate their effectiveness.
i. The assessment process will result in an overall performance confidence assessment rating of Substantial Confidence, Satisfactory Confidence, Limited Confidence, No Confidence, or Unknown Confidence as defined in DOD Source Selection Procedures, Table 5. The three Offerors that have the lowest pricing and are considered technically acceptable will receive one of the ratings described below for the Past Performance factor.
TABLE 1 - PERFORMANCE CONFIDENCE ASSESSMENTS
Rating Description
Substantial Confidence Based on the Offerors performance record, the Government has a high expectation that the Offeror will successfully perform the required effort.
Satisfactory Confidence Based on the Offerors performance record, the Government has an expectation that the Offeror will successfully perform the required effort.
Limited Confidence Based on the Offerors performance record, the Government has a low expectation that the Offeror will successfully perform the required effort.
No Confidence Based on the Offerors performance record, the Government has no expectation that the Offeror will be able to successfully perform the required effort.
Unknown Confidence No performance record is identifiable or the Offerors performance record is so sparse that no confidence assessment rating can be reasonably assigned.
j. The Government reserves the right to seek information on higher priced Offerors if none of the lower priced Offerors receive a “Substantial Confidence” performance assessment rating. Past performance regarding minor members of joint ventures or teaming arrangements will be considered as highly as the majority member of those arrangements. Offerors with no relevant past or present performance history or the Offerors performance record is so limited that no confidence assessment rating can be reasonably assigned shall receive the rating “Unknown Confidence”, meaning the rating is treated neither favorably nor unfavorably.
k. If none of the three lowest priced Offerors is judged to have a “Substantial Confidence” performance assessment rating, the next lowest priced Offeror will be evaluated and the process will continue (in order by price) until an Offeror is judged to have a “Substantial Confidence” performance assessment rating or until all Offerors are evaluated. Then, the Government will perform an integrated assessment of the Offerors to determine the best value to the Government.
The Government reserves the right to award a contract to other than the lowest priced Offeror if the lowest priced Offeror is judged to have a performance confidence assessment of other than “Substantial Confidence”. In that event, the Source Selection Authority shall make an integrated assessment best value award decision.
l. Offerors are cautioned to submit sufficient information and in the format specified in 52.212-1. Offerors may be asked to clarify certain aspects of their proposal (for example, the relevance of past performance information) or respond to adverse past performance information to which the Offeror has not previously had an opportunity to respond. Adverse past performance is defined as past performance information that supports a less than satisfactory rating on any evaluation element or any unfavorable comments received from sources without a formal rating system. Communication conducted to resolve minor or clerical errors will not constitute discussions and the Contracting Officer reserves the right to award a contract without the opportunity for proposal revision.
m. The Government intends to award a contract without discussions with respective Offerors. Therefore, the Offeror’s initial offer should contain that Offeror’s best terms from a price and technical standpoint. The Government, however, reserves the right to conduct discussions if deemed in its best interest. Prior to discussions, a competitive range may be established and the Offerors within the competitive range will be part of the discussions. The Contracting Officer may limit the number of proposals in the competitive range to the greatest number that will permit an efficient competition among the most highly rated proposals.
n. A written notice of award or acceptance of an Offer mailed or otherwise furnished to the successful Offeror within the time for acceptance specified in the offer, shall result in a binding contract without further action by either party. Before the offer's specified expiration time, the Government may accept an offer (or part of an offer), whether or not there are negotiations after its receipt, unless a written notice of withdrawal is received before award.
