Contract Clauses

Miscellaneous text in this section has been modified to:

252.232-7007 LIMITATION OF GOVERNMENT S OBLIGATION (APR 2014)

(a) Contract line item(s) [Contracting Officer insert upon award] is/are incrementally funded. For this/these item (s), the sum of $ [Contracting Officer insert upon award] of the total price is presently available for payment and allotted to this contract. An allotment schedule is set forth in paragraph (j) of this clause.

(b) For item(s) identified in paragraph (a) of this clause, the Contractor agrees to perform up to the point at which the total amount payable by the Government, including reimbursement in the event of termination of those item(s) for the Government s convenience, approximates the total amount currently allotted to the contract. The Contractor is not authorized to continue work on those item(s) beyond that point. The Government will not be obligated in any event to reimburse the Contractor in excess of the amount allotted to the contract for those item(s) regardless of anything to the contrary in the clause entitled Termination for Convenience of the Government. As used in this clause, the total amount payable by the Government in the event of termination of applicable contract line item(s) for convenience includes costs, profit, and estimated termination settlement costs for those item(s).

(c) Notwithstanding the dates specified in the allotment schedule in paragraph (j) of this clause, the Contractor will notify the Contracting Officer in writing at least ninety days prior to the date when, in the Contractor s best judgment, the work will reach the point at which the total amount payable by the Government, including any cost for termination for convenience, will approximate 85 percent of the total amount then allotted to the contract for performance of the applicable item(s). The notification will state (1) the estimated date when that point will be reached and (2) an estimate of additional funding, if any, needed to continue performance of applicable line items up to the next scheduled date for allotment of funds identified in paragraph (j) of this clause, or to a mutually agreed upon substitute date. The notification will also advise the Contracting Officer of the estimated amount of additional funds that will be required for the timely performance of the item(s) funded

FA460020Q00070001

pursuant to this clause, for a subsequent period as may be specified in the allotment schedule in paragraph (j) of this clause or otherwise agreed to by the parties. If after such notification additional funds are not allotted by the date identified in the Contractor s notification, or by an agreed substitute date, the Contracting Officer will terminate any item(s) for which additional funds have not been allotted, pursuant to the clause of this contract entitled Termination for Convenience of the Government.

(d) When additional funds are allotted for continued performance of the contract line item(s) identified in paragraph (a) of this clause, the parties will agree as to the period of contract performance which will be covered by the funds. The provisions of paragraphs (b) through (d) of this clause will apply in like manner to the additional allotted funds and agreed substitute date, and the contract will be modified accordingly.

(e) If, solely by reason of failure of the Government to allot additional funds, by the dates indicated below, in amounts sufficient for timely performance of the contract line item(s) identified in paragraph (a) of this clause, the Contractor incurs additional costs or is delayed in the performance of the work under this contract and if additional funds are allotted, an equitable adjustment will be made in the price or prices (including appropriate target, billing, and ceiling prices where applicable) of the item(s), or in the time of delivery, or both. Failure to agree to any such equitable adjustment hereunder will be a dispute concerning a question of fact within the meaning of the clause entitled Disputes.

(f) The Government may at any time prior to termination allot additional funds for the performance of the contract line item(s) identified in paragraph (a) of this clause.

(g) The termination provisions of this clause do not limit the rights of the Government under the clause entitled Default. The provisions of this clause are limited to the work and allotment of funds for the contract line item(s) set forth in paragraph (a) of this clause. This clause no longer applies once the contract is fully funded except with regard to the rights or obligations of the parties concerning equitable adjustments negotiated under paragraphs (d) and (e) of this clause.

(h) Nothing in this clause affects the right of the Government to terminate this contract pursuant to the clause of this contract entitled Termination for Convenience of the Government.

(i) Nothing in this clause shall be construed as authorization of voluntary services whose acceptance is otherwise prohibited under 31 U.S.C. 1342.

(j) The parties contemplate that the Government will allot funds to this contract in accordance with the following schedule:

On execution of contract: $ ________ (month) (day), (year): $ ________ (month) (day), (year): $ ________ (month) (day), (year): $ ________

(End of clause) 52.217-8 Option to Extend Services (Nov 1999)

The Government may require continued performance of any services within the limits and at the rates specified in the contract. These rates may be adjusted only as a result of revisions to prevailing labor rates provided by the Secretary of Labor. The option provision may be exercised more than once, but the total extension of performance hereunder shall not exceed 6 months. The Contracting Officer may exercise the option by written notice to the Contractor within 15 days.

(End of clause)

52.217-5 Evaluation of Options (July 1990)

Except when it is determined in accordance with FAR 17.206(b) not to be in the Government's best interests, the Government will evaluate offers for award purposes by adding the total price for all options to the total price for the basic requirement. Evaluation of options will not obligate the Government to exercise the option(s).

(End of provision)

252.225-7974 REPRESENTATION REGARDING BUSINESS OPERATIONS WITH THE MADURO

REGIME (DEVIATION 2020-O0005) (FEB 2020)

(a) Definitions. As used in this provision-- "Agency or instrumentality of the government of Venezuela" means an agency or instrumentality of a foreign state as defined in section 28 U.S.C. 1603(b), with each reference in such section to "a foreign state" deemed to be a reference to "Venezuela." "Business operations" means engaging in commerce in any form, including acquiring, developing, maintaining, owning, selling, possessing, leasing, or operating equipment, facilities, personnel, products, services, personal property, real property, or any other apparatus of business or commerce.

"Government of Venezuela" means the government of any political subdivision of Venezuela, and any agency or instrumentality of the government of Venezuela.

"Person" means--

(1) A natural person, corporation, company, business association, partnership, society, trust, or any other nongovernmental entity, organization, or group;

(2) Any governmental entity or instrumentality of a government, including a multilateral development institution (as defined in section 1701(c)(3) of the International Financial Institutions Act (22 U.S.C. 262r(c) (3)); and

(3) Any successor, subunit, parent entity, or subsidiary of, or any entity under common ownership or control with, any entity described in paragraphs (1) or (2) of this definition.

(b) Prohibition. In accordance with section 890 of the National Defense Authorization Act for Fiscal Year 2020 (Pub. L. 116-92), contracting officers are prohibited from entering into a contract for the procurement of products or services with any person that has business operations with an authority of the government of Venezuela that is not recognized as the legitimate government of Venezuela by the United States Government, unless the person has a valid license to operate in Venezuela issued by the Office of Foreign Assets Control of the Department of the Treasury.

(c) Representation. By submission of its offer, the Offeror represents that the Offeror-- (1) Does not have any business operations with an authority of the Maduro regime or the government of Venezuela that is not recognized as the legitimate government of Venezuela by the United States Government; or

(2) Has a valid license to operate in Venezuela issued by the Office of Foreign Assets Control of the Department of the Treasury.

(End of provision)

52.222-52 Exemption from Application of the Service Contract Labor Standards to Contracts for Certain Services-Certification (May 2014)

(a) The offeror shall check the following certification:

Certification

The offeror does/ does not certify that-

(1) The services under the contract are offered and sold regularly to non-Governmental customers, and are provided by the offeror (or subcontractor in the case of an exempt subcontract) to the general public in substantial quantities in the course of normal business operations;

(2) The contract services are furnished at prices that are, or are based on, established catalog or market prices.

An "established catalog price" is a price included in a catalog, price list, schedule, or other form that is regularly maintained by the manufacturer or the offeror, is either published or otherwise available for inspection by customers, and states prices at which sales currently, or were last, made to a significant number of buyers constituting the general public. An "established market price" is a current price, established in the usual course of ordinary and usual trade between buyers and sellers free to bargain, which can be substantiated from sources independent of the manufacturer or offeror;

(3) Each service employee who will perform the services under the contract will spend only a small portion of his or her time (a monthly average of less than 20 percent of the available hours on an annualized basis, or less than 20 percent of available hours during the contract period if the contract period is less than a month) servicing the Government contract; and

(4) The offeror uses the same compensation (wage and fringe benefits) plan for all service employees performing work under the contract as the offeror uses for these employees and for equivalent employees servicing commercial customers.

(b) Certification by the offeror as to its compliance with respect to the contract also constitutes its certification as to compliance by its subcontractor if it subcontracts out the exempt services. If the offeror certifies to the conditions in paragraph (a) of this provision, and the Contracting Officer determines in accordance with FAR 22.1003-4(d)(3) that the Service Contract Labor Standards statute-

(1) Will not apply to this offeror, then the Service Contract Labor Standards clause in this solicitation will not be included in any resultant contract to this offeror; or

(2) Will apply to this offeror, then the clause at FAR 52.222-53, Exemption from Application of the Service Contract Labor Standards to Contracts for Certain Services-Requirements, in this solicitation will not be included in any resultant contract awarded to this offer, and the offeror may be provided an opportunity to submit a new offer on that basis.

(c)If the offeror does not certify to the conditions in paragraph (a) of this provision-

(1) The clause of this solicitation at 52.222-53, Exemption from Application of the Service Contract Labor Standards to Contracts for Certain Services-Requirements, will not be included in any resultant contract to this offeror; and

(2) The offeror shall notify the Contracting Officer as soon as possible if the Contracting Officer did not attach a Service Contract Labor Standards wage determination to the solicitation.

(d) The Contracting Officer may not make an award to the offeror, if the offeror fails to execute the certification in paragraph (a) of this provision or to contact the Contracting Officer as required in paragraph (c) of this provision.

(End of provision) 52.222-22 Previous Contracts and Compliance Reports (Feb 1999)

The offeror represents that-

It has, has not participated in a previous contract or subcontract subject to the Equal Opportunity clause of this solicitation;

It has, has not filed all required compliance reports; and

Representations indicating submission of required compliance reports, signed by proposed subcontractors, will be obtained before subcontract awards.

(End of provision) 52.212-2 Evaluation-Commercial Items (Oct 2014)

(a) The Government will award a contract resulting from this solicitation to the responsible offeror whose offer conforming to the solicitation will be most advantageous to the Government, price and other factors considered.

The following factors shall be used to evaluate offers:

Technical Capability Price

Technical performance is more important compared to price.

(b) Options. The Government will evaluate offers for award purposes by adding the total price for all options to the total price for the basic requirement. The Government may determine that an offer is unacceptable if the option prices are significantly unbalanced. Evaluation of options shall not obligate the Government to exercise the option(s).

(c)A written notice of award or acceptance of an offer, mailed or otherwise furnished to the successful offeror within the time for acceptance specified in the offer, shall result in a binding contract without further action by either party. Before the offer's specified expiration time, the Government may accept an offer (or part of an offer), whether or not there are negotiations after its receipt, unless a written notice of withdrawal is received before award.

The Vendor shall provide an outline of its proposed curriculum in accordance with 1.6 of the PWS.

2.5.2. INTEGRATION IMPLEMENTATION PLAN

The Vendor shall describe its approach to ensure the entire program is integrated and provides continuity both between the modules, courses, lessons, classes, events and session professors rather than just a series of individual stand-alone sessions.

2.5.3. INSTRUCTIONAL TECHNIQUES

The Vendor shall describe its instructional techniques to effectively deliver the proposed curriculum.

2.5.4. PROFESSIONAL EDUCATION PHILOSOPHY

The Vendor shall describe its philosophy and approach to professional, graduate-level education and outline the benefits which can be expected to accrue to the participants for each module of instruction.

3. VOLUME II - PRICE

All price information shall be addressed within the price volume only. All vendors shall complete and submit, Attachment 1, Strategic Leadership Fellows Program Pricing Model (Excel spreadsheet), for all CLINs. Each vendor's quote shall represent its best efforts to respond to the Strategic Leadership Fellows Program requirements. Proving the credibility of proposed price rests with the vendor. Any inconsistency between proposed performance and price shall be explained in the quote. For example, if unique and innovative approaches are the basis for the estimate, the nature of these approaches and their impact on price must be explained. A significant inconsistency, if unexplained, may raise a question of the vendor's understanding of the nature and scope of the work required and its ability to perform within the proposed price constraints, which may cause the quote to be rejected. The information requested in the quote is required to enable the Government to determine if all proposed CLINs are fair and reasonable.

3.1. CLIN STRUCTURE

Table 3 provides the CLIN Structure and CLIN Type.

Table 3: CLIN STRUCTURE CLIN --- Description --- Type --- Price X001 --- Labor --- FFP --- Contractor Proposed X002 --- Tuition and Fees --- FFP --- Contractor Proposed X003 --- Supplies --- FFP --- Contractor Proposed X004 --- Data - CDRLs --- NSP --- Government Populated $0.00

The total evaluated price will be inclusive of all CLINs for the base period and all option periods. The Government will evaluate whether the total evaluated price is fair and reasonable.

4. VOLUME III - CONTRACT DOCUMENTATION

4.1. CONTRACT DOCUMENTS

The purpose of this volume is to provide information to the Government for preparing the contract document and supporting file(s). The vendor's Contract Documentation volume shall include the vendor's representations and certifications or provide notice that these are available electronically via the System for Award Management (SAM) website, applicable Attachments, and any other data the vendor chooses to bring to the attention of the Contracting Officer.

4.2. EXCEPTIONS OR ASSUMPTIONS TO TERMS AND CONDITIONS

Since the Government reserves the right to award without interchanges, vendors are advised that they run the risk of their quote being found unawardable as a result of exceptions to solicitation requirements. Clarification of Government requirements and any vendor assumptions should be handled by submitting a question /recommended change prior to quote submission. The question/recommendation will be posted to betaSAM as written. Do not include any proprietary information in the question/recommendation. All assumptions /clarifications must be finalized prior to quote submission date outlined in Table 2. If the vendor still finds it necessary to take exception to any of the requirements specified in this solicitation, clearly indicate each exception in the appropriate volume along with a complete explanation of why the exception was taken and what benefit accrues to the Government. Provide a consolidated list of all exceptions and assumptions in the Contract Documentation Volume. All exceptions to the solicitation requirements (and all Attachments) and supporting rationale shall be identified as such and consolidated into an overview section of the subject volume.

An overview section is only required if the vendor takes exception to any requirement in the solicitation. The overview section will not be included in the quote page limitation described above.

The Government may reject services as non-conforming technically if exceptions/assumptions are taken.

4.3. OTHER QUOTE INFORMATION

The vendor must submit information required by these instructions. Failure to provide the information may result in the vendor being removed from consideration for award. Also provide company/division's street address, county and facility code; CAGE code; DUNS code; size of business; and labor surplus area designation. This same information must be provided if the work for this contract will be performed at any other location(s). List all locations where work is to be performed and indicate whether such facility is a division, affiliate, or subcontractor, and the percentage of work to be performed at each location.

Addendum to 52.212-2 - Evaluation Factors for Award

1. BASIS FOR AWARD

The Government contemplates award of a single award contract resulting from this solicitation. This is a Lowest Price Technically Acceptable (LPTA) source selection conducted in accordance with Federal Acquisition Regulation (FAR) 13, Simplified Acquisition Procedures, as supplemented by the Defense Federal Acquisition Regulation Supplement (DFARS) and the Air Force Federal Acquisition Regulation Supplement (AFFARS).

These regulations are available electronically at the Air Force (AF) FARSite, https://www.acquisition.gov. The Government will select the quote with the lowest evaluated price and for which all non-price factors are rated as Acceptable in accordance with established criteria in the solicitation. Contract may be awarded to the vendor who is deemed responsible in accordance with the FAR Part 9.1, as supplemented, whose quote conforms to the solicitation's requirements (to include all stated terms, conditions, representations, certifications, and all other information required by the 52.212-1 of this solicitation) and is judged, based on the evaluation factors and subfactors, to represent the lowest price technically acceptable. While the Government will strive for maximum objectivity, the source selection process, by its nature, is subjective; and therefore, professional judgment is implicit throughout the entire process.

1.1. AWARD WITHOUT INTERCHANGES

IAW with FAR 52.215-1, the Government intends to evaluate quotes and award a contract without interchanges with vendors.

1.2. INTERCHANGES

Interchanges allow the Government to exchange information with a Vendor and may address all aspects of the quotation: technical, cost/price, past performance, contract documentation and/or any other matter in the evaluation process. The Government may conduct Interchanges with one, some, none or all Vendors at its discretion. Interchanges will include issuance of Interchange Notices (INs).

1.3. SOLICITATION REQUIREMENTS, TERMS AND CONDITIONS

Vendors are required to meet all solicitation requirements, such as terms and conditions, representations and certifications, and technical requirements, in addition to those identified as factors or subfactors. Failure to comply with the terms and conditions of the solicitation may result in the vendor being ineligible for award.

Vendors must clearly identify any exception to the solicitation terms and conditions and must provide complete supporting rationale. The Government reserves the right to determine any such exceptions unacceptable.

2. EVALUATION FACTORS

Evaluation Factors and Subfactors The following evaluation factors and subfactors will be used to evaluate each quote. The Government will evaluate quotes for acceptability, but will not rank the quotes by the non-price factors or subfactors.

Factor 1: Technical Subfactor 1: Accredited College or University with Local Facilities Subfactor 2: Qualifications of Faculty and Key Personnel Subfactor 3: High Level Curriculum Overview

Factor 2: Price

The Government will:

1) Arrange all quotes by total price from lowest to highest.

3) Evaluate price of the quotes rated acceptable in technical.

4) Award will be made to the lowest priced technically acceptable quote.

3. EVALUATION PROCEDURES FOR EACH FACTOR

3.1. FACTOR 1: TECHNICAL FACTOR

The Government's technical evaluation team shall evaluate the technical quotes on an acceptable or unacceptable basis, assigning one of the ratings described below for each subfactor. All elements under each subfactor must be met for a subfactor to be acceptable. Any subfactor evaluated as "Unacceptable" will render the entire quote unacceptable and, therefore, unawardable. Only those quotes determined to be technically acceptable, either initially or as a result of interchanges, will be considered for award. However, the vendor is reminded that the Government reserves the right to award this effort based on the initial quote, as received, without interchanges.
