INSTRUCTIONS TO OFFERORS – COMMERCIAL ITEMS

SOLICITATION PROVISIONS ADDENDUM

Addendum to 52.212-1(c), Period for Acceptance of Offers. The paragraph is tailored as follows: ―The offeror agrees to hold the prices in its offer firm through 30 Sep 2012.‖

ADDENDA TO 52.212-1, PROPOSAL PREPARATION INSTRUCTIONS

A. To assure timely and equitable evaluation of the proposal, the offeror must follow the instructions contained herein. The proposal must be complete, self-sufficient, and respond directly to the requirements of this solicitation.

The response shall consist of three (3) separate parts; Part I – Price Proposal, Part II – Technical Proposal, and

Part III – Past Performance Information.

B. The contracting officer has determined there is a high probability of adequate price competition in this acquisition. Upon examination of the initial offers, the contracting officer will review this determination and if, in the contracting officer's opinion, adequate price competition exists no additional data will be requested and certification under FAR 15.406-2 will not be required. However, if at any time during this competition the contracting officer determines that adequate price competition no longer exists; offerors may be required to submit cost data to the extent necessary for the contracting officer to determine the reasonableness and affordability of the price.

C. Specific Instructions:

1. PART I – PRICE PROPOSAL - Submit original and one (1) copy

a) Complete Blocks 12, 17a, and 30a, b, and c of the SF 1449. In doing so, the offeror accedes to the contract terms and conditions as written in the SOLICITATION, with attachments. The SOLICITATION constitutes the model contract.

b) Insert proposed unit and extended prices in the Pricing Schedule. The extended amount must equal the whole dollar unit price multiplied by the number of units. The proposal must be submitted for a base period plus four (4) Option Years and a 9-month option period.

c) Complete the necessary fill-ins and certifications in provisions. The provisions FAR 52.212-3, Offeror

Representations and Certifications – Commercial Items, shall be returned along with the proposal.

2. PART II – TECHNICAL PROPOSAL. Limited to no more than 25 pages. Submit original plus three (3) copies.

a) Subfactor – Qualified Personnel: IAW AFFARS 5352.215-9000, Facility Clearance, the offeror must possess, or acquire prior to commencement of work against a contract, a facility clearance equal to the highest classification stated on the Contract Security Classification Specification (DD Form 254) attached to this solicitation. The offeror shall demonstrate that all personnel provided for this effort will meet all security requirements shown in paragraph 4.6 of the Performance Work Statement.

3. PART III – PAST PERFORMANCE INFORMATION. Only references for relevant contracts are desired. Submit original and two (2) copies. Limited to no more than five (5) pages per contract listed.

a) Quality and Satisfaction Rating for Contracts Completed in the Past Three Years: Provide any information currently available (letters, metrics, customer surveys, independent surveys, etc.) which demonstrates customer file://dkgfns20vdm1/628CONS_Flight_Files$/LGCA/2%20%20%20New%20Requirements/New%20Solicitations/12-R-0003%20SPAWAR%20Fac%20Mx/B%20Pre-Solicitation%20Documents/AppData/Local/Microsoft/Windows/Temporary%20Internet%20Files/Content.Outlook/far/FAR15.DOC%23b154062 satisfaction with overall job performance and quality of completed product for relevant past efforts/contracts

(similar in scope and magnitude of effort and complexities this solicitation requires). In addition, explain corrective actions taken in the past, if any, for substandard performance and any current performance problems such as cost overruns, extended performance periods, numerous warranty calls, etc.

b) Past Performance Surveys: The Government will evaluate the quality and extent of offeror’s experience deemed relevant to the requirements of this solicitation. The Government will use information submitted by the offeror and other sources such as other Federal Government offices and commercial sources, to assess experience. Provide a list of no more than five (5) contracts, performed for Federal Agencies and commercial customers that have been performed within the last three (3) years. Relevant contracts include, but are not limited to, those contracts where Facilities Maintenance Support Services (HVAC, Plumbing, Electrical, and

General Facilities Maintenance) are relevant to the Joint Base Charleston Performance Work Statement (PWS).

Relevancy includes the management of facilities maintenance of multiple facilities that includes processing of work orders, assigning priorities, and demonstrating experience with those repairs identified in paragraph 1, Description of Services. The evaluation of past performance information will take into account past performance information regarding predecessor companies, key personnel who have relevant experience, or subcontractors that will perform major or critical aspects of the requirement when such information is relevant to the instant acquisition. Furnish the following information for each contract referenced:

i. Company/ Contracting Agency name

ii. Service

iii. Contract Number

iv. Contract Type (e.g. firm fixed price, time & material, etc.)

v. Period of performance.

vi. Contract Dollar Amount (Initial, final and an explanation of the difference).

vii. Verified, up-to-date, names, address, telephone and Fax number of the Contracting Officer.

viii. Contracting Officers Representative’s name, address, telephone & Fax numbers.

ix. Types and number of personnel

x. Brief Summary of the Requirements.

xi. Problems encountered and their resolutions.

If a teaming arrangement is contemplated, provide complete information as to the arrangement, including any relevant and recent past performance information on previous teaming arrangements with same partner. If this is a first time joint effort, each party to the arrangement must provide a list of past relevant contracts.

c. Subcontractor Consent: Past performance information pertaining to a subcontractor cannot be disclosed to the prime offeror without the subcontractor’s consent. Provide with the proposal a letter from all subcontractors that will perform major or critical aspects of the requirement, consenting to the release of their past performance information to the prime contractor.

d. Documents submitted in response to this solicitation must be fully responsive to and consistent with the following:

1. Requirements of the solicitation (Item Numbers) and Performance Work Statement (PWS), and government standards and regulations pertaining to the PWS.

2. Evaluation Factors for Award.

EVALUATION – COMMERCIAL ITEMS

SOLICITATION PROVISIONS ADDENDUM

BASIS FOR CONTRACT AWARD: This is a competitive best value source selection in which competing offerors' technical and past performance history will be evaluated on a basis significantly more important than cost or price considerations. By submission of its offer, the offeror accedes to all solicitation requirements, including terms and conditions, representations and certifications, and technical requirements, in addition to those identified as evaluation factors or subfactors. All technically acceptable offers shall be treated equally except for their prices and performance records. Failure to meet a requirement may result in an offer being determined technically unacceptable. Offerors must clearly identify any exception to the solicitation terms and conditions and provide complete accompanying rationale. The evaluation process shall proceed as follows:

A. Technical Acceptability. Initially, the government technical evaluation team shall evaluate the technical proposals on a pass/fail basis, assigning ratings of Acceptable or Unacceptable. The proposals shall be evaluated against the following subfactors:

1. Qualified Personnel: IAW AFFARS 5352.215-9000, Facility Clearance, the offeror must possess, or acquire prior to commence of work against a contract, a facility clearance equal to the highest classification stated on the Contract Security Classification Specification (DD Form 254) attached to this solicitation. The offeror shall demonstrate that all personnel provided for this effort will meet all security requirements shown in paragraph 4.6 of the Performance Work Statement.

B. Price Evaluation. Next, the government shall rank all technically Acceptable offers by price, including any option prices if applicable. An offeror’s proposed prices will be determined by multiplying the quantities identified in Section B by the proposed unit price for each Contract Line Item Number or Subcontract Line Item Number to confirm the extended amount for each. The price evaluation will document reasonableness and affordability of the proposed total evaluated price.

C. Performance Confidence Assessment. The contracting officer shall seek recent and relevant performance information on offerors based on (1) the past efforts provided by the offeror and (2) data independently obtained from other Government and commercial sources.

D. Relevant performance includes performance of efforts involving Facilities Maintenance Support Services

(HVAC, Plumbing, Electrical, and General Facilities Maintenance) that involved similar scope and magnitude of effort and complexities this solicitation requires. The purpose of the past performance evaluation is to allow the government to assess the offeror’s probability of meeting the solicitation requirements based on the offeror’s demonstrated past performance. The assessment process will result in an overall performance confidence assessment of Substantial Confidence, Satisfactory Confidence, Limited Confidence, No Confidence, or Unknown Confidence as defined below. Past performance regarding predecessor companies, key personnel who have relevant experience, or subcontractors that will perform major or critical aspects of the requirement will not be rated as highly as past performance information for the principal offeror. Offerors with no recent/relevant performance history or if the offeror’s performance record is so sparse that no meaningful confidence assessment rating can be reasonably assigned shall receive the rating "Unknown Confidence," meaning the rating is treated neither favorably nor unfavorably (neutral).

E. In evaluating past performance, the Government reserves the right to give greater consideration to information on those contracts deemed most relevant to the effort described in this RFP.

F. If the lowest priced evaluated technically acceptable offer is judged to have a ―Substantial Confidence‖ performance confidence assessment, that offer represents the best value for the government and the evaluation process stops at this point. Award shall be made to that offeror without further consideration of any other offers.

G. If the lowest priced offeror is not judged to have a ―Substantial Confidence‖ performance confidence assessment, the next lowest priced offeror will be evaluated and the process will continue (in order by price) until an offeror is judged to have a ―Substantial Confidence‖ performance assessment or until all offerors are evaluated. The Source

Selection Authority shall then make an integrated assessment best value award decision.

H. Offerors are cautioned to submit sufficient information and in the format specified in 52.212-1, Instruction to

Offerors. Offeror’s may be asked to clarify certain aspects of their proposal (for example, the relevance of past performance information) or respond to adverse past performance information to which the offeror has not previously had an opportunity to respond. CONTRACT TERMS AND CONDITIONS

COMMERCIAL ITEMS

The following additions/changes are made to FAR Clause 52.212-4, which is incorporated by reference:

1. REQUIRED INSURANCE (IAW FAR 28.306(b))

Reference FAR clause 52.228-5 entitled ―Insurance – Work on a Government Installation.‖ The Contractor shall, at its own expense, procure and thereafter maintain the following kinds of insurance with respect to performance under the contract.

a. Workmen’ s Compensation and Employers Liability Insurance as required by law except that if this contract is to be performed in State which does not require or permit private insurance, then compliance with the statutory or administrative requirements in any such State will be satisfactory. The required Workmen’ s

Compensation insurance shall extend to cover employer’ s liability for accidental bodily injury or death and for occupational disease with a minimum liability limit of $100,000.

b. General Liability Insurance. Bodily injury liability insurance, in the minimum limits of $500,000 per occurrence shall be required on the comprehensive form of policy.

c. Automobile Liability Insurance. This insurance shall be required on the comprehensive form of policy and shall provide bodily injury liability and property damage liability covering the operation of all automobiles used in connection with the performance of the contract. At least the minimum limits of $200,000 per person and

$500,000 per occurrence for bodily injury and $20,000 per occurrence for property damage shall be required.

2. TASK ORDERS. Funding for work under this contract will be placed on task orders utilizing the negotiated price schedule.

3. BUSINESS LICENSE TAX - SOUTH CAROLINA. In accordance with Contract Clause entitled, "Federal, State and Local Taxes" dated APR 2003/FAR 52.229-3 incorporated by reference, be advised that the Cities of

North Charleston, South Carolina and/or Goose Creek South Carolina imposes a business license tax on all contract work within the cities of North Charleston, South Carolina and/or Goose Creek South Carolina. The cities interpret this to include contractors performing work for the United States government within the limits of North Charleston and/or Goose Creek. Joint Base Charleston – Air Base is included within the City of North Charleston, South

Carolina and Joint Base Charleston – Weapons Station is included within the city limits of Goose Creek. The cost of the license is proportional to the dollar amount of work being executed. Information for the North Charleston City

Tax may be obtained by calling 843-554-5700 extension 484, or 485, and for the Goose Creek City Tax by calling

843-797-6220.

4. ENVIRONMENTAL COMPLIANCE. Offerors are reminded of the environmental requirements contained in the solicitation. The Contractor shall comply with all applicable federal, state and local environmental statues and regulations. In addition to the scrutiny of civil environmental regulatory and enforcement agencies, environmental compliance incidental to the Air Force activities or on Air Force property is subject to Air Force scrutiny. The Air

Force routinely investigates environmental violations and cooperates fully with civil authorities to secure remedies and discourage future violations. Failure to comply with environmental statutes and regulations can subject the contractor to criminal and civil penalties and/or contractual sanctions including, but not limited to, termination, suspension, and debarment, and adverse past performance assessment.

5. CONFORMANCE WITH ENVIRONMENTAL MANAGEMENT SYSTEMS. Joint Base Charleston (JBC) is committed to conducting its mission in a responsible manner that will protect human health, natural resources, and the environment. JBC has implemented an Environmental Management System (EMS), which is based on the principals of ISO 14001:2004. JBC Environmental Management System is applicable to all organizations and contractors working on the installation. The contractor is responsible to reduce environmental risks, promote pollution prevention, and meet all environmental regulatory requirements during the execution and completion of contract work. The Contractor shall perform work consistent with the relevant policy and objectives identified in the facility EMS. The Contractor shall perform work in a manner that conforms to all appropriate Environmental

Management Programs and Operational Controls and provide monitoring and measurement information as necessary. In the event an environmental nonconformance or noncompliance associated with the contracted services is identified, the contractor shall take corrective and preventative actions. In addition, the Contractor shall ensure that their employees are aware of the roles and responsibilities identified by the environmental management system and how these requirements affect their work performed under this contract. All on-site contractor personnel shall complete yearly environmental training specified for the type of work conducted on-site.

52.212-2 EVALUATION--COMMERCIAL ITEMS (JAN 1999)

(a) The Government will award a contract resulting from this solicitation to the responsible offeror whose offer conforming to the solicitation will be most advantageous to the Government, price and other factors considered. The following factors shall be used to evaluate offers: (i) Technical Factors; (ii) Past Performance; and (iii) Price

Technical and past performance, when combined, are significantly more important than price.

(b) Options. The Government will evaluate offers for award purposes by adding the total price for all options to the total price for the basic requirement. The Government may determine that an offer is unacceptable if the option prices are significantly unbalanced. Evaluation of options shall not obligate the Government to exercise the option(s).

(c) A written notice of award or acceptance of an offer, mailed or otherwise furnished to the successful offeror within the time for acceptance specified in the offer, shall result in a binding contract without further action by either party.

Before the offer's specified expiration time, the Government may accept an offer (or part of an offer), whether or not there are negotiations after its receipt, unless a written notice of withdrawal is received before award.

52.212-3 OFFEROR REPRESENTATIONS AND CERTIFICATIONS--COMMERCIAL ITEMS (DEB 2012)

ALTERNATE I (APR 2011)

An offeror shall complete only paragraph (b) of this provision if the offeror has completed the annual representations and certifications electronically via https://www.acquisition.gov. If an offeror has not completed the annual representations and certifications electronically at the ORCA website, the offeror shall complete only paragraphs (b) through (i) of this provision.

(a) Definitions. As used in this provision:

"Emerging small business" means a small business concern whose size is no greater than 50 percent of the numerical size standard for the NAICS code designated.

"Forced or indentured child labor" means all work or service-

(1) Exacted from any person under the age of 18 under the menace of any penalty for its nonperformance and for which the worker does not offer himself voluntarily; or

(2) Performed by any person under the age of 18 pursuant to a contract the enforcement of which can be accomplished by process or penalties.

Inverted domestic corporation, as used in this section, means a foreign incorporated entity which is treated as an inverted domestic corporation under 6 U.S.C. 395(b), i.e., a corporation that used to be incorporated in the United

States, or used to be a partnership in the United States, but now is incorporated in a foreign country, or is a subsidiary whose parent corporation is incorporated in a foreign country, that meets the criteria specified in 6 U.S.C.

If a product is disassembled and reassembled, the place of reassembly is not the place of manufacture.

Restricted business operations means business operations in Sudan that include power production activities, mineral extraction activities, oil-related activities, or the production of military equipment, as those terms are defined in the

Sudan Accountability and Divestment Act of 2007 (Pub. L. 110-174). Restricted business operations do not include business operations that the person (as that term is defined in Section 2 of the Sudan Accountability and Divestment

Act of 2007) conducting the business can demonstrate--

(1) Are conducted under contract directly and exclusively with the regional government of southern Sudan;

(2) Are conducted pursuant to specific authorization from the Office of Foreign Assets Control in the Department of the Treasury, or are expressly exempted under Federal law from the requirement to be conducted under such authorization;

(3) Consist of providing goods or services to marginalized populations of Sudan;

(4) Consist of providing goods or services to an internationally recognized peacekeeping force or humanitarian organization;

(5) Consist of providing goods or services that are used only to promote health or education; or

(6) Have been voluntarily suspended.

Sensitive technology--

(1) Means hardware, software, telecommunications equipment, or any other technology that is to be used specifically--

(i) To restrict the free flow of unbiased information in Iran; or

(ii) To disrupt, monitor, or otherwise restrict speech of the people of Iran; and

(2) Does not include information or informational materials the export of which the President does not have the authority to regulate or prohibit pursuant to section 203(b)(3) of the International Emergency Economic Powers Act

(50 U.S.C. 1702(b)(3)).

Service-disabled veteran-owned small business concern--

(1) Means a small business concern--

(i) Not less than 51 percent of which is owned by one or more service-disabled veterans or, in the case of any publicly owned business, not less than 51 percent of the stock of which is owned by one or more service-disabled veterans; and

(ii) The management and daily business operations of which are controlled by one or more service-disabled veterans or, in the case of a service-disabled veteran with permanent and severe disability, the spouse or permanent caregiver of such veteran.
