ADDENDUM TO FAR 52.212-1 - INSTRUCTIONS TO OFFERORS – COMMERCIAL

ITEMS (Jan 2017)

PHYSICALLY REMOVED FROM THE RESULTANT AWARD. ***

1. Addendum to 52.212-1(a), NAICS code and small business size standard. The NAICS code is 488119, Other Airport Operations, and the size standard is $32.5M for this requirement.

2. Addendum to 52.212-1(c), Period for Acceptance of Offers. The paragraph is tailored as follows: “The offeror agrees to hold the prices in its offer firm for through 30 Nov 17 from the date specified for receipt of offers.”

3. Submit proposals electronically to the Government via the Army AMRDEC site at https://safe.amrdec.army.mil/safe/. All documents shall be submitted in .pdf format. The title of the documents shall include the volume number and the offeror’s CAGE code. (i.e. “Vol 1 Price CAGE#”). Submit proposals to the following email addresses via AMRDEC to:

Specific how to instructions for submitting documents via AMRDEC can be found on the AMRDEC site listed above. Offerors shall submit proposals via AMRDEC, allowing sufficent time for the upload to be completed by the proposal submission closing date and time.

3.1. Electronic files should be located in appropriately labelled folders so as to easily discern each volume. Each volume shall contain a detailed table of contents identifying the subparagraphs within that volume. Only electronic versions of proposals will be accepted.

Paper copies of proposals will be rejected and not considered for award.

4. The following instructions prescribes the format for proposals, and describes the approach to be used for the development and presentation of the proposal data. The proposal shall include all of the information requested in the specified instructions. Failure to include all information requested may adversely affect the evaluation and may result in a determination that the proposal is unawardable.

4.1. Proposals shall be complete and include a Cover Sheet, a Financial Institution Reference Sheet, and Teaming Arrangement/Joint Venture Documentation (If Applicable) and be organized into the following parts: Volume I – Price Proposal, Volume II – Technical Proposal, Volume III – Past Performance,

4.2. Cross Referencing. Each volume shall be written on a stand-alone basis so that its contents may be evaluated without cross referencing to other volumes of the proposal. Hurlburt Field, FL have been omitted from the proposal. Cross-referencing within a proposal volume is permitted where its use would conserve space without impairing clarity.

4.3. Exceptions. If the offeror finds it necessary to take exception to any of the requirements specified in this solicitation, the offeror must clearly indicate such exception(s) in the appropriate volume along with a complete explanation of why the exception was taken and what benefit it accrues to the Government. All substantive exceptions to the solicitation requirements and supporting rationale shall be identified as such and consolidated into an overview section of the subject volume. An overview section is only required if the offeror takes exception to any requirements in the solicitation (the overview section will not be included in the proposal page limitation described above). While offerors may propose exceptions to the solicitation requirements, the Government is not obligated to accept or consider such exceptions.

Further, exceptions could result in an unacceptable offer. Any change to the requirement as a result of accepting an exception shall be reflected within the resultant contract.

4.3.1. In the event the offeror takes no exception to the stated requirements, a statement to this effect is required at the front of each subject volume.

4.4. As a minimum, offers must include the following to be eligible for award:

4.4.1. Cover Sheet with the following information:

4.4.1.1. Time specified in the solicitation for receipt of offers;

4.4.1.2. Company name;

4.4.1.3. Company Affiliation;

4.4.1.4. 8(a) Graduation Date;

4.4.1.5. Company address and remit to address if different than mailing address;

4.4.1.6. Company telephone number;

4.4.1.7. Company e-mail address;

4.1.8. Company point of contact(s);

4.4.1.9. SAM registration expiration date;

4.4.1.10. CAGE code;

4.4.1.11. DUNS number;

4.4.1.12. Registration confirmation for NAICS code 488119, Other Airport Operations;

4.4.1.13. Acknowledge Solicitation Amendments;

4.4.1.14. There is no page limitation for the Teaming Arrangements/Joint Venture Documentation. Failure to submit this documentation, if offeror is claiming this is their business approach, will render the offerors’ proposal non-responsive and no further evaluation of the offeror’s proposal will be conducted; and

4.4.1.14.1. Teaming Arrangement/Joint Venture Documentation (If Applicable). If Teaming Arrangements are contemplated they must comply with the appropriate Federal Regulations (13 C.F.R. Part 121 (Size Regulations), Part 124 8(a) & SDB) and Part 125 (Government Contracting Programs)).

The Joint Venture Agreement must be received by SBA prior to proposal due date and approved before award of any resulting contract. If you are contemplating a joint venture on this project, you must advise your assigned SBA Business Opportunity Specialist (BOS) as soon as possible.

It is also recommended that the agreement be submitted as soon as practicable to ensure compliance with established regulations. Any corrections and/or changes needed can be made only when your BOS has adequate time for a thorough review before the proposal due date. NO

CORRECTIONS AND/OR CHANGES IN PROPOSED TEAMING ARRANGEMENTS OR

JOINT VENTURES ARE ALLOWED AFTER TIME OF SUBMISSION OF OFFERS.

Acknowledge Solicitation Amendments; and the offeror must submit:

4.4.1.14.1.1. Teaming Agreements as a Prime and Subcontractor relationship (if applicable):

Offerors must provide the following information not later than the date and time proposals are due:

4.4.1.14.1.2. Include size of each concern required at 13 CFR 121.103(h) (I) (2) (ii) and 124.513(b) (1);

4.4.1.14.1.3. Clearly establish roles of each party (who is prime and who is subcontractor, who is responsible for what tasks, contract administration, proposals, work management, etc.);

4.4.1.14.1.4. Subcontractor past performance cannot be disclosed to the prime offeror without the subcontractor’s consent. Provide a letter from all subcontractors that will perform major or critical aspects of the requirement, consenting to the release of their past performance information to the prime contractor, only if it is being used as part of the past performance evaluation;

4.4.1.14.1.5. Identify each member’s share of the prospective contract, 50/50, 51/49, etc.

4.4.1.14.1.6. Include exclusivity that the team member will not be replaced for the duration of the contract, any exceptions should be identified and assurance that the team members are not teaming with another firm for the same procurement;

4.4.1.14.1.7. Include a statement of acknowledgement that the Prime Contractor is responsible for adhering to contract terms and conditions and daily management. The Prime Contractor is obligated to negotiate in good faith and responsible for conveying mandatory Government terms and conditions to subcontractors; and

4.4.1.14.1.8. Include a statement of acknowledgement that the prime contractor shall remain fully responsible for contract performance, regardless of any teaming agreement between the prime contractor and its subcontractors.

4.4.1.14.2. Joint Ventures (if applicable): Offerors must provide the following information not later than the date and time proposals are due:

4.4.1.14.2.1. Include all requirements at 13 C.F.R. Part 124.513, including size concern information;

4.4.1.14.2.2 Include a statement confirming that the 8(a) firm will manage and furnish employee project manager, earn at least 51% of profits; and furnish 50% of personnel costs IAW FAR 52.219-14(c)(1); and

4.4.1.14.2.3 Joint Venture registration in SAM with NAICS code on representations and certifications 488119.

4.4.1.14.2.4 Financial Institution Reference Sheet, Attachment 8 to the solicitation, shall be completed.

4.4.4.2. Volume I: Price: Include any discount terms with the following information:

There is no page limitation for Volume 1. Offerors shall submit one (1) electronic copy.

4.4.2.1 Submit all pages of the Standard Form (SF) 1449, with blocks 12, 17a and b, and 30a through c completed with an original, authorized signature and the Contract Clauses section filled-in;

4.4.2.2 Submit a copy of the representations and certifications at FAR 52.212-3 (see FAR 52.212-3(b) (2) for those representations and certifications that the offeror shall complete electronically);

4.4.2.3 Submit all pages of each solicitation amendment(s) (SF 30) with the original solicitation documents, signed by the same official authorized to sign the SF 1449.

4.4.3. Volume II: Technical shall include the following three (3) parts:

There is fifty (50) page limitation for Volume II. Offerors shall submit an original and one (1) sanitized copies identified by only the offeror’s CAGE code and contain no other markings or logos identifying the company name:

To facilitate the evaluation, the Technical volume should be specific, detailed, and complete to clearly and fully demonstrate that the offeror has a thorough understanding of the requirements for the accomplishment of the effort. Statements that the offeror understand, can, or will comply with the PWS (including Air Force (AF) publications, technical requirements, etc.); statements paraphrasing the PWS or parts thereof; and phrases such as “standard procedures will be employed”, “well known techniques will be used”, etc., will be considered unacceptable. The offeror’s proposal shall, at a minimum, be prepared in a form consistent with the technical criteria set forth in 52.212-2 Addendum, Basis of Award, of this solicitation. All information that the offeror deems appropriate to address for this factor and its subfactors must be included in the proposal in an orderly format. The technical volume shall address all the required parts as follows:

Part 1- Management Plan, Part 2- Transition Plan, and Part 3- Quality Control Plan.

Do not repeat the PWS or state general comments such as “Standard Procedures will be employed” within your technical proposal. A proposal that merely reiterates or promises to accomplish the requirements of the PWS will be considered unacceptable. A proposal that is orderly and sufficiently documented will enable the Government to easily understand the proposal and perform a thorough and fair evaluation. Submit your technical proposal with the following information listed in paragraphs 4.4.3.1 to 4.4.3.3.4.

4.4.3.1. Part 1: Management Plan:

4.4.3.1.1. The contractor shall provide a Management Plan, which shall demonstrate how the contractor will recruit, retain, and replace personnel who have the knowledge, experience, training, and technical expertise (to include certifications and security checks) commensurate with the requirements of the PWS.

4.4.3.1.1.1. Include, in the management plan, the number and labor category of personnel proposed; and

4.4.3.1.1.2. Include, in the management plan, information on how the contractor shall provide uninterrupted services in the event of long term (two weeks or more) personnel absences due to sickness, vacations, and attrition.

4.4.3.1.1.3. Include in the management plan, in accordance with DFARS 252.237-7024, Notice of Continuation of Essential Contractor Services, a detailed plan describing how the contractor shall continue to perform the essential contractor services listed in the PWS paragraph 1.7 (CLINs 0001, 1001, 2001, 3001, 4001, 0003, 1003, 2003, 3003, and 4003). At a minimum the plan shall address:

(a) Challenges associated with maintaining essential contractor services during an extended event, such as a pandemic that occurs in repeated waves;

(b) The time lapse associated with the initiation of the acquisition of essential personnel and resources and their actual availability on site;

(c) The components, processes, and requirements for the identification, training, and preparedness of personnel who are capable of relocating to alternate facilities or performing work from home;

(d) Any established alert and notification procedures for mobilizing identified “essential contractor service” personnel; and

(e) The approach for communicating expectations to contractor employees regarding their roles and responsibilities during a crisis.

4.4.3.2. Part 2: Transition Plan:

4.4.3.2.1. The contractor shall provide a Transition Plan. This plan shall detail how the offeror intends to manage, staff, schedule, and complete all required tasks within (21) twenty-one days of contract award so that the contractor will be able to perform IAW the PWS on the first day of the performance period without degradation in service from the previous contract; and

4.4.3.2.1.1. The Transition Plan shall depict a chronological sequence of events and also include milestones for startup, mobilization, and training,

4.4.3.3. Part 3: Quality Control Plan:

4.4.3.3.1. The contractor shall submit a Quality Control Plan with their proposal. The plan shall identify Quality Control Procedures the contractor plans to use to ensure compliance with PWS paragraph 8.1.4, performing all contract requirements identified within the PWS, including each task and services listed in all three, TA, WR, and AP Service Summary (SS) tables.

4.4.3.3.2. IAW PWS paragraph 8.1.5., the plan shall also include scheduled and unscheduled inspections, frequency of inspections, name of inspectors and periodic security checks.

4.4.3.3.3. The QCP shall further include a description of the methods to be used to detect quality program problems and defects, identify root causes for quality related problems/defects, correct the root causes of detected problems/defects, and implement checks and balances to ensure quality related problems/defects do not continue to occur.

4.4.3.3.4. The QCP shall also provide a description of the records to be kept to document inspections and corrective or preventive action taken, and where the records shall be maintained and available to Government personnel until the end of the contract period of performance IAW PWS paragraphs 8.1.5. and 8.1.6.

5. Volume III: Past Performance Proposal with the following information:

Limited to no more than two (2) pages per contract listed and six (6) pages total. Pages exceeding the page limitations set forth in this section will not be read or evaluated, and will be removed from the proposal. Offerors shall submit one (1) copy. Past Performance information for only the same or similar type contracts are desired.

5.1. Submit a list of no more than three (3) recent and relevant contracts performed for Federal agencies or commercial customers as a prime contractor that demonstrates the ability to successfully perform the scope and breadth of the requirements as described in the PWS for this solicitation. Any past performance references in excess of the first three submitted will not be evaluated. If a teaming arrangement/Joint Venture is contemplated, include any relevant and recent performance information on previous teaming arrangements/Joint Ventures with the same partner or as this entity (CAGE). If this is a first time joint effort, each party to the arrangement must provide a list of no more than three (3) contracts each. Subcontractor past performance may only be disclosed for use by the prime contractor if a letter of consent to release past performance information to the prime is completed by the subcontractor and included with the past performance:

5.1.1. RECENT. The definition of recent as related to this solicitation includes performance within the last three (3) years from the issue date of this solicitation; and

5.1.2. RELEVANCE. Offerors shall identify what elements of each contract are deemed relevant to this solicitation as identified below and indicate what percentage of service was performed by the offeror (prime), subcontractor (if applicable) and teaming contractor (if applicable); the primary aspect of relevancy, as it pertains to this solicitation, is based on the similarity of services performed in the past. Relevance for Past Performance will be assessed against the following criteria:

(a) Transient Alert Services- Number of TA aircraft serviced monthly/annually.

(b) Washrack Services - Number of aircraft washed monthly/annually.

(c) Washrack Services - Size of airframe washed.

Definitions of relevancy are as follows:

5.1.2.1. VERY RELEVANT. Present/past performance effort involved essentially the same scope and magnitude of effort and complexities this solicitation requires.

5.1.2.2. RELEVANT. Present/past performance effort involved similar scope and magnitude of effort and complexities this solicitation requires; and

5.1.2.3. SOMEWHAT RELEVANT. Present/past performance effort involved some of the scope and magnitude of effort and complexities that this solicitation requires.

5.1.2.4. NOT RELEVANT. Present/past performance effort involved little or none of the scope and magnitude of effort and complexities this solicitation requires.

5.2. Submit the following information for each contract submitted for past performance evaluation:

5.2.1. Company/Division name;

5.2.2. Product/Service;

5.2.3. Contracting Agency/Customer;

5.2.4. Contract Number;

5.2.5. Contract Dollar Value;

5.2.6. Period of Performance;

5.2.7. Verified, up-to-date name, address, e-mail address, telephone number of the Government evaluator, contracting officer or customer POC responsible for procuring your services;

5.2.8. Comments regarding compliance with contract terms and conditions; and

5.2.9. Comments regarding any known performance deemed unacceptable by the customer, or not in accordance with the contract terms and conditions, the resolution(s) implemented and results.

5.2.10. Explanation of how the scope of the referenced contract is relevant to the PWS in this solicitation. Identify the number of transient alert aircraft serviced monthly/annually, number of aircraft washed monthly/annually, and type of airframe washed.

5.2.11. If the offeror is submitting Past Performance information for, or in any way regarding, predecessor companies, key personnel who have relevant experience, or subcontractors that will perform major or critical aspects of the requirement, the offeror shall provide details as to what the predecessor companies, key personnel, or subcontractors participation was in the example past performance being provided, and precisely detail how the predecessor companies, key personnel, or subcontractors will perform in this effort.

5.3. Submit Past Performance Questionnaires (Attachment 4) for each of the references identified at Part III, Past Performance Proposal. Any past performance questionnaires received in excess to the first three references in the Past Performance Proposal for the prime or, if applicable, for each party to the first time joint effort, will not be evaluated. The responsibility to send out the questionnaires rests solely with the offeror and shall not be delegated to any other entity:

5.3.1. Complete General Information and mail, fax or email the attached transmittal letter and questionnaire to the evaluator. Evaluators are only allowed to use Attachment 4; altered or substituted questionnaires will not be evaluated:

5.3.1.1. Offerors shall indicate at Volume III, Past Performance Information, which evaluator the questionnaire was transmitted to and confirm that the questionnaire was received.

5.3.2. Once all questionnaires are completed by the evaluator, the information contained in the questionnaires shall be considered source selection sensitive and not releasable to you, the offeror. Completed questionnaires received or routed through the offeror, subcontractor or teaming contractor will not be accepted. Questionnaires shall be emailed by the evaluator directly to Sarah Funkhouser and David Jesmain at Sarahanne.Funkhouser@us.af.mil, and David.Jesmain.1@us.af.mil.

5.3.2.1 For reference only, the point of contact information for this solicitation is listed below:

5.3.3. The offeror shall track the questionnaires and ensure that Sarah Funkhouser and David Jesmain receive them by Tuesday, 26 September 2017 at 1:00 p.m. Central Standard Time (CST). It is also the sole responsibility of the offeror to inform the evaluators of any extensions the Government approves to the date and time proposal are due to be submitted; and

5.3.4. If the offeror claims there is no past performance, notification of this fact must be included at Volume III, Past Performance Proposal.

6. Offerors are required to meet all solicitation requirements, including terms and conditions, representations and certifications, and technical requirements, in addition to those identified as evaluation factors; failure to meet a requirement of the solicitation may be excluded from consideration. Offerors must clearly identify any exception to the solicitation terms and conditions and provide complete accompanying rationale; and

7. Documents submitted in response to this solicitation must be fully responsive to and consistent with:

7.1. Requirements of this solicitation, Government standards and regulations;

7.2. Evaluation Factors for Award;

7.3. Format for proposal Parts II and III shall be as follows:

7.3.2. Font shall be Times New Roman and no smaller than 12 font size.”

8. Addendum to 52.212-1(e), Multiple offers. This paragraph is deleted for this solicitation and marked “reserved.”

9. Addendum to 52.212-1(f) (1), Late submissions, modifications, revisions and withdrawals of offers. This subparagraph is tailored as follows: “Offerors are responsible for submitting proposals via AMRDEC by the solicitation due date and time. Please refer to paragraph 3 above for AMRDEC information and instructions.

10. Only electronic versions of proposals will be accepted.

11. Addendum to 52.212-1(j), Data Universal Numbering System (DUNS) Number. This paragraph is expanded to include the following statement: “All offers submitted through a Joint Venture shall have an assigned DUNS number for the Joint Venture Entity.”

12. Addendum to 52.212-1(k), System for Award Management (SAM). This paragraph is expanded to include the following statement: “All offers submitted through a Joint Venture shall have an active SAM account for the specific Joint Venture Entity.

13. All of the time and date references for receipt of offers in this addendum shall be superseded by any subsequent solicitation amendments that extend the time and date for receipt of offers.
