The purpose of this amendment is to incorporate the following changes:

52.212-1 ADDENDUM

52.212-1 INSTRUCTIONS TO OFFERORS—COMMERCIAL ITEMS (JAN 2005)

A. To assure timely and equitable evaluation of proposals, offerors must follow the instructions contained herein.

Offerors are required to meet all solicitation requirements, including terms and conditions, representations and certifications, and technical requirements. Failure to meet a requirement may result in an offer being ineligible for award. Offerors must clearly identify and exemption to the solicitation terms and conditions and provide complete accompanying rationale. The response shall consist of three (3) separate parts; Factor I – Price Proposal, Factor II

- Past Performance, and Factor III – Technical Proposal.

B. Price will contribute substantially to the source selection decision, and the source selection will be conducted with the expectation of adequate price competition per FAR 15.403-1(c)(1); therefore, certified cost or pricing data are not required. However, the offeror may be required to submit data other than certified cost or pricing data to the extent necessary for the Contracting Officer to determine price reasonableness.

C. Specific Instructions:

1. FACTOR I - PRICE PROPOSAL-Submit original and one (2) copy

(a) Complete blocks 12, 17a, 30a, 30b, and 30c of the RFP, SF Form 1449. In doing so, the offeror accedes to the contract terms and conditions as written in the RFP. This constitutes the model contract.

(b) Insert proposed unit prices for each Contract Line Item Number (CLIN) or SubCLIN (SCLIN), including all option periods. The extended amount must equal the whole dollar unit price multiplied by the number of units.

Pricing shall also be inserted into the Appendix G in the solicitation.

(c) Complete the necessary fill-ins and certifications located within the RFP. All Certifications shall be returned in their entirety. For fill-in clauses, the offeror shall submit only those pages that require a fill-in.

(d) Complete and submit the entire Appendix G as part of the price propsoal.

2. FACTOR II - PAST PERFORMANCE INFORMATION-Limited to no more than 20 pages. Only references for same or similar type contracts desired. Submit original plus two (2) copies.

(a) The Offeror shall submit to the Contracting Officer its past performance information and shall provide information about their past performance on no more than three (3) Grounds Maintenance projects of same or similar complexity within the last three (3) calendar years from the date of the final amendment of the solicitation.

(i) Past Performance information may include but is not limited to quality and satisfaction rating for contracts completed in past three years. Provide any information currently available (letters, metrics, customer surveys, independent surveys, ect.) which demonstrates customer satisfaction with overall job performance and quality of completed product for same or similar type contract. In addition, explain corrective actions taken in the past, if any, for substandard performance and any current performance problems such as cost overruns, extended performance periods, numerous warranty calls, ect.

(b) Past Performance Questionnaires: (Posted to the Federal Business Opportunities website at www.fbo.gov under solicitation number FA3030-14-R-0010). The government will evaluate the quality and extent of offeror's performance deemed relevant to the requirements of this RFP. The Past Performance Questionnaire will be located

The government may use information submitted by the offeror and other sources such as other Federal Government offices and commercial sources, to assess performance. Provide no more than three (3) of the most relevant contracts performed for Federal agencies and commercial customers within the last three (3) years using Attachment

5, Past Performance Questionnaire which is posted on FBO. Relevant contracts include all contracts performed providing Grounds Maintenance services of the same or similar type to those identified in the Grounds Maintenance

Performance Work Statement within the last three (3) years. The evaluation of past performance information will take into account past performance information regarding predecessor companies, key personnel who have relevant experience, or subcontractors that will perform major or critical aspects of the requirement when such information is relevant to the instant acquisition. Furnish the following information for each contract listed as indicated on

Attachment 5, Past Performance Questionnaire:

(i) Contractor Being Evaluated

(ii) Contract Number

(iii) Estimated Contract Dollar Amount

(iv) Dates of Contract Performance/ Period of Performance

(v) Contract Description

(vi) Contract Type

(vii) Verified, up-to-date name, address, FAX & telephone number of the contracting officer

(viii) Comments regarding compliance with contract terms and conditions

(ix) Comments regarding any known performance deemed unacceptable to the customer, or not in accordance with the contract terms and conditions.

If a teaming arrangement is contemplated, provide complete information as to the arrangement, including any relevant and recent past/present performance information on previous teaming arrangements with same partner. If this is a first time joint effort, each party to the arrangement must provide a list of past and present relevant contracts. The Offeror shall provide references for any proposed subcontractors that will be performing a significant portion of the work and for each firm participating in a joint venture or teaming arrangement.

(c) Subcontractor Consent: Past performance information pertaining to a subcontractor cannot be disclosed to the prime offeror without the subcontractor’s consent. Provide with the proposal a letter from all subcontractors that will perform major or critical aspects of the requirement, consenting to the release of their past performance information to the prime contractor.

3. FACTOR III - TECHNICAL PROPOSAL - Limited to no more than 30 pages. Submit original plus two (2) copies.

Limited to no more than 30 pages. Submit original plus three (3) copies. Proposals shall be clear, concise, and include sufficient detail for effective evaluation. The proposal should not simply rephrase or restate the

Government’s requirements, but rather shall provide convincing rationale to address how the offeror intends to meet these requirements.

Subfactor 1 – Clearly demonstrate in detail your comprehensive plan for transitioning to new contract performance during the 30-day phase-in period by describing how you will successfully perform all requirements on the contract start date. Your plan may include, but is not limited to:

a) A detailed description and complete timeline of all transition activities necessary to begin successful performance on the performance start date of 02 Jan 2015.

b) Identify key positions and their qualifications in an organizational chart that would support contract performance if awarded the contract.

c) Thoroughly and clearly describe staff hiring processes that will be utilized to obtain adequate numbers of qualified personnel in effectively transitioning to perform the required levels of service and respective facility square footage as stipulated by the PWS.

Subfactor 2 – Each offeror’s proposal will clearly demonstrate the offeror’s understanding of the scope of work specified in the Performance Work Statement. Failure to provide a complete proposal shall reflect a lack of capability to perform the work requirements and will result in a determination that the offeror’s proposal is unacceptable.

4. Format for proposal FACTORS II and III shall be as follows:

(a) The proposals will be 8 1/2” x 11” paper except for fold-outs used for charts, tables, or diagrams, which may not exceed 11” x 17”.

(b) A page is defined as one face of a sheet of paper containing information.

(c) Typing shall be Times New Roman and not be less than 12 point.

(d) Elaborate formats, bindings or color presentations are not desired or required.

(e) Documents submitted in response to this RFP must be fully responsive to and consistent with the following:

1. Requirements of the RFP (Contract Line Items Numbers (CLINs) & Performance Work Statement (PWS)), and government standards and regulations pertaining to the PWS.

2. Evaluation Factors for Award in this RFP.

3. Any limitation on the number of proposal pages. Pages exceeding the page limitations set forth in this addenda will not be read or evaluated, and will be removed from the proposal.

4. Format for proposal Parts I, II and III shall be as follows:

(a) The proposals will be 8 1/2” x 11” paper except for fold-outs used for charts, tables, or diagrams, which may not exceed 11” x 17”.

(b) A page is defined as one face of a sheet of paper containing information.

(c) Typing shall not be less than 12 pitch for text and 10 pitch for charts, graphics and tables.

(d) Elaborate formats, bindings or color presentations are not desired or required.

(e) The questions due for this solicitation have been extended FROM 25 Nov 14 TO 1 Dec 14/1200 hours CST.

Questions received after this date/time may or may not be addressed.

52.212-2 EVALUATION

52.212-2 EVALUATION--COMMERCIAL ITEMS (JAN 1999)

Basis for Award: This acquisition will utilize Lowest Price Technically Acceptable (LPTA) source selection course of action in accordance with DoD Source Selection procedures, as supplemented. This is a competitive LPTA best value source selection in which price is considered the most important factor. By submission of its offer, the offeror accepts all solicitation requirements, including terms and conditions, representations and certifications, and technical requirements. All technically acceptable offerors, with acceptable past performance, shall be treated equally except for their prices. Failure to meet a requirement may result in an offer being determined technically unacceptable. Offerors must clearly identify any exception to the solicitation and conditions and provide complete accompanying rationale. The Government intends to select ONE contractor for award of this effort.

For the purpose of award, the government shall evaluate offers based on the evaluation factors described below:

FACTOR 3 Technical (Acceptable/Unacceptable)

FACTOR 1 - PRICE

Initially, offers will be ranked according to price, including option prices. An offeror’s total evaluated price (TEP) will be determined by multiplying the quantities identified in Section B by the proposed unit price for each Contract

Line Item Number to confirm the extended amount for each. Contract Line Item Numbers X001-X0035 will be used to calculate the TEP. All extended Contract Line Item Number amounts will be totaled for evaluation purposes.

Pricing shall be inserted into the Appendix G of the solicitation, and will be caluculated in the same manner as

Section B. Price will be evaluated for reasonableness and balance/unbalanced. The Government will evaluate the price information submitted by using one or more of the techniques defined in FAR 15.404 in order to determine reasonability. The Government may determine that an offer is unacceptable if the prices are significantly unbalanced. Unbalanced pricing exists when, despite an acceptable total evaluated price, the price of one or more contract line items appears to be significantly overstated or understated as indicated by the application of price analysis techniques. Unbalanced pricing may result in an offer being rejected if the Government determines that it presents an unacceptable risk to the Government. Evaluation of options shall not obligate the Government to exercise options.

FACTOR 2 – PAST PERFORMANCE

The government will evaluate the quality and extent of offeror's performance deemed relevant to the requirements of this RFP on an acceptable/unacceptable basis per the below chart.

Based on the offeror’s performance record, the Government has no reasonable expectation that the offeror will be able to successfully perform the required effort.

Note: In the case of an offeror without a record of relevant past performance or for whom information on past performance is not available or so sparse that no meaningful past performance rating can be reasonably assigned, the offeror may not be evaluated favorably or unfavorably on past performance (see FAR 15.305(a)(2)(iv)). Therefore, the offeror shall be determined to have unknown past performance. In the context of acceptability/unacceptability, “unknown” shall be considered “acceptable.”

The government will use information submitted by the offeror and any other sources of information available to the

Government to assess past performance. Provide a list of no more than three (3), of the most relevant contracts performed for Federal agencies and commercial customers within the last three (3) years. Relevant contracts include those within the same scope and for similar work classified under NAICS Code 561730, Grounds Maintenance services. The chart below gives an explanation of relevant/not relevant.

The evaluation of past performance information may take into account past performance information regarding predecessor companies, key personnel who have relevant experience, or subcontractors that will perform major or critical aspects of the requirement when such information is relevant to the instant acquisition.

FACTOR 3 – TECHNICAL

The Government’s technical evaluation team shall evaluate the technical proposals on an acceptable or unacceptable basis, assigning one of the ratings described below for each subfactor. Any subfactor evaluated as

“Unacceptable” will render the entire proposal unacceptable and, therefore, un-awardable. Only those proposals determined to be technically acceptable, either initially or as a result of discussions, will be considered for award.

However, the offeror is reminded that the Government reserves the right to award this effort based on the initial proposal, as received, without discussion.

Subfactor 1: The Transition Plan will be evaluated to assess the offeror’s capability to satisfy the

Government’s requirements.

Measure of Merit: Clearly demonstrate in detail your comprehensive plan for transitioning to new contract performance during the 30-day phase-in period by describing how you will successfully perform all requirements on the contract start date.

Subfactor 2: The offeror’s proposal shall clearly demonstrate the offeror’s understanding of the nature and scope of the work specified in the PWS.

Measure of Merit: The Government will assess the offeror’s comprehensive plan and ability to successfully perform the major tasks and subtasks outlined in the PWS. Failure to provide a reasonable and complete proposal shall reflect a lack of capability to perform the work requirements and will result in a determination that the offeror’s proposal is unacceptable.
