1. SECTION I – GENERAL
1.1. DESCRIPTION OF WORK
1.1.1. This contract is an Indefinite Delivery Indefinite Quantity (IDIQ) open-end contract for professional Architectural/Engineering (A/E) services against which task orders for specific project requirements will be issued. This contract will consist of a five (5) year ordering period. This Contract includes the following sites:
1.1.1.1. Hanscom Air Force Base (HAFB) – Bedford, Lincoln, Lexington, MA;
1.1.1.2. FAMCAMP – Bedford, MA;
1.1.1.3. Patriot Golf Course – Bedford, MA;
1.1.1.4. Sagamore Hill Electronics Research Annex – Hamilton, MA;
1.1.1.5. Fourth Cliff Recreation Annex – Humarock, MA;
1.1.1.6. Cape Cod Space Force Station – Sagamore, MA; and
1.1.1.7. New Boston Space Force Station – New Boston, NH
1.1.2. The definitive scope of each individual study, investigation, design, project inspection or other services will be as defined in a Task Order SOW provided with a request for proposal for each task order. The Task Order SOW will include the overall intent of the individual task order. Equipment lists and/or layouts will be provided upon request but are for informational purposes only. The A/E shall be responsible to recommend efficient and cost effective equipment or layouts.
1.1.3. All work performed under this contract shall be completed in accordance with this
Statement of Work (SOW) and the Hanscom Air Force Base (HAFB) Design Guide (Appendix 1). The A/E shall be capable of performing any combination of the following services. See the HAFB Design Guide for a description of services:
1.1.3.1. A/E Design Services (Title IA Investigatory & Title IB Design);
1.1.3.2. Limited A/E Construction Supervision and Inspection (Title II);
1.1.3.3. Other A/E Services (investigations, studies, or assessments).
1.2. WORK BY THE GOVERNMENT
1.2.1. The Government will not be obligated to issue any particular type of work under this
Contract and reserves the right to accomplish work using Government workforces or by other contracts, as the Government deems necessary or desirable, and to do so will not breach or otherwise violate this Contract.
1.3. COMMENCEMENT OF WORK
1.3.1. The Contractor shall be prepared to receive and process DO Requests for Proposals (RFPs) within fifteen (15) calendar days from the time of Contract award.
1.3.2. Upon notification from the CO of a requirement, the Contractor shall prepare and submit a TO proposal to the CO within the timeframe identified in the TO RFP letter.
1.3.3. For DO RFPs issued in the final month of the Government Fiscal Year, the Contractor shall submit their DO proposal within two (2) calendar days of receiving the RFP. For TO RFPs issued the final day of the Government Fiscal Year the Contractor shall submit their proposal the same day as receipt of the RFP.
1.4. CONTRACTOR PERSONNEL
1.4.1. The A/E shall provide qualified personnel subject to the approval of the CO. The individuals to be utilized shall be those that were listed in the A/E’s Standard Form (SF) 330 forms submitted prior to contract award. Should the personnel to be utilized on any task order change from those submitted on the SF 330 forms, the resume of the new person shall be submitted to and accepted by the CO. A description of personnel requirements can be found in the HAFB Design Guide.
1.4.2. Contractor’s Contract Manager (CM): The Contract Manager shall be responsible for the overall performance of this Contract. The CM shall provide overall contract management, including full authority to develop TO proposals, negotiate, sign TO’s, and provide subcontract purchasing & administration. The CM shall have a minimum of ten (10) years of documented applicable design experience with a minimum of five (5) years being in a relevant project management position. The name of this person and alternate(s), who shall act on behalf of the CM when absent, shall be designated in writing and submitted to the CO for approval. The CM will receive each RFP from the CO.
1.5. AVAILABILITY
1.5.1. Throughout the life of this Contract, when there are active DO’s; after notification, the CM shall be available promptly to speak with the CO by telephone during normal business hours. The CM shall be available to speak with the CO within twenty-four (24) hours when there are no active TO’s. The CO must be able to contact the CM by telephone at all times.
The CM shall carry a cellular phone for immediate response to Contract requirements.
1.5.2. The Contractor shall notify the CO when the PM will be unavailable for more than two (2) consecutive work days. Prior to returning to the project, the CM shall notify the CO.
2. GENERAL REQUIREMENTS
2.1. TRAFFIC AND UTILITY SYSTEM INTERUPTIONS
2.1.1. Utility outages that affect occupied buildings must be accomplished outside of the buildings normal operating hours. Normal working hours are listed in Section 2.2. Submit all requests for utility system impacts to the DO Project Manager at least 21 work days prior to the impact.
2.1.2. In general complete road / parking lot closures will not be allowed. For roadways at least one lane of travel shall be maintained at all times. For parking lots at least one entrance / exit should be maintained at all times. When required, DOs will list project specific traffic control requirements. The Contractor shall provide appropriately trained traffic control personnel. Submit all requests for road / parking lot closures or traffic impacts to the DO Project Manager at least 21 work days prior to the impact.
2.2. WORK HOURS
2.2.1. Government work hours are between 7:30 AM to 4:30 PM, Monday through Friday, excluding Saturday, Sunday, and Government Holidays. The Contractor shall not commence work in housing areas before 8:30 AM and shall terminate work by 4:30 PM.
Access to work sites will be restricted to these hours and days.
2.2.2. Work outside of normal hours must be approved by the CO.
2.3. PROJECT SCHEDULING & COORDINATION
2.3.1. The schedule of submittals dates will be included in the task order SOW for each task order. Should the A/E disagree with the schedule, the A/E shall indicate so during the proposal stage for that task order, providing the rationale for the disagreement as well as an alternative schedule.
2.3.2. Upon award of each task order the A/E shall prepare a Gant Chart style schedule to be reviewed during the design kickoff meeting. The proposed schedule must include Government Review periods as well as any other activities that the Government is responsible for.
2.3.3. The submitted schedule must clearly indicate the projects critical path.
2.3.4. The A/E shall submit a progressed schedule with each design submission.
2.4. SECURITY REQUIREMENTS
2.4.1. The Contractor shall comply with all security regulations imposed by the Installation
Commander and/or the agency occupying the space where the Contractor shall perform the work.
2.4.2. The Contractor and their employees shall comply with installation traffic regulations.
2.4.3. Telephone System Security Monitoring: All communications with DOD organizations are subject to Communications Security (COMSEC) review. Contractor personnel shall be aware that telecommunications networks are continually subject to intercept by unfriendly intelligence organizations. The DOD has authorized the military departments to conduct COMSEC monitoring and recording of telephone calls originating from, or terminating at, DOD organizations. Therefore, civilian Contractor personnel will be advised that any time they place a call to, or receive a call from, a military organization;
they are subject to COMSEC procedures. The Contractor shall assume the responsibility for ensuring wide and frequent dissemination of the above information to all employees dealing with official DOD information.
2.5. WORK IN SPECIAL SECURITY AREAS
2.5.1. At least (5) calendar days prior to commencing work, the Contractor shall submit, in writing, a list of personnel who shall perform work in special security areas.
2.5.2. Security Forces may require a local agency check on all personnel involved in the accomplishment of work in special security areas prior to the commencement of work.
The Contractor shall allow approximately thirty (30) calendar days for this check.
2.5.3. Work in special security areas, including controlled and restricted areas, will be escorted by Government personnel. Typically, Government provided escorts are only available during normal working hours. At the sole discretion of the Government, work may be performed outside of normal duty hours. Any work outside of normal working hours shall be requested at least fourteen (14) calendar days in advance.
2.5.4. Except for the initial site visit, the Contractor shall provide at least three (3) work days’ notice prior to starting work in special security areas.
2.5.5. Due to specific mission requirements inherent in the nature of these special security areas, the Government will direct the Contractor to leave the area at any given time and the Contractor shall comply with such an order with all possible speed.
2.6. SAFETY
2.6.1. The Contractor shall comply with OSHA standards applicable to any work performed.
HAFB is part of the OSHA Voluntary Protection Program. The intent of the Contractor Safety Program at HAFB is to prevent injuries and to communicate our safety expectations with Contractors.
2.6.2. Control access to sites under Contractor control and ensure that any individual on-site exercises appropriate safety procedures including wear of personal protective equipment.
2.6.3. The Contractor shall assume full responsibility and liability for compliance with the applicable rules and regulations for the health and safety of personnel during the execution of work, and shall hold the Government harmless for any action on the Contractor’s part or that of its employees or subcontractors, which results in illness, injury, or death.
2.6.4. The Contractor shall immediately report any mishap resulting in personal injury or property damage and fully cooperate in any associated investigation.
2.7. SEVERE WEATHER
2.7.1. In the event of any severe weather, the Contractor shall contact HAFB via the COLD LINE ((781)-225-2653 (COLD)) to check the status of HAFB (i.e., base closure, delayed reporting, etc.). In the event of a base closure or delay, the Contract period of performance can be extended by an amount of time equal to the duration of the base closure with no additional compensation to the Contractor.
2.7.2. Winter Weather: In the event that the winter weather prevents the Contractor from completing Contract requirements the Contractor may request a Period of Performance (PoP) extension. If required, the Contractor shall submit a PoP extension request to the Contracting Officer. The request shall include the proposed work stoppage date, resumption of work date, and the reason the work must be suspended. If approved, the PoP will be extended by the agreed to duration at no additional compensation to the Contractor.
2.8. USE OF TOBACCO
2.8.1. Use of tobacco shall be limited to designated smoking areas as approved by the
Government. Cigarette butts shall not be left on the ground at any construction site. The Contractor shall strictly inform/enforce these rules regarding his employees, suppliers, and subcontractors.
2.9. INAPPROPRIATE WORK BEHAVIOR
2.9.1. The Contractor shall assume responsibility for the actions of their employees, subcontractors, and suppliers when on base.
2.9.2. The CO will reserve the right to suspend and/or remove individuals from this Contract for behavior he/she determines to be inappropriate.
2.10. LIABILITY
2.10.1. The CE Design Manager or CO will notify the A/E if a potential design deficiency exists.
The A/E shall have two (2) business days to respond to the CO.
2.10.2. If the CO determines that the problem is a design deficiency, the A/E shall be required to provide a corrected design within five (5) business days. This shall include complete clouded revisions to the drawings and specifications with a construction cost estimate for the corrected work. The A/E shall note that the CO will at their discretion seek reimbursement up to the dollar value of said change to the construction contract.
2.10.3. The A/E shall be liable to make corrections that are a result of design deficiencies for a period of three (3) years after the completion of the design.
3. TASK ORDER PROCESS
3.1. PROVISIONS ON CONTRACTING OFFICER’S AUTHORITY
3.1.1. Only the CO is authorized to make changes to the Contract or any DO’s issued thereunder.
No other Government or non-Government official may alter this Contract or any DO issued IAW the Contract Terms and Conditions. The Contractor shall report any attempts to alter this Contract or any DO to the CO. In the event the Contractor effects any such changes at the direction of any person other than the CO, the change will be considered to have been made without authority and no adjustment will be made in the Contract or DO price to cover any increase in costs incurred as a result thereof.
3.2. ORDERING PROCEDURES
3.2.1. As the need arises the CO or his/her designated representative will provide the CM an RFP that will include a written Statement of Work (SOW). If requested, a site visit will be scheduled at the earliest possible time, normally within five (5) calendar days from the date of notification. The CM shall attend the site visit with the 66 ABG/CE representative and the CO’s representative. At the site visit the Contractor shall ask questions, both verbally and in writing using the Government Request for Information (RFI) form & process, if they assess requirement scope clarification is necessary, verify existing conditions, and obtain whatever measurements & information are necessary to develop a complete and accurate DO proposal.
3.2.2. Contractor’s DO Proposal: A DO proposal shall consist of the following:
3.2.2.1. Detailed DO Cost Proposal: One (1) electronic copy of the Contractor’s complete detailed line-item DO cost proposal shall be submitted for each RFP.
3.2.3. Cover Sheet: Each DO proposal shall include a cover sheet that includes project contact information, acceptance of or request changes to the Government’s proposed performance period, contractor assumptions, and any exceptions taken.
3.2.4. DO Bid Options: The Government may include bid options within each DO. Bid options will be exercised by the end of the FY in which the DO was awarded or prior to completion of the DO, whichever comes first.
3.2.4.1. DO Cost Proposals: If bid options are included in the RFP, the DO cost proposal shall be separated by base bid and options. Each option shall have its own cost proposal.
3.2.4.2. DO Schedule: If bid options are included, the proposed DO shall include the contract time extension required to complete the bid option work. The Contract PoP will be modified to reflect the difference between the time required to complete the work included in the bid option and remaining PoP. For example, if the bid option work requires an additional 10 days and there is 3 days remaining in the current DO’s PoP, then 7 days will be added to the projects overall PoP.
3.2.5. Negotiations: The Government reserves the right to conduct discussions and negotiations if the CO determines that it is in the best interest of the Government to do so.
3.2.6. When needed, a pre-proposal site visit will occur, attended by the A/E and CE Design
Manager involved with the project to ascertain that the A/E clearly comprehends the entire scope of work and understands what is required at every stage of service. It enables the A/E to view the project site with the CE Design Manager to clearly recognize the limits of service. It further allows any questions, clarifications or review of the Task Order SOW required by the A/E to be made at this time.
3.2.7. Based on the site visit, this SOW and the Task Order SOW, the A/E shall formulate there fixed price proposal based upon labor-hours assigned with the basic contract labor rates necessary to complete the services. The proposal shall be submitted to the CO and in turn to the Project Manager for technical evaluation. Negotiations will be set by the CO as necessary.
3.2.8. After award of task order, the A/E shall meet the following requirements:
3.2.8.1. The A/E shall perform necessary services and travel for the work and, as defined in the Task Order SOW. Actual work shall begin upon receipt of the Task Order.
3.2.8.2. The A/E shall be required to perform a complete survey of the project area and make periodic visits to the project site as part of any Task Order as necessary to ensure design accuracy and timely completion of the project.
3.2.9. Security information: The A/E shall comply with pertinent Air Force Security regulations while working on the individual task order. Special security clearance such as Confidential, Secret, etc., is not required by the A/E for the design on any Task Order. The A/E shall take all possible precautions and efforts to prevent the disclosure of any information that might provide prospective construction contractors, manufacturers or suppliers a bidding advantage over other bidders.
3.2.10. A/E SELECTION
3.2.11. The majority of the DO’s will follow sealed bid procedures. However, the Government does reserve the right to include technical evaluation criteria in RFP’s. For projects involving technical evaluations the Government will follow source selection procedures for lowest pricing technically acceptable.
3.3. TARGET CONSTRUCTION COST
3.3.1. The target construction cost for each project will be defined in the Task Order SOW. This cost represents the Government’s planning and programming cost estimate used to prepare preliminary construction budgets and will be provided for information only.
3.3.2. The A/E shall design each project, providing as much detail as possible without exceeding the target construction cost for the project.
3.3.3. When preparing a Title IA and Title IB proposal the A/E shall review the target construction cost. If for any reason the A/E should disagree with the target construction cost the A/E shall submit with their proposal a letter stating his position on the target construction cost versus scope. Backup data to support the A/E's opinion shall accompany the letter.
3.4. A/E FEES
3.4.1. The A/E shall negotiate with the Government, labor rates for specific engineering disciplines for both the basic and option years. These rates will be used for calculating the total firm fixed price for each task order. If the project requires the work to be done on a time and materials basis, these negotiated labor rates will be used against the specific disciplines required for the task order. A list of the expected engineering disciplines required to perform work under this contract is included in Appendix 2. Should a task order require an engineering discipline that is not included in Appendix 2, the A/E should include the proposed discipline and labor rate as part of the task order proposal.
3.4.2. For firm fixed price task orders, the A/E shall submit a labor-hour proposal based on the labor categories and rates established in the basic contract. The Task Order SOW will be used to determine the required labor categories and estimated hours. The total task order value will be the sum of the proposed labor hours times the accepted labor rate for that category. The A/E shall submit this proposal for review, if required negotiations, and subsequent issuance of each Task Order. Each proposal shall separate costs by Title 1A Investigatory, Title 1B Design, and Title 1C Other services. The A/E’s proposal shall include a detailed narrative that clearly states their assumptions, clarifications, or exceptions to the Request for Proposal (RFP).
3.4.3. Title IA fees shall consist of all investigatory services including engineering studies, field investigations and surveys, such as electrical monitoring, topographical surveys, soil analysis, subsurface explorations, environmental analysis and report on the results of the Title IA investigation, etc. It shall include all work to provide concepts including drawings, narrative and preliminary construction cost estimates and to provide information required by the Title IA submittal. Special services (permitting etc.) if required, will be specified in the Task Order SOW. Fees for any special services identified shall be incorporated into the Title IA fee. The Title IA services shall be a firm fixed price based on the labor-hours negotiated prior to the issuance of the task order. Upon the successful completion and acceptance of the Title IA services, the firm fixed price will be paid.
3.4.4. Title IB fees shall consist of design services required to provide a complete set of construction documents meeting all UFC requirements including cut sheets, design analysis, and estimates. DFARS 236.606-70 statutory limitation fee of six (6) percent of the target construction cost shall apply to services defined as plan production; it shall exclude any portion of the Title IB that is not related to actual production of the specifications and drawings. All modifications to the task orders shall fall within the six (6) percent limitation for the work that is related to the production of the specifications and drawings.
3.4.5. The total firm fixed price fee proposed will be based strictly on the effort required to accomplish the scope defined in the Task Order SOW in accordance with all the requirements outlined in this SOW. In accordance with the Defense Federal Acquisition Regulation Supplement (DFARS) 236.606-70, there is a six (6) percent statutory limit on the task order value for Title IB design services as it relates to the target construction cost.
However, the proposed fee shall neither be solely calculated as a portion of the construction cost, nor shall the fixed price be adjusted after task order award solely on variation of the construction cost.
3.4.6. The fee for each project's task order shall include all costs for the A/E to meet criteria, services, and submittal requirements per this SOW and specific requirements of the Task Order SOW.
3.4.7. The A/E shall note that an increase in target construction cost does not constitute an increase in fee unless there is a definitive change in scope associated with the increase in construction cost.
3.4.8. TASK ORDER PAYMENT
3.4.8.1. Services will be paid upon the acceptance of each submittal based on the firm fixed price negotiated prior to issuance of the task order.
3.4.8.2. Title II fees shall be time and materials based on the estimate of the total labor-hours required to prepare deliverables and tasks defined in the Task Order SOW.
Deliverables shall include but not be limited to reports, drawings and written recommendations etc. Invoicing for time and materials shall be based on actual labor-hours expended and verified through deliverables.
3.4.8.3. Other A/E services shall be on a fixed price based on estimated labor-hours to complete the tasks described in the Task Order SOW. Title II deliverables shall consist of trip reports, submittal recommendations etc. as defined in the Task Order SOW. Invoicing for Other A/E services shall be based on receipt of deliverables as defined in the Task Order SOW. The government will not be responsible for labor-hours in excess of the task order amount.
3.4.9. The A/E shall note that incomplete submittals will be rejected and resubmission will be required at no additional fee.
3.4.10. The A/E shall note that when the final original documents are submitted, The A/E shall incorporate all comments. If the Government finds that comments are not incorporated, the Government will reserve the right to make all corrections and charge the A/E for Government engineering and drafting time at the rates agreed upon in the basic contract.
3.5. TASK ORDER MODIFICATIONS
3.5.1. Should the A/E receive review comments from either the CE Design Manager or a
Government representative that the A/E believes are outside the original scope as defined hereinafter including the Task Order SOW, the A/E shall notify the CO immediately. No work shall be done on these items until clarification is received from the CO.
3.5.2. The Government will provide changes in scope in writing to the A/E and a fee proposal for the change will be submitted to the CO.
3.5.3. Items 3.5.1 and 3.5.2 apply to scope changes only, changes required due to clarification, insufficient detail or information or failure to meet all requirements of this SOW or Task Order SOWs do not constitute a basis for additional fee.
