SCHEDULE NOTES
SCHEDULE NOTES
1. This acquisition is being conducted under full and open competition.
2. Notice to Proceed (NTP): Will be issued and the dates/times will be determined for each Task Order.
3. Material Submittals and Approvals: The Basic Contract IDIQ AF Form 3000, Material Approval Submittal, will cover standard roofing material typically required on all roofing efforts under the basic contract specification. When task orders are issued, the contractor shall only use those materials that have been approved unless approval of additional material is obtained under the AF Form 3000 submitted at the task order level.
Task Order AF Form 3000, Material Submittal, will not begin until NTP is issued. All long lead and/or critical path submittal items shall be added to the progress schedule as a performance element. It should not be a percentage for payment purposes, rather a milestone within the performance period.
4.
5. The offeror and/or all subcontractors shall be licensed by the State of Florida in all areas applicable to this contract.
6. Offeror must propose to ALL line items in Section B and all item numbers in the Bid Schedule, Attachment 1, of this solicitation in order to be considered acceptable.
7. Payment and Performance bonds are required for each task order and shall be submitted within 10 calendar days of notice of award.
8. Minimum Amount: The guaranteed minimum amount of $5,000 is applicable for award under this solicitation.
9. Maximum Amount: The maximum contract value will not exceed (NTE) $9,000,000.00. The contract value will be determined by a summation of the delivery orders issued for performance of work under the contract.
10. Initial Task Order(s): The initial task order will be funded at award at an estimated price to meet the IDIQ’s guaranteed minimum amount based on the proposed FFP Bid Schedule and the Task Order’s specification. After award of the basic IDIQ and initial task order, a Site Survey will be held and the Government’s measurements verified with the contractor. The task order will then be definitized based on the outcome of the Site Survey and contractor’s proposal to specification. Although the initial task order will be awarded at an estimated price, variation between the estimated task order price and the contractor’s proposal to the initial task order should be minimal since the Government’s estimate and Contractor’s proposed price will be based on the accepted Bid Schedule and actual measurements of the roofing system identified in the Specification (i.e. 1 foot = 1 foot).
11. Utilities Included: The Government will provide the following utilities if required for the performance of the work issued under delivery orders: Water, Electricity and Telephone.
12. Non-Access Period: Any period of time, during normal duty hours, that the contractor and/or their subcontractors, to include deliveries are denied access to the worksite by the appropriate government authority.
13. No-Dig Period
a. Any period of time that the contractor and/or their subcontractor are not permitted to perform any modification to any existing grade or storm drainage profile by digging, cutting an existing grade, probing, drilling, installing tie down rods, driving grounding rods, trenching and back filling, and all other penetrations to subsurface areas.
b. A no-dig day may allow the contractor access to the site and does not necessary preclude the contractor from performing other work. A non-access day, does not allow the contractor access to the site to perform any work.
14. For the purposes of clause 52.216-19, ORDER LIMITATIONS (OCT 1995), an item is defined as the line items contained in the resultant task orders for a single project/effort on a roofing system.

ORDERING PROCEDURES
ORDERING PROCEDURES:
| a. For performance under the terms of this contract, the Contracting Officer or his authorized representative will notify the Contractor of a performance requirement. |
| b. The Contractor shall have permanent, full-time representation to receive such notification. |
| c. Upon receipt of this notification, the Contractor shall respond to the needs of the Government within 3 working days by visiting the proposed work site in the company of the Contracting Officer or his authorized representative. In accordance with contract clause 52.216-19, Order Limitations, if the Contractor does not wish to provide the services requested on a task order, which are below the minimum order amount or above the maximum order amount as specified herein they must submit in writing within 3 days of receipt of notification an explanation of non-intent. The Contractor’s attention is directed to paragraph (a), 52.216-19, wherein an order above the maximum shall be honored unless the order is returned within 3 days to the ordering officer with a written notice. |
d. Upon establishment of the scope of the individual requirement, the Contractor shall then prepare his proposal for accomplishment of the task. It is the Contractor’s responsibility to ensure the proposal includes all costs associated with meeting the requirements of federal, state, and local laws or enforcing codes, as well as the requirements of the Technical Specifications. It shall be the responsibility of the Contractor to ensure that all the requirements of the statement of work have been included in their proposal. No equitable adjustment will be made after the issuance of a task order to account for items left out of the Contractor’s proposal.
| e. The Contractor’s proposal must be supported by necessary documentation to indicate that adequate engineering and planning to accomplish the requirements have previously been performed. Example of documentation that might reasonably be expected would include surveying, design drawings, calculations, catalog cuts, specs, architectural renderings, etc. |
| f. The Bid Schedule will serve as the basis for establishing the value of the work to be performed on a unit price basis. |
| g. Non-pre-priced work to be included in the task order shall be presented by the Contractor in a separate category, showing itemized material, labor, and equipment costs. If a single non-priced item exceeds $2,000, the Contractor shall provide at least three (3) price quotes, if possible, to substantiate the proposed price. In the instance that three quotes cannot be obtained, the Contractor shall notify Contracting Officer to this effect with written explanation. More than one quote may be required for non-priced items less than $2,000 if, in the Contracting Officer’s discretion it is determined necessary. These quotes shall be made available to the contracting officer upon request. |
h. The normal time frame for submittal of Contractor’s proposal for each individual requirement will be:
1. 10 business days for routine task orders.
(2) 5 calendar days for mission critical task orders.
| i. Upon receipt of the Contractor’s proposal, the Government will, within a reasonable time, review the proposal for completeness. The Government will negotiate all non-priced items and performance times with the Contractor. | |
| j. The Contracting Officer, using Defense Department (DD) 1155 or agency equivalent form, will then issue a task order. Each task order will include the following information: | |
| (1) Date of the task order. | |
| (2) Contract number and task order number. | |
| (3) Statement of Work. |
(4) Task order price, task or performance data.
| (5) Accounting and appropriation data, and paying office. | |
| (6) Any other pertinent data. | |
| k. If conditions arise where a task order may need to be modified, the Contractor shall inform the Contracting Officer as soon as possible. Modifications to task orders can only be issued by the Contracting Officer. Modifications to a task order will be subject to the same coefficient as the original task order, regardless of the contract year in which the modification is awarded. | |
| l. To expedite year-end or emergency requirements, orders may be pre-negotiated prior to receipt of funds. In such cases, prior to requesting the Contractor’s proposal, the Contracting Officer shall request from the Contractor a no cost agreement if order is not awarded. No task/delivery order may be awarded until funds are received. |

52.216-4 ECONOMIC PRICE ADJUSTMENT--LABOR AND MATERIAL (JAN 1997)
(a) The Contractor shall notify the Contracting Officer if, at any time during contract performance, the rate of pay for labor (including fringe benefits) or the unit prices for material shown in the Schedule either increase or decrease. The Contractor shall furnish this notice within 60 days after the increase or decrease, or within any additional period that the Contracting Officer may approve in writing, but not later than the date of final payment under this contract. The notice shall include the Contractor's proposal for an adjustment in the contract unit prices to be negotiated under paragraph (b) of this clause, and shall include, in the form required by the Contracting Officer, supporting data explaining the cause, effective date, and amount of the increase or decrease and the amount of the Contractor's adjustment proposal.
(b) Promptly after the Contracting Officer receives the notice and data under paragraph (a) of this clause, the Contracting Officer and the Contractor shall negotiate a price adjustment in the contract unit prices and its effective date. However, the Contracting Officer may postpone the negotiations until an accumulation of increases and decreases in the labor rates (including fringe benefits) and unit prices of material shown in the Schedule results in an adjustment allowable under subparagraph (c)(3) of this clause. The Contracting Officer shall modify this contract (1) to include the price adjustment and its effective date and (2) to revise the labor rates (including fringe benefits) or unit prices of material as shown in the Schedule to reflect the increases or decreases resulting from the adjustment. The Contractor shall continue performance pending agreement on, or determination of, any adjustment and its effective date.
(c) Any price adjustment under this clause is subject to the following limitations:
(1) Any adjustment shall be limited to the effect on unit prices of the increases or decreases in the rates of pay for labor (including fringe benefits) or unit prices for material shown in the Schedule. There shall be no adjustment for (i) supplies or services for which the production cost is not affected by such changes, (ii) changes in rates or unit prices other than those shown in the Schedule, or (iii) changes in the quantities of labor or material used from those shown in the Schedule for each item.
(2) No upward adjustment shall apply to supplies or services that are required to be delivered or performed before the effective date of the adjustment, unless the Contractor's failure to deliver or perform according to the delivery schedule results from causes beyond the Contractor's control and without its fault or negligence, within the meaning of the Default clause.
(3) There shall be no adjustment for any change in rates of pay for labor (including fringe benefits) or unit prices for material which would not result in a net change of at least 3 percent of the then-current total contract price. This limitation shall not apply, however, if, after final delivery of all contract line items, either party requests an adjustment under paragraph (b) of this clause.
(4) The aggregate of the increases in any contract unit price made under this clause shall not exceed 10 percent of the original unit price. There is no percentage limitation on the amount of decreases that may be made under this clause.
(d) The Contracting Officer may examine the Contractor's books, records, and other supporting data relevant to the cost of labor (including fringe benefits) and material during all reasonable times until the end of 3 years after the date of final payment under this contract or the time periods specified in Subpart 4.7 of the Federal Acquisition Regulation (FAR), whichever is earlier.
52.216-22 INDEFINITE QUANTITY. (OCT 1995)
(a) This is an indefinite-quantity contract for the supplies or services specified, and effective for the period stated, in the Schedule. The quantities of supplies and services specified in the Schedule are estimates only and are not purchased by this contract.
(b) Delivery or performance shall be made only as authorized by orders issued in accordance with the Ordering clause. The Contractor shall furnish to the Government, when and if ordered, the supplies or services specified in the Schedule up to and including the quantity designated in the Schedule as the "maximum". The Government shall order at least the quantity of supplies or services designated in the Schedule as the "minimum".
(c) Except for any limitations on quantities in the Order Limitations clause or in the Schedule, there is no limit on the number of orders that may be issued. The Government may issue orders requiring delivery to multiple destinations or performance at multiple locations.
(d) Any order issued during the effective period of this contract and not completed within that period shall be completed by the Contractor within the time specified in the order. The contract shall govern the Contractor's and Government's rights and obligations with respect to that order to the same extent as if the order were completed during the contract's effective period; provided, that the Contractor shall not be required to make any deliveries under this contract after 25 September 2009 or the end of the current period of performance if option periods are exercised..
52.217-8 OPTION TO EXTEND SERVICES (NOV 1999)
The Government may require continued performance of any services within the limits and at the rates specified in the contract. These rates may be adjusted only as a result of revisions to prevailing labor rates provided by the Secretary of Labor. The option provision may be exercised more than once, but the total extension of performance hereunder shall not exceed 6 months. The Contracting Officer may exercise the option by written notice to the Contractor within 30 days of contract completion.
52.217-9 OPTION TO EXTEND THE TERM OF THE CONTRACT (MAR 2000)
(a) The Government may extend the term of this contract by written notice to the Contractor prior to 15 days before expiration of current contract period; provided that the Government gives the Contractor a preliminary written notice of its intent to extend at least 30 calender days before the contract expires. The preliminary notice does not commit the Government to an extension.
(b) If the Government exercises this option, the extended contract shall be considered to include this option clause.
(c) The total duration of this contract, including the exercise of any options under this clause, shall not exceed 66 months.
