In the event of conflict between the answer to questions/clarifications and the RFP as amended, the RFP as amended shall take precedence.
1.3.3 Debriefings
If the Government establishes a competitive range, the CO will promptly notify offerors of any decision to exclude them from the competitive range; whereupon, they may request and receive a debriefing in accordance with FAR 15.505. Offerors excluded from the competitive range may request a pre-award debriefing or they may choose to wait until after the source selection decision to request a post-award debriefing. However, offerors excluded from the competitive range are entitled to no more than one debriefing for each proposal.
The CO will notify unsuccessful offerors in the competitive range of the source selection decision in accordance with FAR 15.503(a). 1.4.2 Cross-Referencing
To the greatest extent possible, each volume shall be written on a stand-alone basis so that its contents may be evaluated with a minimum of cross-referencing to other volumes of the proposal. Information required for proposal evaluation which is not found in its designated volume will be assumed to have been omitted from the proposal.
Cross-referencing within a proposal volume is permitted where its use would conserve space without impairing clarity. Offerors shall complete the Proposal column in the Cross
Reference Matrix (CRM) at Section L, Attachment 7. The CRM (Attachment 7) is provided as a reference tool intended to reduce inconsistencies and aid in proposal preparation. In the event of a conflict between the CRM and any section of the RFP, the RFP section shall take precedence.

SEMATS2.mdb (e.g., ABC Company – Past Performance Volume (PPI) – SEMATS2.mdb) to submit as part of the electronic copy of the past performance volume. Once complete PPI sheets and past performance questionnaires (PPQs) will be treated as source selection information in accordance with FAR Part 3.104.
3.4.2 Subcontractor Consent
In order for the Government to be as transparent as possible with the prime about its past performance evaluation, the Government is seeking subcontractor consent for the
Government to discuss the full details of a subcontractor’s past performance with the prime contractor. If the Offeror should desire to have the information be available for release to itself, provide with the proposal, a letter from all subcontractors consenting to the release of their past performance information to the prime contractor. The Government will not, in any cases, disclose the reference, in accordance with FAR 15.306 (e)(4); 15.506 (e)(4).

due date, the lack of response will be treated neither favorably nor unfavorably.
3.4.4.3 Contact Information
The Government requires contact information for all POCs (and their telephone numbers and fax numbers) who were sent questionnaires.
3.5 Organizational Structure Change History
Many companies have acquired, been acquired by, or otherwise merged with other companies, and/or reorganized their divisions, business groups, subsidiary companies, etc. In many cases, these changes have taken place during the time of performance of relevant past efforts or between conclusion of recent past efforts and this source selection. To facilitate the Government’s relevancy determination, include in this proposal volume a "roadmap" describing all such changes in the organization of your company. As part of this explanation, show how these changes impact the relevance of any efforts you identify for past performance evaluation/performance confidence assessment. Since the Government intends to consider past performance information provided by other sources as well as that provided by the offeror(s), your "roadmap" shall be both specifically applicable to the efforts you identify and general enough to apply to efforts on which the Government receives information from other sources. This documentation shall be submitted on the CD-R, referenced in paragraph 3.4.1, as a separate file.
3.6 No Recent and Relevant Past Performance Information
If an offeror, offeror’s subcontractor, or offeror’s joint/team partner has no recent or relevant past performance information, the offeror shall submit its Volume II with the following statement: “No Recent or Relevant Past Performance Information for [insert contractor].” The Government reserves the right to determine whether any relevant past performance information exists notwithstanding the alleged absence thereof by any offeror.

4.0 VOLUME III –PRICE PROPOSAL - Submit original and one (1) copy
4.1 General Instructions:
The Offeror's Cost/Price proposal shall fully and clearly demonstrate reasonableness and balanced pricing, as well as document the Total Evaluated Price (TEP). The Offeror's
Cost/Price proposal shall document the basic contract period which will be Task Order 0001 for 30 days. To facilitate the evaluation of proposal information as outlined in Section M of this solicitation, information may be obtained from other sources including, but not limited to, DCMA, Defense Contract Audit Agency (DCAA), U.S. Department of Labor, Global Insight
Indices and any other resource available to the Government.
4.1.1 Reasonableness and Materially Unbalanced Pricing
All proposals will be reviewed in accordance with FAR 15.404-1 and all supplements. All unreasonably high proposed prices, initially or subsequently, may be grounds for eliminating a proposal from the competition. Unbalanced pricing may increase performance risk and could result in payment of unreasonably high prices. Unbalanced pricing poses an unacceptable risk to the Government and may be a reason to reject an offeror’s proposal. Unbalanced pricing exists when, despite an acceptable total evaluated price, the price of one or more contract line items is significantly over or understated as indicated by the application of cost or price analysis techniques. Offers that are determined to be unbalanced may be rejected if the lack of balance poses an unacceptable risk to the Government.
4.1.2 Cost/Price Information
Data beyond that required by this instruction shall not be submitted, unless the offeror considers it essential to document or support your cost/price position. All data relating to the proposed price, including all required supporting documentation, must be included in the section of the proposal designated as the Cost/Price volume. Under no circumstances shall this data and documentation be included elsewhere in the proposal.
4.1.3 Data Other Than Certified Cost or Pricing Data and Certified Cost or Pricing Data
In accordance with FAR 15.403-1(b) and 15.403-3, additional data other than certified cost or pricing data may be required to support cost/price reasonableness. If needed, additional data other than certified cost or pricing data shall be provided to the Government in accordance with FAR 15.403-5. If, after receipt of proposals, the CO determines there is insufficient information available to determine price reasonableness and none of the exceptions in FAR
15.403-1 apply, the offeror shall be required to submit certified cost or pricing data. Should adequate price competition not exist after receipt of proposals, the provisions of FAR Part
15.403-4 shall apply, and the offeror will be asked to provide certified cost or pricing data.
4.1.4 Rounding
All calculated monetary amounts provided shall be rounded to the nearest cent (hundreds place). For the purposes of evaluation, the Contracting Officer may round all proposed prices to the nearest dollar.
4.1.5 Minimum Order Quantity
At contract award, the Government will award a task order for Transition to satisfy the
PAGE L - 17
contract minimum. This task order will be Firm Fixed Price.
4.1.6 Agreements and Licenses.
In any instances where the Offeror will need to disclose technical data in the performance of this contract (written, visual, or oral), which includes the mere clarification thereof, to a
Foreign Exchange Officer or other foreign person (including a corporation or other business entity) pursuant to any tasking under the SEMATS 2 contract, the Offeror and its personnel should presume that they most likely would be deemed the exporter. As such, the Offeror has the primary responsibility (not the AF or DoD) to determine whether an export license or
Technical Assistance Agreement (TAA) from the Department of State is necessary and needs to be pursued, or alternatively, whether a notice of exemption to be filed with the Department of State would be sufficient. In addition to its own liability, the impact to general and administrative expenses as well as the scheduling impact in meeting its customers' needs is all inclusive in the rate specified under CLIN 0001.
4.2 Task Order Proposals
4.2.1 Task Order 0001; Transition
Offerors will place their total for transition in Section L, Attachment 6a. Offerors will provide a separate breakdown of their price for Task Order 0001, which will reflect the requirements within the Task Order 0001 PWS and be a firm-fixed price.
4.2.2 Task Order 0002; SEMATS 2 Performance
The Government reserves the right to award Task Order 0002 unilaterally at the price provided in the proposal up until the last day of transition. Task Order 0002 will consist of an order of
Firm-Fixed Priced, Level of Effort comprised of the labor mix and hours specified on the
Total Evaluated Price, Section L, Attachment 6b, minus any categories with one (1) labor hour and excluding 52.217-8 option pricing. The Task Order 0002 PWS is included. Task
Order 0002 will include a base year and four (4) option years.
4.3 Volume Organization
In the Cost/Price Proposal, Offerors shall provide the following information:

Government approval of their accounting system and if so, provide evidence of such approval.
4.5 Deviations from Approved Systems
The offeror shall provide Ground Rules and Assumptions used in preparing the proposal.
The Ground Rules and Assumptions will include a statement indicating whether the offeror has an approved estimating, accounting, and purchasing system. If a deviation from the approved procedures was utilized, the offeror must include a detailed explanation outlining what procedures were used and why the offeror deviated from the approved system procedures.

Section J, Attachment 3 for the entire SEMATS contract through calendar year (CY) 2021.
All labor proposed must be discretely identified by category and rate utilized. These rates shall be presented using the format in Section J, Attachment 3. Teaming partners, separate business units, nor subcontractors shall not submit separately priced labor hours. The offeror shall show all rates that are firm-fixed per labor hour (including subcontractor rates). The rates the offeror provides will be used to price all future task orders for a period of performance of five (5) years.
4.6.4 Labor Rates Table
The offeror shall propose in accordance with Section J, Attachment 3. Section J, Attachment
3 shall include firm-fixed rates to include all overheads, cost of money, and profit. The general layout of the table shall not be changed. The offeror is required to propose a firm-fixed rate for each labor category in each year. Failure to provide a labor category will be viewed as an incomplete offer and may be rejected at the sole discretion of the
Contracting Officer if not corrected before the proposal due date.
4.6.5 Government’s Estimated Labor Hours
The Government estimated labor hours which make up the Total Evaluated Price (TEP), in
PAGE L - 19
Section L, Attachment 6b, are based on a historical “snapshot” of the number of contracted hours utilized for each labor category and projected into the future. The Government makes no claim that future usage will in any way mirror prior usage or the estimated number of hours. For the purposes of this contract, a man-year consists of 1,920 direct labor man hours. Subcontracted labor is to be included in the staffing levels. A contract year is twelve contiguous months commencing on the first day of performance.
NOTE: Section L Attachments are Microsoft Excel workbooks which may have multiple worksheets.
4.6.6 Labor Categories
The offeror shall not add any labor categories.
4.7 Total Evaluated Price (TEP)
Total Evaluated Price will consist of multiple workbooks. The offeror shall submit a complete workbook at Attachment 6b. The rates shall match the rates provided in Section J, Attachment 3. Any discrepancy between the rates within the two spreadsheets will be considered to be a nonconforming proposal and may, at the discretion of the Contracting
Officer, be cause for removal from the competition without further notification to the offeror.
Offerors will update blocks with red outlines and red text, only, for both Attachments 6a and
6b. Offerors will not change the font, margins, or print setting for the workbooks. Offerors shall submit a printout of each worksheet within each workbook as Section 2 of Volume 2
(see Section L, paragraph 4.2). Offerors shall not adjust prepopulated columns. Offerors shall enter digits, where appropriate, in amounts carried out no further than two decimal places
(rounded to the nearest cent). The CO reserves the right to reject proposals from offerors where spreadsheets are populated with digits with more than two decimal places (fractions of a cent).
4.7.1 TEP Summary: Section L, Attachment 6a
The offeror will use Section L, Attachment 6a, to present the TEP. All years in Section L, Attachment 6a shall be filled out. The offeror will add together Block B7 for each
