1. NEGOTIATION AUTHORITY
i. The issuance of individual calls under this Blanket Purchase Agreement
(BPA) will be made under the authority of FAR Part 13.303-5 and 10 USC 2304 (g). A BPA is solely an agreement, not a binding contract. A BPA is a simplified method of filling anticipated repetitive requirements for supplies and/or services. A BPA does not commit or obligate funds.
ii. The Contracting Officer is the only person authorized to approve changes in any of the requirements of this BPA and notwithstanding provisions contained elsewhere in the BPA, said authority remains the sole responsibility of the Contracting Officer. Only the identified personnel in Section 6 are authorized to make calls on behalf of the government and any changes must be authorized and approved by the Contracting Officer.
iii. Except as specified below, no order, statement, or conduct of US Government personnel who visit the vendor’s facilities or in any other manner communicates with vendor personnel during the performance of this BPA shall constitute a change under the changes clause in this BPA.
The vendor shall not comply with any order, direction, or request of US Government personnel unless it is issued in writing and signed by the Contracting Officer, or is pursuant to specific authority otherwise included as a part of this BPA.
iv. Either party may cancel this BPA in its entirety upon thirty (30) day written notice to the other party. EXCEPTION: the US Government may cancel this BPA at any time if the parties fail to agree upon any deletion, amendment, or addition to this BPA which statute, executive order, or the FAR and/or this Supplement requires. No deletion, modification, addition to, or cancellation of this BPA shall affect any contracts already entered into between the parties in which this BPA or portion thereof has been incorporated by reference.
v. This BPA shall be reviewed, at a minimum annually, before the anniversary of its effective date and revised to conform to all requirements of statutes, Executive Orders, or the FAR and its Supplements.
vi. If the US Government determines a change is needed to the BPA or the services then the Contracting Officer will make an announcement via email of its intent.
vii. Special clauses will be included when required and included in the orders placed against the BPA.
2. DESCRIPTION OF AGREEMENT: The supplier shall furnish all services, if and when requested by the contracting officer or authorized representative of the contracting officer. Contractor is required to provide lodging in accordance with this agreement and the PWS. Period of performance for the Blanket Purchase Agreement (BPA) is 17 April 2020 through 30 September 2020.
3. EXTENT OF OBLIGATION: The Government is only obligated to the extent of authorized calls actually placed against this BPA by authorized personnel and shall not be liable in any manner in the event no calls are placed.
4. PRICING: The prices charges the United States Government shall be as low or lower than those charges the supplier’s most favored customer for comparable quantities under similar terms and conditions, in addition to any discounts under similar terms and conditions, in addition to any discounts for prompt payment.
The prices that are quoted on the vendor’s price list shall meet such pricing that is indicated within this section.
5. PURCHASE LIMITATION: The ceiling limitation for this BPA $6,500,000 and each call is limited to $1,000,000.00.
6. CALL PROCEDURE: A call order shall be deemed to have been placed when the contractor has received a written call order from an authorized Contracting Officer (KO) and the contractor acknowledges receipt of the call order. Under this agreement only the KO is authorized to place the oral BPA Call. Calls will be competed between multiple BPA holders.
7. NOTICE OF INDIVIDUALS AUTHORIZED TO PLACE BPA CALLS: A list of individuals authorized to purchase supplies/services under this BPA, identified by title of position, organizational component, name of individuals and the purchase limitation are listed below:

8. INVOICES: An invoice shall be submitted at least monthly or upon expiration of this BPA. Vendor is authorized to submit payment every two weeks to one month. Invoices shall be made against the government purchase card.
9. PAYMENT: Pursuant to Section 8, entitled “INVOICES”, payments will be made in accordance to the prompt payment act.
10. AUTOMATIC CANCELLATION PROVISIONS: When the Contracting Officer or designated representative has requested rooms and it is found that the room is no longer required the government must give the contractor a 24 hour notice after the order has been placed in order for the reservation to be cancelled without penalty.
11. CONTRACTING OFFICER REPRESENTATIVE/COR or DESIGNATED
REPRESENTATIVE: The person(s) designated on the list furnished by the contracting officer are the designated representative(s) of the contracting officer for the purpose of technical supervision and inspection and acceptance under this agreement.
