4.3.2 HOLIDAYS

No-Service Holidays are designated at the beginning of each calendar year by FSP Management.

4.4 VEHICLE REQUIREMENTS

All equipment classified as standard and/or required to operate FSP service shall be provided by Contractor. Items inadvertently omitted from this specification that are classified and/or otherwise designated by the equipment manufacturer as required to operate the specified equipment shall also be provided by Contractor.

At all times during the Contract term, the vehicles shall be in compliance with all applicable federal, state, and local laws. Each Contractor may be required to furnish proof of compliance prior to start of Contract service.

Primary vehicles shall be dedicated to the FSP program and cannot be used by the Contractor for any other purpose during the term of the Contract. The Contractor shall not change or substitute vehicles identified for use in this Contract without written authorization from LACMTA. FSP Management will engage in periodic Facility and annual Vehicle Inspections to ensure this requirement is followed.

The Contractor shall be responsible for the security of FSP trucks including LACMTA supplied vehicle equipment at all times. The Contractor is responsible for the reasonable care, custody, and control of any property contained in a FSP truck.

Exhibit A 22 of 48 SOW

When not in use, FSP vehicles shall be parked and secured at the Contractor's facility approved by LACMTA.

The Contractor must store and maintain their vehicles at the location inspected by LACMTA and designated on the proposal document. If, after Contract award, the Contractor identifies an alternate facility/location, the location must first be approved by LACMTA before the FSP vehicles can operate from that location. The alternate facility must also meet and pass the Vehicle and Facility Inspections (see Exhibit J - Site Visit). The Contractor shall meet all contractual requirements and obligations while operating from this alternate facility.

All regular and back-up truck cabs, chassis and beds/flatbeds proposed for the Contract shall be new (current or previous model year and no salvage title vehicles) with no more than 5,000 miles as of Contract start date. Beds include all components that are attached to the bed, including but not limited to, the boom, wheel lift, etc. All equipment, accessories, and tools that are not attached to the beds, cabs or chassis, shall be in good working order and like new appearance.

CHP will verify the original purchase date, and vehicle appearance to ensure compliance prior to communication equipment installation. CHP will conduct a comprehensive inspection to certify the vehicle for FSP service prior to the Contract start date. It is the Contractor's responsibility to ensure that all trucks are certified and operational by the first day of contracted service.

Prior to commencement of service, the CHP shall inspect and certify all FSP vehicles, including back up vehicles, designated for FSP, to ensure they meet vehicle specifications and meet or exceed safety requirements as defined in “Section 4.4.3 General Requirements for each Vehicle” below. Included in this evaluation shall be an inspection of tow truck(s) by CHP to verify that they can safely tow or carry a vehicle weighing a maximum of 6,000 pounds. All vehicles must be certified for the FSP program by the CHP prior to the Contract start date.

4.4.1 VEHICLE REPAIR

In the event a primary tow or service vehicle is taken out of service and can be repaired, the Contractor is required to have the vehicle back in service within 30 days. If the vehicle is not returned to service by day 31, LACMTA may assess the Contractor $100 per day for each day the vehicle remains out of service retroactive to the first day it was removed from service. For example, LACMTA would assess Liquidated Damages of $3,100 on day 31 if the vehicle at that time remained out of service and would continue to assess damages of $100 each day thereafter until it was finally returned to service.

A vehicle that is out of service for 30 days and is taken out of service again within a short period of time (e.g., 15 days) will be subject to CHP inspection to

Exhibit A 23 of 48 SOW ensure that the vehicle was properly repaired the first time and that the new repair is in fact in response to an unrelated new problem.

The Contractor may determine that the vehicle cannot be repaired at which point the vehicle must be replaced as detailed in the guidelines below. A Contractor that commits to replacing the vehicle but then is somehow able to repair the vehicle and return it to service after 30 days will be subject to Liquidated Damages as described above.

Vehicles taken out of service for repairs may be subject to CHP inspection prior to being allowed back into service.

4.4.2 VEHICLE REPLACEMENT

In the event a tow or service vehicle can no longer be used for FSP service due to an accident, mechanical breakdown, etc., the Contractor is required to replace the vehicle if the date the vehicle went out-of-service is more than 180 calendar days (6 months) before the Contract expiration date. The Contractor will have 90 days, from the date the vehicle is taken out-of-service, to have the replacement vehicle FSP certified by CHP and available for service regardless of insurance settlement. The replacement vehicle must meet the following requirements:

1. The vehicle is the same type of vehicle (pickup, tow truck) as the one being replaced.

2. The vehicle chassis and tow bed must meet the vehicle requirements for the Contract (No Salvage Title) and be the same or newer model year.

The original bed may be used on the replacement chassis as long as it is in good working order and has no visible damage otherwise the bed must also be new.

If a replacement vehicle is not certified and available for service within 90-days, the Contractor will be subject to monetary assessment of $100 per day* levied retroactively from the day the vehicle went out of service until a replacement vehicle is certified for FSP service by CHP. This is in addition to any other Liquidated Damages assessed for other trucks that are out-of-service and impacting FSP service.

If the out-of-service date is less than or equal to 180 days prior to the Contract termination date, it is the Contractor’s option whether to replace the vehicle. If the Contractor has more than one FSP light duty tow service Contract, it may request permission from LACMTA to use the backup tow truck or service vehicle from the other FSP Contract to substitute for the out-of-service vehicle.

Vehicles from expired Contracts may replace current active Contract vehicles on a case-by-case basis. If the vehicle is not replaced, LACMTA may require

Exhibit A 24 of 48 SOW reimbursement for the portion of the insurance premium and vehicle registration for the period of time that the vehicle is out of service.

Contractors must immediately provide LACMTA written notification when a vehicle is no longer operational and must indicate whether or not it will be replaced.

* $100 is the estimated daily all-inclusive cost (Liquidated Damage) of a tow vehicle that is unavailable.

4.4.3 GENERAL REQUIREMENTS FOR EACH VEHICLE

The Contractor's FSP vehicle shall be subject to inspection by the CHP to determine that the vehicle, in its final configuration, meets this technical specification and is complete and not damaged prior to the start of the Contract.

All equipment classified as standard and/or required to operate FSP service shall be provided by Contractor. Items inadvertently omitted from this specification that are classified and/or otherwise designated by the equipment manufacturer as required to operate the specified equipment shall also be provided by Contractor.

At all times during the Contract term, the vehicle shall be in compliance with all applicable federal, state, and local laws pertaining to this equipment. Each Contractor may be required to furnish proof of compliance prior to start of Contract service.
