About this file

This document is a set of Special Provisions that apply to all contracts with the State of Colorado, except where noted. The provisions establish foundational requirements for contractor performance and state obligations, including controller approval requirements, fund availability contingencies, and maintenance of governmental immunity protections. Contractors must operate as independent entities, maintain appropriate insurance coverage, and comply with all applicable federal and state laws, including those related to discrimination and unfair employment practices. The state retains the right to apply Colorado law to all contract interpretations and explicitly prohibits binding arbitration by extra-judicial bodies. Additionally, contractors are required to certify compliance with software licensing restrictions to prevent misuse of public funds and must disclose any potential conflicts of interest involving state employees or their own financial interests.

The provisions further establish specific employment and eligibility requirements for contractors, including mandatory participation in the E-Verify Program or equivalent state program to confirm employment authorization, with contractors bearing full responsibility for notifying the state agency and terminating subcontracts within three days if illegal alien employment is discovered. Natural person contractors must affirm under penalty of perjury that they are citizens or lawfully present in the United States and must provide required identification prior to contract effectiveness. The state may withhold payment through its vendor offset intercept system for various outstanding debts, including unpaid child support, tax arrearages, student loan balances, and other unpaid obligations resulting from final agency determinations or judicial action. These provisions supersede any conflicting language in other contract documents and remain in effect throughout the contract term and any extensions.
