About this file

This Invitation for Bids (IFB) issued by the Texas Health and Human Services Commission Procurement and Contracting Services division on behalf of Texas, Minnesota, Iowa, and the Choctaw Nation of Oklahoma seeks competitive bids to establish rebate contracts for milk-based and/or soy-based infant formula (excluding Exempt Infant Formula) purchased through the WIC (Special Supplemental Nutrition Program for Women, Infants and Children) program. The solicitation anticipates awarding up to two contracts—one for milk-based infant formula and one for soy-based infant formula, or one contract for both products—with the selected vendor(s) required to supply formula in three physical forms: concentrated liquid, powdered, and ready-to-feed. The IFB was posted to the Electronic State Business Daily (ESBD) on October 14, 2026, with a questions and clarifications submission deadline of October 30, 2026 at 1:00 PM Central Time. Responses to this IFB must be received by January 11, 2027 at 10:30 AM Central Time, with public opening of proposals scheduled for 4:00 PM the same day. The anticipated contract award date is February 3, 2027, with contract performance commencing October 1, 2027 and continuing through September 30, 2032, with a potential one-year extension available at the HHS Agency's sole discretion for transition purposes.

Bidders must submit the lowest national wholesale cost per unit for full truckload quantities in three physical forms for their primary contract formula, and the rebate is calculated as a percentage discount applied to all other contract brand formulas in the bidder's product line. The percentage discount is determined by dividing the rebate amount for the primary contract formula by the manufacturer's lowest national wholesale price per unit for full truckload on the bid opening date; this percentage remains constant throughout the contract term except for cent-for-cent adjustments tied to wholesale price changes of 10 cents or more. Historical rebate invoices from October 2025 through March 2026 are provided as exhibits for pricing reference, though no volume, usage, or compensation is guaranteed. Contractors must respond to invoices within thirty calendar days and are subject to one percent monthly penalty interest on outstanding balances, with all states and the CNO currently submitting monthly electronic rebate invoices. Bidders must demonstrate a minimum of two years of relevant formula rebate experience and comply with HUB subcontracting plan requirements, E-Verify employment verification, background checks for personnel, and all applicable federal WIC regulations under 7 CFR 246, with the contract funded through USDA appropriations.

1 Introduction and Purpose of IFB The Texas Health and Human Services Commission (HHSC) is an agency within the Texas Health and Human Services (HHS) system. The Procurement and Contracting Services (PCS) division of HHSC administers IFBs for HHS.

HHSC PCS is seeking competitive bids on behalf of the HHS Special Supplemental Nutrition Program for Women, Infants and Children (WIC) to establish rebate Contract(s) for all milk and/or soy-based infant formula (excluding Exempt Infant Formula) purchased within the Bidder’s product line. The WIC Program is funded by the United States Department of Agriculture (USDA).

This solicitation will be processed by HHSC, a Texas state agency, on behalf of the States of Texas, Minnesota and Iowa (States) and the Choctaw Nation of Oklahoma (CNO). The solicitation and its processing will conform to applicable federal and Texas laws. Nevertheless, each State and the CNO will enter into separate Contracts with the selected vendor(s) based upon the terms and conditions of this solicitation and each States’ and CNO’s Contract requirements.

To be considered for award, Bidders must submit a comprehensive Response which includes all required information and documentation as outlined in this Solicitation to ensure the Bidder meets all requirements, possesses the required experience and qualifications, and has the capacity to provide the goods and related services described in this Solicitation. Each Bidder is solely responsible for the preparation and submission of a bid in accordance with the instructions contained in this Invitation For Bid (IFB). See Appendix A, Submission Instructions and Response Checklist.

1.1 General Provisions

The WIC programs in the states of Texas, Minnesota, Iowa, and the Choctaw Nation of Oklahoma (States and CNO) are bidding together in an alliance. No additional states or Indian Tribal Organizations (ITOs) may be added to this alliance between the date of the bid solicitation and the end of the Contract term unless a waiver is granted by the Secretary of Agriculture, in accordance with 7 CFR §246.16a(c)(3).

The States and CNO are required to receive bids separately for milk-based infant formula and for soy-based infant formula (excluding Exempt Infant Formula), per 7 CFR §246.16a(c)(2)(ii).

Each Bidder must specify a Rebate and brand name for a single milk-based and/or soy-based formula (excluding Exempt Infant Formula) for the following physical forms: concentrated liquid, powdered, and ready-to-feed.

Up to two (2) Bidders will receive Contract(s) from this IFB: one Contract will be awarded for milk-based infant formula (excluding Exempt Infant Formula) and one Contract will be awarded for soy-based infant formula (excluding Exempt Infant Formula) or one Contract for both. One Contractor may win the bid for both Contracts or the Contracts may be awarded to two different Contractors.

Version 1.80 Page 6 of 49 Revised 04/25/2025

Bidders must bid using a milk-based formula that meets the requirements under 7 CFR 246.10(e)(1)(iii) and §246.10(e)(2)(iii) and is suitable for routine issuance to the majority of generally healthy, full-term infants per 7 CFR §246.16a(c)(4)(ii)(A). Bidders must bid using a soy-based formula that meets the requirements under 7 CFR 246.10(e)(1)(iii) and §246.10(e)(2)(iii).

The Primary Contract milk and/or soy based infant formula will be the formula(s) of first choice for issuance (by physical form) to the majority of generally healthy full-term infants in the States’ and CNO’s WIC Programs. All other formulas will be issued only as alternatives to the Primary Contract milk and/or soy-based infant formula (excluding Exempt Infant Formula) (7 CFR §246.16a(c)(8) and 7 CFR §246.10(e)(1)(iii)). States and CNO may choose to issue some, none, or all of the winning Bidder's other infant formula(s). States and CNO may choose to require documentation for some, none, or all of the winning Bidder’s other formulas.

Negotiated applicable changes to the IFB and answers to questions will apply equally to both milk and soy-based infant formula Contracts in this procurement process.

Contractor and State or CNO contact is allowed for routine business activities excluding communication regarding the bid solicitation.

1.2 Food Delivery and Food Issuances Systems By State and CNO The States and CNO, through their WIC Programs, utilize a uniform food delivery system for eligible participants statewide and CNO wide. The system consists of a network of grocery stores and pharmacies (WIC Vendors) that allow the redemption of WIC food benefits in exchange for specified nutritious foods authorized by the WIC Program. The food instruments now used by the States and CNO are Electronic Benefits Transfer (EBT) eWIC cards. Food benefits (including infant formula) issued to the Electronic Benefit Accounts accessed by eWIC cards specify the quantity and types of nutritious foods that may be purchased at an authorized retail food WIC vendor. Infant formula is issued in accordance with 7 CFR §246.10(e)(1) through (e)(3) and (e)(9), of the WIC Program regulations. In addition, the States and CNO will, if necessary, provide the full nutritional benefit (FNB), using the methodology outlined in 7 CFR §246.10(h) in the WIC program regulations when issuing infant formula. States and CNO may accept exchanges of unused formula and issue replacement formula benefits; States and CNO will not replace used benefits except in disaster situations as allowed by USDA.

Iowa does issue non-contract brand infant formula without medical documentation in order to meet religious eating patterns (7 C.F.R. 246.10(d)(2)(i)). Texas, Minnesota and CNO do not issue non-contract brand infant formula without medical documentation in order to meet religious eating patterns. All the States and CNO require medical documentation to issue authorized supplemental food to participants who receive Food Package III in accordance with 7 CFR 246.10(d)(1)(v), except as allowed under any applicable waivers.

Version 1.80 Page 7 of 49 Revised 04/25/2025

The following sections details each State’s and CNO’s process for formula issuance, redemption and processing:

1.2.1 Texas

Participants are typically issued formula benefits by the calendar month for three (3) months at a time. They are scheduled with benefits in hand for the current month and then receive additional new benefits for the next three (3) months.

During the first month of issuance, formula benefits are prorated in thirds. Participants receive full benefits the first ten (10) calendar days, then two thirds of the full quantity from day eleven through twenty (11-20) and then one third of the full quantity from day twenty-one (21) to the end of the calendar month. Quantities are rounded down to the nearest full can.

Benefits for the current Contractor will continue through September 30, 2027. Benefits for the new Contractor will begin for all Contract formula fed participants on October 1, 2027. As an example, participants receiving issuance in and for the month of September 2027 will receive the current Contractor’s product for September and the new Contractor’s product for October 2027, and November 2027.

A. EBT Issuance, Purchase and Transaction Processing

Food benefits are loaded to an Electronic Benefit Account (EBA) that is maintained by the Program’s eWIC Host processor. Benefits are accessed from the EBA with a magnetic stripe card (eWIC card) at contracted WIC Vendors.

WIC Vendors operate under a Contractual agreement with the HHSC to accept eWIC card benefits in accordance with the WIC Program’s terms and conditions as specified in a written Contract and a set of WIC Vendor policies patterned after federal requirements set out in 7 CFR Part 246 which may be accessed via Code of Federal Regulations (CFR) Main Page website at:

https://ecfr.federalregister.gov/current/title-7/subtitle-B/chapter-II/subchapter-A/part-246

The HHSC Contract with each WIC Vendor specifies the responsibilities of both the WIC Program and the WIC Vendor.

Food benefits loaded to EBAs specify the type and quantity of foods that may be purchased at an authorized WIC Vendor. Specifically, an electronic file known as an Authorized Product List

Version 1.80 Page 8 of 49 Revised 04/25/2025

(APL) is downloaded at a minimum of once every forty-eight hours (48) into each WIC Vendor location’s Point-of-Sale (POS) System.

The APL is specific as to the category and sub-category of all foods authorized by the WIC Program which also contains the corresponding Universal Product Code (UPC) identified with each type and size of product authorized.

During a purchase, the eWIC card will interface with the EBA and the WIC Vendor’s in-store POS system as each food item being purchased is scanned to assure that it is an authorized product and sufficient benefits remain in the EBA to purchase the food item on that transaction date.

Once all items are scanned and accepted by the WIC Vendor’s POS system, an electronic transaction is submitted for processing and then the WIC EBA is decreased for the quantity of each food category and sub-category purchased.

The purchase of a Rebate item using WIC benefits creates the requirement for that item to be Rebated by the Contracted manufacturer. The time of purchase establishes the date regarding eligibility for the Rebate Contract. The redeeming WIC Vendor's submission of that item in an EBT transaction notifies the WIC Program that the Rebate item was purchased. The WIC Program's submission of that item on a Rebate invoice notifies the Contracted manufacturer to pay the Rebate for that item.

WIC Vendor transactions that have been received during the processing period for the day are processed for payment daily via Automated Clearinghouse (ACH) for those vendors connecting directly to WIC Direct or submitted to a WIC Vendor's Third-Party Processor (TPP) for payment.

(WIC Direct uses a twenty-four (24) hour settlement window based on a pre-determined settlement cut-off time, usually about 6:00 pm Central Standard Time).

Texas WIC receives a drawdown report daily for payments from the prior day, which is used to validate the payments to the EBT Processor.

Texas may modify its food delivery system in future, for example by allowing broadband formula issuance and/or instituting online shopping or drop shipment of contract formula.

Texas may choose to offer multiple can sizes of contract formula. At its discretion, Texas may utilize limited direct distribution during a shortage or emergency.

1.2.2 Minnesota

Participants are typically issued formula benefits for three (3) months on a rolling benefit month basis. Initial issuance is for the current month, and subsequent months’ benefits become

Version 1.80 Page 9 of 49 Revised 04/25/2025 active thirty (30) and then sixty (60) days later. Unused benefits do not rollover to the next benefit month; they are expunged. Formula is issued on a Broadband/Wildcard basis.

Participants receiving formula issuance in and for the month of September 2027 will receive the current Contractor’s product for all redemptions through September 30, 2027, but will receive the new Contractor’s product as of October 1, 2027.

A. EBT Purchase and Claims Process

The Minnesota WIC Program utilizes an online eWIC card equipped with a magnetic stripe to access an Electronic Benefit Account (EBA) that is maintained by the Program’s eWIC Host Contractor.

WIC Vendors operate under a Contractual agreement with the Minnesota Department of Health (MDH) to transact eWIC cards in accordance with the Program’s terms and conditions as specified in a written Contract encompassing the WIC Vendors’ rights and responsibilities, as set forth in federal requirements (7 CFR 246) and Minnesota Rules (Chapter 4617).

Food benefits are loaded to the EBA and are specific as to the type and quantity of foods that may be purchased at an authorized WIC Vendor. Specifically, an electronic file known as an Approved Product List (APL) is downloaded nightly into each WIC Vendor’s Electronic Cash Registering (ECR) System or Point of Sale (POS) device.

Minnesota WIC Contract formula is typically issued under one sub-category (Broadband/Wildcard) to allow selection of any contract formula by participants at the store.

Participants are educated to first select the primary Contract product.

The APL is specific as to the category and sub-category of all foods authorized by the WIC Program and contains the corresponding Universal Product Code (UPC) identified with each type and size of product authorized.

During a purchase at brick and mortar stores, the WIC participant’s eWIC card is swiped on the WIC Vendor’s POS device and the participant enters their Personal Identification Number (PIN) to access their EBA in real-time over an encrypted online connection. The benefit balance is downloaded to the WIC Vendor’s POS device and is used to verify each food item being purchased is an authorized product and that sufficient benefits remain in the EBA to purchase the food item at that time.

Once all items are scanned and accepted by the WIC Vendor’s ECR system, an electronic transaction is created and transmitted to the eWIC host and the eWIC card’s EBA is

Version 1.80 Page 10 of 49 Revised 04/25/2025 decremented for the quantity of each food category and sub-category authorized for purchase with WIC benefits.

During a WIC online transaction, the WIC participant enters their card information into a store platform to authorize use of WIC benefits. There are currently two options for authentication for online shopping, Open Authorization (OAuth) and PIN.

Open Authorization (OAuth): OAuth is a secure method for processing a transaction and is regularly used by the online shopping industry. When a WIC Vendor’s website uses OAuth, the WIC participant is redirected from the WIC Vendor’s website to the EBT processor’s participant portal to authenticate their identity. Once the participant is authenticated, the vendor’s website receives an encrypted validation in the form of a token from the processor’s solution, which subsequently gives authorization to the WIC Vendor’s website to process the WIC transaction.

Personal Identification Number (PIN): like the in-store transaction, when a WIC Vendor’s website uses the PIN to authenticate transactions, the participant enters their PIN into a secure on-screen PIN pad. This secure PIN pad sends an encrypted message to the EBT Processor, confirming the identity of the participant, and authorizing the transaction.

Both brick and mortar and online transactions result in WIC Vendor claims that have been received during the processing period for the day and are processed for payment nightly via Automated Clearinghouse (ACH).

MDH receives a drawdown report daily for payments made by the eWIC host the prior business day. MDH reviews this report and authorizes funding the payment account used to make the ACH payments to WIC Vendors.

1.2.3 Iowa

Participants are typically issued formula benefits by the calendar month for three (3) months at a time. They are scheduled with benefits in hand for the current month and then receive additional new benefits for the next 3 months.

New Contract transition- Benefits for the current Contractor will continue until September 30, 2027. Benefits for the new Contractor will begin for all Contract formula fed participants on October 1, 2027. As an example, participants receiving issuance in and for the month of September 2027 will receive the current Contractor’s product for September and the new Contractor’s product for October 2027, and November 2027.

A. EBT Purchase and Claims Process

Version 1.80 Page 11 of 49 Revised 04/25/2025

The Iowa WIC Program utilizes an online eWIC card equipped with a magnetic stripe to access an Electronic Benefit Account (EBA) that is maintained by the Program’s eWIC Host Contractor, FIS/CDP.

WIC Vendors operate under a Contractual agreement with Iowa Health and Human Services (HHS) to accept eWIC card in accordance with the Program’s terms and conditions as specified in a written Contract and a set of Iowa WIC Vendor policies patterned after federal requirements set out in 7 CFR Part 246. The Iowa WIC Vendor Agreement outlines the rights and responsibilities of the WIC Vendor and the Program.

Food benefits are loaded to the EBA and are specific as to the type and quantity of foods that may be purchased at an authorized WIC Vendor. Specifically, an electronic file known as an Authorized Product List (APL) is downloaded nightly into each WIC Vendor location’s Electronic Cash Registering (ECR) System.
