About this file

This is a sample contract document for a Milk/Soy Based Formula Contract between the Iowa Department of Health and Human Services and a named contractor for the WIC (Women, Infants, and Children) program. The contract outlines the provision and distribution of infant formula under the WIC program in compliance with Iowa Government Code Chapter 135, 641 IAC Chapter 73, and U.S. Department of Agriculture regulations 7 C.F.R. 246.16a. The contract term is effective October 1, 2027, and terminates September 30, 2032, with the State retaining the option to extend the contract for up to one additional year at its sole discretion to ensure service continuity, process new solicitations, or facilitate transition to a new contractor. The Statement of Work is incorporated as Attachment A and defines all specific performance requirements and deliverables required of the contractor.

Compensation to the State is structured as a rebate payment from the contractor based on a formula detailed in Section 9.3 of the Statement of Work, with rebate amounts adjusting on the first day of each month in accordance with the contractor's lowest national wholesale price for a full truckload of formula. The contractor must maintain active telephone service during normal business hours (8 a.m. to 5 p.m. Central Time, Monday through Friday) and provide a minimum of two 24-hour emergency contacts for urgent performance issues. The contract requires the contractor to provide substitute personnel during absences and allows the State to request removal of contractor or subcontractor personnel for cause, including poor performance, theft, abusive behavior, or improper attire. The State's Contract Manager is Jill Lange, MPH, Division Administrator, with all notices and legal correspondence directed to Jonathan Becker, WIC Program Planner III, at the Division of Health Promotion and Prevention in Des Moines.
