About this file
This is a signature document for a Health and Human Services Commission (HHSC) contract with the State of Texas for an Infant Formula Rebate program. The contract establishes an agreement between HHSC and a contractor to manage rebate activities related to infant formula costs under the WIC (Women, Infants, and Children) program, authorized by Texas Government Code Chapter 531, Subchapter D, and U.S. Department of Agriculture regulations (7 C.F.R. 246.16a). The contract is effective October 1, 2027, and expires September 30, 2032, with a five-year initial term. HHSC retains the sole discretionary authority to extend the contract for up to one additional year beyond the initial and any renewal periods to ensure service continuity, facilitate procurement transitions, or address other operational needs. The statement of work, solicitation materials, and all addenda are incorporated by reference as binding contract attachments.
The contractor is obligated to pay rebate amounts to HHSC according to the methodology specified in the Statement of Work (Attachment A), the contractor's bid sheet (Attachment H), and contract terms. Rebate amounts adjust monthly on the first day of each month based on fluctuations in the contractor's lowest national wholesale price for full truckload quantities. The contract requires the contractor to maintain two 24-hour emergency contacts for urgent performance issues and establish a designated contract representative to coordinate activities with HHSC's Contract Representative, Lisa Anderson. All notices must comply with specified delivery methods and include the contract number, with legal notices directed to HHSC's Office of Chief Counsel. The contract incorporates multiple attachments including the Uniform Terms and Conditions, Contract Affirmations, Non-Construction Program Assurances, Certification Regarding Lobbying, and USDA FNS Provisions.
