About this file

This document is Amendment No. 1 to the Request for Proposals (RFP No. 452-2026-0007) issued by the Texas Department of Licensing and Regulation (TDLR) for Lottery Operations and Services. The amendment revises and clarifies the Historically Underutilized Business (HUB) requirements and subcontracting plan procedures, which are mandatory for all responding vendors on contracts with an expected value of $100,000 or more. The RFP seeks a single comprehensive lottery operator to manage all aspects of the Texas Lottery Program through August 31, 2038, including gaming systems, sales and marketing, distribution, draw games, scratch tickets, claims processing, mobile applications, retailer management, and call center support. The proposal submission deadline is July 27, 2026, with mandatory pre-proposal conferences scheduled for May 11, 2026, and HUB subcontracting plan workshops on May 18-29 and July 1, 2026. Oral presentations and site visits are scheduled for October 7-23, 2026, with the Apparent Successful Proposer to be announced on or before November 2, 2026. The contract term extends through August 31, 2038, with an option to renew for one additional three-year period at mutually agreed upon rates.

All responding vendors, whether prime contractors or self-performing entities with no subcontractors, must submit a complete subcontracting plan as part of their proposal to be considered responsive. Vendors intending to use subcontractors must demonstrate good faith efforts to recruit certified VetHUBs through the Veteran Heroes United in Business program, including notification of at least two VetHUBs for each subcontracting opportunity with a minimum seven-business-day response period. The successful proposer must provide a proposal surety bond of $150,000 and a protest/litigation bond of $750,000 with the technical proposal, followed by a performance bond of $20,000,000 within fifteen days of contract execution. Pricing must be submitted on the required cost proposal form with costs remaining firm throughout the contract term, and the successful proposer will receive no compensation during the approximately twenty-month conversion and implementation period. The subcontracting plan becomes part of the contract and cannot be modified without agency approval; subcontractors may not be dropped or replaced, and self-performing contractors may not use subcontractors without amendment approval. Progress assessment reports must be submitted with each invoice, and the agency reserves the right to perform on-site reviews of the contractor's headquarters and work sites.

Rev. 5/26

State of Texas Subcontracting Plan When is a subcontracting plan required?

A subcontracting plan is required for state of Texas contracts when the contracting agency has determined that subcontracting opportunities are probable with prospective vendors certified by the Texas Comptroller through the Veteran Heroes United in Business (VetHUB) program, for a contract with an expected value of $100,000 or more. (Texas Government Code Chapter 2161, Subchapter F; 34 Texas Administrative Code Section 20.285.)

When a state agency requires a subcontracting plan as part of the contract solicitation, a bid, proposal, offer or other applicable expression of interest must contain a completed plan to be considered responsive.

Who completes a subcontracting plan?

Every responding vendor — whether a prime contractor or self-performing with no subcontractors — must submit a complete subcontracting plan.

A vendor who intends to use subcontractors must demonstrate their good faith effort to recruit certified VetHUBs, whether or not they ultimately award business to them. A state agency will not use the subcontractors’ VetHUB status to select the winning vendor. All subcontractors must be listed in the subcontracting plan.

A self-performing vendor who will not subcontract any of the work on the contract must indicate that it will complete the con-tract with its own resources and submit the completed subcontracting plan.

Does a subcontracting plan have to be followed?

The subcontracting plan forms part of the contract. Subcontractors may not be dropped or replaced without amending the subcontracting plan with approval by the agency. A self-performing contractor may not use subcontractors without amending the subcontracting plan.

SUBCONTRACTING PLAN INSTRUCTIONS
