About this file

This document is Exhibit B Affirmations and Solicitation Acceptance for Solicitation No. 458-E250327 issued by the Texas Alcoholic Beverage Commission (TABC). The document is a comprehensive affirmation form that requires potential bidders to certify compliance with numerous state and federal legal requirements, representations, and warranties as part of a competitive solicitation process. While specific details about the products or services are not provided in this exhibit, the document outlines extensive contractual and legal obligations for respondents, including requirements related to Texas state procurement rules, federal regulations, tax compliance, equal employment opportunities, immigration laws, and various state-specific statutes.

The exhibit includes multiple certification areas such as preferences for Texas-based businesses, veteran-owned enterprises, and products with specific characteristics. Respondents must affirm they are not engaged in boycotts, have no delinquent child support, are not debarred from federal transactions, comply with immigration laws, and meet various ethical and legal standards. The document also covers intellectual property rights, with TABC retaining ownership of work products, and includes provisions about subcontracting, use of state property, and potential contract termination conditions. Notably, the exhibit requires detailed disclosures about company ownership, potential legal proceedings, and compliance with state and federal laws, demonstrating a rigorous vetting process for potential contractors.

In no event shall this provision relieve Respondent of the responsibility for ensuring that the services performed under all subcontracts are rendered in compliance with the contract.

70. Expiration or termination of the contract for any reason does not release Respondent from any liability or obligation set forth in the contract that is expressly stated to survive any such expiration or termination, that by its nature would be intended to be applicable following any such expiration or termination, or that is necessary to fulfill the essential purpose of the contract, including without limitation the provisions regarding warranty, indemnification, confidentiality, and rights and remedies upon termination.
