About this file
This is a Fermilab Procurement Exhibit Document (PROC-EXH-469) containing compliance requirements for federal anti-discrimination laws, effective October 1, 2026, with a two-year review cycle.
The document incorporates FAR 52.222-90, which addresses DEI (Diversity, Equity, and Inclusion) discrimination by federal contractors. Subcontractors must comply with provisions prohibiting racially discriminatory DEI activities, defined as disparate treatment based on race or ethnicity in recruitment, employment, contracting, program participation, or resource allocation. Key requirements include: (1) prohibition of racially discriminatory DEI activities; (2) furnishing all information and reports to the Contracting Officer upon request; (3) acknowledgment that noncompliance may result in contract cancellation, termination, suspension, or ineligibility for future Government contracts; (4) reporting known or reasonably knowable subcontractor conduct violating the clause; and (5) notification to the Contracting Officer if a subcontractor initiates litigation challenging clause validity. Compliance with these requirements is deemed material to Government payment decisions under 31 U.S.C. 3729(b)(4). Subcontractors must flow down clause requirements to all lower-tier subcontractors except those performing work outside the United States, provide signed certification of compliance using the Subcontractor Supplemental Certification form, and promptly report any noncompliance by themselves or lower-tier subcontractors to the FFDG Procurement representative.
