The purpose of this amendment is to make the following changes to Solicitation

DTRT5716R20001:

1. The slides from the May 19, 2016 Pre-Proposal Webinar are attached to this amendment.

2. The list of attendees from the May 19, 2016 Pre-Proposal Webinar are attached to this amendment.

3. The Government received some questions prior to the pre-proposal webinar. The questions and Government responses are as follows:

A. Reference: L.5.D Section II, top of page 79. It is the responsibility of the Prime contractor to review and evaluate the subcontract proposals and document the reasonableness of the Subcontractors prices in accordance with FAR 15.404, as appropriate. accompanying cost or pricing data and furnish the results of such review to the Government as part of the cost submission, regardless of whether the details are provided to the Prime Offeror or separately to the Government. The Prime's review should be as detailed as the information provided by the subcontractor directly to the Prime permits.

Question: Due to the proprietary nature of much of the cost and pricing data that the Government requires our Subcontractors to submit as part of our Cost/Business proposal, and the fact that the prime contractor is not an auditing firm, we respectfully request that the Government delete the requirement for the prime to review our subcontractors’ proprietary cost information. We respectfully request the Government consider deleting the above-referenced highlighted language from the RFP and add suggested language in bold italicized text. As the prime contractor, we will not be privy to our Subcontractors’ proprietary information; however, we intend to document the reasonableness of the Subcontractors prices in accordance with FAR 15.404, as appropriate

Response: The highlight text will not be deleted. FAR 15.404-3 (Subcontractor Pricing Considerations) requires offerors to:

(1) Conduct appropriate cost or price analyses to establish the reasonableness of proposed subcontract prices;

(2) Include the results of these analyses in the price proposal; and

(3) When required, submit subcontractor certified cost or pricing data to the Government as part of its own certified cost or pricing data.

However if the offeror follows FAR 15.404 as proscribed in conducting cost or price analysis of its subcontractor’s as required, the Prime will have met its burden thereunder.

B. Reference: L.5.E SECTION III – Business Proposal (Volume I), Subcontract Consent (Page 80), second paragraph: “Offerors are reminded that the successful Offeror, not the Government, will have a contract with any proposed subcontractor(s). The Offeror has the duty to document the reasonableness of the cost/price and to justify the placement of the subcontract even when information from a subcontractor is proprietary and must be submitted directly to the Government. It is the Prime’s duty to ensure that submissions to be made directly to the Government by any proposed subcontractor are, in fact, made. It is also primarily the Offeror’s duty and not the Government’s to ensure that the proposed fee under each subcontract is reasonable and does not exceed statutory limits. Other issues, such as unapproved accounting systems and indirect rates that are significantly lower or higher than rates approved for past years, must be resolved by the Offeror prior to the submission date for proposals. If ceilings on the indirect rates of a subcontractor are required, the Offeror must address this issue prior to the proposal submission date.”

As the prime contractor, we will not be privy to our Subcontractors’ indirect rates but will document the reasonableness of the Subcontractors prices in accordance with FAR 15.404, as appropriate.

Response: The Government will not delete the highlighted text or relieve the Prime contractor of its burden to address the cost or price reasonableness of a subcontractor’s rates when using either cost or pricing data analysis in accordance with FAR 15.404 for determining placement of any subcontractor on the Prime contractor’s team. Offerors shall present cost or pricing analysis based on the information received and determine cost or price reasonableness as outlined under

FAR 15.404.

4. The due date and time for the submission of proposals remains unchanged.

5. Please acknowledge receipt of this amendment with the submission of your proposal.

6. All other terms and conditions of this solicitation remain unchanged.

TMSEDS - Procurement Objective

By establishing a “pool” of professional technical/scientific resources, the Volpe Center can respond to uncertain, long-range requirements of its technical program in a timely and effective manner. The Contractor will constitute an important part of the Volpe Center’s resources and will provide high-technology capabilities and skills targeted to the Volpe Center’s programmatic requirements in the area of TMSEDS.

TMSEDS – Section L Cost/Business Proposal

Follow the guidance as provided in Section L.4 Identification of uncompensated overtime (FAR Provision 52.237-10) Include information required under FAR Provision 52.222-46

(Evaluation of Compensation of Professional Employees) Proposals must contain sufficient information for the Government to complete its evaluation (completely filled out Cost Proposal Schedules )

Supporting documentation must be clear, complete, and convincing Proposals need to be stand-alone proposals and not reference previously submitted proposals or other provided documentation

Prime Offerors must complete all ten (10) Attachment J.8 Cost Proposal Schedules

Cost Type Subcontractors must Complete Attachment J.8 Schedules 1 through 5, Schedule 9, and other items as identified on the Attachment J.7 Checklist NOTE: Cost type subcontractors must provide evidence (such as an approval letter) that their accounting system has been approved by a Federal Government Audit Agency or describe how their accounting system could be reviewed and approved.

Cost Type Subcontractors – when completing Schedules 2 and 3, enter $0 for subcontracts and $0 for RFP-stipulated ODC.

Those are reserved for the prime offeror.

Note that second-tier subcontracting is not permissible unless the Offeror can provide a strong technical rationale for inclusion of a second-tier subcontract and demonstrate what steps have been taken to prevent layering of costs and profit.

Cost Type Subcontractors shall also enter 90% of their direct labor to Schedule 2 and the remaining 10% to Schedule 3.

Time and Material (T&M) Subcontractors must provide items as identified on the Attachment J.7 Checklist Consent for T&M type subcontractors will be based on cost build up or commerciality of billing rates (fully loaded).

If consent is based on commerciality, the offeror must provide information and statistical information demonstrating the use of billing rates in substantial quantities to the non-Government public

Burden of proof rests with the offeror and subcontractor If based on commerciality, include a signed statement that the offered rate is

“most favored customer rate” or provide an explanation why the most favored customer rate was not provided

Schedule 1 CPFF Columns: Enter Estimated Cost and Fixed Fee for Contract Period 1 (from the totals in Schedule 2) o Note to include the RFP stipulated ODC as shown on Schedule 2 o Offeror estimated ODC may be proposed provided that a detailed breakdown is provided. The Master Contract will include a list of offeror proposed ODCs

Schedule 4 Prime Offeror Labor is entered on this schedule o Prime labor hours (excluding subcontractor assigned LOE) is provided in Section A of this schedule o For Administrative Labor, the offeror shall specify the labor category, the number of hours proposed (Section A) and the unburdened hourly rate in Section B o Unburdened labor rates for each category must be entered in Section B (Labor Rate Calculations - see page 94 – Direct Labor) o Extended Labor costs (hours time hourly rates) must be shown in Section C o 90% of the annual direct labor total costs is entered in Schedule 2 (by contract period) o 10% of the annual direct labor total costs is entered in Schedule 3 (by contract period)

Schedule 5 Prime Offerors shall indicate their indirect rates by their Fiscal Year and calculate a weighted average based on the anticipated performance period (beginning January 1st in each year of contract performance)

Indicate and provide evidence whether the offeror has an approved Forward Price Rate Agreement with the Government. Include a copy of the FPRA.

Offerors shall provide a copy from their cognizant audit agency, such as DCAA, that their Accounting System has received Government approval.

Offerors shall provide the allocation base for each indirect rate

Schedule 6 Prime Offerors shall complete the schedule for the purpose of indicating the maximum factors for fixed fee and profit The fixed fee amounts shall come from Schedule 2 and the profit estimate costs shall come from Schedule 3 The total fixed fee and profit percentages shall be entered in Clause H.9 of the contract Note that the Government reserves the right to negotiate lower percentages (if the Government decides to negotiate instead of awarding without discussions).

The Government shall analyze proposed fixed fee and profit based on DOT

Weighted Guidelines. NOTE: A proposal that proposes fixed fee in excess of statutory limitations shall be eliminated from consideration.

Schedule 7 Complete the amount proposed for each subcontract (for Contract Period 1). In addition to the amount indicate the type of subcontract and the total number of technical hours proposed.

90% of the total for subcontractors is entered in Schedule 2 while the remaining 10% is entered in Schedule 3.

Schedule 8 Offerors shall provide the allocation of direct labor hours for the prime and each proposed subcontractor.

Additionally, provide the value and type of subcontract.

Schedule 9 Offerors shall provide an estimate for each of its Offeror-estimated ODCs that it anticipates invoicing directly during performance of the initial Task Orders.

The Offeror must clearly identify the different types of costs that may be direct costs in accordance with its established accounting practice, the amount for each cost, and the basis of the cost estimate.

Schedule 10 Complete the Labor Cost Realism Schedule by providing the Labor Category for the Resumed Person, the Resumed Person’s Name, their Company Affiliation, their current unburdened labor rate and the Contract Period 1 unburdened labor rate for that labor category (from Schedule 4). If the resume person rate is greater or lower than 5% of the Schedule 4 rate, the offeror must provide an explanation on why the rate is higher or lower.
