C-1. OVERVIEW

The U.S. Department of Transportation (DOT), acting by and through the Maritime Administration

(MARAD), holds a U.S. Nuclear Regulatory Commission (NRC) 10 CFR Part 50 license to “possess but not operate” a mothballed, defueled, 80MWth pressurized water nuclear reactor and power plant located onboard the vessel (the word “ship” is used interchangeably throughout) Nuclear Ship SAVANNAH (NSS).

The SAVANNAH, the world’s first nuclear-powered merchant ship, is a legacy asset assigned to MARAD’s

National Defense Reserve Fleet in retention status. The NRC license is bounded by the outer perimeter of the vessel, such that all operations and retention activities onboard the NSS are subject to inspection and oversight by the NRC. The license remains in effect until facility decommissioning is completed, and confirmatory surveys permit it to be terminated. The license termination deadline is December 3, 2031 based on current statute and regulation.

The NSS is maintained in decommissioning protective storage. This phase of operations is characterized by active surveillance, monitoring and maintenance of the nuclear facilities housed onboard the ship, and custody, crewing and maintenance (husbandry) of the ship as the primary physical boundary and protective barrier of the licensed site. Collectively, these are referred to as MARAD’s licensed activities. MARAD maintains a licensee organization to administer these licensed activities. This organization is known as the SAVANNAH Technical Staff (STS). The STS is made up of a combination of direct employees, contractors and government consultants, who together provide the comprehensive nuclear competencies required of a licensee by the NRC. Contracts are maintained in three major activity areas; radiological protection; ship husbandry; and license technical support.

Until recently, the surveillance, maintenance and monitoring (including radiological protection) of the nuclear facilities have been managed independently and separately, with limited overlaps to ship husbandry. MARAD desires to more fully integrate the ship husbandry tasks into its nuclear surveillance and monitoring activities by combining all three major activities under one contractor organization.

C-1.1. Licensee Organization and Conduct of Licensed Activities / References

MARAD’s fundamental licensing basis documents are listed in Section J and provided as attachments to this solicitation. The primary basis document is the License and its appended Technical

Specifications (TS). The Decommissioning Quality Assurance Plan and Updated Final Safety Analysis

Report are the next most important basis documents with respect to MARAD’s licensee organization and its conduct of licensed activities. The TS defines the core elements of the licensee organization. The latter two documents state in part, “A significant portion of the decommissioning project work is intended

DTMA-91-R-2012-0016/0013

Original: 5/16/2012 Version: 00 to be performed by contractors. MARAD personnel ... will be responsible for assigned contractors and providing the contractor direction ...”

There is a core group of MARAD direct employees that fill the inherently governmental supervisory and management positions in the organization. These are the Senior Technical Advisor (STA); Manager

N.S. SAVANNAH Programs (MSP); Decommissioning Program Manager (DPM); Facility Site Manager

(FSM); and Documentation and Administrative Support Manager (DM). The STA is a designated official defined in the TS as the license holder (individual licensee). The MSP is the senior supervisor responsible for executing all STS programs. At the present time one incumbent serves as both STA and

MSP; however, these functions could be separated in the future. The DPM and FSM (when filled) are assigned as Contracting Officer’s Representatives (COR) for various contracts, such as this one. The DM is assigned as an Assistant Contracting Officer’s Representative (ACOR) for all MARAD-STS contracts.

The balance of STS personnel are contractors and government consultants provided to MARAD through interagency agreements with the Department of Energy and the Research and Innovative

Technologies Administration (RITA) of the DOT.

Two standing committees are provided; an Executive Steering Committee (ESC) and Safety Review

Committee (SRC). The ESC is composed of senior MARAD career officials, and provides oversight and direction to the STA regarding the conduct of licensed activities within the broader context of agency and departmental operations and resources. The SRC meets periodically, and among other things reviews and approves procedures and programs associated with licensed activities. The permanent committee membership is defined in the TS, and includes the Quality Assurance Manager and “An individual who meets or exceeds the qualifications of ANSI N18.1-1971 paragraphs 4.3.2.” Contractor key personnel designated to act in these positions are required to sit on the SRC. Other STS contractor personnel may be assigned to the SRC, and any contractor personnel may be tasked to participate in ESC meetings and activities.

C-2. SCOPE OF WORK

C-2.1. Citizenship

This solicitation and the resulting contract shall be restricted to United States citizens of U.S. owned and operated companies. Citizenship shall be as defined in 46 CFR 315.3(b). An Affidavit of United

States Corporate Citizenship shall be filed with the Contracting Officer (CO) as part of the Offeror’s proposal in response to this solicitation. Refer to (Attachment J-7) for a sample affidavit.

Contractor Key Personnel, and the senior licensed officer provided as part of the Maintenance Staff, shall be United States citizens. The combination of all other personnel, including unlicensed merchant mariners or qualified others provided as part of the maintenance staff, may meet the intent of 46 U.S.C.

8103 (b) (1) which permits the employment of unlicensed seamen who are aliens lawfully admitted to the

United States for permanent residence, provided not more than 25% of the unlicensed seamen on a vessel are resident aliens. For the purpose of this contract, resident aliens may not comprise more than 25% of the non-key Contractor personnel assigned. Evidence of resident alien status must be provided for each individual who is not a United States citizen.

Whenever changes occur to the information set forth in its current Affidavit of U. S. Corporate

Citizenship or other documents submitted in connection with establishing the U. S. Citizenship of the

Contractor, the Contractor shall report such changes to the Contracting Officer. Reports shall be filed within 30 days of the change.

C-2.2. Integrated Technical Support and Facility Management

The primary purpose of this solicitation is to integrate MARAD’s various licensed activities areas under a single contractor to promote better management of resources (labor, funds and time). This principally involves the two major activity areas of specialized “license technical support” in the various disciplines necessary for the comprehensive nuclear competence required of licensees by the NRC, and the physical maintenance management and custodial care of the facility (ship). Because radiological protection services cross-cut both major activity areas, they are also included. The Contractor shall provide administrative support to ensure that all requirements of this contract are accomplished in a timely and efficient manner. Administrative support includes the management personnel, technical support, supplies materials and services. The contract will be divided into several primary tasks with subtasks as may be appropriate:

Task 1 will describe integration requirements, the Integrated Support Manager (ISM), and will invoke the specific licensed activities phase;

DTMA-91-R-2012-0016/0015

Original: 5/16/2012 Version: 00

Task 2 represents the requirements for License Technical Support;

Task 3 represents the requirements for Facility Management; and, Task 4 represents the requirements for Radiological Protection and Radiological Emergency

Response, The following four sub-sections of this Scope of Work provide a summary description of each task.

Additional detail is found in Paragraphs C-3 through C-7 Position descriptions for key personnel are provided in Section C-4.6.2. Refer to Section B of this solicitation for a breakdown of proposed Contract

Line Item Numbers (CLINs) associated with Tasks 1-4. The CLINs will include both fixed-price and reimbursable items. All overhead and G&A expenses for management of this contract, including management personnel, technical and professional personnel irrespective of each individual's discipline, shall be borne in the Fixed Price CLINs, not in the Reimbursable CLINs. Reimbursable CLINs shall only include the actual cost incurred of material or services, and any associated shipping and handling, unless otherwise authorized in writing by MARAD.

C-2.2.1. TASK 1 - INTEGRATION AND ADMINISTRATIVE SUPPORT

The Contractor shall provide an Integrated Support Manager (Project Manager) to coordinate all activities within the scope of the contract including administrative services to all major areas. The ISM shall perform his/her duties onboard the NSS, and will be responsible for local coordination of Contractor activities within and on the licensed site. Individual and group work will be assigned through action item tasking in the STS Comprehensive Action Tracking System (CATS) database (see paragraph C-5.7).

The Contractor shall provide a Receptionist to manage daily personnel access to the site, and to provide on-site administrative and clerical support. The Receptionist is required to be onboard during core working hours. The Contractor may provide one or more personnel on either a full or part time basis to meet this requirement.

C-2.2.2. TASK 2 - LICENSE TECHNICAL SUPPORT

This activity is required to maintain the institutional competency and knowledge needed to manage and execute the requirements of MARAD’s NRC Facility License and Technical Specifications. The

Contractor shall provide a cadre of persons who collectively possess experience and expertise in the core disciplines and knowledge areas listed below. Full descriptions of the listed disciplines and knowledge areas are provided in Section C-4 of this SOW.

The persons named to these positions will be Key Personnel, subject to the Key Personnel requirements listed in Section C-4.6.2. The general duties and responsibilities for these four licensee positions are listed in Section C-4.6.2.2. Additional requirements are defined in the fundamental license basis documents and in the manuals and procedures found in the Section J -

Attachments.

• Nuclear Advisor (NA);

The Contractor shall provide management support and disposal services for radiological waste on a reimbursable basis as required.

C-2.3. Additional Services and Supplies

As an integrated services contract, the Contractor shall provide the necessary services and or supplies required for operations within each phase of licensed activities. From time to time, special projects, tasks or assignments may require a discipline, expertise or experience not covered in the key personnel disciplines described in this statement of work or otherwise provided in other contracts or agreements that

MARAD holds to support NSS licensed activities. Certain activities associated with facility decommissioning and proper waste transportation and disposal of the nuclear facility components may be required if the SAFSTOR Preparations and/or DECON-License Termination phases are invoked. If such situations arise, MARAD may require the Contractor to procure and provide the service necessary to complete the special project, task or assignment. Such requirements will be defined in writing.

As a prime contractor, the Contractor must comply with MARAD Purchasing Policies when providing additional services and supplies through subcontracts. MARAD policies require the use of

Commercial Purchasing Procedures (CPP) by the Contractor. Such CPPs must be reviewed and approved by MARAD. See Section L and Attachment J-13 for more information.

The Contractor shall require insurance from subcontractors to protect Government property in an amount appropriate to the contract, which shall be determined on a case-by-case basis. Refer to paragraph C-3.4.2 for more information.

C-2.4. Phases of Licensed Activities

The NSS facility will be managed in a manner dependent on the funding received through annual appropriations and/or other MARAD resources. The quantity of resources available is one determining factor in the level of activities to be tasked under this contract. Another factor may be the remaining regulatory lifespan of the licensed nuclear facilities. Within the next twenty (20) years, the facility must, under current statutory and regulatory requirements, undergo dismantlement and remediation (DECON) leading to termination of the NRC facility operating license. The deadline for license termination is

December 3, 2031. MARAD has described its plans for this decommissioning process in Revision 1 of its Post Shutdown Decommissioning Activities Report (PSDAR). This document is listed as Attachment

J-4.

The PSDAR Revision 1 describes MARAD’s planned decommissioning activities through license termination, beginning with an upgrade of the facility material condition and configuration to bring it into

DTMA-91-R-2012-0016/0021

Original: 5/16/2012 Version: 00 conformance with the NRC’s contemporary requirements for protective storage. The contemporary requirements are known by the term SAFSTOR, and MARAD’s plan includes two parts; SAFSTOR

Preparations and SAFSTOR Operations. In order to meet the license termination deadline, MARAD has determined that DECON work must begin no later than federal FY 2026 (October 1, 2025), which represents the notional transition point from SAFSTOR Operations.

The PSDAR decommissioning activities identified above; SAFSTOR Preparations; SAFSTOR

Operations and DECON-License Termination are defined herein as “phases of licensed activities.”

Separately, MARAD’s current operating phase (e.g., pre-SAFSTOR Preparations) is known as

“Mothballed Protective Storage” based on the facility being essentially physically unchanged from the

1975-76 mothballing preparations undertaken for the possession-only license. Contractor efforts may reasonably be expected to vary in effort depending on which phase is ongoing. The following paragraphs describe the various phases; the anticipated contractor effort for each phase is discussed in C-6.

C-2.4.1. MOTHBALLED PROTECTIVE STORAGE (CURRENT PHASE OF

ACTIVITIES)

The NSS is presently located in the Port of Baltimore, Maryland, in a condition of attended protective storage comparable to the 1974 Mothballing criteria of NRC Regulatory Guide 1.86. This phase involves ship husbandry and custodial care and maintenance of the physical facilities and structures onboard the ship, as well as the broad spectrum of surveillance, monitoring and radiological protection programs necessary to ensure the safety and health of the public and the environment. This current protective storage condition will remain in effect until either the SAFSTOR or DECON activities described in the PSDAR and below are funded and implemented.

C-2.4.2. SAFSTOR PREPARATIONS PHASE

The SAFSTOR Preparations Phase may be invoked if conditions permit MARAD to undertake the defined series of technical actions needed to bring the NSS into conformance with the NRC’s contemporary criteria for protective storage. MARAD’s SAFSTOR Implementation Plan (Attachment J-

5) provides detailed information regarding those technical actions. Most of the administrative tasks included in J-5 were completed by the end of 2011. The SAFTSOR Preparations phase is assumed to take place at the current layberth in Baltimore, Maryland.

C-2.4.3. SAFSTOR OPERATIONS PHASE

MARAD has defined SAFSTOR Operations as that period of time between the completion of

SAFSTOR Preparations and the transition to DECON-License Termination. The latest date by which the

DTMA-91-R-2012-0016/0022

Original: 5/16/2012 Version: 00

DECON transition is assumed to take place and provide sufficient time to meet the license termination deadline is October 1, 2025 (the start date of FY 2026). The NSS would likely be relocated to a reserve fleet site in either Newport News, Virginia or Beaumont, Texas during the SAFSTOR Operations phase.

Surveillance, monitoring and radiological protection programs will be maintained, but periodicities may be adjusted, and day-to-day vessel husbandry and maintenance tasks will be reduced.

C-2.4.4. DECON - LICENSE TERMINATION PHASE

Prior to December 3, 2031, MARAD must complete the remediation, dismantlement and disposal of the NSS nuclear facilities; a process defined by the NRC as DECON. The NRC license is terminated at the successful conclusion of DECON. MARAD is required to maintain a comprehensive and competent licensee organization until the license is terminated by the NRC. MARAD can implement DECON at any time, including a direct transition from Mothballed Protective Storage at the current layberth.

C-2.5. General Requirements - All Phases of Licensed Activities

Notwithstanding the specific requirements contained elsewhere in this SOW, the Contractor shall maintain cognizance over changes to applicable regulatory body requirements. The Contractor is responsible to identify changes to regulatory requirements which may or shall impact licensed activities.

Minor changes that can be addressed as part of routine operations shall be identified during regular progress meetings. Changes that are substantial in nature, and may have significant effect on licensed activities shall be addressed to the COR in writing. The notice shall clearly describe the change and impact.

In addition to those postings required by the NRC and covered by STS procedure, the Contractor shall provide and maintain any other postings that are required under applicable regulatory authority.

Such authorities may include the Equal Employment Opportunity Commission, Department of Labor, General Services Administration, and various state and local agencies. MARAD shall provide

Department of Transportation postings as required.

The Contractor shall maintain and update as required all STS procedures to reflect: the latest applicable Regulatory body requirements; additions, removals and/or changes in the status of equipment, systems and shipboard spaces; port/layberth changes as well as changes and/or new requirements generated by MARAD. The Contractor shall propose and, with MARAD approval, integrate into the applicable STS procedures those requirements unique to and/or required by his organization or required to maintain its performance, environmental and/or quality certifications in accordance with International

Standards Organization (ISO) standards (ISO 9000/14000/31000).

If and as required, the Contractor shall assist MARAD in the handling, adjustment, settlement or litigation of all claims. The Contractor shall provide prompt notice and furnish full information including copies of all pertinent papers, documents and records regarding casualties, accidents or damage to the vessel, suits, libels, actions and claims, and all problems of importance relating to the vessel.

Contractor personnel provided under Task 1 Integration and Administrative Support and Task 3 -

Facility Management shall perform their full-time duties onboard the NSS. Minor special case exceptions, such as directed travel or local offsite travel to other MARAD contractor and vendor facilities shall be coordinated locally.

Contractor personnel provided under Task 2 License Technical Support are required to regularly attend the NSS site. The contract Nuclear Advisor is required to perform his/her duties onboard the NSS except during the SAFSTOR Operations phase. The frequency of attendance and days of attendance will be established after contract award in subsequent task orders based on the phase of licensed activities being implemented (see C-5.1).

Periodic attendance is required for Radiological Protection personnel provided under Task 4. The frequency and schedule for attendance is based on the surveillance, monitoring and sampling schedule, which may be modified based on the phase of licensed activities being implemented (see C-5.1).

Attendance at MARAD Headquarters by Contractor personnel may be periodically required. The

MARAD Headquarters office is located in Washington, DC, at 1200 New Jersey Ave, SE. Similarly, Contractor staff may be periodically required at NRC Headquarters in Rockville, MD. Both sites are within 50 miles of the NSS, and reimbursement for travel shall be handled on a case-by-case basis depending on the nature and duration of the travel, and the specific itinerary of participants.

C-3. SPECIAL REQUIREMENTS

C-3.1. National Historic Landmark Status

The NSS is a National Historic Landmark of the United States. All work activities on the site must conform to requirements stemming from the National Historic Preservation Act of 1966, as amended, and relevant historic preservations regulations (36 CFR 800) and executive orders including Preserve America

(E.O. 13287 dated 2003). MARAD will provide guidance and direction to contractors regarding the implementation of these requirements. The Contractor is not required to have specific expertise in this area; however, the Contractor and all assigned personnel are expected to exercise due care and appreciation for the historic fabric of the vessel, and for its national significance in the conduct of all assigned work.

C-3.2. Public Access, Visitation and Training

MARAD hosts periodic public access events, tours and training opportunities onboard the NSS.

During such activities, Contractor personnel may be tasked to provide support in various forms; with particular emphasis on visitor management in accordance with MARAD’s public access procedure. Such events may fall on weekends, weekday evenings or federal holidays. This support is a basic requirement of the contract; not an extra. When and as appropriate, the work hours for assigned personnel will be adjusted to accommodate these activities, to the maximum extent practicable.

C-3.3. Vessel Regulatory Status

C-3.3.1. PUBLIC VESSEL

The NSS is a Public Vessel of the United States, meaning that it is not engaged in commercial trade, and is not subject to forfeiture or seizure for liens or other actions against the United States. The

Contractor shall ensure that all providers of services are properly notified that the NSS is a public vessel not subject to maritime liens.

C-3.3.2. COGNIZANT REGULATORY BODIES

The overarching regulatory authority on the NSS is the NRC, and all activities within the licensed site boundary (exterior perimeter of the ship) are subject to inspection and enforcement at the discretion of the NRC. In certain circumstances the NSS may be subject to additional regulatory requirements, including voluntary submission by MARAD to independent surveys and inspections. Such additional requirements may include, but not necessarily be the limited to those described in the following paragraphs. The Contractor shall adhere to all applicable regulatory requirements in the conduct of its

DTMA-91-R-2012-0016/0025

Original: 5/16/2012 Version: 00 duties, and shall arrange for and coordinate regulatory surveys and inspections when and as required

(except for those conducted by the NRC which shall be coordinated by the STA, but for which the

Contractor shall provide all necessary support).

When planning for repairs, maintenance and improvements, the Contractor shall identify any applicable regulatory requirements and those regulatory and construction standards that would normally apply, and incorporate them into the specifications and drawings required to complete the work.

C-3.3.2.1. United States Coast Guard

The NSS is issued a Certificate of Documentation (COD) by the United States Coast Guard (USCG).

This COD is evidence of ownership only, and by itself the COD does not invoke any USCG inspection requirements. The NSS is not issued a Certificate of Inspection (COI) by the USCG, and consequently is not inspected or certified by the USCG under any provision of domestic maritime regulation, except in the following discrete circumstances:

• When the vessel is towed from one port to another;

• When and as required by port, vessel and facility security regulations;

• Review and approval of mooring and heavy weather plans; and,

• At the discretion of the Captain of the Port as a marine object within his/her jurisdiction.

The NSS is not directly subject to the Vessel Security requirements of the Maritime Transportation

Security Act. Normal operations at the present layberth facility do not require implementation of a

Facility or Vessel Security Plan. Consequently, Transportation Worker Identification Cards (TWIC) are not required for access to the layberth or vessel at the present time; however, if the vessel is moved to a regulated facility, or if other operations at the layberth require controlled access, the Contractor shall ensure that all personnel are provided with TWICs (or other appropriate credentials), if necessary. The

Contractor should note that TWICs are required professional certifications for merchant mariners, and the provision of TWICs are not reimbursable for credentialed merchant mariners supplied under this contract.

C-3.3.2.2. American Bureau of Shipping

The American Bureau of Shipping (ABS) is a ship classification society that provides independent survey and inspection services to vessel owners. MARAD voluntarily brought the NSS back into class with ABS in 2008 primarily for the purpose of third party verification of the structural integrity and material condition of the vessel’s hull as the principal physical boundary of the licensed facility. The vessel is classed as a barge in inland waters service for this purpose, and is recorded as “Laid-Up” by

DTMA-91-R-2012-0016/0026

Original: 5/16/2012 Version: 00

ABS. MARAD maintains a program of voluntary annual surveys and progression of hull surveys based on letter agreements with the ABS.

In addition to oversight of the hull material condition, ABS reviews, approves and surveys various repairs and improvements for adherence to specific construction standards. These standards include

USCG Regulations, the ABS Rules, and any other invoked standards that may be applicable to a particular project, such as the American Society of Mechanical Engineers (ASME) and Institute of

Electrical and Electronics Engineers (IEEE), among others.

C-3.3.2.3. Other Federal, State and Local Agencies

To the extent not required in previous paragraphs, the Contractor shall be cognizant of, and incorporate into work performed on the vessel any and all applicable Federal, State and Local requirements. Examples include, but may not be limited to, hazardous materials remediation (asbestos, PCBs, mold, etc.), transportation and disposal. At the current layberth location, neither the State of

Maryland nor the City of Baltimore have jurisdiction over licensed activities; however, courtesy notifications and coordination with those entities are key factors in a successful working environment.

C-3.4. Agency, Insurance, Indemnification, Claims, and Related Provisions

Except in limited circumstances, the Contractor does not act as an Agent of the United States when carrying out its responsibilities under this contract. Details regarding the Contractor’s status when executing its functions under the contract are provided in Section H.10. Sections H.10 and H.11 also provide details regarding MARAD and the Contractor’s responsibilities and requirements with respect to insurance and indemnification of the vessel, employees, subcontractors and others who are engaged in business on the vessel itself. The Contractor has an affirmative responsibility to provide claims and litigation support when and as required; details of which are also found in Section H.11.

C-3.5. Working Capital for Emergency Response

The Contractor shall…
