About this file
This is a Professional Services Agreement template from the County of Dane, Wisconsin, establishing the contractual framework between the County (through its Department of Administration or Department of Waste & Renewables) and architectural, engineering, or consulting firms engaged to provide professional design and technical services. The agreement applies to projects including site assessments, permitting, construction document preparation, and construction oversight, with services to be performed according to Wisconsin statutes governing licensed professionals and the County's standard specifications. The document establishes mutual responsibilities, with the County determining project scope, providing available information and timely decision-making, while the consultant agrees to provide services meeting the standard care ordinarily used by members of the profession, familiar with local practices. Consultants may subcontract work only with written County approval and retain professional responsibility for all work performed. The agreement includes provisions for termination without cause upon ten calendar days' written notice, with payment for services rendered to the termination date plus approved reimbursable and termination expenses.
The compensation structure and scope of services are detailed in attachments to be negotiated after award, with specific terms to be established in the final executed agreement. All work products, including reports, drawings, specifications, and models, become the property of Dane County upon completion or termination. The consultant must maintain professional liability insurance of at least $1,000,000, plus workers' compensation, commercial general liability, and commercial automobile liability coverage of $1,000,000 per occurrence. The agreement requires compliance with Wisconsin law and Dane County Code nondiscrimination provisions, including submission of a Civil Rights Compliance Plan and Affirmative Action Plan for firms with twenty or more employees receiving over $20,000 in annual County contracts. Disputes are resolved through the County Director of Public Works or Waste & Renewables, with venue in Dane County Circuit Court, and the agreement permits electronic signature execution and document transmission.
