1.0 PROGRAM STRUCTURE AND OBJECTIVES

The C-130J Block Upgrade 7.0/8.1 Contractor Kit Installation (CKI) 2 program objective is to complete Block Upgrade 7.0/8.1 kit installations across the Air Mobility Command C-130J, Air Force Reserves WC-130J, and Air Combat Command HC-130J fleets in accordance with (IAW) applicable Time Compliance Technical Orders (TCTOs) and Technical Orders (TOs).

Additional program details are described in the Performance Work Statement (PWS).

Only U.S. companies and foreign governments may be considered for award.

The Government intends to award a single award Indefinite Delivery Indefinite Quantity (IDIQ) CKI 2 contract that will include Firm-Fixed Price (FFP); Time and Materials (T&M); Cost Plus Fixed Fee (CPFF); and Cost Reimbursable (CR) contract types. Applicable Contract Line Item Numbers (CLINs) will be specified on each individual task order. The primary contract types are FFP for the modification and T&M for Over and Above CLINs.

The ordering period is defined as the time period that task orders can be issued under this contract. The ordering period is broken out as follows: a 5-year ordering period, plus one 5-year option ordering period, if exercised. The IDIQ Period of Performance (PoP) will end one year after the final ordering period ends. The contract includes quantity pricing tables (unit pricing) for installations.

NOTE: Offerors are advised the costs of any response to, or other costs incurred as a result of responding to, this solicitation are at the Offeror’s own risk. Any costs incurred in preparing a response to this solicitation may be attributable to bid and proposal (B&P) overhead costs but may not be directly charged to any resulting awarded contract. B&P costs for this solicitation are costs covered by Cost Accounting Standards 420, 48 CFR 9904.420 Accounting for Independent Research and Development Costs and Bid and Proposal Costs and Federal Acquisition Regulation (FAR) 31.205-18, Independent Research and Development and Bid and Proposal Costs.

Funds are not presently available for this contract. The Government’s obligation under this contract is contingent upon the availability of appropriated funds from which payment for contract purposes can be made. No legal liability on the part of the Government for any payment may arise until funds are made available to the PCO for this contract and until the Contractor receives notice of such availability, to be confirmed in writing by the PCO.

3.2.2 Cost or Pricing Related Data

All pricing information shall be addressed ONLY in the Price Volume.

3.2.3 Cross-Referencing

To the greatest extent possible, each volume shall be written on a standalone basis so that its contents may be evaluated with a minimum of cross referencing to other volumes of the proposal. Information required for proposal evaluation which is not found in its designated volume and is not clearly cross referenced will be assumed to have been omitted from the proposal.

A cross-reference matrix will be utilized as a tool to show critical interrelationships and dependencies among the technical requirements documents (PWS, the CDRL, Section L (ITO) and Section M (Evaluation Basis for Award)). The Solicitation Cross Reference Matrix (S-CRM) is included in Section L as Attachment 1. If the matrix conflicts with any other requirement, direction, or provision of this solicitation, the other reference shall take precedence over this matrix. Section M references in the matrix are for informational purposes only, and the Government shall be obligated to evaluate proposals solely in conformance with the provisions of Section M of the solicitation.

The Offeror shall complete the S-CRM located at Section L, Attachment 1, which correlates the RFP with the Offeror’s proposal, for Volume II only. The Offeror may prepare a cross-reference matrix in another format as long as it adheres to these instructions. The S-CRM will reference the Proposal Volume/Paragraph and applicable PWS, Section L, and Section M paragraphs. The matrix will not be included in the volume page count. The Offeror’s S-CRM should provide a single integrated index for the entire proposal and shall be delivered in Microsoft (MS) 365 format.

CUI//SOURCE SELECTION INFORMATION--SEE FAR 2.101 and 3.104

3.3 Proposal Submission

The Offeror’s proposal shall be prepared and submitted in five volumes: Executive Summary (Volume I), Technical Proposal (Volume II), Past Performance (Volume III), Price (Volume IV), and Contract Documentation (Volume V). All volumes must be received via electronic media

(DOD SAFE).

In accordance with FAR 15.208, any proposal, modification, or revision, that is received at the designated Government office after the exact time specified for receipt of proposals is “late” and will not be considered unless the PCO determines that accepting the late proposal would not unduly delay the acquisition.

CUI//SOURCE SELECTION SENSITIVE

3.3.1 Page Size and Format

Tracking, kerning, and leading values shall not be changed from the default values of the word processing or page layout software. Use at least 1-inch margins on the top and bottom and 1-inch side margins. Pages shall be numbered sequentially by volume. If ENs are submitted, then these page format restrictions shall also apply to the responses.

Any tables, charts, graphs and figures to depict organizations, systems and layout, implementation schedules, plans, etc., used by the Offeror shall be uncomplicated, legible, and shall not exceed 11 x 17 inches in size and the text shall be at least 10 point font. Any tables, charts, figures or graphs exceeding the size limitations or other restrictions herein will be treated as excess pages (reference paragraph 3.2.1 above).

3.3.2 Electronic Offers

Offerors shall submit their proposal electronically via DoD Safe (https://safe.apps.mil/). When utilizing DoD Safe, you must request a Drop-Off link via the POCs listed in Section 3.1.1 no later than XX Month 2024. DoD SAFE is limited to a single drop-off with a limitation of 8 GB and 25 files. If proposal submission exceeds the DoD SAFE limitations additional submissions are allowed with email notification to the PCO email listed in Section 3.1.1.

Use separate files to permit rapid location of all portions, including exhibits, annexes, addenda, and attachments, if any. 6.0 VOLUME III – PAST PERFORMANCE

6.1 General Instructions

Each Offeror shall submit a Past Performance Volume containing relevant past performance information for no more than 3 contracts, which have had at least six months of performance

CUI//SOURCE SELECTION SENSITIVE

within the last five years and are either active or have been completed within five years preceding the date of this solicitation.

Past performance information shall be provided using the Past Performance Information Tool as described in Section L Attachment 2, for each referenced contract. Offerors shall contact the PCO via DoD SAFE to receive access to the tool. In addition to the data provided in this volume, the Government may use the Contractor Performance Assessment Reporting System (CPARS) and/or similar systems of other Government departments and agencies, questionnaires tailored to the circumstances of this acquisition, DCMA channels, interviews with program managers and contracting officers, and other sources known to the Government, including commercial sources.

The Business Relationships page generated from the Past Performance Information Tool is counted within the Introductory Information in the Past Performance Volume.

Additionally, all Offerors must submit Past Performance information to demonstrate compliance with the requirements of FAR 52.219-8, Utilization of Small Business Concerns, and/or FAR 52.219-9 (DEVIATION 2016-O0009), Small Business Subcontracting Plan, including the extent to which small business performance objectives/requirements were met for the contracts that required submission of a Small Business Participation Plan or other small business participation/utilization document. Copies of contractual reports may be submitted to validate compliance with requirements of FAR 52.219-8. Explanation of efforts where minimum quantitative requirements and/or goals were not met should be provided. Supporting documentation shall be relevant to the requirements of this solicitation and shall be within the past five years.

6.2 Relevant Contracts

The Government will conduct an assessment of all recent performance information obtained to determine how closely the products provided/services performed under those contracts relate to the Technical Subfactors. Contracts will be considered more relevant, the closer they are to the C-130J BU experience (i.e. large aircraft upgrades, overhauls, etc.)

Not all aspects of relevancy must be included within a single contract; aspects of relevant performance may be from separate contracts. Although not required, the Government prefers the Offeror to have experience with the C-130J (or its variants) 7.0/8.1 block upgrade and/or maintenance experience on the C-130J (or its variants). The Offeror must at a minimum, have experience on a similar, large, military aircraft. The Offeror’s past performance information shall include information about predecessor companies, or significant subcontractors that will perform major or critical aspects of the requirement when such information is relevant to this acquisition.

CUI//SOURCE SELECTION SENSITIVE

6.3 Specific Content

Offerors are required to explain what aspects of the contracts are deemed relevant to the proposed effort and to what aspects of the proposed effort they relate. This may include a discussion of efforts accomplished by the Offeror to resolve problems encountered on prior contracts as well as past efforts to identify and manage program risk. Merely having problems does not automatically equate to a limited or no confidence rating, since the problems encountered may have been on a more complex program, or an Offeror may have subsequently demonstrated the ability to overcome the problems encountered. The Offeror is required to clearly demonstrate management actions employed in overcoming problems and the effects of those actions in terms of improvements achieved or problems rectified. This may allow the Offeror to be considered a higher confidence candidate. For example, submittal of quality performance indicators or other management indicators that clearly support that an Offeror has overcome past problems is required. Categorize the relevant information into the specific Technical Subfactors used to evaluate the proposal.

All Past Performance materials shall include the following banner at the top and bottom of each page: “CUI//Source Selection Information – See FAR 3.104 AND 2.101”

6.4 Subcontractor Consent

The Offeror shall submit, together with the information required in this paragraph, a consent letter, executed by each significant subcontractor/teaming partner, authorizing release of adverse past performance information to the Offeror so the Offeror can respond to such information.

Past performance information pertaining to a subcontractor cannot be disclosed to the prime Offeror without the subcontractor’s consent. Provide with the proposal a letter from all significant subcontractors performing aspects of the requirement, consenting to the release of their past performance information to the prime Offeror. A significant subcontractor is defined as a subcontractor/teaming partner that performs no less than 20% of the work on contract.

6.5 Organizational Structure Change History

Many companies have acquired, been acquired by, or otherwise merged with other companies, and/or reorganized their divisions, business groups, subsidiary companies, etc. In many cases, these changes have taken place during the time of performance of relevant past efforts or between conclusion of recent past efforts and this source selection. As a result, it is sometimes difficult to determine what past performance is relevant to this acquisition. To facilitate this relevancy determination, include in this proposal volume a “roadmap” describing all such changes in the organization of your company. A pamphlet or other commercial document describing such reorganizations may suffice. As part of this explanation, show how these changes impact the relevance of any efforts you identify for past performance evaluation/performance confidence assessment. Since the Government intends to consider past

CUI//SOURCE SELECTION SENSITIVE

performance information provided by other sources, as well as that provided by the Offeror(s), your “roadmap” should be both specifically applicable to the efforts you identify and general enough to apply to efforts on which the Government receives information from other sources.

7.0 VOLUME IV – PRICE

7.1 General Instructions

The Price volume is to assist the Offeror in submitting data required to be evaluated for completeness, reasonableness, unbalanced pricing and Total Evaluated Price (TEP). Unbalanced pricing may increase performance risk and could result in payment of unreasonably high prices.

An offer may be rejected if the contracting officer determines that the lack of balance poses an unacceptable risk to the Government. Additionally, for completeness, Offerors must provide a completed pricing matrix to include a price per installation for all required performance periods, as well as comply with all other requirements of this section. Data beyond that required by this instruction shall not be submitted, unless the Offeror considers it essential to document or support the price position. All data relating to the proposed price, including all required supporting documentation, must be included in the section of the proposal designated as the Price volume. Compliance with these requirements is mandatory and failure to comply may result in rejection of a proposal.

7.2 Pricing Data Requirements

The PCO has determined there is a high probability of adequate price competition in this acquisition. Upon examination of the initial offers, the PCO will review this determination and if, in the PCO’s opinion, adequate price competition exists no additional cost information will be requested and certification under FAR 15.406-2 will not be required. IAW FAR 15.403-1(b) and 15.403-3(a), information other than cost or pricing data may be required to support price reasonableness. Information shall be provided IAW FAR 15.403-5. If, after receipt of proposals, the PCO determines that there is insufficient information available to determine price reasonableness and none of the exceptions in FAR 15.403-1 apply, the Offeror shall be required to submit cost or pricing data.

7.3 Rounding

Price per aircraft amounts provided in response to these instructions shall be rounded to the nearest dollar. Labor rates shall be rounded to the nearest penny.

CUI//SOURCE SELECTION SENSITIVE

7.4 Volume Organization

The Offeror’s Price volume shall consist of the following sections:

• SECTION 1 – Statement of approved estimating, purchasing, and accounting systems; changes to estimating or accounting practices. If systems are not approved, provide status of corrective action.

• SECTION 2 – Completed Pricing Matrix (Attachment 3)

7.5 Pricing Matrix

Offerors shall provide a completed Pricing Matrix in accordance with the specific instructions included in the spreadsheet (Attachment 3). The completed spreadsheet shall be submitted as an electronic Microsoft Excel file. Failure to provide all prices (including $0.00) will render an initial proposal submission as incomplete. The completed pricing matrices will become part of the awarded contract (PWS Attachment 10).

The CDRL Requirements will not be specifically evaluated as part of the TEP as they will be Not Separately Priced (NSP).

All prices shall be in “Then Year” dollars, that is, inflated, not constant (Base Year) dollars.

8.0 VOLUME V – CONTRACT DOCUMENTATION

8.1 Expectations to Solicitation Requirements

Offerors are required to meet all solicitation requirements, such as terms and conditions, representations and certifications, and technical requirements, in addition to those identified as evaluation factors or subfactors. Offerors must clearly identify any exception to the solicitation terms and conditions and must provide complete supporting rationale. The Government reserves the right to determine any such exceptions unacceptable and the proposal, therefore, ineligible for award.

8.2 Miscellaneous Information Required

8.2.1 Government Offices

Provide the mailing address, telephone and fax numbers, email addresses, and facility codes for the cognizant Contract Administration Office, DCMA, and Government Paying Office. Also, CUI//SOURCE SELECTION SENSITIVE provide the name, telephone and fax numbers, and email address for the Administrative Contracting Officer (ACO).

8.2.2 Address, Identifying Codes, and Applicable Designations

Provide company/division's street address, county, and facility code; CAGE code; DUNS code;

TIN; size of business (large or small); and labor surplus area designation. This same information must be provided if the work for this contract will be performed at any other location(s). List all locations where work is to be performed and indicate whether such facility is a division, affiliate, or subcontractor, and the percentage of work to be performed at each location.

9.0 OTHER INFORMATION

9.1 Reviews and Visits

The Source Selection Evaluation Board (SSEB) may provide direction to conduct site visits during the evaluation phase to gather information for judging the Offeror's potential for correcting deficiencies, quality of development or manufacturing practices/processes, or other areas useful in evaluating the offer. If conducted, the results will be assessed under the applicable factors/subfactors and will be used to validate and confirm the Offeror's written proposal.

9.2 Solicitation Applicable Documents

Applicable Documents to the program have been provided to the Offerors as a Bidder’s Library available by request via DoD SAFE (https://safe.apps.mil/).

The Offeror shall include a list and copy of any additional documents (Government, Commercial or otherwise) that would be applicable based on the specifics of their proposed approach.
