Subj: USE OF OTHER THAN FULL AND OPEN COMPETITION FOR AN
ACQUISITION UNDER THE SIMPLIFIED ACQUISITION THRESHOLD
I. BACKGROUND:
1. FAR 13.106-1(b)(1)(i) states for purchases not exceeding the simplified acquisition threshold, Contracting Officers may solicit from one source if the Contracting Officer determines that the circumstances of the contract action deem only one source reasonably available (e.g., urgency, exclusive licensing agreements, brand-name or industrial mobilization).
2. As required by FAR 13.106-3(b)(3)(i), this memorandum explains the absence of competition for this acquisition, as only one source will be solicited for this requirement (or for a portion of the requirement) and the requirement is not expected to exceed the simplified acquisition threshold.
II. DESCRIPTION OF ITEM OR SERVICE:
The proposed acquisition is to procure Total Resource Management (TRM) RulesManager for Maximo 7x Enterprise Annual Customer Support Program license fees. Naval Facilities Engineering Systems Command (NAVFAC) Information Technology Center (NITC) provides enterprise information systems necessary le for delivering the information systems necessary to support Naval facilities worldwide. NITC is required to provide operational support 24 hours a day, 7 days a week to this worldwide customer base. The period of performance is 18 July 2024 to 17 July 2025.

Quickly design complex forms while giving users intuitive displays and forms.
Customizations will not have to be redone after every upgrade.

III.THE DETERMINATION FOR USE OF OTHER THAN FULL AND OPEN
COMPETITION IS BASED ON THE FOLLOWING:
A. _x_ ONLY ONE RESPONSIBLE SOURCE (select all that apply):
1. RESTRICTIVE RIGHTS. The source has established proprietary rights, limited rights in data, patent rights, copyrights or secret processes in the item or service required.
2. _x_ EXCLUSIVE LICENSING AGREEMENTS. The item or service is only available from the Original Equipment Manufacturer (OEM). Total Resource Management (TRM) is the sole source Original Equipment Manufacturer (OEM) provider of the TRM RulesManager product. There are no third party vendors authorized by Total Resource Management Inc. who can sell Total Resource Management products and/or services, including RulesManager. RulesManager is an integral component of Maximo. It is used to allow the Government to customize and configure Maximo to meet the individual needs and requirements of each Facilities Engineering Command (FEC); to provide additional controls for security rights and information access; and to ensure confidentiality and integrity between and among each FEC. Not using the TRM RulesManager software would functionality by at least 60%. TRM is the only vendor who has an agreement with IBM to provide the customization and configuration functionality of the Maximo application. NAVFAC currently owns and maintains IBM Maximo Anywhere Work Manager, which delivers instant mobile access to IBM Maximo applications, which are all an integral part of the NAVFAC CIO Enterprise Architecture. Total Resource Management (TRM) does not have a current ELA/BPA agreement as confirmed through research on the ESI website. TRM is not listed on the Agreements list. GSA of contracts for TRM confirmed that TRM is the sole provider for RulesManager software annual customer support.
3. OTHER REASONS. Other reason not identified above. Provide details on mission impact if requirement is not solicited from only one source.
B. BRAND NAME. Item required must be a brand name product, or feature of a product, particular to one manufacturer.
C. UNUSUAL AND COMPELLING URGENCY. The supplies or services are of such unusual and compelling urgency that the Government would be seriously injured unless the agency is permitted to limit the number of sources from which it solicits bids or proposals. Urgent requirements are supplies or services that will result in a work stoppage, or are mission critical and the routine processing time would result in injury to the Government. The determination that the procurement for the above item/service is an urgent and compelling requirement is based on the following:
