About this file

This document is a Justification and Approval (J&A) for a sole source award to Digital Elements for an IP geolocation software platform for the Defense Logistics Agency (DLA). The DLA requires software that can geolocate IP addresses to the postal code level and provide bulk lookups for up to 38,000 supplies, which only Digital Elements can provide. Additionally, Digital Elements is the only vendor that can supply VPN and proxy IP address "context data" to enable DLA to identify potential bad actors.

The DLA conducted market research which found no other sources capable of meeting the technical requirements. A sources sought notice was posted, but only Digital Elements responded. The contracting officer determined that the anticipated cost will be fair and reasonable by comparing to an Independent Government Cost Estimate. The DLA does not currently plan to compete future procurements for these products, but will assess if competition is feasible if another potential source emerges.

required by DLA. For example, Digital Elements can geolocate an IP address to the postal code level and provide bulk look up for all DLA supplies at once (up to 38K). No other sources are able to provide look-up data within that magnitude. Additionally, only Digital Elements provides VPN and proxy IP address “context data” that will enable DLA to gleam insights to determine if the VPN and proxy IP address is tied to a bad actor.

(6) Description of efforts made to ensure that offers are solicited from as many potential sources as is practicable, including whether a notice was or will be publicized as required by Subpart 5.2 and, if not, which exception under 5.202 applies:

This procurement will be conducted under the authority of FAR 13.5, Simplified Procedures for Certain Commercial Products and Commercial Services, and the contracting officer intends to post a combined synopsis and solicitation on SAM.gov following the procedures in FAR 12.6, Streamlined Procedures for Evaluation and Solicitation for Commercial Products and Commercial Services.

This redacted justification and approval will be posted with the solicitation.

As there are no other sources that can supply the required software, and no other software solutions that meet DLA’s requirements, the contracting officer intends to procure the required IP geolocation software platform as a sole source award to Digital Elements.

(7) A determination by the Contracting Officer that the anticipated cost to the Government will be fair and reasonable:

The contracting officer determines the anticipated cost to the government will be determined fair and reasonable by comparing proposed prices to the IGCE.

(8) Description of market research conducted and results or a statement of the reason market research was not conducted:

Market research was conducted by both the customer and the contracting officer as summarized below.

The customer conducted market research to determine if any other sources could meet DLA’s requirements. The research included internet searches, a review of GSA schedules, and discussions with subject matter experts. The research found that the only company that can fulfill all the requirements listed in the PD is Digital Elements.

In accordance with DFARS PGI 206.302-1, the contracting officer posted a sources sought to SAM.gov on June 13, 2024 with responses due by noon on June 20, 2024. The sources sought included the draft purchase description (PD) and requested that interested vendors with experience/capabilities as outlined above provide a capability statement with basic company details as well as examples of past experience providing the required software. Only one response was received, which was provided by Digital Elements.

(9) Other facts supporting the use of other than full and open competition:

The contracting officer also conducted internet searches and was not able to locate any potential sources that can meet all of the PD requirements, which further substantiates the lack of response to the sources sought. Based on the results of the customer’s market research and the sources sought, only Digital Elements provides software that meets all of DLA’s requirements.

(10) Listing of sources that expressed, in writing, an interest in the acquisition:

Digital Elements is the only company that has expressed interest in this acquisition and responded to the sources sought.

(11) Actions, if any, the agency will take to remove or overcome any barriers to competition before any subsequent acquisition for the supplies or services required:

Based on DLA’s specific requirements, there are no current plans to compete future contracts for these particular products; however, if another potential source emerges, DLA will assess whether competition for future procurements is feasible.
