GENERAL TERMS AND CONDITIONS

The Pinellas County School District (District) “General Terms and Conditions” School Board Adopted

12/08/09 Revised 3/20/12, 7/24/12 can be found at the following link:

https://www.pcsb.org/cms/lib/FL01903687/Centricity/Domain/187/General%20Terms%20and%20Condit ions%2011%2015%2024.pdf

By submitting a proposal, Proposer agrees to abide by all District Terms and Conditions.

CONTRACT PERIOD

The Contract Period shall commence on November 14, 2025, and end November 13, 2026. Prices and discounts shall remain firm for this period and shall include ALL freight and handling charges.

RENEWAL OPTION

By mutual consent of the School Board of Pinellas County, Florida, and the successful Bidders, this contract may be renewed for Four (4) additional one (1) year periods.

SUPPLEMENTAL UNILATERAL RENEWAL PERIODS

The District, through its Director of Purchasing, has the option and reserves the right to unilaterally extend the original contract term or any renewal term for up to three (3) additional thirty (30) day periods, at the same terms and conditions. Notice of the District’s intent to renew shall be provided by the District in writing to the Contractor Supplier prior to the expiration of the contract, or the renewal period if the contract has been previously renewed.

PRICE ESCALATION/DE-ESCALATION

The District will allow a price escalation/de-escalation provision within this award. The original bid prices shall remain firm for the first term of the agreement. A price escalation/de-escalation will be allowed at each renewal period, provided the Awardee notifies the District, in writing, of the pending price escalation/de-escalation a minimum of 60 days prior to the final day of the current term. The price escalation percentage change shall not exceed the previous 1-year’s percentage change of the Consumer

Price Index for All Urban Consumers (CPI-U) published by the U.S. Department of Labor’s Bureau of

Labor Statistics. If bidding discounts from list price, discounts offered may not change. Failure to comply with these instructions shall be grounds for disallowance of a price escalation as allowed herein.

If, at the point of exercising the price escalation provision, market media indicators show that the

Consumer Price Index for All Urban Consumers (CPI-U) has decreased, and that the Awardee has not passed the decrease on to the District, the District reserves the right to place the Awardee in default, cancel the award, and remove the Awardee from the District’s Bidders List for a period of time deemed suitable by the District. In the event of this occurrence, the District further reserves the right to utilize any and/or all options as stated herein.

ADJUSTMENTS TO CONTRACT TERMS & CONDITIONS NECESSITATED BY

VOLATILITY OF THE MARKETPLACE

The District may, in its sole discretion, make an equitable adjustment in the contract terms and/or pricing if pricing or availability of supply are affected by extreme and unforeseen volatility in the marketplace, that is, by circumstances that satisfy all of the following criteria:

1. The volatility is due to causes wholly beyond the Supplier’s control https://www.pcsb.org/cms/lib/FL01903687/Centricity/Domain/187/General%20Terms%20and%20Conditions%2011%2015%2024.pdf https://www.pcsb.org/cms/lib/FL01903687/Centricity/Domain/187/General%20Terms%20and%20Conditions%2011%2015%2024.pdf

Bid# 25-JG-067

2. The volatility affects the marketplace or industry, not just the particular Supplier’s source of supply

3. The effect on pricing or availability of supply is substantial

4. The volatility so affects the Supplier that continued performance of the contract would result in substantial loss or financial hardship

The determination as to whether a situation represents “extreme” volatility of the marketplace and/or whether the effect on pricing or availability is “substantial” shall be solely at the discretion of the District.

Requests for adjustments will not be considered more than once in a one-year period. Adjustments and renewal escalation may not be exercised in the same term.

CONTRACT VALUE

For the purposes of calculating the amount of a protest bond, this contract is valued at approximately

$115,000.00/year , excluding renewal options. This is only an estimate and the actual amount could vary up or down. The District will not be held responsible if actual purchases are less than this amount.

BID CONTENT & SUBMITTAL

Each bid proposal shall include all information and submittals required or requested in this bid.

Incomplete bid proposals may be declared non-responsive.

MINIMUM ORDERS

Bidders should not qualify their bids with specific minimum order requirements. The district will not entertain bids submitted with these stipulations and may declare such bids non-responsive.

ESTIMATED USAGE

Quantities listed on the Bid Proposal Form are estimated annual usage figures only and will be ordered throughout the contract period on an as needed basis.

Form. The District reserves the right to delete any item from the Pricing Proposal Form and award the balance of items at the district’s discretion.

PRODUCT INSTRUCTIONS/TRAINING

Operational charts, with full instructions, must be provided, upon request, for all dish machines, pot washing stations, and other products bid. To fully train each individual employee, The Manufacturer and/or its local

Distributor will conduct “group training programs” on request and demonstrate equipment usage and procedures on site when necessary.

• “When Used as Directed” as appears in the specifications is not to be overlooked. The usage rates and dilution ratios stipulated by the vendor in this bid document shall be used not only to determine the apparent low bidder, but will be the ONLY concentrations used in subsequent testing procedures. An

Bid# 25-JG-067 error in any of the applicable items listed below that might result in poor product performance during testing may eliminate the bidder from consideration.

• “Soft Water” schools that have water conditioning, reducing hardness to 0 grains per gallon.

REQUIRED SUBMITTALS

**PLEASE DO NOT SEND SAMPLES TO THE PURCHASING DEPARTMENT**

SAMPLE TESTING

It is the intent of PCSB Food & Nutrition Department to test the submitted products to determine if all products, when handled, dispensed, diluted, or used according to the manufacturers’ instructions, provide the cleanse ability or dishwashing capacity required. PCSB is set-up with Dema Dispensers Models Titan 2 high temp dish machines, Pot & Pan sinks Dema 153 or Dema PF651GAP & PF652GAP and are maintained by

PCSB. Only the products of the two (2) lowest responsive bidder(s) may be required for testing at two (2) district food & nutrition facilities for one (1) calendar month while school is in session prior to the bid award.

If samples are acceptable, no further testing will be undertaken. A bidder’s products may be rejected if they fail to meet the performance standards of the Food & Nutrition Department. If product is rejected, bidder will be contacted to have their product picked up and the Food & Nutrition Department will go to the next lowest mailto:pastored@pcsb.org

Bid# 25-JG-067 responsive bidder for testing. If all “qualified bidders” fail during the sampling phase, the Food & Nutrition

Department reserves the right to ask bidders to make adjustments to their original recommended dilution ratios in order to meet product performance standards. Pinellas County Schools reserves the right to refer chemicals to a state approved laboratory for testing to verify dilution ratio. Product analysis will be based on active ingredients listed and pH using the standard refractive index.

NEW PRODUCT PROCUREMENT AFTER CONTRACT AWARD

It may be necessary to add new products to this contract after the award is made. The successful bidder (s) shall submit pricing and product specifications to the purchasing department for final approval before delivery of any such items.

BID COMPLIANCE

After the lowest responsive and responsible bidder(s) have been determined, smaller sample standards will be taken from the original bid samples submitted. These standards will be sealed, dated, and properly secured and stored for bid compliance testing over the duration of the contract.

To ensure that the products delivered during the entire period are consistent with those bid and tested, a procedure for both random and selective testing has been established. Samples to be used for compliance comparison testing shall be collected at random, or as directed, from delivery site storerooms. All samples will be drawn from well mixed containers, properly marked, dated, and handled in such a fashion as to ensure their integrity.

Periodic testing of the delivered products will be conducted on a comparative volumetric basis only to determine if the product delivered is equal to the sample standard. An independent testing laboratory will be utilized to compare the two chemicals using, among others, colorimetric, pH moisture balance, and refractometric tests. Adjustments will be made for elapsed time deterioration based on chemical composition and standard sample date (i.e., chlorine level in low-temp sanitizer).

SERVICE REQUIREMENTS

Pinellas County Schools is soliciting bids for its food & nutrition sanitation needs. PCS will provide and maintain its own dispensing equipment and will perform maintenance on this dispensing equipment.

Thus, the cost of providing dispensing equipment or servicing said equipment should not be factored into the cost of the cleaning products.

Bidders are asked to provide the following items, upon request, at no cost to PCS as part of their bid price:

• Free test kits (quantity of 5) to perform titrations for the machine dishwashing detergent. Test kit factors must be included in the bid package to correlate the number of drops of titrating solution to the % concentration of the detergent.

• Wall charts for machine dishwashing, three-compartment sink, and mop sink areas. These wall charts must be customized to contain the exact brand names of the products awarded. A sample of such a wall chart must be included with the bid package.

• Water Fill Line decals for three-compartment sinks, on request.

• Up to 130 SDS binders and wall racks, on request. Initial start of contract the SDS PDF per product shall be sent to Danielle Pastore for distribution to facilities.

EVALUATION PROCESS

A. Different scenario calculations will be used for each product to determine the number of ounces of product needed to perform its intended use based on the manufacturer’s recommended dilution

Bid# 25-JG-067 ratio. The actual cost to the district will be calculated by taking the total number of ounces of product needed times the cost per ounce of the product. The actual numbers used in scenario calculations will not be made available to bidders until after the evaluation process is complete.

B. Our bid evaluation process makes comparisons at costs per ounce diluted in accordance with each manufacturer’s recommendations. As a result, the lowest price per case may not be the lowest cost product when dilution ratios are taken into consideration. When the dilution ratio is listed as a range, (i.e. 1-4 ounces/gallon) the district will use the average of the range listed for all bid scenario calculations.

C. All bid calculations used to determine lowest cost bid will be provided after the evaluation process is complete. That information is not needed by bidders to formulate a competitive bid. We have provided estimated usage figures on the bid proposal form for that purpose.

D. Products must effectively clean and sanitize various areas in the kitchen including ware-washing and surface contact areas for foods. They must properly clean floors and equipment at the lowest cost to the district. How well products meet these expectations will be considered in the evaluation of all products.

CONTAINER LABELING & HANDLING

Each container shall display the chemical identity, dilution ratio and all OSHA required hazardous warnings and the name and address of the manufacturer, importer or other responsible party.

The vendor must package merchandise appropriately and take all necessary precautions to avoid damage in transit. The recipient shall make every attempt to inspect merchandise upon delivery, if possible, and make note of any damage on the bill of lading. Damaged goods discovered after delivery personnel have left, shall be reported to the vendor within ten (10) calendar days of receipt for replacement.

DISCOUNTS, REBATES, AND CREDITS

All goods, services or monies received as the result of any equipment or USDA Foods rebate shall be credited to the School Food Authority’s nonprofit food service account.

CIVIL RIGHTS

The awarded vendor shall comply with Title VI of the Civil Rights Act of 1964, as amended; USDA regulations implementing Title IX of the Education Amendments; Section 504 of the Rehabilitation Act of

1973; Age Discrimination Act of l975; 7 C.F.R. Parts 15, 15a, and 15b; and FNS Instruction 113-1, Civil
