SECTION 2.1 – STATEMENT OF WORK

U.S. Institute for Environmental Conflict Resolution Statement of Work

Missouri River Recovery Implementation Committee (MRRIC) Chair

PROJECT LOCATION:

Missouri River Basin States (Iowa, Kansas, Missouri, Montana, Nebraska, North Dakota, South Dakota, Wyoming)

BACKGROUND

Overview

The Missouri River Recovery Implementation Committee (MRRIC/Committee) consensus-building process is a coordinated effort involving the U.S. Institute for Environmental Conflict Resolution (U.S. Institute) of the Udall Foundation, a contracted facilitation team (Facilitation Team), the U.S. Army Corps of Engineers (USACE), the U.S. Fish and Wildlife Service (USFWS), and the Contracted Committee Chair (Contractor/Chair). The Contractor shall provide the following services, in close coordination with the Committee, the lead agencies, the U.S. Institute, contracted facilitation team, and contracted Third Party Science Neutral.

In addition to the routine Government performance evaluation that occurs during the management of the contract, the Contractor’s performance will be evaluated annually by the Committee in accordance with the MRRIC Charter. The Committee will provide their evaluation to the Government as input for the Government’s performance evaluation.

The Chair must be familiar with, and conversant about, the USACE Missouri River Recovery Program Management Plan/EIS and Adaptive Management Plan process. The Chair must also be familiar with structured decision making practices, adaptive management, and understand the scientific technical information contained in the effects analysis conducted by USACE and USFWS and their contractors at MRRIC’s recommendation; as well as the MRRIC-recommended human objectives and metrics being used in the Management Plan process.

The Chair must have the personal, technical, and professional skills and abilities to maintain and bolster the trust in the collaborative process that has been forged among the Committee members and between the Committee members, lead agencies, and the Chair.

Roles and Responsibilities:

Contractor

The current work of the Committee necessitates that the Chair have understanding and expertise in the scientific and technical issues related to the recovery of the Missouri River endangered pallid sturgeon, least tern and piping plover and how large-scale watershed adaptive management plans are implemented. The Chair must be able to utilize this technical knowledge in an impartial manner to pose questions on behalf of the Committee and help communicate technical information to Committee members. The Chair must communicate this information in a manner that reinforces Committee member (stakeholder, tribe, state, Federal members) trust in her or his ability to be an impartial leader.

The Chair must have working knowledge of structured-decision making (SDM) generally, and be familiar with the specific methods being used by USACE in the implementation of the Missouri River Recovery Program Management Plan/Environmental Impact Study and Adaptive Management Plan. The Chair’s understanding and her or his ability to communicate to Committee members how their input regarding social and economic issues will be utilized is essential to the Committee trusting the Chair and the process.

The Chair will be responsible for protecting the interests of all Committee members and alternates. S/he will act in a fair and balanced manner with respect to the Committee's operation and the conduct of Committee meetings. Document Title: Missouri River Recovery Implementation Committee (MRRIC) Chair IDIQ to determine the views of all Committee members regarding Committee advice and work to achieve consensus.

The Chair will be responsible for running Committee meetings, including opening, enforcement of operating rules, and adjournment. The Contractor may call a meeting subject to the public notification procedures of the Committee. The Contractor will be responsible for collaboratively developing meeting agendas and reviewing draft meeting minutes and summaries for accuracy and completeness.

The Chair shall have the authority to represent the scope and purpose of the Committee and convey the consensus decisions of the Committee to agencies, elected officials, and in public settings, but shall not act in a lobbying capacity.

The U.S. Institute:

Manages the technical aspects of the contracted facilitation team and Contractor services and performance.

Provides day-to-day project management, oversight, and consultation to the contracted facilitation team and Contractor.

Serves as a resource for the Contractor and contracted facilitation team in developing meeting and work group processes, agenda development, and strategies to address emergent and/or difficult issues.

The Facilitation Team:

The Facilitation Team is an organization, contracted separately, for the ongoing facilitation of all MRRIC meetings. The Team:

Assists with Committee consensus-building efforts Keeps meetings and work group discussions focused, on track and fulfilling the purpose of the Committee in a balanced and fair manner.

Works with the Contractor (Chair), Agenda Work Group, Committee, Federal agencies, and the U.S. Institute to collaboratively develop meeting agendas.

Provides a note-taker for Committee meetings, work group conference calls, and where requested, for in-person work group discussions.

Prepares draft meeting minutes and summaries for the Contractor (Chair) and Committee to review and finalizes these documents following review and approval of the Committee.

Coordinates with the U.S. Institute, the Chair, Committee, and participating agencies to ensure all meeting materials are shared and posted to the Committee website a minimum of seven days before each Committee meeting.

Consults and coordinates with the U.S. Institute and Committee, as needed, regarding process management and resolution of issues of concern.

With input from the Chair and U.S. Institute, facilitates solutions and mediates the resolution of issues.

SPECIFIC TASKS FOR THE CHAIR

Specific tasks for the Contractor will be contracted by Task Orders issued under the IDIQ contract. Task Orders may include any or all of the tasks below:

Task 1. MRRIC Plenary Meetings (Chair-Led) Full plenary meetings are 2.75 days in length. The Contractor will open and close the meetings and enforce Operating Procedures and the Charter. This task includes preparation calls, evening sessions, and after-plenary debrief/planning sessions with the facilitation team, U.S. Institute, MRRIC members, and lead agencies and preparation of press releases and media outreach. This task may also include social events that require the Contractor’s attendance on the Tuesday or Wednesday evening(s) of the meeting. Travel is anticipated with this task.

Anticipated dates for meetings will be specified in each Task Order.

Task 2. Full Day Workshop Meeting (Chair-Led)

The Contractor presides over a meeting of MRRIC work group members, technical team members, and other MRRIC members (as they elect). The Contractor will enforce Operating Procedures and the Charter and assure that planned format and content are consistent with the goals and objectives with MRRIC. The task will include preparation calls with the facilitation team, U.S. Institute, MRRIC members, and lead agencies. Travel is anticipated with this task. The meeting is 1 day in length.

Anticipated dates for meetings will be specified in each Task Order.

Task 3. Half Day Workshop Meeting (Chair-Led)

Task 5. Half Day Workshop Meeting (Chair-Attended) MRRIC work group members, technical team members, and other MRRIC members. The Contractor would be expected to attend these meeting to focus on substantive issues and ensure coordination between MRRIC, independent panel and facilitation team. Task 6. In-Person Work Group Meetings (Chair-Attended) MRRIC work groups may meet in-person between MRRIC plenary meetings. The Contractor is expected to attend these meetings, but the primary responsibilities for preparation and follow-up rest with others. The meetings are on average 1.5 days in length. Travel is anticipated with this task.

Anticipated dates for meetings will be specified in each Task Order.

Task 7. Field Trip (Chair-Attended) MRRIC or MRRIC work groups may engage in field trips. Travel is anticipated with this task, but the primary responsibilities for preparation and follow-up rest with others. The dates, number of participants, and length of the field trips will be specified in each Task Order. The assumed length of a field trip is 0.5 day.

Task 8. Lead Agency and LFT In-person meetings Participate in up to three annual 1.5-day in-person meetings with the USACE, USFWS, U.S. Institute and its contracted facilitation team, the MRRIC Vice-Chair, and as needed, others. The purpose of these meetings is to continue to cultivate a collaborative relationship with the lead agencies. These meetings may be conducted by webinar if funding is limited. Travel is anticipated with this task.

Task 9. Participate in Committee Work Group calls Participate in monthly planning group and work group calls for Committee work groups to ensure coordination between work groups and the larger Committee, track substantive issues and influence the timely development of plenary meeting products. Assume 24 hours of work/planning group call time per month. If calls are not scheduled at this frequency, time may be utilized to coordinate with work group members and/or MRRIC on work group matters.

Task 10. Leadership and Facilitation Team (LFT) call Contactor shall work with members of the contracted facilitation team, U.S. Institute program manager, and MRRIC Vice-Chair in the collaborative planning and development of MRRIC plenary meeting agendas, long-term MRRIC planning, and issue resolution.

Assumes one 90-120 minute call with any needed prep and follow-up.

Task 11. Convene the Agenda Work Group Committee meeting agendas are developed collaboratively between the Contractor, Committee members and the lead agencies through an Agenda Work Group. The Contractor convenes Agenda Work Group conference calls to develop the agenda and works in close coordination with the facilitation team, work group members, agencies, and U.S. Institute to collaboratively develop meeting agendas. Pre- and post-call communications with the facilitation team and others is required. Assumes one 90 minute-2 hour Agenda Work Group call and any needed prep/follow-up.

Task 12. Annual Forum Webinar This task includes preparation calls with the facilitation team, U.S. Institute, USACE, and USFWS. The Contractor will convene the session, open and close the webinar, and enforce the MRRIC Operating Procedures and the Charter. This webinar is assumed to be 4- 6 hours in length.

Task 13. Coordination and Communication Call Throughout each year, the Contractor shall participate in communication and coordination calls with U.S. Institute as needed.

Assumes a 1 hour call.

Task 14. Other tasks as identified in the MRRIC Charter Contractor shall address emerging issues as requested by either MRRIC, its members, lead agencies (USACE and USFWS) or U.S.

Institute and with the written concurrence of the Contract Officer, provide other services in keeping with the role of the MRRIC Chair such as resolve disputes among Committee members.

Task 15. Represent MRRIC Outside of MRRIC Functions The Chair may be called upon to represent the Committee in public and/or work settings. In this event, cost will be negotiated at the task order level.

Task 16. Other Unforeseen Meeting The Chair may be called upon to participate in other meetings than those listed above. In this event, cost will be negotiated at the task order level.

ADMINISTRATION

Task Date Confirmations and Task Orders USIECR will coordinate with the Committee and Contractor to determine the Period of Performance and specific tasks for each Task Order. This information will be provided to IBC for preparation and issuance of each Task Order. The Contractor shall not perform work on a task prior to receiving a Task Order from IBC. Task Orders will be issued in writing by the Contracting Officer and will include the following information:

Task Order Tracking Tool The Contractor shall provide, as an integral part of this contract, a task order tracking tool that will record, monitor, track, store, maintain, and report all task orders awarded to the contractor. This tool shall be electronic. The tool shall provide IBC and the Program Manager the ability to review all relevant task order information. The task order tracking tool shall provide a complete financial summary of the task orders including the dates, amounts awarded, funded, expended, invoiced, and paid as well as have the capability to store, hold, and provide visibility to view task order documents.

SPECIAL REQUIREMENTS

CONTRACT CEILING AND MINIMUM ORDER

CONTINUITY OF SERVICES (PHASE IN-PHASE OUT)

In accordance with FAR52.237-3, the services under this contract are vital to the Government and must be continued without interruption and that, upon contract expiration, a successor, either the Government or another contractor, may continue them. The Contractor shall, upon the Contracting Officer's written notice, (1) furnish phase-in, phase-out services for up to 90-days after this contract expires and (2) negotiate in good faith a plan with a successor to determine the nature and extent of phase-in, phase-out services required. The plan shall specify a training program and a date for transferring responsibilities for each division of work described in the plan, and shall be subject to the Contracting Officer's approval. The Contractor shall provide sufficient experienced personnel during the phase-in, phase-out period to ensure that the services called for by this contract are maintained at the required level of proficiency.

The Contractor shall disclose necessary personnel records.

The Contractor shall be reimbursed for all reasonable phase-in, phase-out costs (i.e., costs incurred within the agreed period after contract expiration that result from phase-in, phase-out operations) and a fee (profit) not to exceed a pro rata portion of the fee (profit) under this contract.

MISCELLANEOUS

The government reserves the right to negotiate changes to this contract in the event of changes to the MRRIC program and/or changes to the specific task requirements.

2.2 INSPECTION AND ACCEPTANCE OF DELIVERABLES

The Program Manager (PM) will inspect services to ensure that they conform to specifications. The Contracting Officer's Representative (COR) will accept services. The PM will inform the COR and the Contract Administrator (CA) if the services do not conform to specifications.

2.3 NOTICE REGARDING LATE DELIVERY

In the event the Contractor anticipates difficulty in complying with any delivery dates, the Contractor shall notify the COR in writing, no less than five (5) working days prior to the scheduled delivery date. In the written notification, the Contractor shall identify pertinent details, including the date by which they expect to make delivery. This data shall be informational in nature and receipt thereof shall not be construed as a waiver by the Government of any schedule, rights or remedy.

2.4 DELIVERY LOCATION

Written deliverables must be emailed to the PM and COR by the due date specified in the Statement of Work. Materials associated with in-person meetings/workgroups, such as meeting supplies, handouts, and copies, must be delivered to the meeting/workgroup location unless otherwise specified by the COR. 4.6 CONTRACT MANAGEMENT

a. Notwithstanding the Contractor's responsibility for total management during the performance of this contract, the administration of the contract will require maximum coordination between the Government and the Contractor. The following individuals will be the Government points of contact during the performance of the contract.

b. Contract Administration. All contract administration will be performed by the Contract Officer and the Contract Administrator. All communications pertaining to contractual administrative matters will be addressed to the Contract Administrator.

c. Contracting Officer Representative. The Contracting Officer shall designate an individual or individuals to act as the Contracting Officer Representative (COR) during the term of this contract. The COR will represent the Contracting Officer in all technical aspects of the work and will act in a liaison capacity to coordinate activities between the Contractor and the Government as required in performance of this contract. A letter of designation will be issued to the COR with a copy provided to the Contractor stating the responsibilities and limitations of the COR.

4.7 CONTRACT AUTHORITY

a. Contracting Officer's Authority: The Contracting Officer is the only person authorized to direct changes in any of the requirements under this contract, and notwithstanding any provisions contained elsewhere in this contract, the said authority remains solely in the Contracting Officer. In the event the Contractor effects any such change at the direction of any person other than the Contracting Officer, the change will be considered to have been made without authority and solely at the risk of the Contractor.

b. Contractor's Authority: (1) The Contractor shall not accept any instructions issued by any person employed by the U.S.

Government or otherwise, other than the Contracting Officer, or theCOR acting within the limits of their authority; (2) The Contractor shall not in any way represent that he is a part of the United States Government or that he has the authority to contract or procure supplies for the account of the United States of America.

4.8 INVOICE SUMBMISSION

Payment requests must be submitted electronically through the U. S. Department of the Treasury's Invoice Processing Platform System (IPP).

"Payment request" means any request for contract financing payment or invoice payment by the Contractor. If the Contractor is unable to comply with the requirement to use IPP for submitting invoices for payment, the Contractor must submit a waiver request in writing to the contracting officer with its proposal or quotation.

SECTION 5 -- SPECIAL CONTRACT REQUIREMENTS

5.1 RESPONSIBILITY FOR GOVERNMENT INFORMATION

At the sole discretion of the Government, Government Furnished Information (GFI) may be provided for use in the performance of this contract. If GFI is provided, such information will be returned to the Government upon conclusion of the contract or as specified by the Contracting Officer, in writing.

The contractor must protect from unauthorized disclosure any materials or information made available by the Government, or that the contractor has access to by virtue of the provisions of this contract, that are not intended for public disclosure. The materials and information made available to the Contractor by the Government, or that the Contractor comes into contact with, in completing this contract, are the exclusive property of the Government. Any information or materials developed by the Contractor in the performance of this contract are also the exclusive property of the Government. Upon completion or termination of this contract, the contractor shall turn over to the Government, all materials (copies included) that were furnished to the Contractor by the Government, and all materials that were developed by the Contractor in the performance of this contract.

5.2 CORPORATE CHANGES

The contractor shall provide the Contracting Officer copies of all correspondence relating to the prime contractor's corporate status and major corporate revisions, such as buyouts, mergers, Novation agreements, sale or dissolution, and changes in personnel policy.

Potential buyout scenarios, actual buyouts, sales and dissolutions shall be disclosed in writing to the Contracting Officer as soon as possible.

5.3 KEY PERSONNEL

Certain skilled/experienced professional and/or technical personnel are essential for successful Contractor accomplishment of the work to be performed under this contract. These are defined as "key personnel" and are those individuals identified below:

The Contractor agrees key personnel shall not be removed from the contracted work or replaced without compliance with the following:

a. If one or more of the key personnel for whatever reason becomes, or is expected to become, unavailable for work under this contract for a continuous period exceeding 30-calendar days, or is expected to devote substantially less effort to the work than indicated in the proposal as initially anticipated, the Contractor shall promptly notify the Government Contract Administrator.

Upon concurrence of the Contracting Officer or his authorized representative, the Contractor shall promptly replace such personnel with personnel of at least substantially equal ability and qualifications.

b. All requests for approval of substitutions hereunder must be in writing and provide a detailed explanation of the circumstances necessitating the proposed substitution(s). They must contain a complete resume for the proposed substitute, and any other information requested by the Contracting Officer or needed by him to approve or disapprove the proposed substitution. The Contracting Officer or their authorized representative will evaluate such requests and promptly notify the Contractor of the approval or disapproval thereof, in writing.

5.4 TRAVEL AND PER DIEM

Travel and Per Diem required by the Contractor shall be invoiced on a T&M basis. All travel shall be in accordance with the Federal Travel Regulation and FAR Part 31, with the exception of a Fixed Price contract line item. The contractor agrees to use the most economical method of travel available. Travel that is outside that which is specified in the Statement of Work requires the Contracting Officer's Representative’s written approval. All foreign travel requires the written approval of the Contracting Officer.

5.5 LOCAL TRAVEL

Local travel will not be reimbursed unless otherwise specified. Local travel is hereby defined to mean any and all travel within a fifty

(50) mile radius of the contractor's place of business, or main place of performance.

5.6 ORGANIZATIONAL CONFLICT OF INTEREST

a. The restrictions imposed by this requirement apply to the Contractor, including its parent company, affiliates, divisions, subsidiaries, consultants, subcontractors at any tier, and any tier successors.

b. The Contractor is subject to the following restrictions:

(1) The Contractor agrees to review, after award and during the life of this requirement, its technical, business, financial, and other interest which could give rise to an actual or potential organizational conflict of interest in connections with the performance of this contract. If the Contractor discovers any fact relevant to an organizational conflict of interest, the Contractor shall make an immediate and full disclosure in writing to the Contracting Officer. The disclosure shall set forth all relevant facts, including identification of contracts or agreements under which work was or is being performed and include a description of actions which the Contractor has taken or proposes to take, to avoid, neutralize, or mitigate the actual or potential conflict of interest.

(2) If work to be performed under this contract requires access to proprietary, business confidential or financial data of other companies, the Contractor shall reach an agreement with such other companies to protect such data from unauthorized use or disclosure as long as it remains proprietary or confidential. Evidence of such an agreement must be made available to the Contracting Officer upon request. Further, the Contractor agrees that it will not use the data to compete with those other companies.

(3) The Government may terminate this contract for convenience, in whole or in part, if it deems such termination necessary to avoid an organizational conflict of interest. If the Contractor was aware of an organizational conflict of interest before the award of this contract or discovered such facts after award and intentionally did not disclose or misrepresented relevant information to the Contracting Officer, the Government may terminate the contract in accordance with the “Default” clause of this contract and pursue such other remedies as may be permitted by law or by this contract.

(4) The Contractor agrees to insert this provision into every subcontract issued in performance of this contract.

5.7 DISCLOSURE OF INFORMATION

a. Performance under this contract may require the contractor to access data and information proprietary to a Government agency, another Government contractor, or of such nature that its dissemination or use other than as specified in this contract would be adverse to the interests of the Government or others. Neither the contractor, nor contractor personnel, shall divulge nor release data or information developed or obtained under performance of the contract except to authorized Government personnel or upon written approval of the Contracting Officer. The contractor shall not use, disclose, or reproduce proprietary data that bears a restrictive legend, other than as specified in the contract.

b. To the extent the contractor receives or is given access to proprietary data, data protected by the Privacy Act of 1974, or other classified or privileged technical, business or financial information under this contract’s SOW, the contractor shall treat and protect Privacy Act information in accordance with any restrictions imposed on such data. Such information and materials will be protected. Access includes the functions of record management, data handling, storage, electronic transmission and physical distribution.

c. As required by the Contracting Officer or designee, the contractor shall agree to enter into a written agreement with any firm whose proprietary data is used in conjunction with performance of this SOW. The contractor shall furnish the Contracting Officer with executed copies of such agreements, and shall not use any proprietary information for any purpose other than which it was provided.

d. Neither the contractor nor the contractor's employees shall disclose, or cause to be disseminated, any information concerning the operations of the activity that could result in, or increase the likelihood of, the possibility of a breach of the activity's security or interrupt the continuity of its operation.

e. All inquiries received by the contractor for information concerning work performed under this IDIQ shall be referred to the Government for evaluation. The determination of whether records will be released will remain with the Government. The contractor shall assist the COR in compiling information or records for submission upon request by the Government.

f. The contractor shall not release any information (including photographs, files, public announcements, statements, denials or confirmations) on any part of the subject matter of this contract or any phase of any program there under without the prior written approval of the COR. All documentation showing individual's names or other personal information shall be controlled and protected.

g. The contractor shall use any data furnished by the Government only for performance under this contract’s SOW, and shall return copies of such data to the Government upon completion of this effort.

h. Data pertaining to other contracts/services may reside on IT systems utilized or accessed by other Government organizations where contractor personnel may be performing. Contractor personnel shall in no way divulge this information or use this information for their gain. The contractor shall notify the Contracting Officer of any potential conflicts of interest.

i. All contractor personnel shall sign non-disclosure agreements to protect all Government information to which they have access both during and after contract performance is completed. The non-disclosure agreements will provide that the contractor's employees will not disclose the information at any time.

5.8 AQD SERVICES GREENING CLAUSE JANUARY 2012

a. Almost every service requires the use of some sort of product.
