About this file

This document is a Terms and Conditions agreement for the Commonwealth of Kentucky applicable to purchase orders and contracts. The agreement establishes baseline requirements for all equipment, products, and services procured by the Commonwealth and its agencies. Equipment must be new and current model unless otherwise specified, and any non-compliant deliverables will be replaced at the contractor's expense. The manufacturer's and contractor's most favorable warranty offered to preferred customers applies to all items, with warranty documentation required upon delivery. All freight and delivery terms are FOB destination to the agency's designated location, with freight charges included in unit prices unless otherwise specified. Brand and specification references establish minimum quality standards only, and substitutions require prior written purchaser approval and demonstration of comparable performance and cost. The contract is deemed binding upon mailing or furnishing the purchase order to the contractor and represents the entire agreement between parties; prior negotiations or agreements have no effect.

The Commonwealth of Kentucky is exempt from state sales and use taxes (Tax Exemption Number ST-37-187). Invoices must include contract number, order number, item numbers, descriptions, delivery locations, quantities, unit prices, and extended totals; invoices containing contrary terms and conditions will be rejected. Payment is made within thirty working days pursuant to KRS 45.453, and vendors must register in the Commonwealth's electronic procurement system to receive payment. For service and construction contracts, contractors must provide Commercial General Liability Insurance with a combined single limit of $1,000,000 minimum, Automobile Liability Insurance with a combined single limit of $1,000,000, and Workers' Compensation and Unemployment Insurance as required by law. Certificates of insurance indicating the Commonwealth as an additional named insured must be provided within ten days of notification, with failure to comply potentially resulting in contract termination. All products and services must comply with applicable governmental mandates, consumer protection requirements, occupational safety standards, building and construction codes, labor laws, and local, state, and federal regulations.
