The Department seeks to establish one or more contracts with qualified organizations experienced in video production studio development. The project encompasses designing and constructing a dedicated approximately 11' x 13' digital media room equipped for professional-quality video shooting, editing, audio production, and still photography. An on-site inspection is mandatory on September 11, 2014 at 1:00 PM MST. The proposal submission deadline is September 24, 2014 at 2:00 PM Mountain Time, with written inquiries due by September 16, 2014 at 5:00 PM. The completed room must be operational by December 31, 2014. The contract will be effective upon approval by the State Controller or designee and may be renewed at the State's discretion, contingent upon satisfactory performance and available appropriations.
Pricing information must be submitted separately from technical proposals and should include detailed hourly estimates for each project task and element. No funds are provided for contractor travel, lodging for the mandatory walk-through, or meeting expenses beyond those specified in the scope of work. The evaluation will be non-numeric, with award made to the offeror whose proposal is deemed most advantageous to the State, considering demonstrated experience in designing and constructing professional video studios, ability to provide professional training services, pricing, offeror qualifications and key personnel, and willingness to accept Colorado's standard contract terms without exceptions. Offerors must submit one original and three hard copies plus one electronic copy on CD/disk or thumb drive in Microsoft Word, Excel, or PDF format to the Department of Agriculture's Purchasing Office in Broomfield, Colorado. Proposals cannot exceed 25 pages excluding attachments. a) The prices in this proposal have been arrived at independently, without consultation, communication, or agreement, for the purpose of restricting competition, as to any matter relating to such prices with any other Offeror or with any competitor;
b) Unless otherwise required by law, the prices which have been quoted in this proposal have not been knowingly disclosed by the Offeror and will not knowingly be disclosed by the Offeror prior to opening, directly or indirectly to any other Offeror or to any competitor; and
c) No attempt has been made or will be made by the Offeror to induce any other person or firm to submit or not to submit a proposal for the purpose of restricting competition.
1.1.1 Each person signing the Request for Proposal Cover Sheet of this proposal certifies that:
a) He/She is the person in the Offeror’s organization responsible within that organization for the decision as to the prices being offered herein and that he has not participated, and will not participate, in any action contrary to 1.18.1(a) through 1.18.1(c) above; or
b) If He/She is not the person in the Offeror’s organization responsible within that organization for the decision as to the prices being offered herein but that he/she has been authorized in writing to act as agent for the persons responsible for such decision in certifying that such persons have not participated, and will not participate, in any action contrary to 1.18.1(a) through 1.18.1(c) above, and as their agent does hereby so certify; and he has not participated, and will not participate, in any action contrary to 1.18.1(a) through 1.18.1(c) above.
1.1.3 A proposal will not be considered for award where 1.18.1(a), 1.18.1(c), or 1.18.2 above has been deleted or modified where 1.18.1(b) above has been deleted or modified, the proposal will not be considered for award unless the Offeror furnishes with the proposal a signed statement which sets forth in detail the circumstances of the disclosure and the head of the agency, or his designee, determines that such disclosure was not made for the purpose of restricting competition.
1.19 Standard (Model) Contract
Except as modified herein, the standard State Contract Terms and Conditions and the Model Contract (attached separately on the solicitation) included in this RFP shall govern this procurement and are hereby incorporated by reference. Please note this Model Contract lists the State’s required legal provisions but does not include the specific scope of work and requirements for this RFP.
The Offeror shall review the attached Model Contract and note exceptions. Offerors agreeing to abide by the requirements of the RFP are also agreeing to abide by the terms of the Model Contract. Unless the Offeror notes exceptions in its proposal, the conditions of the Model Contract will govern. It may be possible to negotiate some of the wording in the final contract; however, there are many provisions, (such as those contained in the Special Provisions pages) which cannot be changed. Offerors are cautioned that the State believes modifications to the standard provisions, terms and conditions, and Special Provisions constitute increased risk to the state and increased costs. Therefore, the scope of requested exceptions is considered in the evaluation of proposals.
The agency shall decide whether to issue a contract or a purchase order as the procurement document. A copy of the purchase order terms and conditions are atthached.
1.20 Legislative Changes
The State of Colorado reserves the right to amend the contract in response to legislative changes that affect this project.
1.21 Order of Precedence
In the event of any conflict or inconsistency between terms of this request for proposal and the offer, such conflict or inconsistency shall be resolved first, by giving effect to the terms and conditions of the contract, second to the request for proposal, and third, to the proposal.
1.22 Venue
The parties agree that venue for any action related to performance of this contract shall be in the City and County of Denver, Colorado.
1.23 Audit
The successful Offeror may be required to have a process audit conducted of the program at least once every three years. If the successful Offeror has not had such an audit prior to awarding of this contract, one may be required to begin within six months of the award of this contract. A complete copy of the audit must be provided to the project manager as identified in the final contract within five working days of its completion. The State will negotiate directly with the Offeror regarding any exceptions or findings from the audit.
1.24 Organizational Conflict of Interest—Requirements of this Solicitation and Any Subsequent Contract
Any business entity or person is prohibited from being awarded a contract if the business entity or person has an “Organizational Conflict of Interest” with regard to this solicitation and the resulting contract.
No person or business entity who was engaged by the State to prepare the original RFP shall be eligible to participate (directly or indirectly) in the submission of a proposal for this solicitation IF:
1) Such person or entity had prior access to source selection information related to this procurement process, and
2) That prior access included, but was not limited to: requirements, statements of work, or evaluation criteria.
The State considers such engagement or access to be an Organizational Conflict of Interest, which would cause such business entity or person to have an unfair competitive advantage.
If the State determines that an Organizational Conflict of Interest exists, the State, at its discretion, may cancel the contract award. In the event the successful Offeror was aware of an Organizational Conflict of Interest prior to the award of the contract and did not disclose the conflict to the procuring agency, the State may terminate the contract for default. The provisions of this clause must be included in all subcontracts for work to be performed by subcontractors in connection with the performance of the contract, with the terms “contract,” “contractor,” and “contracting officer” modified appropriately to preserve the State’s rights.
1.25 Submission
By submission of a proposal, Offeror agrees as follows:
· Except as replaced, modified, or supplemented by the Department of Agriculture for this solicitation, all items in the State of Colorado Solicitation Instructions/Terms and Conditions are considered part of, and are incorporated by reference into this document.
· Offeror testifies that bid prices were arrived at independently and there was no collusion involved.
· The Bidder/Offeror/Vendor guarantees to the State that it understands and agrees to the terms and conditions of this solicitation and that they will not default from performance by virtue of a mistake or misunderstanding. Offerors shall seek clarification from the Department of Agriculture of any specifications, terms and/or conditions that they determine to be unclear. The failure of a bidder to seek clarification may be deemed a waiver of any such clarification.
· Pursuant to CRS 24-30-202.4 (as amended), the State controller may withhold debts owed to State agencies under the vendor offset intercept system for: (a) unpaid child support debt or child support arrearages; (b) unpaid balance of tax, accrued interest, or other charges specified in Article 22, Title 39, CRS; (c) unpaid loans due to the student loan division of the department of higher education; (d) owed amounts required to be paid to the unemployment compensation fund; and (e) other unpaid debts owing to the State or any agency thereof, the amount of which is found to be owing as a result of final agency determination or reduced to judgment as certified by the controller.
· Reciprocity is mandated by statute. CRS 8-18-101 states, “When a contract for commodities or services is to be awarded to a bidder, a resident bidder…shall be allowed a preference against a nonresident bidder equal to the preference given or required by the state in which the nonresident bidder is a resident.” The Department of Agriculture will apply this statute to the extent necessary for all solicitations posted on the B.I.D.S.
· The Department of Agriculture reserves the right to reject any and all proposals or parts thereof, and to waive informalities or irregularities.
· Award(s) resulting from this solicitation shall be available for use by Department of Agriculture Section 2 – Schedule of Activities & Inquiries

Section 3 – Background Information
3.1 Background
Introduction
Colorado’s food and agriculture industry ranks among the state’s most important economic drivers, creating employment for more than 170,000 Coloradans and generating more than $40 billion in economic activity annually. The Department helps support this broad and diverse key industry network, as well as all of Colorado’s citizens, through a wide range of marketing, regulatory, and service related activities delivered through the Commissioner’s Office and its seven operating divisions. Authority for the Department and its work exists within Colorado Revised Statutes, specifically Titles 12 (Article 16, Parts 1 and 2), Title 18 (Article 9, Part 2), and Title 35.
Colorado Department of Agriculture Mission and Goals The mission of the Colorado Department of Agriculture is “to strengthen and advance Colorado agriculture; promote a safe, high quality, and sustainable food supply; and protect consumers, the environment, and natural resources.”
Goals specific to this initiative:
· Raise awareness of agriculture in Colorado.
· Increase outreach to the citizens of Colorado.
· The goal of CDA’s communications office is to enhance our communications with the public and increase our educational outreach.
· To increase the use and development of videos to create a pro-active campaign that would deliver exciting, new promotional opportunities for the department, commissioner, and Colorado agriculture.
Section 4 – Statement of Work
Responsibilities and Expectations (Vendor Requirements) The following information is provided as information to prospective vendors as to the expectations of the Colorado Department of Agriculture, for the awarded Offerors responsibilities, as they relate to designing, constructing and equipping a digital media room and providing training services. Offerors not able to meet these areas of responsibilities should clearly explain in their response as to why they would be unable to perform as expected.
1. Design a digital media room A room is dedicated to this project that is approximately 11’x13’. The design should include all the necessary modifications (including but not limited to electrical, cabling, network, construction, soundproofing, etc.). The completed room will result in a fully functional Digital media room, housing all the necessary equipment to shoot, edit and produce professional quality videos, still photos and professional audio media.
1. Construct a video studio The successful bid will include the ability to complete any construction needed in order to fulfill the requirements of the design. The successful vendor may do this work or engage a sub-contractor to perform this work on their behalf. In either case, it is the responsibility of the winning bidder to ensure that this work is completed and meets the specifications of the design and complies with all applicable laws and regulations of the state of Colorado and local municipalities.
1. Equip a video studio The awarded offeror will be responsible for identifying and procuring all necessary equipment to implement a professional digital media room with the ability to achieve all goals noted in this statement of work.
For each individual piece of equipment, provide the following:
· A complete description of the piece of equipment
· The cost of the equipment
· A description of what the equipment does and why it is necessary
1. Training services The successful bidder will provide onsite training for Colorado Department of Agriculture staff, on the use of this equipment in the production of professional quality media (videos, audio, photos, etc). Vendors can assume the department staff have some background in this discipline.
1. Capabilities needed and types of projects When complete the Colorado Department of Agriculture will have the ability to:
· Shoot professional quality video in the field where agriculture happens (barns, fields, livestock shows, etc.)
· Shoot professional quality video in-house. Interviews for television or social media outlets, public address, intranet, public meetings, etc.
· Create still photographs. Using a still camera with backdrops for employee photos. This would allow easier access to photos for the department website, newsletters, and biographies. A good camera would aid in developing a high quality photo library.
· All equipment, as much as possible, should be user friendly while still enabling production of professional quality video.
While the purpose of the video will affect its initial distribution, the majority will be posted on YouTube. Then, it can also be posted to the website, Facebook, newsletters, etc. For example, we recently hired a company to help us produce a short 5-minute video for FFA. The initial product was provided to the organization via Dropbox but we also posted the video on YouTube for a greater distribution. Our plan, at this point, does not include commercials for television but we would like to be able to produce professional quality video so, if we would like to, we can shoot the commercial. Below are some additional examples of projects.
· Professional quality videos under 10 minutes, in-studio or out in the field.
· Provide b-roll of video that may be difficult to get (ie. Industrial hemp testing and harvesting).
· Increase/enhance YouTube presence
· Employee features
· Instructional videos
· Inspection 101 (feature/education)
· Division information such as “what is a fence out?” (feature/education)
· Livestock health such as mitigating mosquitoes
1. Reporting The awarded Offeror shall maintain regular communication with the Colorado Department of Agriculture regarding the status of all tasks involved in this effort.
In the initial proposal, the vendor shall provide:
· A timeline with target dates for completion of all tasks and any intermediary tasks necessary for the completion of stated tasks.
Ongoing, the awarded contractor shall provide:
· Regularly scheduled times for communication between the contractor and the Colorado Department of Agriculture, being no less than once per week either in person or by phone.
· The contractor will report to the Colorado Department of Agriculture in person at least once per month and as requested by the Colorado Department of Agriculture during the term of the contract.
Statement of Work & Experience
A. Demonstrated experience in successfully completing like projects.
Offerors must provide the following information that will serve as the basis for rating demonstrated qualifications of the offeror in this RFP. Offerors may use attached Exhibit A as a guideline for providing this information. In the evaluation process, Colorado Department of Agriculture will evaluate Offeror proposals on the basis of the following information that must be submitted by all Offerors:
1. Evidence of the Offeror’s ability to design, construct, and equip a professional video studio, and provide professional training services. Offeror must address the following questions:
· Identify experience in producing a design, completing construction, equipping a professional video studio.
· Identify your ability to provide training services for a professional video studio.
· If subcontractors are to be used for certain aspects of the project (i.e. design, construction, etc.), identify those potential subcontractors.
1. An outline of the Offeror’s credentials and the professional experience of individual project team members intended to work on this project as a result of an awarded contract — positions held, past clients or projects, etc. Offerors should include resumes or other descriptions of relevant past experience and qualifications of key individuals who will work on this project. While the State does not limit the Offeror’s ability to assign or reassign personnel during the period of contract performance, the past experience, qualifications, and education of the key individuals is expected to represent a contractual commitment by the Offeror to retain comparably skilled and qualified individuals on the project during its performance.
1. Offeror must list at least three (3) references for similar work completed in the Colorado market that includes the following information:
· Company name
· Address
· Phone number
· Contact name
· Title
· Contact E-mail
· Web site address (If Applicable)
The State may contact the individuals listed to validate the nature of the Offeror’s experience, as well as other individuals that may be identified as having relevant information during the course of those discussions. The State reserves the right to consider representations by those individuals concerning project scope, timeliness of performance, project management capabilities, or other information relevant to determining the quality of the Offeror’s past experience and demonstrated capabilities. The State reserves the right to include itself and other states as additional references.
The Offeror should include such other materials as required to supplement information contained in the previous sections of this proposal. Offeror may also provide any additional information that may be germane to the proposal and the evaluation of the offeror’s experience.
B. Pricing
The State requests that all Pricing information in response to this RFP be submitted separately from the rest of the response(s). Please submit pricing information in a separate envelope clearly labeled “Pricing”.
This contract may require a number of hours of service from subcontractors. Bid responses should detail hourly estimates for each task.
The Offeror’s response to this RFP should include all costs (pricing) broken down by project element.
Please note that no funds will be provided for the mandatory walk through for travel or lodging, or for contractor to meet with the department as requested in Section 6, Reporting.
The agency is expecting that the room shall be complete by December 31, 2014. This does not include the initial training. Please note on your proposal if this is not possible.
Section 5 – Response Format & Proposal Instructions

Late proposals will not be accepted. Offerors are cautioned that daily mail may not be received prior to 2:00 p.m.; therefore, if proposal is not hand delivered, Offeror should ensure proposal is received by mail or delivery service the prior day.

Proposals must be submitted and sealed in a package with an appropriate label affixed. The label must show the following information:
Offeror’s Name RFP-No., RFP Title RFP Due Date and Time
Offerors must segregate the portion of the proposal responding to the pricing and funding proposal so the technical proposal can be evaluated without consideration of the price or funding model.
The State desires and encourages that proposals be submitted on recycled paper, printed on both sides. While the appearance of proposals and professional presentation is important, the use of non-recyclable or non-recycled glossy paper is discouraged.
5.2 Page Limit
Unnecessarily elaborate proposals are not desired. Font size for basic narrative descriptions must be no smaller than 12 characters per inch. Indexes, tables of contents, lists of figures/tables, and glossary of terms will not be counted toward the overall page count. Allowance will be made for tabular or graphical presentations and screen prints, whether incorporated in the text of the technical description or attached as separate exhibits. Textual explanations of screen prints or graphic materials, standard commercial brochures or descriptions, or other standard product documentation that are attached in appendices or exhibits will not be counted against page limitation. However, evaluators cannot be expected to comprehend all material in exhibits whose content and relevance to the proposal description are not clearly integrated into the technical discussion.
Proposals shall include the following information as set forth in Section 4 and Section 5.3 and shall not exceed 25 pages, excluding attachments and samples.
Section 6 – Evaluation and Award Selection Process

· Demonstrated experience in designing, constructing and equipping a professional video studio.
· Demonstrated ability to provide professional video training services.
· Pricing
All Offerors must meet the minimum requirements established by this RFP to be eligible for award.
· The Offeror’s experience, qualifications, and key personnel, and the extent to which the qualifications, experience, and past performance are likely to foster successful, on-time performance.
· The extent to which Offeror agrees to Colorado’s basic contract terms and required Special Provisions without seeking exceptions.
6.2 Award Methodology
An Evaluation Committee will evaluate the merits of proposals received in accordance with the evaluation factors stated in Section 6.1 of this RFP and identify the proposal that is most advantageous to the state. While numeric evaluations may be used in some aspects of the process to identify strengths and weaknesses of proposals, and to establish a ranking, the final decision will be a business decision by the State and will not be based on a numerical score. A Decision Memorandum will document the basis for the award decision.
Failure of the Offeror to provide any information requested in this RFP may result in disqualification of the proposal. This responsibility belongs to the Offeror.
Offerors should not assume that they will have an opportunity for oral presentations or revisions of proposals, so they should submit their most favorable proposals as their initial proposal. If award is not made on receipt of initial proposals, Offerors in the competitive range (those most responsive to the requirements and reasonably susceptible of being selected for award) may be provided an opportunity to make an oral presentation. The oral presentation may be held for the purpose of clarification and to ensure full understanding of and responsiveness to solicitation requirements.
If proposal revisions are permitted after oral presentations and discussions, a date will be established in writing by the State for submission of best and final offers. Offerors will not be provided an opportunity for comprehensive proposal revisions.
The apparently successful Offeror may be required to submit for the most current reported period and a reasonable number of previous years (in order of preference) an audited financial statement, a financial statement reviewed by a certified public accountant, a third-party prepared financial statement if an audited or reviewed statement is not available, or another financial statement prepared in the routine course of the Offeror's business, in order to assist the State in making its determination of Offeror responsibility in accordance with CRS 24-103-401.
