About this file
This document is a federal contract for professional services between the City of West Sacramento and a yet-to-be-selected consultant for engineering design services for the Well 22 Rehabilitation Project. The project aims to design the rehabilitation of an existing groundwater well or, if rehabilitation proves infeasible, design a new groundwater well to replace Well 22. The selected consultant will be responsible for developing complete design documents, supporting regulatory compliance, and facilitating bidding and construction processes. The well will be designed to meet current regulatory standards, including production capacity testing and a Title 22 water quality analysis to determine potential additional treatment infrastructure requirements.
The contract is structured with multiple compensation options, including cost-plus-fixed fee, cost per unit of work, specific rates of compensation, and lump sum agreements. The total contract amount is not explicitly stated but will be determined based on the scope of work and selected compensation method. The contract includes extensive federal provisions related to equal employment opportunity, Davis-Bacon Act compliance, Disadvantaged Business Enterprise (DBE) participation requirements, and various other federal contract clauses. Funding for the project appears to involve federal grants, with specific requirements for financial management, record retention, and compliance with federal regulations. The contract term and specific project timeline will be detailed in the exhibits and schedule of performance.

Prompt Payment of Withheld Funds to Subconsultants
The LOCAL AGENCY may hold retainage from CONSULTANT and shall make prompt and regular incremental acceptances of portions, as determined by the LOCAL AGENCY, of the contract work, and pay retainage to CONSULTANT based on these acceptances. The LOCAL AGENCY shall designate one of the methods below in the contract to ensure prompt and full payment of any retainage kept by CONSULTANT or subconsultant to a subconsultant.
[Choose either Method 1, Method 2, or Method 3 below and delete the other two.] Comment by Teves, Ryan: Article X Subcontracting - Method of Payment Clause, typically seen in DBE payment provisions. For A&E Contracts, we use method 1, no retention is withheld from Consultants.

Any delay or postponement of payment may take place only for good cause and with the LOCAL AGENCY’s prior written approval. Any violation of these provisions shall subject the violating CONSULTANT or subconsultant to the penalties, sanctions, and other remedies specified in Section 3321 of the California Civil Code. This requirement shall not be construed to limit or impair any contractual, administrative or judicial remedies, otherwise available to CONSULTANT or subconsultant in the event of a dispute involving late payment or nonpayment by CONSULTANT, deficient subconsultant performance and/or noncompliance by a subconsultant. This clause applies to both DBE and non-DBE subconsultants.
Method 2: No retainage will be held by the LOCAL AGENCY from progress payments due to CONSULTANT. Any retainage kept by CONSULTANT or by a subconsultant must be paid in full to the earning subconsultant within 15 days after the subconsultant’s work is satisfactorily completed. Any delay or postponement of payment may take place only for good cause and with the LOCAL AGENCY’s prior written approval. Any violation of these provisions shall subject the violating CONSULTANT or subconsultant to the penalties, sanctions, and remedies specified in Section 3321 of the California Civil Code. This clause applies to both DBE and non-DBE subconsultants.
Method 3: The LOCAL AGENCY shall hold retainage from CONSULTANT and shall make prompt and regular incremental acceptances of portions, as determined by the LOCAL AGENCY of the contract work and pay retainage to CONSULTANT based on these acceptances. CONSULTANT or subconsultant shall return all monies withheld in retention from all subconsultants within 15 days after receiving payment for work satisfactorily completed and accepted including incremental acceptances of portions of the contract work by the LOCAL AGENCY. This requirement shall not be construed to limit or impair any contractual, administrative or judicial remedies otherwise available to CONSULTANT or subconsultant in the event of a dispute involving late payment or nonpayment by CONSULTANT; deficient subconsultant performance and/or noncompliance by a subconsultant.
