About this file
This is a Competition Exemption Request submitted by the Idaho Division of Purchasing (DOP) for a mandatory statewide contract covering milk products, packaged and delivered to state agencies and public entities. The procurement encompasses multiple milk types and packaging options with statewide delivery capabilities. The current contract is held by Meadow Gold Dairy, a subsidiary of Dairy Brands Fluid, LLC (DFA), with pricing directly indexed to the Federal Milk Marketing Pacific Northwest & Arizona Marketing Area index managed by the USDA Dairy Program. Monthly pricing updates are communicated to state agencies by DOP. The solicitation requests that suppliers provide information supporting or contradicting the claim that competition would be impractical, unreasonable, or disadvantageous to the state, with submissions due prior to the closing date specified in IPRO. The exemption decision remains discretionary and is subject to DOP Administrator approval.
The DOP proposes transitioning from the current mandatory statewide contract structure to a Price Agreement model to address operational challenges created by Idaho's large geographical and rural delivery areas, which significantly impact inventory replenishment timelines and transportation costs. DOP identifies only one vendor capable of handling the required volume and statewide delivery, resulting in multiple contract pricing adjustments beyond monthly index changes due to logistics constraints. The proposed Price Agreement structure would establish one delivered price for state agencies while allowing the vendor to market and price the optional public entities portion separately, creating greater pricing flexibility and managerial efficiency for all parties. The current contract requires identical all-encumbered pricing for both state agencies and public entities, a requirement DOP characterizes as problematic under existing market conditions. No specific contract term, renewal options, set-asides, funding amounts, or award dates are identified in the exemption request documentation.

4/10/2025 MDeYoung - DOP Milk & Delivery - Price Agreement Exemption from Competition Request The State of Idaho currently has a mandatory use statewide contract for Milk with Meadow Gold Dairy, a subsidiary of Dairy Brands Fluid, LLC (DFA). This contract includes multiple milk types and packaging options along with statewide delivery to state agencies and public entities (optional use).
The pricing on the milk products under this contract is tied directly to the Federal Milk Marketing Pacific Northwest & Arizona Marketing Area index, managed by the Diary Program at the United States Department of Agriculture (USDA). Currently, pricing is updated and communicated to state agencies by the Division of Purchasing (DOP) on a monthly basis.
The statewide contract requires the vendor(s) to offer the same all-encumbered pricing to both state agencies and public entities. This has proven to be problematic for two main reasons:
1. The large geographical and rural delivery areas that makes up the state of Idaho.
a. Agency and entity locations can significantly impact inventory replenishment timelines and transportation costs for milk delivery.
2. The vendor pool for Idaho consists of only one vendor capable of handling the volume and delivery state-wide, causing multiple adjustments to contract pricing (aside from the monthly index changes) from an operational standpoint due to logistics.
It is proposed that the State of Idaho move to a Price Agreement type structure for this need. Doing so will allow the state agencies to have one price, delivered, while giving the vendor the opportunity market and price separately the public entities portion of this product and service need (of whose usage of this contract/agreement is optional).
With just one viable vendor available, an Exception from Competition, DOP can enter into fair negotiations with the vendor and complete a Price Agreement program that is more flexible and more easily managed by all parties.
