THE FOLLOWING PROVISIONS APPLY TO THIS ACQUISITION:
8. FAR 52.212-1 INSTRUCTIONS TO OFFERORS – COMMERCIAL ITEMS AND COMMERCIAL
SERVICES (SEP 2023) applies to this acquisition and is Incorporated by Reference.
9. FAR 52.212-2 EVALUATION COMMERCIAL ITEMS AND COMMERCIAL SERVICES (TAILORED)
(DLA ENERGY) (OCT 2014)
(a) The Government will award a contract resulting from this solicitation to the responsible offeror whose offer conforming to the solicitation will be most advantageous to the Government, price and other factors considered. The following factors shall be used to evaluate offers:
(i) Past Performance. Offerors must submit three past performance references which the Government will evaluate for Recency and Relevancy in order to determine the Government’s level of confidence in each offeror’s ability to meet solicitation requirements. This evaluation will include any aspect of past performance that is relevant to the work to be performed under this contract.
SPE60424R0406 Page 2 of 12
Recency is defined as performance on Government or commercial contracts where there has been at least 12 months of performance within the last two years of the closing of the solicitation. Each offeror will be assessed on recent efforts accomplished by the offeror, focusing on performance that is relevant to the contract requirements.
Relevancy is defined as a present/past performance effort involved similar scope and magnitude of effort and complexities this solicitation requires.
The Government will utilize the submissions provided by the Offeror on Attachment VI. If there are past performance documents on file that have been determined to be Recent and Relevant, the Government reserves the right to include these documents as part of the past performance evaluation process. In addition, the Government may use any data the Contracting Officer determines recent and relevant. This includes, but is not limited to:
1. Contractor Performance Assessment Reporting System (CPARS)
2. Past Performance Questionnaires
3. Customer Feedback
4. Offeror’s past performance on DLA Energy Contracts
5. Federal Awardee Performance and Integrity Information System (FAPIIS)
6. Electronic Subcontract Reporting System (eSRS)
7. Contracting Officer
8. General Services Administration
This past performance information will be reviewed to determine the quality of the offeror’s performance, general trends, and usefulness of the information. The Government’s level of confidence in each offeror’s ability to meet solicitation requirements will be based on the offeror’s overall record of recency, relevancy, and quality of performance. Offerors are advised that the Government may use information gained from any source to evaluate past performance and reserves the right to only consider the Contractor’s performance under Federal Government or DLA Energy contracts. In the case of an offeror for whom information regarding the quality of past performance is not available, the offeror will not be evaluated favorably or unfavorably on past performance pursuant to FAR 15.305(a)(2)(iv).
(ii) Technical Capability / Risk. The Government will use a combined technical capability/risk rating to assess the offeror’s proposed approach to satisfying the Government’s requirements. The offeror shall be evaluated on whether their Technical Capability/Risk Proposal (as defined in Attachment V – Proposal Requirements) clearly and precisely describes its approach and demonstrates an understanding of the requirement and its ability to successfully perform the requirements of the Statement of Work. The Government’s evaluation will focus on any weaknesses and/or deficiencies associated with an offeror’s proposed approach and include an assessment of the potential for disruption of schedule, increased cost or degradation of performance, the need for increased Government oversight, and the likelihood of unsuccessful contract performance.
(iii) Small Business Participation. The Small Business Participation factor will be evaluated based on the information submitted by offerors in regards to whether or not their proposals demonstrate a commitment to small businesses. Offerors will also be evaluated on their history in
SPE60424R0406 Page 3 of 12 complying with requirements of the clauses at FAR 52.219-8 Utilization of Small Business Concerns, and 52.219-9 Small Business Subcontracting Plan approved by DLA Energy.
(iv) Price. Price evaluations will be conducted by comparing the combined total evaluated price for CLINS 0001 and 0002 from each proposed price received in response to the solicitation. Each offeror’s total evaluated price, in conjunction with the non-price related factors (Past Performance, Technical Capability/Risk, and Small Business Participation), will be the basis for the Government’s overall best value award decision. Each offered price will be evaluated to determine if it is fair and reasonable in accordance with Far Part 15, to include evaluating price reasonableness.
Past Performance is the most important non-price evaluation factor and Small Business Participation is the least important non-price evaluation factor. Technical Capability/Risk is not as important as Past Performance, but is significantly more important than Small Business Participation. When combined, all three of these non-price evaluation factors are weighted approximately equal to Price. If two offers are equal in merit, lowest total evaluated price will be the determining factor.
(b) A written notice of award or acceptance of an offer, mailed or otherwise furnished to the successful offeror within the time for acceptance specified in the offer, shall result in a binding contract without further action by either party. Before the offer’s specified expiration time, the Government may accept an offer (or part of an offer), whether or not there are negotiations after its receipt, unless a written notice of withdrawal is received before award.

It does not include social security tax, income tax, or other employment taxes. It does not include social security tax, income tax, or other employment taxes. The contract price shall be decreased by the amount of any after-relieved Federal, State, or local tax.
(l) TERMINATION FOR THE GOVERNMENT'S CONVENIENCE. The Government reserves the right to terminate this contract, or any part hereof, for its sole convenience. In the event of such termination, the Contractor shall immediately stop all work hereunder and shall immediately cause any and all of its suppliers and subcontractors to cease work. Subject to the terms of this contract, the Contractor shall be paid a percentage of the contract price reflecting the percentage of the work performed prior to the notice of termination, plus reasonable charges the Contractor can demonstrate to the satisfaction of the Government using its standard record keeping system, have resulted from the termination. The Contractor shall not be required to comply with the cost accounting standards or contract cost principles for this purpose. This paragraph does not give the Government any right to audit the Contractor’s records. In the event of termination for cause, the Government shall not be liable to the Contractor for any amount for supplies or services not accepted, and the Contractor shall be liable to the Government for any and all rights and remedies provided by law. If it is determined that the Government improperly terminated this contract for default, such termination shall be deemed a termination for convenience.
