STATEMENT OF WORK
SPILLWAY STILLING BASIN CLEANOUT
PROSSER CREEK DAM
DEFINITIONS
CO Contracting Officer COR Contracting Officer’s Representative LBAO Lahontan Basin Area Office OGR On-site Government Representative Reclamation U.S. Bureau of Reclamation
1.0 BACKGROUND
Prosser Creek Dam is located in Nevada County, California; approximately 1½ miles upstream of the Truckee River and about four miles northeast of Truckee, California. The dam is a zoned earthfill structure with a structural height of 165.6 feet, a hydraulic height of 141.4 feet, a crest width of 30 feet, and a crest length of 1,830 feet. The spillway is in the left abutment and consists of an unlined approach channel, a crest structure with a 15-foot-wide uncontrolled ogee crest at elevation 5745.2, a concrete-lined chute, and a stilling basin. The spillway has a capacity of 2,750 cubic feet per second at the original maximum water surface elevation of 5758.5 feet. The Prosser Creek Dam spillway stilling basin is directly at the bottom of the spillway and will only receive flows during high water years. In turn, the stilling basin flows into Prosser Creek, ultimately joining the Truckee River further downstream.
Prosser Creek Dam is defined as a high and significant hazard potential dam and therefore requires annual, periodic and comprehensive reviews to occur following Reclamation Directives and Standards FAC 01-07 Review and Examination Program for High and Significant Hazard Potential Dams. In 2011, the Reclamation Dive Team completed a routine dive inspection of the spillway stilling basin and discovered a significant amount of material on the floor of the basin.
This prevented the dive team from completing a comprehensive inspection of the concrete floor as well as other critical stilling basin features. A Category 2 Recommendation to “remove the debris located within the spillway stilling basin and clear accumulated sediments from the under-drain outfalls” (Recommendation 2011-2-A) was issued as a result. Additional dive inspections have been completed following the issuance of this recommendation and all continue noting an increase in accumulated sediments and recommend their removal.
Reclamation has obtained an Exclusion Category 516 DM 14.5 D (1) permit for maintenance, rehabilitation, and replacement of existing facilities which may involve a minor change in size, locations, and/or operation. All work completed under this contract must comply with the National Environmental Protection Act (NEPA) and exclusion category as listed in this Performance of Work Statement. Additionally, all work completed under this contract shall be done in accordance with applicable federal safety practices. Federal and safety practices include, but are not limited to items outlined in the Reclamation Directives and Standards

Unless otherwise provided in this contract, the Contractor assumes all costs, risks, liabilities, and consequences of performing any work it is directed to perform that falls within any of the categories defined in paragraph (c) prior to receipt of the Contracting Officer's response issued under paragraph (e) of this clause.
(e) The Contracting Officer shall respond in writing within 30 days to any notice made under paragraph (d) of this clause. A failure of the parties to agree upon the nature of a direction, or upon the contract action to be taken with respect thereto, shall be subject to the provisions of the Disputes clause of this contract.
(f) The Contractor shall provide copies of all correspondence to the Contracting Officer and the
COR.
(g) Any action(s) taken by the Contractor, in response to any direction given by any person acting on behalf of the Government or any Government official other than the Contracting Officer or the COR acting within his or her appointment, shall be at the Contractor's risk.

Reclamation Contracting Officer's Representative (COR). The term “technical direction” is defined to include, without limitation:
(1) Inspecting and accepting or rejecting work performed under the contract.
(2) Representing the Government in technical phases of the work. The COR is responsible for the technical administration of the contract and will provide instructions and interpretations to the Contractor on all technical matters relating to the contract. The COR will supervise or oversee all Government technical and administrative personnel assigned to assist the COR.
(3) Reviewing and, where required by the contract, approving submittals of technical data, shop drawings, samples, literature, plans, or other data required to be delivered by the Contractor to the Government.

(1) Constitutes a direction of additional work outside the Contract requirements;
(2) Constitutes a change as defined in the contract clause entitled “Changes;”
(3) In any manner causes an increase or decrease in the total contract cost, or the time required for contract performance;
(4) Changes any of the expressed terms, conditions or specifications of the contract; or
(5) Interferes with the Contractor's right to perform the terms and conditions of the contract.
(d) All technical direction shall be issued in writing by the COR.
(e) The Contractor must proceed promptly with the performance of technical direction duly issued by the COR in the manner prescribed by this clause and within its authority under
G-3 the provisions of this clause. If, in the opinion of the Contractor, any instruction or direction by the COR falls within one of the categories defined in (c)(1) through (c)(5) of this clause, the Contractor must not proceed and must notify the Contracting Officer in writing within five (5) working days after receipt of any such instruction or direction and must request the Contracting Officer to modify the contract accordingly. Upon receiving the notification from the Contractor, the Contracting Officer must -
(1) Advise the Contractor in writing after receipt of the Contractor's letter that the technical direction is within the scope of the contract effort and does not constitute a change under the Changes clause of the contract; or
(2) Advise the Contractor that the Government will issue a written change order.
(f) A failure of the Contractor and Contracting Officer either to agree that the technical direction is within the scope of the contract or to agree upon the contract action to be taken with respect to the technical direction will be subject to the provisions of the clause entitled “Disputes.”

(a) Definitions. As used in this clause—
Program participation means membership or participation in, or access or admission to: training, mentoring, or leadership development programs; educational opportunities; clubs; associations;
or similar opportunities that are sponsored or established by the contractor or subcontractor.
Racially discriminatory diversity, equity, and inclusion (DEI) activities means disparate treatment based on race or ethnicity in the recruitment, employment (e.g., hiring, promotions), contracting (e.g., vendor agreements), program participation, or allocation or deployment of an entity's resources.
(b) In connection with the performance of work under this contract, the Contractor agrees as follows:
(1) The Contractor will not engage in any racially discriminatory DEI activities;
(2) The Contractor will furnish all information and reports, including providing access to books, records, and accounts, as required by the Contracting Officer, for purposes of ascertaining compliance with this clause;
(3) In the event of the Contractor's or a subcontractor's noncompliance with this clause, this contract may be canceled, terminated, or suspended in whole or in part, and the Contractor or subcontractor may be declared ineligible for further Government contracts;
(4) The Contractor will report any subcontractor's known or reasonably knowable conduct that may violate this clause to the Contracting Officer and take any appropriate remedial actions directed by the Contracting Officer; and
(5) The Contractor will inform the Contracting Officer if a subcontractor sues the Contractor and the suit puts at issue, in any way, the validity of this clause.
(6) The Contractor recognizes that compliance with the requirements of this clause are material to the Government's payment decisions for purposes of 31 U.S.C. 3729(b)(4).
(c) The Contractor must include the substance of this clause, including this paragraph (c), in subcontracts at any tier, including those for commercial products and commercial services, except those where the place of delivery or performance is outside the United States.
FAR 52.225-9 BUY AMERICAN— CONSTRUCTION MATERIALS MAY 2026
I-6
Commercially available off-the-shelf (COTS) item—
(1) Means any item of supply (including construction material) that is–
(i) A commercial product (as defined in paragraph (1) of the definition of “commercial product” at Federal Acquisition Regulation (FAR) 2.101);
(ii) Sold in substantial quantities in the commercial marketplace; and
(iii) Offered to the Government, under a contract or subcontract at any tier, without modification, in the same form in which it is sold in the commercial marketplace; and
(2) Does not include bulk cargo, as defined in 46 U.S.C. 40102(4), such as agricultural products and petroleum products.
"Construction material" means an article, material, or supply brought to the construction site by the Contractor or a subcontractor for incorporation into the building or work. The term also includes an item brought to the site preassembled from articles, materials, or supplies. However, emergency life safety systems, such as emergency lighting, fire alarm, and audio evacuation systems, that are discrete systems incorporated into a public building or work and that are produced as complete systems, are evaluated as a single and distinct construction material regardless of when or how the individual parts or components of those systems are delivered to the construction site. Materials purchased directly by the Government are supplies, not construction material.
Cost of components means—
(1) For components purchased by the Contractor, the acquisition cost, including transportation costs to the place of incorporation into the construction material (whether or not such costs are paid to a domestic firm), and…
