The bidder submitting the request is responsible for its prompt delivery. The City is not responsible for any other interpretations or modifications of the Contract Documents. All addenda shall become part of the Contract Documents and shall be acknowledged and dated on the bid form.
3.0 BID
3.1 Preparation. Each bidder must submit an original bid on the form included herein.
No other bid form will be considered by the City. The bidder shall sign the bid form appropriately prior to submitting the bid for consideration. The bid may be rejected if it shows any omissions, alterations of the form, additions not called for, conditional bid, or any irregularities of any kind. Entries on the bid form shall be typed using dark font or legibly written in dark ink. All prices shall be stated in words and figures except where the forms provide for figures only. In case of a discrepancy between the unit price and the extended price, the unit price shall prevail. Similarly, a standard unit of measure is to be used for bid purposes.

Completed specifications must be attached for any substitutions offered or when amplifications are desirable or necessary. If specifications are submitted with the bid, the bidder’s name should be clearly shown on each document.
3.5 Brochures. Bids shall include adequate brochures, latest specifications, and advertising literature describing the product offered in such fashion as to permit ready comparison with the City’s specifications on an item-by-item basis where applicable.

3.11 Signatures and Submittal. All bids shall be submitted electronically and signed by the bidder and his/her authorized agent and must include the bidder’s address and telephone number. 17. Laws and Regulations. All applicable federal, state, city, and county laws, regulations, ordinances, and licenses shall apply to the Contract and are incorporated herein by reference.
18. Appropriation. To the extent this Contract constitutes a multiple fiscal year debt or financial obligation of the City, it shall be subject to annual appropriation pursuant to the City of Loveland Municipal Charter Section 11-6 and Article X, Section 20 of the Colorado Constitution.
The City shall have no obligation to continue this Contract in any fiscal year in which no such appropriation is made and a termination in such a fiscal year shall not be considered default.
19. Cooperative Bidding. Other governmental agencies may be extended the opportunity to purchase under the Contract with the agreement of the Supplier and the City. The City will coordinate all such purchase requests.
20. Insurance Requirements. The following provisions shall apply only if the Supplier will be constructing, assembling, delivering, or installing the materials and/or equipment on City property pursuant to the Contract:
a. Comprehensive General Liability. The Supplier shall procure and keep in force during the duration of this Contract a policy of Comprehensive General Liability insurance insuring the Supplier and naming the City as an additional insured against any liability for personal injury, bodily injury, or death arising out of the performance of services hereunder and against liability for property damage with a combined single limit of at least One Million Dollars ($1,000,000.00). c. Terms of Insurance. Insurance required shall be with companies qualified to do business in the State of Colorado with a general policyholder’s financial rating of not less than “A” as set forth in the most current edition of “Best’s Insurance Reports” and may provide for deductible amounts as the Supplier may deem to be reasonable for the project, but in no event greater than Twenty Thousand Dollars ($20,000.00).
No such policies shall be cancelable except after thirty (30) days prior written notice to the City. The Supplier shall not do nor permit to be done anything which shall invalidate the insurance policies referred to in this section and Supplier shall immediately advise the City in writing if a reduction in coverage or other modification of the insurance coverage occurs.
d. Certificate of Insurance. Prior to commencement of work, the Supplier shall furnish to the City certificates of insurance policies evidencing the required coverages. Such certificates shall provide that cancellation of the policies in such insurance shall not be effective until thirty (30) days after written notice thereof to the City. The Supplier shall identify whether the type of coverage is “occurrence” or “claims made.” If the type of coverage is “claims made” which at renewal Supplier changes to “occurrence,” Supplier shall carry a six (6) month tail. The Supplier agrees to insert the substance of these insurance requirements in all subcontracts. Furthermore, the City will hold Supplier responsible in the event the Supplier fails to have adequate insurance. The City reserves the right to approve variations in the above requirements upon request of Supplier if, in the City’s opinion, such variations do not substantially affect the City’s interests.

Such policies shall contain a provision that the City, although named as an additional insured, shall nevertheless be entitled to recovery under said policies for any loss occasioned to it, its servants, agents, citizens, and employees by reason of negligence of the Supplier. Such policies shall be written as primary policies not contributing to and not in excess of coverage that the City may carry.
f. Workers’ Compensation and Other Insurance. The Supplier shall procure and keep in force during the term of the Contract Workers’ Compensation and such other insurance as may be required by any law, ordinance, or governmental regulation.

If the Supplier cannot comply with the Accessibility Standards, the Supplier may be required to work with the City on a remedial plan, subject to
Error! Reference source not found.Page 14 approval by the City in its sole discretion. The Supplier shall be responsible for all reasonable costs associated with meeting the Accessibility Standards and to complete required changes within a reasonable time specified by the City. The City may, in its sole discretion, require that the Supplier’s compliance be verified by a third party acceptable to the City.
22. Indemnification. The Supplier agrees to indemnify and hold harmless the City, its officers, employees, and agents from and against all liability, claims, and demands on account of any injury, loss, or damage arising out of or connected with the Supplies, if such injury, loss, or damage, or any portion thereof, is caused by, or claimed to be caused by, the act, omission, or other fault of the Supplier or any subcontractor of the Supplier, or any officer, employee, or agent of the Supplier or any subcontractor, or any other person for whom the Supplier is responsible.
The Supplier shall investigate, handle, respond to, and defend against any such liability, claims, and demands, and shall bear all other costs and expenses related thereto, including court costs and attorneys’ fees. The Supplier shall notify the City and provide a copy of any and all written claims or demands within two (2) business days of receipt. The Supplier’s indemnification obligation shall not be construed to extend to any injury, loss, or damage to the extent caused by the act, omission, or other fault of the City. This paragraph shall survive the termination or expiration of this Contract.
23. Governmental Immunity Act. No term or condition of this Contract shall be construed or interpreted as a waiver, express or implied, of any of the notices, requirements, immunities, rights, benefits, protections, limitations of liability, and other provisions of the Colorado Governmental Immunity Act, C.R.S. § 24-10-101 et seq. and under any other applicable law.
24. Colorado Open Record Act. The parties understand that all the material provided or produced under this Contract, including items marked Proprietary or Confidential, may be subject to the Colorado Open Records Act, section 24-72-201 et seq. of the Colorado Revised Statutes. If the Supplier objects to the disclosure of any information in its statement of work, Bid Form, or other document provided to the City under this Contract, the Supplier must mark it clearly as confidential. The City is required to make a determination under the Colorado Open Records Act, and may only withhold documents that are confidential under the law. If the City releases records in compliance with the Colorado Open Records Act, the Supplier waives any claims for liability or damages. Supplier further agrees to defend, indemnify, save and hold harmless the City, its officers, agents and employees from any claim, damages, expense, loss, or costs arising out of the Supplier’s intervention to protect and assert its claim of privilege against disclosure under this Paragraph, including but not limited to prompt reimbursement to the City of all reasonable attorneys’ fees, costs, and damages that the City may incur directly or may be ordered to pay by such court.
25. Prohibited Terms. Any term included in the Bid Form, or any exhibit, that requires the City to indemnify or hold the Supplier harmless; requires the City to agree to binding
Error!
