A2.1 Annual Exclusive Use (EU). The initial task order shall be awarded contemporaneously with the IDIQ contract award for the minimum guarantee (see A2.2). It is anticipated that the initial task order shall require the Contractor to provide support for 60 days of Exclusive Use (Daily Availability) for the base contract year. It is anticipated that an order with the same requirement will be issued annually, during each ordering period outlined in the Pricing Schedule above, as well. The exclusive use quantity is subject to reductions due to the Contractor's unavailability (see C17, Unavailability and Damages).

It is anticipated that the Exclusive Use (Daily Availability) task order shall be incrementally funded and be subject to Limitation of Government's Obligation (DFARS 252.232-7007). Daily Availability is paid when an exclusive use aircraft is utilized by the Government. There shall be no additional payments for Daily Availability under the current contract year after the annual limit of 60 days has been reached (inclusive of any unavailability). Moreover, after the annual estimated limit is reached, the Contractor shall continue to provide flight services as ordered, at the FT rates in the schedule, but shall no longer be paid Daily Availability for the remainder of the current contract year. If a task order's performance period crosses ordering periods and the limit on Daily Availability had been previously reached, payment for Daily Availability shall commence on the first day of the new ordering period under any pre-existing task order. If during an ordering period, the Government does not utilize the Contractor's exclusive use aircraft for 60 days, the Contractor shall not invoice for the unliquidated balance of unpaid Exclusive Use (Daily Availability) until the end of the current ordering period. Payment will be made for 60 days for each ordering period in which a task order is issued (or up to/equal to number of days per that ordering period per Section A.2.).

A2.2 Minimum Guarantee. The Minimum Guarantee under the contract, as required by contract clause 52.216-22, is 60 Days of Daily Availability from the Rate Schedule for the base year of the contract. Immediately after contract award, the Contracting officer will issue a task order obligating the guaranteed minimum amount. As specified in the preceding paragraph, and subject to the terms of the preceding paragraph, it is anticipated that subsequent funding increments on the initial task order shall ultimately fund 60 days of Exclusive Use (Daily Availability) for the base contract year and each ordering period.

A2.3 Maximum Quantity. The maximum quantity of services the Government may order under the contract (ceiling amount) is $5,000,000. This amount is not historical or planned expenditure but set in accordance with FAR 16.504(a)(4).

A2.4 Funding will not be obligated under the Indefinite-Delivery Indefinite-Quantity (IDIQ) contract. The Contracting Officer will issue a separate task order during the base contract year and each ordering period covered under the contract, if

EU Fixed Wing Services, Navy 10 Solicitation # 140D0425Q0634 the Government has a continued need and doing so is in the best interest of the Government. Each task order (if issued) will guarantee payment for 60 days of Daily Availability during the period for which it is issued.

A2.5 In the Lower-48 States all fuel shall be provided by the Contractor and should be included in the flight rate (wet rate).

A2.6 All rates in Section A2, above must be in whole dollars. If the unit prices are adjusted during the life of the contract, they will be adjusted to a whole dollar as follows: amounts of 50 cents or less will be rounded down and amounts of 51 cents or more will be rounded up.

A3 EXCLUSIVE USE AIRCRAFT

A3.1 This contract requires the Contractor to designate one (1) airplane as Exclusive Use (EU) once the aircraft is mobilized under a task order. The aircraft shall be reserved for the exclusive use of the Government and be under the Government’s operational control 24 hours per day until released.

A3.2 For each day an EU aircraft is ordered, the Contractor shall be paid one (1) day of Daily Availability (AV), actual flight hours (FT), per diem (PD), and reimbursed for approved special charges (SC) (i.e. rental cars, gasoline, landing fees). After all Daily Availability (per Section A.2.) is liquidated, the Contractor is guaranteed a “Minimum Total Flight Hour Payment” equal to the number of the days in a specific mission’s period-of-performance multiplied by two (2) flight hours (FT) as per the schedule. If the total number of flight hours flown during a specific mission exceeds the guaranteed “Minimum Total Flight Hour Payment”, the contractor will be paid for the actual number of flight hours flown. However, if the total number of flight hours flown during a specific mission is less than the guaranteed “Minimum Total Flight Hour Payment”, the contractor will be paid the guaranteed amount of two (2) hours / day. SECTION B – TECHNICAL SPECIFICATIONS

EU Fixed Wing Services, Navy 12 Solicitation # 140D0425Q0634

SECTION B - GENERAL REQUIREMENTS

B1 Scope of Contract

B1.1 The aircraft mission support described within this contract is of critical importance to the U.S. Navy ship weapon system test and evaluation program. This is a very significant process that involves a large contingent of personnel and equipment. At the completion of testing, the ship would be tasked to carry out operations in support of national defense. In the execution of this contract, the Contractor shall conform to military standards for flight operations and safety.

B1.2. The intent of this contract is to obtain flight services utilizing one (1) fully functional Exclusive Use (EU) airplane, operated and maintained by qualified Contractor personnel, and equipped to meet specifications, for the support of Federal programs. The types of services required to be performed include but are not limited to air transportation of personnel, equipment, and supplies, communications relay, target control relay (Portable Command and Control Unit (PCCU), Vindicator), GPS position recording, and low/slow flyer profiles for weapon systems testing and trials as directed by the Government.

B1.3 The Department of the Navy has interagency and cooperative agreements with other Federal agencies, State agencies, and private landholders and may dispatch aircraft under this contract for such cooperative use.

B1.4 The primary purpose of this contract is to provide flight services as described herein; however, the Government may require the Contractor to install or remove special use equipment on the aircraft; repair Government Property; or purchase additional component equipment for the use in the performance of this contract.

B1.5 Project Description and Requirements. Assigned missions will primarily originate out of various airports on the East and Gulf Coasts of CONUS but may also occur on the West Coast of the CONUS.

B1.5.1. Combat System Ship Qualification Trial (CSSQT) Support. CSSQTs are conducted on offshore on both the east and west coast military ranges or designated testing sites. The Contractor may be required to temporarily base aircraft in the vicinity of Norfolk VA; Wallops Island VA; Jacksonville FL; Pensacola FL, Port Hueneme CA; and other Navy Atlantic Fleet and Pacific Fleet coastal testing locations. CSSQTs may require aircraft availability for periods up to 5 days and provide 15+ hours of flight time per trial. CSSQTs may occur four to five times per year. The character and tempo of CSSQT operations may vary substantially from one evolution to the next. East coast CSSQTs are expected to be conducted two to three times per calendar year.

B1.5.1.1 CSSQT Flight schedules are highly dependent upon other range/airspace users as well as the particular requirements and priorities for each ship. The period and duration of the trial will be identified to the Contractor in advance, with a goal of 30 days prior to the start of testing. Due to refinement of Program Office schedules, mission timeframes are subject to change but are normally finalized at least 15 days prior to the start date of the test event.

B1.5.2. Shipbuilding tests and trials. Shipbuilding tests and trials may be conducted in-port and off-shore adjacent to Bath ME, Portland ME, Pascagoula MS, Pensacola FL, or at other locations designated by the Government. Shipbuilding tests and trials may require aircraft availability for periods of 3 to 4 days and provide 8 to 12 hours of flight time per trial. These tests/trials usually occur two or three times per year.

B1.5.3. Research and Development, Test and Evaluation (RDT&E). RDT&E operations vary in length of availability and flight hours flown depending on the test requirements of the individual operation. These may be standalone missions or integrated into CSSQTs.

B1.5.4. Typical CSSQT and RDT&E Evolutions. The Contractor shall be responsible to ensure the specified equipment is available at the designated test/trial location and returned to its operating base, or alternate government-designated location, upon completion of operations. If fuel or other considerations preclude carrying the required equipment to/from the designated operating location, the Contractor shall notify the Contracting Officer Representative (COR) or Contracting Officer (CO). In such cases, additional funds may be modified onto the task order and the Contractor shall be directed to ship the equipment OR the Government, at its option, may ship the equipment by other means.

EU Fixed Wing Services, Navy 13 Solicitation # 140D0425Q0634

B1.5.5. Aircraft ferry to the test/trial location shall be coordinated to provide adequate time for the flight crews to orient themselves with the test/trial locations and to participate in mission briefings. Time shall also be allowed to facilitate aircraft configuration and checkout prior to the first operations.

B1.6 General Mission Descriptions.

B1.6.1. Ferry Support Missions. Ferry operations involve transporting the aircraft to or from a Government-designated test location/forward operating base (FOB) remote from the designated operating base. This may include carriage of internal special mission equipment necessary for performance of mission services at destination. The route and altitude selected shall be the most economical available. Contractor employees may fly on the aircraft while ferrying unless the Government has designated the seats/space for the Government’s use.

B1.6.2. Logistics and Cargo Support Missions. Logistics and passenger operations are similar to ferry operations except that cargo and/or passengers are designated to be carried on the flight(s). When required, the Government will schedule flights to carry high priority cargo and/or passengers within the capabilities of the aircraft. All logistics operations shall be conducted entirely in accordance with Air Carrier or Operating Certificate and Operations Specifications. No Government passengers shall be carried during the execution of this contract, unless the Government determines that they are either mission essential crew members for the mission, or a required part of the crew for operation of equipment.

B1.6.3. When internal/external equipment is carried to or from the FOB in support of that particular aircraft's assigned mission(s), the aircraft shall be considered operating in a ferry status. Refer to paragraph B1.6.1. However, if in addition, the aircraft is required to carry secondary or special mission support equipment to permit further (different) configuration and/or reconfiguration, the aircraft shall be considered operating in a logistics status as defined in clause B1.6.2.

B1.6.4. Low/Slow Flyer Tracking Support Missions. Tracking missions generally consist of the performance of predetermined flight profiles for the purpose of providing an aerial radar target for weapon system testing/calibration and/or operator training. These tracking missions may require the aircraft to fly at low altitudes.

B1.6.5. Communications Relay (AUTOCAT). Communications relay mission requires the aircraft to carry internal equipment that allows units participating in a test event that are not in direct line of sight to communicate on designated UHF/VHF frequencies. The aircraft will be assigned airspace where it will loiter to the maximum extent possible.

B1.6.6. Drone Control Relay. Government representatives will provide Government Property that will be installed on the aircraft with the purpose of relaying control instructions to seaborne and airborne target drones. The contractor’s aircraft will be assigned airspace where it will loiter to the maximum extent possible.

B1.6.7. Range Clearance Assistance. During live fire weapon system testing, the sea range designated as hazardous needs to be clear of non-participating surface vessels. Aircraft with surface search radar will be assigned to localize these non-participants. The contractor’s aircraft will be directed to visually identify then communicate the course needed for the vessel to clear the hazardous area. These missions will be conducted during day/VFR conditions and will require the aircraft to fly at low altitudes at or below 200 feet AGL.

B2 Certifications

B2.1 The Contractor shall possess either an Operating Certificate or Air Carrier Certificate issued by the Federal Aviation Administration (FAA) authorizing operations under 14 CFR Part 135. Failure to possess the required certification upon award or to maintain certification throughout the contract period, including options, may result in contract termination.

Further, the operations specifications shall authorize operation of the category and class of aircraft and condition of flight required under this contract (i.e. for multiengine operations: IFR day or night).

B2.2 The aircraft shall have a Standard Airworthiness Certificate issued under 14 CFR 21.183 and a restricted airworthiness certificate issued under 14 CFR 21.25 and 21.185. Multiple Airworthiness Certificates issued in accordance with 14 CFR

21.187 are required.

B2.3 The aircraft will be required to have special equipment installed or attached to it during this contract. The installation of any special equipment required by this contract shall be FAA approved or authorized by the Contracting Officer or

EU Fixed Wing Services, Navy 14 Solicitation # 140D0425Q0634 designated representative. When the temporary attachment or installation of equipment is required for contract performance and for the purpose of complying with the Federal Aviation Regulations, the Director of Maintenance (DOM) or his designee is hereby designated to install such special equipment. When required the DOM shall place the aircraft in the restricted airworthiness category in accordance with FAA requirements. When the special equipment is removed from the aircraft, the aircraft shall be placed back in the standard airworthiness category in accordance with FAA requirements.

B2.4 NAVAIR Certification. Due to DoD Directive #5030.61, which addresses DoD Airworthiness Policy, the Navy has been tasked to conduct inspections on all commercial aircraft on government contracts supporting the U.S. Navy. This will require personnel from the Navy’s Airworthiness Office COMNAVAIRSYSCOM (NAVAIR) Code 4.0 and PMA-226 to assess whether the operations flown under this contract are public or civil aircraft operations. If operations are deemed public, then a NAVAIR Interim Flight Clearance (IFC) shall be granted which certifies that NAVAIR has determined that the aircraft, when configured for these public aircraft operations, is airworthy for the intended operation. Regardless of whether or not the government determines the planned missions qualify as Public Air Operations (PAO), a complete evaluation of the contract aircraft will be conducted by NAVAIR.

B2.5 Access to Military Base License and Landing Permits. The Contractor shall obtain Civil Aircraft landing permits for operations from military bases throughout the United States and its possessions and territories. The necessary applications shall be submitted within three (3) business days after receipt of a contract award.

B2.6 Military Fueling Facilities. Upon written request from the Contractor to the Contracting Officer, the Contracting Officer will work with the Navy to assist the Contractor in obtaining authorization to purchase fuel and oil from DOD agencies. In such cases, the Contractor shall be responsible for adherence to applicable procedures and regulations. The assistance is for the convenience of the Government and does not obligate the Government to make such fuel available.

B3 Order of Precedence (Specifications)

In the event of inconsistencies within the technical specification, the following order shall be used in such resolution:

1. Typed provisions of these specifications;

2. Agency supplements and/or exhibits incorporated by reference;
