Pricing consists of CLIN 00010 (Complete Operational LED Wall Solution, Base Year, firm-fixed price) and CLIN 00020 (Base Year Maintenance and Support, firm-fixed price), plus four optional CLINs for option-year maintenance and support (Years 1-4). Quoters must provide pricing by major category (hardware, software, installation, training, warranty/support, travel, other items) and may propose partial payment structures for base CLINs only. The base period extends from August 1, 2026 to January 31, 2027 for the complete solution, with base-year maintenance from February 1 to July 31, 2027. Option periods run annually for up to four years. The solution must support immersive active or passive stereoscopic 3D LED wall display with pixel pitch suitable for viewing 5+ feet away, accommodate the existing Dell Precision 7960 workstation and mission-critical applications (SLB Petrel, Techlog, ESRI ArcGIS Pro, CMG Builder/IMEX/GEM), provide SDVoE or AV over IP control methods, support multi-factor authentication with PIV card login capability, offer on-premise or cloud-based control, fit within existing room constraints (33 feet by 42 feet maximum; display minimum 14 ft by 7.4 ft, maximum 30 ft by 8 ft), include facility impact assessment and documentation, provide training for at least six users, and comply with FISMA, NIST, FedRAMP, and BOEM/BSEE cybersecurity protocols. Presolicitation/Solicitation Statement

This is a solicitation for commercial products and commercial services prepared in accordance with FAR

Part 12. This announcement constitutes the only solicitation. Quotes are being requested, and a separate written solicitation will not be issued.

Solicitation number 140M0126Q0020 is issued as a Request for Quotation (RFQ) for the BOEM

Visualization Room Technical Refresh, which requires a complete, secure, tested, and operational LED wall 3D visualization room solution, including all required equipment, software, integration, installation, configuration, testing, training, documentation, warranty, maintenance, and support.

This acquisition is not set aside for small business concerns. This solicitation incorporates provisions and clauses by reference. The full text of provisions and clauses may be accessed electronically at www.acquisition.gov and https://www.acquisition.gov/far-overhaul .

The contract line-item numbers, descriptions, quantities, units of measure, base requirement, and option-year maintenance and support CLINs are identified in Section 1 of the solicitation.

The description of the requirement, including the Statement of Objectives, minimum mandatory requirements, constraints, deliverables, acceptance criteria, and quality assurance requirements, is provided in Section 2 of the solicitation and as an attachment.

SECTION 1

PRICING

1.1 GENERAL INFORMATION

This acquisition is being conducted in accordance with FAR Part 12 - Acquisition of Commercial Products and

Commercial Services. Under this Request for Quote (RFQ), the United States Department of the Interior (DOI), on behalf of Bureau of Ocean Energy Management (BOEM), is issuing this combined presolicitation and solicitation for the project titled “Visualization Room Technical Refresh”.

1.2 CONTRACT LINE ITEM/PRICING

The specific details and description of the Contract Line Item Numbers (CLINs) are described as follows:

1.2.1 Complete Operational LED Wall Solution encompassing all the work in Section 2.0

The Contractor shall provide a firm-fixed price for a complete operational LED wall 3D visualization room solution encompassing all work required under Section 2.0. The price shall include all management, design, engineering, equipment, software, licenses, materials, installation, integration, configuration, testing, training, documentation, warranty, support, travel, and all other costs necessary to deliver a complete, secure, tested, and operational solution accepted by the Government.

The Contractor shall complete all work required under Section 2.0, Statement of Objectives, and the Contractor’s accepted quote, including all supplies, services, installation, integration, testing, training, documentation necessary to deliver a complete, secure, tested, and operational LED wall 3D visualization room solution.

1.2.2 Option -Year Maintenance and Support Pricing

The Contractor shall provide separate firm-fixed pricing for each option year of maintenance and support. Option-year pricing shall include all labor, materials, travel, preventive maintenance, technical support, warranty or support extensions, software/license support, updates, troubleshooting, and any other costs necessary to maintain the installed solution in an operational and supportable condition during the applicable option period.

The Contractor shall clearly identify what is included in each option-year maintenance and support price, including preventive maintenance visits, response times, remote or onsite support, parts coverage, software or license renewals, and any exclusions or limitations. Each option year will be exercised at the Government’s discretion and only if determined to be in the Government’s best interest.

1.2.3 Total Firm Fixed Price Inclusive of all Period of Performance

The Contractor shall provide a total firm-fixed price inclusive of CLIN 00010-20 and all option-year maintenance and support CLINs. For evaluation purposes, the total evaluated price will include the firm-fixed price for the complete base solution and the firm-fixed prices for all option-year maintenance and support periods.

Evaluation of option-year pricing does not obligate the Government to exercise any option. Options may be exercised at the Government’s discretion and only if determined to be in the Government’s best interest.

1.3 PARIATL PAYMENTS (CLIN 00010 and 00020)

Partial payments are authorized under CLIN 00010 and CLIN 00020. Quoters shall include any requested partial‑payment structure within their quote. Partial payments are not authorized for any optional CLINs or option‑year periods.

In accordance with FAR 52.212‑4(i), partial payments may be made upon Government receipt and acceptance of meaningful deliverables as outlined in the quote. These deliverables represent key project milestones and do not encompass all contract requirements. Any proposed partial‑payment structure must clearly align payment to the completion and Government acceptance of these meaningful milestones.

All invoices must be submitted in accordance with Section 3.7 Invoicing and Payments.

SECTION 2.0

STATEMENT OF OBJECTIVES

2.1 BACKGROUND/PURPOSE

The Bureau of Ocean Energy Management (BOEM) manages offshore energy and mineral resources in an environmentally and economically responsible manner. The BOEM Gulf of America Region uses its

Visualization Room to support collaborative interpretation and analysis of geological, geophysical, and petroleum engineering data of Gulf of America oil and gas reservoirs, management presentations of Gulf of America oil and gas lease sales, and oil and gas training activities. The room is used to improve understanding of complex subsurface information, enhance communication, and support informed decision-making of Gulf of America oil and gas leases. Much of the current 3D visualization equipment is outdated or at end of life and requires modernization.

2.2 OBJECTIVES

The overall objective of this effort is to obtain a complete solution to modernize the BOEM Gulf of America

Region Visualization Room. The solution shall deliver a secure, reliable, supportable, and future-ready immersive

LED wall 3D visualization environment that meets BOEM/BSEE Gulf of America oil and gas mission needs, passes required federal security scanning, and complies with BOEM/BSEE cybersecurity protocols

2.2.1 Immersive 3D Visualization Capability

Provide a modern 3D visualization environment capable of immersive active or passive stereoscopic 3D LED wall display to support collaborative analysis of geological, geophysical, petroleum engineering, and related Gulf of America oil and gas mission data. The proposed solution shall support either active or passive stereoscopic technology including 3D glasses and equipment.

2.2.2 Display Environment Modernization

Provide a primary LED wall display environment that replaces or modernizes the current end-of-life 3D visualization capability and is suitable for room use, collaborative analysis, presentations of Gulf of America oil and gas lease sales, and oil and gas training. The solution shall include a suitable pixel pitch for a viewing distance from approximately 5 feet and beyond, shall provide the LED brightness measured in nits or lumens, and shall fit within the physical room constraints identified in this SOO. The minimum display size is the current screen size, 14 ft by 7.4 ft. The maximum display size is the wall size, 30 ft by 8 ft.

2.2.3 Multi-Source Integration and Control

Provide an integrated room solution that supports LED wall display and management of multiple sources, including the existing workstation in the room, additional computers, laptop inputs, and virtual collaboration or conferencing inputs as applicable. The solution shall provide Software Defined Video over Ethernet (SDVoE), Audio Visual over Internet Protocol (AV over IP), or other intuitive methods to control room display configurations, and associated room functions needed for LED wall 3D visualization activities. The solution shall support multi-factor authentication (MFA) access to the control system including PIV card login or other authentication methods. The control connections shall be on-premise or cloud-based. All components must pass required federal security scanning and comply with BOEM/BSEE cybersecurity protocols, ensuring secure communication and data protection.

2.2.4 Compatibility with BOEM/BSEE Mission Use

Provide a solution capable of supporting BOEM/BSEE Gulf of America oil and gas mission use cases, including

3D visualization of oil and gas applications installed on a Dell Precision 7960 rack workstation in the room such as SLB Petrel and Techlog, ESRI ArcGIS Pro, and CMG Builder, IMEX and GEM, along with other business and technical applications used in the room environment.

2.2.5 Complete System Integration

Provide all equipment, software, integration services, and cabling necessary to deliver a complete operational system. The Contractor shall identify any existing components proposed for reuse and any components proposed for replacement. The Contractor shall remove and decommission replaced components, and the Government will excess removed equipment.

2.2.6 Facility Impact Identification

Assess the room and identify any structural, electrical, HVAC, heat-load, mounting, space, or other facility impacts required to support the proposed solution. The Contractor shall provide design documentation and technical recommendations sufficient for the Government to understand and implement any required room modifications through a Government-selected third party, if necessary.

2.2.7 Training and Transition to Use

Provide training sufficient to enable BOEM/BSEE personnel and designated support personnel to operate the room independently for intended oil and gas mission uses, including display configuration control and routine system operation. Training shall support at least six users during the base period.

2.2.8 Supportability and Sustainment

Provide warranty, maintenance, and support sufficient to ensure the proposed system remains operational and supportable over time. The Contractor shall include base-period support and preventive maintenance and provide option-year support and maintenance pricing. The Contractor shall identify expected support life, recommended spare parts, and expected parts availability for the proposed solution.

2.2.9 Future Readiness

Provide a solution that is maintainable and adaptable to future technology evolution, including compatibility with future higher-end workstations and reasonable future growth in mission use.

2.3 PERFORMANCE OUTCOMES

Successful performance will result in a Visualization Room that:

• supports immersive active or passive stereoscopic 3D mission use including 3D glasses and equipment;

• displays required BOEM/BSEE oil and gas applications in LED and source inputs effectively;

• enables users to control room configurations and display modes efficiently with Software Defined Video over Ethernet (SDVoE), Audio Visual over Internet Protocol (AV over IP), or other modern control methods;

• support multi-factor authentication (MFA) access to the control system including PIV card login or other authentication methods;

• offers on-premise or cloud-based control connections;

• supports collaborative analysis, presentations of Gulf of America oil and gas lease sales, and oil and gas training;

• is properly integrated, tested, documented, and supportable;

• includes clearly identified facility impacts and implementation requirements;

• transitions successfully to BOEM/BSEE operational use.

2.4. GENERAL SCOPE OF SOLUTION

2.4.1 Technical

The Contractor shall provide all management, design, engineering, equipment, software, integration, installation, configuration, testing, training, documentation, and support necessary to deliver a complete and operational LED wall 3D visualization room solution that satisfies the objectives of this SOO.

At a minimum, the Contractor shall:

• assess the existing room and current equipment environment;

• propose a complete solution that satisfies the stated objectives;

• identify components to be reused and components to be replaced;

• provide and install all equipment and cabling necessary for the proposed solution;

• incorporate Software Defined Video over Ethernet (SDVoE), Audio Visual over Internet Protocol (AV over IP), or other modern control methods for room operation;

• support multi-factor authentication (MFA) access to the control system including PIV card login or other authentication methods.

• offer on-premise or cloud-based control connections;

• ensure compatibility with required oil and gas mission applications and source devices;

• identify room and facility impacts associated with the proposed solution;

• provide implementation planning, coordination, and project management;

• provide testing, training, documentation, warranty, and support;

• complete and document all security protocol requirements, including vulnerability scanning, secure configuration, and verification that all data connections meet federal cybersecurity standards;

• propose base-period preventive maintenance and support and option-year maintenance and support pricing for up to four additional years.

2.5 MINIMUM MANDATORY REQUIREMENTS

The minimum mandatory technical requirements applicable to this acquisition are set forth in Attachment 1, and all quoters shall fully address and comply with the requirements contained therein in the preparation of their quotations.

2.6 CONSTRAINTS

The proposed solution shall comply with the following constraints:

2.6.1 Room Size

The room may not be expanded beyond the existing approximate dimensions of 33 feet by 42 feet, including a 12 ft by 33 ft section behind the main projector screen that houses the projectors, mirrors, system rack, computers/workstations, switchers and other components that facilitate display and projection. The main viewing area is approximately 32 feet by 30 feet. The minimum display size is the current screen, 14 ft by 7.4 ft. The maximum display size is the wall size, 30 ft by 8 ft. The current screen area and the rear equipment area are part of the existing room environment.

The following room visualization is provided for estimation purposes only. All dimensions are approximate, and a site visit is required prior to submitting a quote to verify actual dimensions, site conditions, and any other factors necessary to provide an accurate quotation.

2.6.2 Existing Architecture and Security

The solution shall be compatible with the BOEM system architecture and security requirements applicable to the room environment. The solution shall function within the existing environment and remain supportable as technology evolves. The proposed solution must pass BOEM/BSEE cybersecurity scanning and comply with all federal security controls for applications, hardware, and data transport.

2.6.3 Facility Modifications

Any physical room construction or facility modification required to support the proposed solution will be performed by Government-selected third party unless otherwise specifically included in the solicitation. The

Contractor shall identify and document required modifications but shall not assume authority to alter the facility unless specifically directed by the Contracting Officer.

2.7 GOVERNMENT FURNISHED INFORMATION AND ENVIRONMENT

Government-furnished information is provided for planning purposes only. The Contractor remains responsible for verifying existing conditions during the site visit and identifying any assumptions, exclusions, or additional information needed to provide a complete solution.

The Government will provide access to the existing Visualization Room and available information regarding the current room configuration and existing equipment. The current room includes an existing workstation environment, legacy display/projection and control components, on-premise control connections, and existing audio and video conferencing components. Existing equipment information is provided for situational awareness and to support Contractor solution development.

The Government will also provide access to a site visit and any available room drawings, photos, and related technical information identified in the solicitation.

Site visits will take place June 2-4, 2026. See section 4.1.2 for detailed information regarding site visits.

2.8 DELIVERABLES AND MEETINGS

Deliverables and meetings are intended to support effective Government review, coordination, testing, acceptance, and long-term operation of the Contractor’s proposed solution.

2.8.1 Deliverables

The Contractor shall propose all deliverables necessary to plan, implement, test, transition, operate, and support the proposed solution. The proposed deliverables shall be submitted as part of the Contractor’s technical approach and shall reflect the Contractor’s methodology, integration strategy, facility impact assessment, cybersecurity approach, testing and acceptance plan, training plan, documentation approach, and sustainment strategy.

At a minimum, the Contractor’s proposed deliverables shall:

• Support effective Government review, coordination, testing, acceptance, and long-term operation of the proposed solution;

• Include clear descriptions, intended purpose, content requirements, and delivery format for each deliverable;

• Identify due dates and sequencing consistent with the Contractor’s project implementation plan and schedule;

• Address documentation needed for planning, design, integration, testing, training, security compliance, and supportability; and

• Be sufficient to enable the Government to evaluate progress, verify completion, and confirm compliance with the Statement of Objectives and the Contractor’s proposed Performance Work Statement.

All deliverables shall be provided electronically unless otherwise directed by the Contracting Officer. Electronic deliverables shall be transmitted to the Contracting Officer and Contracting Officer’s Representative, or other designated Government recipients, in a format acceptable to the Government.

The Government reserves the right to review, comment on, and request reasonable revisions to proposed deliverables to ensure alignment with the Statement of Objectives and the accepted technical approach.

2.8.2 Meetings and Project Coordination

The Contractor shall participate in meetings and project coordination activities necessary to support successful planning, implementation, testing, transition, and acceptance of the proposed solution. Meetings may be conducted virtually or in person, as determined by the Government.

At a minimum, the Contractor shall support the following meetings:

• Kickoff Meeting – Review project objectives, proposed solution, implementation approach, schedule, roles and responsibilities, site access, communication processes, and initial risks or constraints.

• Site Survey / Existing Conditions Review – Verify room dimensions, existing conditions, equipment, cabling, power, network connectivity, and any facility modifications required to implement the proposed solution.

• Design Review Meeting – Present the proposed technical solution, documentation of room impacts, integration approach, and implementation schedule for Government review.

• Implementation Status Meetings – Provide recurring updates on schedule progress, risks, issues, dependencies, and required Government actions at a frequency determined in coordination with the

Government.

• Testing and Acceptance Meeting – Review test procedures, test results, cybersecurity documentation, outstanding issues, and corrective actions required for Government acceptance.

• Training / Transition Meeting – Provide user and technical training covering system operation, control methods, access requirements, troubleshooting, maintenance, and support processes.

• Final Project Closeout Meeting – Review completion of all deliverables, acceptance documentation, as-built system documentation, warranty and support information, preventive maintenance requirements, and any remaining transition tasks.

The Contractor may propose additional meetings that support its technical or management approach.

2.10 ACCEPTANCE CRITERIA

The Government will accept the solution when the Contractor has:

• delivered, installed, configured, tested, and documented a complete operational system that meets the mandatory requirements of this SOO;

• successfully demonstrated the required 3D visualization capability;

• displayed required BOEM/BSEE mission applications and source inputs;

• provided functional room control capabilities;

• completed required training;

• submitted all required deliverables;

• obtained Government acceptance of required deliverables; and

• resolved any material deficiencies identified during testing.

Final acceptance is subject to Government review and written acceptance by the Contracting Officer or authorized

Government representative.

2.11 QUALITY ASSURANCE

The Government will perform quality assurance through review of required deliverables, participation in project meetings, review of schedule and status information, observation of installation and testing activities, review of cybersecurity/security documentation, and verification that the installed solution meets the SOO requirements and accepted Contractor proposal. The Contractor shall correct deficiencies identified by the Government prior to final acceptance.

SECTION 3

TERMS AND CONDITIONS

3.1 PERIOD OF PERFORMANCE

The period of performance for the base solution, excluding base-year maintenance and support, shall begin on the date of award and continue through Government acceptance of the complete installed, configured, tested, documented, and operational LED wall 3D visualization room solution. Base-year maintenance and support shall begin upon Government acceptance of the complete operational solution and continue for twelve months thereafter.

Option-period maintenance and support, if exercised by the Government, shall begin immediately following expiration of the preceding maintenance and support period and shall continue for twelve months for each exercised option period.

All dates below are estimation based on award date of end of July, 2026. Actual dates will be adjusted at time of award.

3.4 DIAR 1452.201-70 – AUTHORITIES AND DELEGATIONS (SEP 2011)

(a) The Contracting Officer is the only individual authorized to enter into or terminate this contract, modify any term or condition of this contract, waive any requirement of this contract, or accept nonconforming work.

(b) The Contracting Officer will designate a Contracting Officer's Representative (COR) at time of award. The

COR will be responsible for technical monitoring of the Contractor's performance and deliveries. The COR will be appointed in writing, and a copy of the appointment will be furnished to the Contractor. Changes to this delegation will be made by written changes to the existing appointment or by issuance of a new appointment.

(c) The COR is not authorized to perform, formally or informally, any of the following actions:

(1) Promise, award, agree to award, or execute any contract, contract modification, or notice of intent that changes or may change this contract;

(2) Waive or agree to modification of the delivery schedule;

(3) Make any final decision on any contract matter subject to the Disputes Clause;

(4) Terminate, for any reason, the Contractor's right to proceed;

(5) Obligate in any way, the payment of money by the Government.

(d) The Contractor shall comply with the written or oral direction of the Contracting Officer or authorized representative(s) acting within the scope and authority of the appointment memorandum. The Contractor need not proceed with direction that it considers to have been issued without proper authority. The Contractor shall notify the Contracting Officer in writing, with as much detail as possible, when the COR has taken an action or has issued direction (written or oral) that the Contractor considers to exceed the COR's appointment, within 3 days of the occurrence. Unless otherwise provided in this contract, the Contractor assumes all costs, risks, liabilities, and consequences of performing any work it is directed to perform that falls within any of the categories defined in paragraph (c) prior to receipt of the Contracting Officer's response issued under paragraph (e) of this clause.

(e) The Contracting Officer shall respond in writing within 30 days to any notice made under paragraph (d) of this clause. A failure of the parties to agree upon the nature of a direction, or upon the contract action to be taken with respect thereto, shall be subject to the provisions of the Disputes clause of this contract.

(f) The Contractor shall provide copies of all correspondence to the Contracting Officer and the COR.

(g) Any action(s) taken by the Contractor, in response to any direction given by any person acting on behalf of the

Government or any Government official other than the Contracting Officer or the COR acting within his or her appointment, shall be at the Contractor's risk.

3.5 KEY PERSONNEL

The following individual(s) is/are considered to be essential to the work being performed under this contract:

3.5.1 SUBSTITUTION OF KEY PERSONNEL

(a) The Contractor agrees to assign those persons identified above and who are necessary to fulfill the requirements of the contract as key personnel. No substitutions shall be made except in accordance with this clause.

(b) Personnel considered essential (“key personnel”) to the work performed under the contract shall be mutually agreed upon by the Contractor and the Government and will be specified in the contract. During the first 90 calendar days of the contract, the Contractor shall make no substitutions of key personnel unless the substitution is necessitated by illness, death, or termination of employment. Prior to removing, replacing, or diverting any of the specified individuals, the Contractor shall promptly notify the Contracting Officer (CO) and

(c) All proposed substitutions shall be submitted to the CO for approval at least 15 calendar days in advance of the proposed effective date (unless substitution is necessitated by sudden illness, death, or termination of employment in which case notice shall be within five (5) calendar days of the effective date) and must provide the information as stated herein.

(d) All requests for substitutions shall be in writing unless otherwise agreed to by the CO and shall include a complete resume for the proposed substitute and any other information required by the CO to permit effective evaluation of the proposed substitutions’ qualifications.

(e) Requests for substitution of “key personnel” above must also provide a detailed explanation of the circumstances necessitating it and sufficient information for the CO to evaluate the impact of the substitution on contract performance.

(f) Replacement personnel must have similar qualifications and experience as the person they are replacing.

(g) Any vacancies of Key Personnel extending beyond 30 days may result in negative CPARs rating by the

Contracting Officer

(h) Any vacancy due to a change, loss or lack of key personnel that results in a lapse in performance entitles the government to seek a price adjustment during the modification changing key personnel.

3.6 NON-PERSONAL SERVICES CONTRACT

This is a non-personal services contract, as defined in FAR 37.101. The Contractor personnel rendering the services herein are not to be subject, either by the contract’s terms or by the manner of its administration, to the supervision and control usually prevailing in relationships between the Government and its employees.

Contractor personnel shall be subject to the direction of the Contractor's Project Manager as described in the section above.

3.7 INVOICING AND PAYMENT

Invoices shall be submitted in accordance with Section 1.3 via the Internet Payment Platform (IPP) as delineated below.

3.7.1 Invoice Submission Instructions

Electronic Invoicing and Payment Requirements - Internet Payment Platform (IPP) (February 2021)

Payment requests must be submitted electronically through the U. S. Department of the Treasury's Invoice

Processing Platform System (IPP).

"Payment request" means any request for contract financing payment or invoice payment by the Contractor. To constitute a proper invoice, the payment request must comply with the requirements identified in the applicable

Prompt Payment clause included in the contract, or the clause 52.212-4 Contract Terms and Conditions -

Commercial Products and Commercial Services included in commercial contracts. The IPP website address is:

Under this contract, the following documents are required to be submitted as an attachment to the IPP invoice:

1. Detailed invoice(s) as an attachment to the IPP showing:

a. Documentation required by FAR 32.905(b)

b. For FFP Orders:

i. Deliverable/Milestone and Price

The Contractor must use the IPP website to register access and use IPP for submitting requests for payment. The

Contractor Government Business Point of Contact (as listed in SAM) will receive enrollment instructions via email from the Federal Reserve Bank of St. Louis (FRBSTL) within 3 - 5 business days of the contract award date. Contractor assistance with enrollment can be obtained by contacting the IPP Production Helpdesk via email

IPPCustomerSupport@fiscal.treasury.gov or phone (866) 973-3131.

If the Contractor is unable to comply with the requirement to use IPP for submitting invoices for payment, the

Contractor must submit a waiver request in writing to the Contracting Officer with its proposal or quotation.

3.8 CONTRACTOR CONFLICT OF INTEREST

(a) It is the policy of the Department of the Interior to avoid contract awards which could result in or create conflicts of interest, whether actual or apparent. Such a situation could occur in the instance when the Contractor or any subContractors or teaming arrangement partners have business, financial, real property, mineral rights, or other interests, as well as professional activities that create conflicting roles which could potentially bias a

Contractor’s judgment or result in unfair competitive advantage to the Contractor, and thus impede the government’s objective to obtain an impartial, technically sound and objective performance of this contract.

(b) Any proposal submitted in response to this request for proposals must identify any actual or potential conflict of interest described in paragraph (a) and include a Conflict of Interest Mitigation Plan if the Contractor believes such persons or entities are indispensable to its proposal. The Government’s approval of any proposed Conflict of

Interest Mitigation Plan shall be at the sole discretion of the Contracting Officer.

(c) Absent a written approval of a Conflict of Interest Mitigation Plan from the Contracting Officer, the

Contractor, or any of its officers, representatives, employees, sub-Contractors, or teaming arrangement members, shall not be involved in any situation during the performance of this contract which may result in conflicts as contemplated in paragraph (a) above. Failure to comply with this provision may be cause for termination for default.

(d) The Contractor shall disclose, upon discovery, any interest which may develop after contract award that may result in a conflict as contemplated in paragraph (a) above. Failure to comply with this provision may be cause for termination of this award for default.

(e) The Contractor shall include this clause, including this paragraph in all subcontracts and consultant agreements; however, subContractors and consultants shall be directed to send any mitigation plan to the

Contractor who shall then inform the Contracting Officer.

(f) The Contractor, its employees, subContractors and teaming arrangement partners, shall not engage in any communication regarding any aspect of performance of this contract with any person or entity described in paragraph (a) above without express permission from the Contracting Officer. Failure to comply with this provision may be cause for termination of this award for default.

3.9 DATA USE, DISCLOSURE OF INFORMATION, AND HANDLING OF SENSITIVE

INFORMATION

The Contractor shall maintain, transmit, retain in strictest confidence, and prevent the unauthorized duplication, use, and disclosure of information. The Contractor shall provide information only to employees, Contractors, and subContractors having a need to know such information in the performance of their duties for this project.

Information made available to the Contractor by the Government for the performance or administration of this effort shall be used only for those purposes and shall not be used in any other way without the written agreement of the Contracting Officer (CO).

If public information is provided to the Contractor for use in performance or administration of this effort, the

Contractor except with the written permission of the CO may not use such information for any other purpose.

If the Contractor is uncertain about the availability or proposed use of information provided for the performance or administration, the Contractor shall consult with the COR regarding use of that information for other purposes.

The Contractor agrees to assume responsibility for protecting the confidentiality of Government records which are not public information. Each employee of the Contractor to whom information may be made available or disclosed shall be notified in writing by the Contractor that such information may be disclosed only for a purpose and to the extent authorized herein. Each employee shall sign the non-disclosure agreement form as provided at at award, and the Contractor shall submit the signed form to the CO prior to the employee’s information access.

Performance of this effort may require the Contractor to access and use data and information proprietary to a

Government agency or Government Contractor which is of such a nature that its dissemination or use, other than in performance of this effort, would be adverse to the interests of the Government and/or others.

Contractor and/or Contractor personnel shall not divulge or release data or information developed or obtained in performance of this effort, until made public by the Government, except to authorized Government personnel or upon written approval of the CO. The Contractor shall not use, disclose, or reproduce proprietary data that bears a restrictive legend, other than as required in the performance of this effort. Nothing herein shall preclude the use of any data independently acquired by the Contractor without such limitations or prohibit an agreement at not cost to the Government between the Contractor and the data owner that provides for greater rights to the Contractor.

All data received, processed, evaluated, loaded, and/or created as a result of this contract shall remain the sole property of the Government unless specific exception is granted by the CO.

3.10 SECTION 508 OF THE REHABILITION ACT

Section 508 of the Rehabilitation Act of 1973 (found at 29 U.S.C. 794d) requires access to and use of information by individuals with disabilities. A deliverable such as electronic reports (ex: PDF files) to be placed on the web

(either on the agency’s web server or the company’s), video footage, or other electronic data such as CD-ROMs to be distributed, are subject to Section 508 guidelines. Simplified, this means that PDF files need to be formatted so that they are “readable” by assistive technology devices such as screen readers. Video footage must be closed captioned. CD-ROMs which contain HTML, PDF, or word processor files must be accessible.

3.11 CONTRACTOR PERFORMANCE ASSESSMENT REPORTING SYSTEM (CPARS) (DEC 2015)

The CPARS requirements apply to orders over the Simplified Acquisition Threshold.

1. FAR 42.1502 directs all Federal agencies to collect past performance information on contracts. The

Department of the Interior (DOI) has implemented the Contractor Performance Assessment Reporting https://www.acquisition.gov/sites/default/files/current/far/html/Subpart%2042_15.html

System (CPARS) to comply with this regulation. One or more past performance evaluations will be conducted in order to record your contract performance as required by FAR 42.15.

2. The past performance evaluation process is a totally paperless process using CPARS. CPARS is a web-based system that allows for electronic processing of the performance evaluation report. Once the report is processed, it is available in the Past Performance Information Retrieval System (PPIRS) for

Government use in evaluating past performance as part of a source selection action.

3. We request that you furnish the Contracting Officer (CO) with the name, position title, phone number, and email address for each person designated to have access to your firm's past performance evaluation(s) for the contract no later than 30 days after award. Each person granted access will have the ability to provide comments in the Contractor portion of the report and state whether or not the Contractor agrees with the evaluation, before returning the report to the Assessing Official (AO). Information in the report must be protected as source selection sensitive information not releasable to the public.

4. When your Contractor Representative(s) are registered in CPARS, they will receive an automatically generated email with detailed login instructions. Further details, systems requirements, and training information for CPARS is available at https://www.cpars.gov/.

5. Within 60 days after the end of a performance period, the AO will complete an interim or final past performance evaluation, and the report will be accessible at https://www.cpars.gov/.

1. Contractor Representatives may then provide comments in response to the evaluation, or return the evaluation without comment.

2. Your comments should focus on objective facts in the AO's narrative and should provide your views on the causes and ramifications of the assessed performance.

3. All information provided should be reviewed for accuracy prior to submission.

4. If you elect not to provide comments, please acknowledge receipt of the evaluation by indicating

"No comment" in the space provided, and then selecting “Accept the Ratings and Close the

Evaluation”.

5. Your response is due within 60 calendar days after receipt of the CPAR. On day 15, the evaluation will become available in PPIRS-RC marked as “Pending” with or without comments and whether or not it has been closed.

6. If you do not sign and submit the CPAR within 60 days, it will automatically be returned to the

Government and will be annotated: "The report was delivered/received by the Contractor on

(date). The Contractor neither signed nor offered comment in response to this assessment."

6. The following guidelines apply concerning your use of the past performance evaluation:

a. Strictly control access to the evaluation within your organization. Ensure the evaluation is never released to persons or entities outside of your control.

b. Protect the evaluation as source selection information. After review, transmit the evaluation by completing and submitting the form through CPARS. If for some reason you are unable to view and/or submit the form through CPARS, contact the CO for instructions.

c. Prohibit the use of or reference to evaluation data for advertising, promotional material, pre-award surveys, responsibility determinations, production readiness reviews, or other similar purposes.

7. If you wish to discuss a past performance evaluation, you should request a meeting in writing to the CO no later than seven days following your receipt of the evaluation. The meeting will be held in person or via telephone or other means during your 60-day review period.

8. A copy of the completed past performance evaluation will be available in CPARS for your viewing and for Government use supporting source selection actions after it has been finalized.

3.12 CONTRACTOR’S TECHNICAL QUOTATION

The Contractor’s oral presentation slide deck, the Government’s recording of the oral presentation, the

Contractor’s responses to Government questions, and the Contractor’s price submission will constitute the

Contractor’s quote. For the successful Contractor, the accepted technical approach, including the accepted oral presentation slide deck and the Government’s record of the oral presentation, will form the Contractor’s

Performance Work Statement and may be incorporated into the resulting award as the basis for performance, inspection, acceptance, and payment. In the event of any inconsistency, discrepancy, or conflict between the RFQ, the award terms and conditions, and the Contractor’s quote, the RFQ and award terms and conditions shall take precedence unless otherwise expressly stated in the award.

3.13.7 FEDERAL ACQUISITION REGULATIONS (FAR) CLAUSES

3.13.1 In accordance with FAR 52.252-2, this solicitation incorporates one or more clauses by reference, with the same force and effect as if they were given in full text. The Contractor shall comply with these clauses unless the circumstances do not apply. Upon request, the Contracting Officer will make their full text available.

3.13.2 The following FAR clauses are included in full text.

3.13.2.1 FAR 52.217-8 – Option to Extend Services (Nov 1999)

The Government may require continued performance of any services within the limits and at the rates specified in the contract. These rates may be adjusted only as a result of revisions to prevailing labor rates provided by the

Secretary of Labor. The option provision may be exercised more than once, but the total extension of performance hereunder shall not exceed 6 months. The Contracting Officer may exercise the option by written notice to the

Contractor within 7 calendar days.

3.13.2.2 FAR 52.217-9 – Option to Extend the Term of the Contract (Mar 2000)

(a) The Government may extend the term of this contract by written notice to the Contractor within 7 days;

provided that the Government gives the Contractor a preliminary written notice of its intent to extend at least 14 days before the contract expires. The preliminary notice does not commit the Government to an extension.

(b) If the Government exercises this option, the extended contract shall be considered to include this option clause.

(c) The total duration of this contract, including the exercise of any options under this clause, shall not exceed five years and six (6) months (for FAR 52.217-8 if exercised).

4.1 Advisory Down-Select Procurement

The Government intends to conduct this procurement using a phased advisory down-select approach. This approach is intended to reduce submission burden, allow the Government to identify the most viable quoters for oral presentations, and support selection of the quoter that provides the best value to the Government.

Participation in Phase 1 is required for further consideration. Quoters that do not submit the required Phase 1 information will not be considered for Phase 2.

4.1.1 Required Site Visit

Contractors are required to attend the site visit identified in the RFQ prior to submitting Phase 1 information.

Required site visits will be held June 1 through June 3, from 10:00 a.m. to 2:00 p.m. local time, at the following location:
