BASIS FOR AWARD

The Government will award a contract to the responsible offeror whose offer conforms to the requirements in the solicitation and provides the best value to the Government. Award will be made on the basis of the lowest evaluated price of proposals meeting or exceeding the acceptability standards for non-cost factors. ORDERING PROCEDURES

Task Order Proposal Requests (TOPR) will be sent electronically to the Single Award Task Order Contract (SATOC) awardee. Pricee will be in accordance with the base contract Price Schedule. TOPR will detail work required, delivery location, and delivery timeline.

PERFORMANCE WORK STATEMENT

Performance Work Statement (PWS) For

Dive and Underwater Inspection and Maintenance Repair Services for US Army Corps of Engineers (USACE) Walla Walla and Portland District

PART 1

GENERAL INFORMATION

1.1 Description of Services/Introduction: The contractor shall provide all personnel, equipment, tools, materials, supervision, and other items and non-personal services necessary to perform dive and underwater inspection services for USACE Walla Walla and Portland District as defined in this Performance Work Statement. The contractor shall perform to the standards in this contract. This is not a Requirements contract, and therefore the Government may choose to use other procurement methods to fulfill this requirement.

1.2 Background: Execution of the terms of this contract is essential with the existence of an emergency, time-critical or out-of-schedule event when life, property and / or mission is threatened as declared by the USACE District Commander or designate. This service contract will be utilized to ensure the safe, efficient, and continuous operation of structures, equipment and facilities of the USACE Walla Walla and Portland Districts. As such, it is critical to the USACE mission that the contractor be a fully qualified and certified diving-services company. The contractor shall maintain credentialed on-staff personnel and an inventory of immediately accessible commercial dive equipment for the purpose of facilitating an emergency or rapid response when needed.

The contractor shall follow all regulatory and safety guidance provided by the on-site dive safety inspector and / or the District Dive Coordinator;

Any regulatory non-compliance with any portion of this IDIQ may be grounds for the possible termination of this contract.

1.3 Objectives: Basic service objectives for facilitating responsibilities of this contract include, but are not limited to:

Provide a response time of 48 hours or less as directed by the Contracting Officer after receipt of the notice to proceed for a competent and USACE credentialed dive team, capable commercial dive equipment, and if required an appropriate-sized USCG inspected work vessel to any facility or structure in the Walla Walla and / or Portland District;

Provide all required Dive Plan Package submittals within four (4) hours of mobilization, including but not limited to dive work plan, activity hazard analysis, emergency management plan, diver credentials and equipment certifications, to the District Dive Coordinator for review and acceptance. An in-water dive evolution shall not occur until all submittals have been accepted by the District Dive Coordinator or designate;

Provide copies of all dive logs at the conclusion of each dive operation to either the on-site Dive Safety

Inspector or forward a copy of all dive logs electronically to District Dive Coordinator as directed.

1.4 Scope: The contractor shall provide emergency, time critical and / or out-of-schedule diving and underwater inspection and minor maintenance services for USACE Walla Walla and Portland Districts. Services may include but are not limited to video and / or 2/3-D or side-scan sonar inspection (including Remote Operated Vehicle Inspection), diver-directed Level I-III inspections, minor repairs, installation or demolition, cleaning, debris removal and ship’s husbandry. Examples of minor repairs may include but not be limited to welding, concrete repair, bolt/cable replacement, crack repair, repair of existing underwater structures and mechanical equipment, installation of small components such as pumps, valves hydrophones and antennas used in fish research.

1.5 Period of Performance: The period of performance shall be for one (1) Base Year of 12 months and four (4) 12-month option periods. The Period of Performance reads as follows:

1.6 General Information

1.6.1 Quality Control: The contractor shall develop and maintain an effective quality control program to ensure services are performed in accordance with this PWS. The contractor shall develop and implement procedures to identify, prevent, and ensure non-recurrence of defective services. The contractor’s quality control program is the means by which he assures himself that his work complies with the requirement of the contract. As a minimum, the contractor shall develop quality control procedures that address the areas identified in Technical Exhibit 1, “Performance Requirements Summary.” In addition, the contractor shall be responsible for providing government-directed real-time video feeds and video recorded inspection of work site by diver. After acceptance of the quality control plan the contractor shall receive the contracting officer’s acceptance in writing of any proposed change to his QC system. The Quality Control Plan shall be delivered together with the contractor’s proposal at the task order level.

1.6.2 Quality Assurance: The government shall evaluate the contractor’s performance under this contract in accordance with the Quality Assurance Surveillance Plan. This plan is primarily focused on what the Government must do to ensure that the contractor has performed in accordance with the performance standards. It defines how the performance standards will be applied, the frequency of surveillance, and the minimum acceptable defect rate(s).

The QASP is a government developed document that is used by the government to evaluate contractor performance against the standards established in the Performance Requirements Summary.

1.6.3 Government Remedies: The contracting officer will follow FAR 52.212-4, “Contract Terms and Conditions- Commercial Items” or 52.246-4, “Inspection of Services-Fixed Price” for contractor’s failure to perform satisfactory services or failure to correct non-conforming services.

1.6.4 Hours of Operation/Place of Performance: The contractor is responsible for providing a qualified five to eight person dive team ( dive team and size are dependent upon scope of required work) and conducting required dive and underwater inspection services 24 hours per day seven days per week out of a year. When hiring personnel, the Contractor shall keep in mind that the stability and continuity of the work force are essential.

1.6.5 Contracting Officer Representative (COR): The COR shall be identified to the selected contractor through issuance of a COR appointment memo. The COR monitors all technical aspects of the contract and assists in contract administration. The COR is authorized to perform the following functions: assure that the Contractor performs the technical requirements of the contract, perform inspections necessary in connection with contract performance, maintain written and oral communications with the Contractor concerning technical aspects of the contract, issue written interpretations of technical requirements, including Government drawings, designs, specifications: monitor Contractor's performance and notifies both the Contracting Officer and Contractor of any deficiencies, coordinate availability of government furnished property, and provide site entry of Contractor personnel. A letter of designation issued to the COR, a copy of which is sent to the Contractor, states the responsibilities and limitations of the COR, especially with regard to changes in cost or price, estimates or changes in delivery dates. The COR is not authorized to change any of the terms and conditions of the resulting order.

1.6.6 Post Award Conference/Periodic Progress Meetings: The Contractor agrees to attend any post award conference convened by the contracting activity or contract administration office in accordance with Federal Acquisition Regulation Subpart 42.5. The contracting officer, Contracting Officers Representative (COR), and other Government personnel, as appropriate, may meet periodically with the contractor to review the contractor's performance. At these meetings the contracting officer will apprise the contractor of how the government views the contractor's performance and the contractor will apprise the Government of problems, if any, being experienced. Appropriate action shall be taken to resolve outstanding issues. These meetings shall be at no additional cost to the government.

1.6.7 Contract Manager: The contractor shall provide a contract manager who shall be responsible for the performance of the work. The name of this person and an alternate who shall act for the contractor when the manager is absent shall be designated in writing to the contracting officer. The contract manager or alternate shall have full authority to act for the contractor on all contract matters relating to daily operation of this contract.

1.6.8 Identification of Contractor Employees: All contract personnel attending meetings, answering Government telephones, and working in other situations where their contractor status is not obvious to third parties are required to identify themselves as such to avoid creating an impression in the minds of members of the public that they are Government officials. They must also ensure that all documents or reports produced by contractors are suitably marked as contractor products or that contractor participation is appropriately disclosed. Contractor personnel will be required to obtain and wear badges in the performance of this service.

1.6.9 Veterans Employment Emphasis for U.S. Army Corps of Engineers Contracts: In addition to complying with the requirements outlined in FAR Part 22.13, FAR Provision 52.222-38, FAR Clause 52.222-35, FAR Clause 52.222-37, DFARS 222.13 and Department of Labor regulations, U.S. Army Corps of Engineers (USACE) contractors and subcontractors at all tiers are encouraged to promote the training and employment of U.S. veterans while performing under a USACE contract. While no set-aside, evaluation preference, or incentive applies to the solicitation or performance under the resultant contract, USACE contractors are encouraged to seek out highly qualified veterans to perform services under this contract. 1.7 Security Requirements:

1.7.1 PHYSICAL Security. The contractor shall be responsible for safeguarding all government property provided for contractor use. At the close of each work period, government facilities, equipment, and materials shall be secured.

1.7.2 Key Control. The Contractor shall establish and implement methods of making sure all keys/key cards issued to the Contractor by the Government are not lost or misplaced and are not used by unauthorized persons. NOTE: All references to keys include key cards. No keys issued to the Contractor by the Government shall be duplicated. The Contractor shall develop procedures covering key control that shall be included in the Quality Control Plan. Such procedures shall include turn-in of any issued keys by personnel who no longer require access to locked areas. The Contractor shall immediately report any occurrences of lost or duplicate keys/key cards to the Contracting Officer.

1.7.2.1. In the event keys, other than master keys, are lost or duplicated, the Contractor shall, upon direction of the Contracting Officer, re-key or replace the affected lock or locks; however, the Government, at its option, may replace the affected lock or locks or perform re-keying. When the replacement of locks or re-keying is performed by the Government, the total cost of re-keying or the replacement of the lock or locks shall be deducted from the monthly payment due the Contractor. In the event a master key is lost or duplicated, all locks and keys for that system shall be replaced by the Government and the total cost deducted from the monthly payment due the Contractor.

1.7.2.2. The Contractor shall prohibit the use of Government issued keys/key cards by any persons other than the Contractor’s employees. The Contractor shall prohibit the opening of locked areas by Contractor employees to permit entrance of persons other than Contractor employees engaged in the performance of assigned work in those areas, or personnel authorized entrance by the Contracting Officer.

1.7.2.3 Lock Combinations. (If necessary) The Contractor shall establish and implement methods of ensuring that all lock combinations are not revealed to unauthorized persons. The Contractor shall ensure that lock combinations are changed when personnel having access to the combinations no longer have a need to know such combinations.

These procedures shall be included in the Contractor’s Quality Control Plan.

1.8 Antiterrorism/Operations Security

1.8.1 Access and General Protection/Security Policy and Procedures. All contractor and all associated sub-contractors employees shall comply with applicable installation, facility and area commander installation/facility access and local security policies and procedures (provided by government representative). The contractor shall also provide all information required for background checks or background investigation and to meet installation/facility access requirements to be accomplished by installation Provost Marshal Office, Director of Emergency Services or Security Office. Contractor workforce must comply with all personal identity verification requirements as directed by DOD, HQDA and/or local policy. In addition to the changes otherwise authorized by the changes clause of this contract, should the Force Protection Condition (FPCON) at any installation or facility change, the Government may require changes in contractor security matters or processes."

1.8.2 Pre-screen candidates using E-Verify Program. The Contractor must pre-screen Candidates using the E-verify Program (http://www.uscis.gov/e-verify) website to meet the established employment eligibility requirements.

The Vendor must ensure that the Candidate has two valid forms of Government issued identification prior to enrollment to ensure the correct information is entered into the E-verify system. An initial list of verified/eligible Candidates must be provided to the COR no later than 3 business days after the initial contract award.

1.9 Special Qualifications:

1.9.1 Crew Requirements: Minimum dive crew shall include USACE credentialed Dive Supervisor (1), diver (2), standby diver (1), tender (1). All members of the crew must be accredited commercial divers who meet the minimum standards set forth in the most recent edition of the USACE Safety and Health Requirements Manual, EM-385-1-1, and in the Portland District's Dive Safety Regulation, NWPR-385-1-93, and NWW QMS 16001 Safety and Occupational Health Management System (CE-SOHMS) Appendix Q, Diving, and have the capability to switch to any of the positions noted above to allow for two working dives a day. The maximum length of work day is 12 hours per day and the maximum dive time per 12-hour work shift is four hours. One dive team member must be designated and credentialed as a certified Recompression Chamber Operator. When diving from a boat, a credentialed and certified crew of two (pilot and deckhand) is required.

1.9.2 Equipment Minimums: Surface supplied air dives are required. Use of normal breathing air or Enriched Air (Nitrox) up to 40% oxygen is permissible. Additional mixed gas diving methodologies may be employed upon review and acceptance by the District Dive Coordinator or designate. A recompression chamber is required on site for all dives. The recompression chamber shall be of a dual chamber design. It must be equipped with oxygen, BIBBS delivery system, trauma kit and communications. It must also have a National Board of Pressure Vessel Inspectors registration and current state pressure vessel permit to operate. The contractor shall have the capability to provide video inspection – and record the video inspection on a Digital format. For task orders requiring a vessel, the contractor to provide a USCG inspected and certified workboat that is a minimum of 18 feet in length with a motor that has a minimum horsepower of 85.

1.9.3 Mobilization Requirement: Due to the nature of the work required, interested contractors must demonstrate their ability to mobilize to work locations within 48 hours of notice to proceed after a task order is issued.

PART 2

DEFINITIONS & ACRONYMS

PWS – Performance Work Statement

Contracting Officer’s Representative (COR): A representative from the requiring activity assigned by the Contracting Officer to perform surveillance and to act as liaison to the contractor

District Dive Coordinator (DDC): A representative from the requiring activity assigned by the Commanding Officer to perform regulatory and safety oversight, to insure regulatory and safety compliance as well as serve as liaison to the dive contractor.

Dive Safety Inspector (DSI): A representative from the requiring activity’s Office of Dive / ROV Operations and Safety assigned by the District Dive Coordinator to insure on-site regulatory and safety compliance as well as act as the DDC’s liaison to the contractor.

Defective Service. A service output that does not meet the standard of performance associated with it in the Performance Work Statement.

Quality Assurance Surveillance Plan (QASP). An organized written document specifying the surveillance methodology to be used for surveillance of contractor performance.

Quality Control. Those actions taken by a contractor to control the performance of services so that they meet the requirements of the PWS.

Quality Assurance. Those actions taken by the government to assure services meet the requirements of the Performance Work Statement.

PART 3

CONTRACTOR FURNISHED ITEMS AND SERVICES

3.1 General: Except for those items specifically stated to be government furnished, the contractor shall furnish everything required to perform this PWS, including but not limited to:

1. Necessary seasonally-appropriate clean workspace for the required government on-site staff to provide support as needed to assist with execution of this contract and as outlined in this PWS, to include but not be limited to, desk space, clean and stocked portable toilet facilities and other items necessary to maintain an appropriate office environment.

2. A dual lock recompression chamber(s) capable of recompression to a minimum of 165 FSW shall be required to be on-site and available for immediate use for divers working at all depths unless a waiver is granted by District Dive Coordinator. Waivers may only be granted when diving at non-altitude adjusted depths of less than 100 feet of water. Sufficient on-site chamber facilities shall be furnished to service multiple divers working simultaneously on differing recompression schedules. All recompression treatment tables will comply with the most current U.S. Navy Dive Manual.

3. A hot-water diving suit system when diving in water less than 50-degree-F for bottom times exceeding 45 minutes of accumulated bottom time or less than 40 degrees-F for bottom times exceeding 20 minutes of accumulated bottom time shall require hot water diving systems, unless waived by the District Dive Coordinator. Variable-volume dry suits with appropriate thermal protection shall be utilized by divers working in waters 60 degrees or less.

4. A USCG certified and inspected dive vessel or a floating or suspended dive platform shall be furnished when on-water dive operations is required. This shall include an appropriately sized and heated shelter for all required on-site government representatives and dive team members when temperature and / or wind-chill factor is below 50 degrees-F.

5. Certified man-basket(s) shall be provided for each working diver as needed. All necessary top-side equipment such as cranes, trucks, personnel vehicles, and appropriately-powered underwater hand and power tools shall be furnished by the contractor to enable accomplishment of all required dive work. All equipment shall be certified as required.

6. Dive-helmet-mounted diver-directed camera providing continuous on-deck color display and Digital -format recording of the diver’s position that can be translated to the diver’s position relative to the physical structure;

7. CONTRACTOR-PROVIDED SPECIAL UNDERWATER EQUIPMENT

A Class II or III, HD ROV Package with the following capabilities:

1. Continuous on-deck color display and Digital-format recording of the ROV's position that can be translated to its position relative to the physical structure;

2. Topside power distribution system capable of supporting the vehicles requirements and the installed sensors. Power system shall be properly grounded;

3. GFI - The system shall have a ground fault interrupter installed and in accordance the manufacturers specifications;

4. Equipped with sonar capable of mapping the inspection areas, including (2-D), multi-beam, high resolution sonar.

5. Minimum of 400 foot umbilical;

6. Grappling arm or device to test integrity of grating and fasteners. This is to insure the gratings are securely fastened down, or to remove small logs.

7. Hitch-mounted crane, winch, hoist, and / or personnel capable of lowering and raising ROV unit to and from the water surface and all other handling equipment.

PART 4

SPECIFIC TASKS

4.1 Description of Requirements:

Overview of Work Required: The successful contractor and underwater inspection assets (ROV / SONAR) to respond to a declared emergency, time-critical or out-of-schedule event, the successful contractor shall furnish all labor, supervision, management, tools, materials, equipment, transportation, and other items necessary to provide diving and underwater inspection and minor maintenance services. Required and immediately available contractor services include video and / or 2/3-D or side-scan sonar inspection (including Remote Operated Vehicle Inspection), diver-directed Level I-III inspections, minor repairs, installation or demolition, cleaning, debris removal and ship’s husbandry. Examples of minor repairs may include but not be limited to welding, concrete repair, bolt/cable replacement, crack repair, repair of existing underwater structures and mechanical equipment, installation of small components such as pumps, valves, hydrophones and antennas used in fish research.

Known Dive Hazards/Conditions: It is anticipated that working depths will be from 0 to 200 feet beneath the water’s surface. Water temperatures vary between 30-75 F. Currents generally range from 0 to more than 3 knots.

Visibility ranges from 0 to more than 10 feet. There is the potential for debris around the dive site (entanglement).

The majority of diving work in Walla Walla District is performed between November 1 and March 1 due to fish runs; and the majority of diving work in Portland District is between October 1 and April 30. River conditions will vary along with ambient air conditions. Generally, crane supported diving operations will shut down when wind conditions exceed 25-30 mph, depending on the crane manufacturer’s recommended guidelines. Pressure differentials remain the diver’s greatest hazard when diving around hydroelectric, spillway and navigational facilities and a very strict Hazardous Energy Control Program (HECP) is in place to prevent the likelihood of pressure differentials from occurring. On rare occasions, diving operations may involve penetrations dives, dives into confined spaces or in an over-head environment. Work is generally performed in restricted access areas not open to commercial and private vessels.

Kirby Morgan KMSL-17A/B Divers operating KMSL-17A/B dive helmets must properly equip the helmets the manufactures recommended and required safety features. KMSL-17A/B helmets will not be used by standby divers.

All KMSL-17A/B helmets will be inspected by the Dive Safety Inspector to verify all safety items are in place.

Mobilization Requirement: Due to the nature of the work required, interested contractors must demonstrate their ability to mobilize to work locations within 48 hours of notice to proceed after a task order is issued.

Evaluation Factors

The Government will award a contract to the responsible offeror whose offer conforms to the requirements in the solicitation and provides the best value to the Government. Award will be made on the basis of the lowest evaluated price of proposals meeting or exceeding the acceptability standards for non-cost factors. The following factors shall be used to evaluate all offers.

Factor 1: Price

The sample task orders will be used to evaluate price by using the CLIN pricing from the base year price schedule submitted by the contractor. The total price for the two sample task orders will be used to determine the lowest priced technically acceptable offer.

Quotes will be reviewed for technical acceptability based upon factors 2 through 4. The lowest priced technically acceptable offeror will receive an award. Please refer to the Pricing Schedule in the solicitation to calculate your quote.

A written notice of award or acceptance of an offer, mailed or otherwise furnished to the successful offeror within the time for acceptance specified in the offer, shall result in a binding contract without further action by either party.

Before the offer's specified expiration time, the Government may accept an offer, whether or not there are negotiations after its receipt, unless a written notice of withdrawal is received before award.

Factor 2: Safety

The offeror shall have zero federal and / or state OSHA fatalities during the five-year period prior to execution of this contract, or if fatality/fatalities has/have occurred the contractor must be cleared by federal and / or state investigation of all wrongdoing. Offeror shall provide a letter of attestation confirming the requirements above.

Offeror shall submit their safe practice manual in accordance to EM 385 1-1.30.A.15. The safe practice manual will be evaluated for completeness to the requirements specified in EM 385 1-1.30.A.15. Offeror shall submit a filled out Safe Practice Manual Evaluation Form with the Safe Practice Manual.

Offeror must achieve an “Acceptable” rating under Factor Two to be eligible for contract award as this factor will evaluate the offeror’s ability to meet the technical requirements on future task orders. Offerors receiving an “Unacceptable” for Factor Two will be eliminated from competition and their offer will not be further evaluated.

Factor 3: Technical Experience

The offeror shall submit examples of five (5) projects performed within the last 5 years. The examples shall include a detailed description of the dive contract experiences performed, specifically minor maintenance, on a USACE or other hydroelectric and / or navigational lock structure managed by the U.S. Government, State, County, City, public or private utility company. The examples shall include sufficient details of the examples provided, type of work performed, and references for verification. Examples of minor repairs may include but not be limited to welding, concrete repair, bolt/cable replacement, crack repair, repair of existing underwater structures and mechanical equipment, installation of small components such as pumps, valves, hydrophones and antennas used in fish research.

Factor 4: Key Personnel Qualifications

The offeror shall provide the following diver certificates referred to in EM 385 1-1 30.A.06 through 30.A.08, for specific requirements for five (5) current employees (to include Dive Supervisor and Divers) as stated below:

• EM 385 1-1 30.A.06 Proof of Diver Certification

• EM 385 1-1 30.A.07 Dive Logs showing qualification for 120-foot dives. If diver does not have 1 qualification dive within the last nine months, refer to EM 385 1-1 30.A.07.b, provide evidence of dive at that depth.

• EM 385 1-1 30.A.08 First Aid / CPR and Emergency Oxygen Systems, Provide certificate of first aid, CPR and emergency oxygen systems per this standard.

All certificates shall be current and not expired, and dive logs shall meet the requirements of EM 385 1-1 30.A.07.

52.212-3 OFFEROR REPRESENTATIONS AND CERTIFICATIONS--COMMERCIAL ITEMS (AUG 2020)

ALTERNATE I (OCT 2014)

The Offeror shall complete only paragraph (b) of this provision if the Offeror has completed the annual representations and certification electronically in the System for Award Management (SAM) accessed through https://www.sam.gov. If the Offeror has not completed the annual representations and certifications electronically, the Offeror shall complete only paragraphs (c) through (v) of this provision.

(a) Definitions. As used in this provision--

“Covered telecommunications equipment or services” has the meaning provided in the clause 52.204-25, Prohibition on Contracting for Certain Telecommunications and Video Surveillance Services or Equipment.

“Economically disadvantaged women-owned small business (EDWOSB) concern” means a small business concern that is at least 51 percent directly and unconditionally owned by, and the management and daily business operations of which are controlled by, one or more women who are citizens of the United States and who are economically disadvantaged in accordance with 13 CFR part 127. It automatically qualifies as a women-owned small business eligible under the WOSB Program.

“Forced or indentured child labor” means all work or service—
