About this file
This document is a federal contracting form providing certificate templates for evidencing the authority of individuals to sign offers on behalf of offerors in response to solicitations.
The form contains three certificate templates for different business entity types. For corporations, the Certificate of Corporate Official/Agent's Authority to Bind Corporation requires the corporate Secretary to certify that a named official or agent is empowered to represent, bind, and execute contracts on behalf of the corporation, subject to any stated limitations. The certificate must include the corporation's name, state of incorporation, the authorized signatory's name and title, any limitations on authority, the date, and the corporate seal with the Secretary's signature. For partnerships and unincorporated firms, or corporations where the first certificate is impracticable to complete, the Certificate of Authority to Bind Partnership requires certification by the total membership that a named individual is empowered to represent, bind, and execute contracts on behalf of the partnership or unincorporated firm. This certificate must include the firm's name, business address, the authorized representative's name and title, the date, and signatures from all members. The document notes that evidence of signature authority is required for all offerors except sole proprietors and references a solicitation provision in Section I titled "Signature Authority" as the governing requirement for submission.
