Service Agreement Summary
This is a Firm Transportation Service Agreement (Rate Schedule FTS-1, Historic Rate Schedule FTS-2) between Florida Gas Transmission Company, LLC (Transporter) and the State of Florida, Department of Management Services (Shipper). The agreement, dated February 28, 2024 (Amendment No. 3), establishes natural gas transportation services through Transporter's pipeline system in the Market Area. The contract specifies Maximum Daily Transportation Quantities (MDTQ) on a seasonal basis across three zones: Zone 1 (MOPS-Refugio FGT) with seasonal quantities ranging from 14 to 57 MMBtu, Zone 2 (NGPL Vermilion) ranging from 26 to 105 MMBtu, and Zone 3 (Transco/Citronelle FGT Capacity) ranging from 35 to 138 MMBtu, with a total MDTQ of 300 MMBtu. Receipt points are specified in Exhibit A, with delivery points identified in Exhibit B at St. Joe Overstreet. The agreement becomes effective March 1, 2025, and continues through February 28, 2035, with a 10-year rollover contract extension from the original term beginning March 1, 2015.
Shipper shall pay Transporter rates established under Rate Schedule FTS-1 as filed with the Federal Energy Regulatory Commission (FERC), with provisions for rate adjustments subject to FERC authority. Transporter has the unilateral right to file changes to rates and charges in accordance with applicable FERC regulations. The agreement is governed by Texas law without reference to conflict of laws doctrines. Shipper is obligated to reimburse Transporter within fifteen days of invoice receipt for construction costs of new or requested facilities, taps, meters, receipt and delivery point upgrades, and supply and delivery laterals. Service cessation provisions allow Shipper to reduce MDTQ by written notice if service is interrupted for two consecutive days, with termination rights triggered after five or more service cessations in a calendar year or if force majeure conditions exceed 185 consecutive days. Gas must be delivered at sufficient pressure to enter Transporter's system but not exceeding maximum authorized operating pressure. No Notice Transportation Service is not applicable under this agreement.
