About this file

This is a sample Purchase Order Agreement template for the State of Maryland, Department of General Services (DGS), establishing the contractual relationship between DGS and a PO Contractor under an Indefinite Quantity Contract (IQC) Master Contract framework. The agreement outlines the scope of work, which shall be performed in accordance with the Master Contract, the Purchase Order Request for Proposals (PORFP), the contractor's Project Quotation, and attached exhibits. The contractor must commence work only upon receipt of a written Notice to Proceed (NTP) from the Department, with work performed prior to NTP receipt ineligible for payment. The Contract Term begins on the Effective Date following required approvals and continues through the specified end date, encompassing pre-construction services, construction activities, and post-construction administrative closeout. Construction work must be completed within the specified Construction Duration measured in calendar days from the NTP date, with failure to complete resulting in liability for liquidated damages at a specified daily rate. The template accommodates modifications to the Construction Duration by written modification in accordance with the Master Contract terms.

Compensation shall not exceed a specified not-to-exceed ceiling amount, with any work performed in excess of this amount without prior written approval at the contractor's risk of non-payment. Payment shall be made within thirty days, or fifteen days for Small Business Reserve (SBR) contracts, following the Department's receipt of a proper invoice, acceptance of services, and fulfillment of specified conditions. Invoices must include the contractor's Federal Tax Identification Number and be submitted to the Department PO Manager unless otherwise specified. The Procurement Officer retains authority to refuse or limit approval of invoices and withhold or reduce payments if the contractor fails to perform satisfactorily and timely, with such withholding continuing until performance standards are met. The agreement establishes a hierarchical order of precedence for resolving conflicts: the Master Contract supersedes all other documents, followed by the PO Agreement, the PORFP, and the contractor's Project Quotation.
