B.5 COMMERCE ACQUISITION REGULATION (CAR) 1352.216-77 CEILING

PRICE (APR 2010)

The ceiling price of this contract is to be completed at time of award for the T&M CLINs only.

The contractor shall not make expenditures nor incur obligations in the performance of this contract which exceed the ceiling price specified herein, except at the contractor's own risk.

(End of Clause)

B.6 NOAA ACQUISITION MANUAL (NAM) 1330-52.232-70 NOAA LIMITATION

OF FUNDS ON TIME AND MATERIALS AND LABOR HOUR CONTRACTS

(MAY 2015)

It is estimated that the total cost to the Government for the performance of this task order shall not exceed the ceiling price of to be completed at time of award for the T&M CLINs only.

Funds in the amount of to be completed at time of award are hereby allotted. The balance of this contract’s estimated ceiling will be allotted upon availability of funds through a unilateral modification(s).

Limitation of Funds on Time-and-Materials and Labor-Hour Contracts (MAY 2015)

(a) The parties estimate that performance of this task order will not cost the Government more than the ceiling amount specified in the contract. The Contractor agrees to use its best efforts to perform the work specified in the Schedule and all obligations under this contract within the ceiling amount.

(b) The Schedule specifies the amount of funds presently available for payment by the Government and allotted to this contract as well as the items covered. The parties contemplate that the Government will allot additional funds incrementally to the task order up to the full estimated cost to the Government specified in the Schedule, provided that funds become available. The Contractor agrees to perform work on the task order up to the point at which the total amount paid and payable by the Government under the contract approximates but does not exceed the total amount actually allotted by the Government to the task order.

(c) The Contractor shall notify the Contracting Officer in writing whenever it has reason to believe that the costs it expects to incur under this contract in the next 60 days, when added to all costs previously incurred, will exceed 85% of the total funded amount so far allotted to the task order by the Government. The notice shall state the additional funds required to continue performance for the period specified in the Schedule.

(d) Except as required by other provisions of this contract, specifically citing and stated to be an exception to this clause –

(1) The Government is not obligated to reimburse the Contractor for costs incurred in excess of the total amount allotted by the Government to this task order; and

(2) The Contractor is not obligated to continue performance under this task order or otherwise incur costs in excess of the amount then allotted to the task order by the Government until the Contracting Officer notifies the contractor in writing that the amount allotted by the Government has been increased and specifies an increased amount, which shall then constitute the total amount allotted by the Government to this task order.

(e) Change orders shall not be considered an authorization to exceed the amount allotted by the Government specified in the Schedule, unless they contain a statement increasing the amount allotted.

(f) Nothing in this language shall affect the right of the Government to terminate this task order.

If this task order is terminated, the Government and the Contractor shall negotiate an equitable distribution of all property produced or purchased under the contract, based upon the share of costs incurred by each.

(End of Contract Language)

1.0 Overview

Task Order 3 details Contractor implementation of Sustainment Activities per Indefinite Delivery, Indefinite Quantity (IDIQ) Performance Work Statement (PWS) sections 1.4.6 (Sustainment Tier 3b), 1.4.7 (Integration and Test), 3.1.3 (Contract Transition), 3.4 (Sustainment) and 3.5 (Information Cyber Security and Support) as well as more specific sustainment activities for the systems contained herein. This sustainment task order covers the managed planning, transition/migration, and implementation activities by the Contractor from an incumbent contractor. This Sustainment task order supports:

● Technology refresh (upgrades) to designated legacy ground systems and subsystems

● Technology refresh (upgrades) of legacy infrastructure (e.g. operational tools) applicable to the legacy ground systems and subsystems

2.0 Scope

This sustainment task order addresses scope for sustainment activities and associated deliverables. Sustainment activities include pre-planned activities to develop, modernize, or enhance the applicable legacy ground systems and subsystems. Sustainment efforts provide benefits to extend system life, reduce life cycle costs (or provide the best return on the satellite investment), leverage technology advancements, and improve the capability, reliability and robustness to meet program life requirements. The Contractor should demonstrate an ongoing commitment to innovative sustainment solutions, where applicable, that promote NESDIS enterprise architectural goals and streamline services, while minimizing associated costs and risks.

Sustainment activities for this task order include:

● Provide project management resources to effectively manage, coordinate, and implement all sustainment activities and provide regular reporting of technical, schedule, and financial status to the Government through various means including meetings, written correspondence, and via a list of deliverables.

● Identify legacy ground system and subsystems items for sustainment support/upgrade.

● Prepare and document a plan to develop, integrate, test and implement all sustainment functional capability (hardware and software), or new sub-component(s) of existing systems following rigorous documented procedures.

● Develop detailed cost estimates for all elements of the identified sustainment solutions.

● Perform requirements analysis and design (as required), and conduct the proper reviews for all sustainment solutions (e.g. Preliminary Design Review (PDR)/ Critical Design Review (CDR), action items, etc.) following the review process

● Procure all hardware equipment and software to implement the sustainment solutions.

● Deliver software compliant with approved contractor standards and NOAA/NESDIS standards.

● In concert with the Government, perform all integration and testing and modify and/or port existing software to new hardware platforms that interface with existing operational systems.

● Conduct all required software reviews for sustainment solutions including requirements review, interfaces, software code, testing for planned software release and capability verification (factory acceptance and site acceptance testing, pre-ship review, as required) and (if any) fixes to ensure all the capabilities function as intended.

● Support all sustainment planning, integration and test activities to ensure the requirements, configuration, test, and verification of all capabilities are approved for implementation.

● Provide all training for the sustainment solutions implemented under the task order.

● Conduct product transition sustainment support on ground system components that have migrated to the cloud environment.

Table 2-1 below shows the assigned ground systems supported under Task Order 3 and contained within the body of this task order. Individual Work Assignments will be issued to refine the Statement of Work as specific tasks are identified and funding is provided for the systems under section 4.2 of this PWS.

Most legacy systems detailed in this task order have received a technology refresh and require minimal sustainment support. Table 4.0 details technology refresh schedules for each of the legacy ground systems supported by this task order. However, the Contractor is expected to develop an inventory as part of the Sustainment Plan which contains details of specific ground system assets to be refreshed, and system hardware components and software within one (1) year of obsolescence.
