About this file

This is a Master Services Agreement (MSA) template between the State of Oregon Department of Administrative Services (DAS) and a contractor to provide a standardized, consolidated, statewide monitoring program for health professionals licensed by Oregon's medical boards. The agreement establishes terms and conditions for Work Order Contracts (WOCs) through which various state boards (including the Oregon Medical Board, Oregon Dental Board, Oregon State Board of Nursing, and State of Oregon Board of Pharmacy) can engage monitoring services for their licensed health professionals. The initial term begins July 1, 2025, with renewal options available through mutual agreement between DAS and the contractor.

The pricing terms stipulate that initial service prices will remain firm for Fiscal Years 2026-2029, after which the contractor may increase prices once per year with 60 days' written notice. Price increases are capped at 4% over the prior period's established pricing. The agreement requires substantial insurance coverage, including Professional Liability insurance of $1,000,000 per occurrence and $2,000,000 aggregate, Network Security/Privacy Breach coverage, and Commercial General Liability insurance. All services must be performed by staff physically located within the United States or its territories, and agency data cannot be transmitted or stored outside these boundaries.
