About this file
This is a Non-Disclosure Agreement (NDA) for the Arkansas Department of Transformation and Shared Services Employee Benefits Division's Third Party Administrator Services RFP, involving Foster & Foster Consulting Actuaries, Inc. as a consultant. The NDA establishes confidentiality requirements for bidders participating in the RFP process for third-party administrator services covering approximately 160,000 total lives, including 70,716 individual employees from state and public school systems. The agreement outlines the handling of confidential information during the RFP process, which includes a pre-bid conference on January 16, 2025, and proposal submissions due February 10, 2025. The resulting contract will have an initial three-year term with four optional one-year renewals.
The agreement requires strict information security protocols, including cybersecurity measures and disaster recovery programs consistent with industry standards. It mandates the return or secure destruction of confidential information after the RFP process concludes. The document includes specific requirements for information handling, permitted disclosures, and the use of a Host Website for the RFP process. The agreement is governed by Arkansas law and includes provisions for injunctive relief and indemnification in case of breaches. While no specific pricing terms are mentioned in the NDA, it establishes the framework for protecting sensitive information during the procurement process.
