About this file
This is a Master Agreement between the Unified Government of Athens-Clarke County, Georgia, and a testing agency for on-call environmental, geotechnical, and materials testing services under the SPLOST Program. The agreement establishes a framework for providing testing and inspection services on a project-by-project basis, with individual projects to be defined through supplemental agreements, purchase orders, or statements of work. The testing agency will provide environmental assessments, geotechnical analysis, and materials testing as directed by the Owner through written authorization. The agreement takes effect upon execution and continues through December 31, 2026, with options for the Owner to extend the contract for up to four additional one-year periods. Key personnel, including the principal-in-charge and project managers, must be approved by the Owner, and no substitutions may be made without written approval. The testing agency is required to participate in project conferences, design review meetings, pre-bid conferences, pre-construction meetings, and construction site progress meetings as defined in project-specific exhibits.
Compensation is structured on a cost-not-to-exceed basis determined for each individual project based on the testing agency's approved price proposal submitted under RFP #26017. Billing is performed monthly based on actual hours worked at approved hourly rates plus reimbursable expenses such as travel, per diem, shipping, and printing. The testing agency must maintain comprehensive insurance coverage including workers compensation at statutory limits, commercial general liability of $1,000,000 per occurrence, automobile liability of $1,000,000, contractor's pollution liability of $3,000,000, umbrella liability of $2,000,000, and professional liability of $1,000,000. The Owner must be named as an additional insured on all applicable policies. All documents, drawings, specifications, and testing data produced under the agreement are the sole property of the Owner. The testing agency may retain copies for its own records but is prohibited from duplicating the entire project design for other clients. The agreement is governed by Georgia law, with venue established in the Superior Court of Athens-Clarke County, Georgia.
