PERFORMANCE WORK STATEMENT

1.0 GENERAL INFORMATION:

a. The Contractor shall provide all personnel, equipment, containers, tools, materials, supervision, vehicles and other items or services necessary to perform scrap removal, demilitarization (DEMIL) / mutilation (MUT) and de-manufacturing (DEMAN) operations including disposal and recycling. The Contractor shall meet the standards including disposal and recycling as defined in this Performance Work Statement for property turned into the Defense Logistics Agency Disposition Services (DLA DS) sites and Forward Collection Sites (FCS) located in Guam. Additional pick-up locations within the listed installations above and FCS may be added at no additional cost to the government. Other FCS may be designated after the contract award. These sites will be identified by the Contracting Officer (KO) and added to the contract through contract modification.

b. DLA Disposition Services disposes of foreign excess personal property of the United

States Department of Defense (DoD). DLA DS receives property that is no longer required for use by the DoD and decides whether the property is usable or scrap. If usable property is not needed for redistribution within the U.S. Government, it may be donated to state and local Governments, sold to the public, or processed for reclamation of specific metals and materials.

Only material that has not been disposed of by these outlets or is determined to be scrap shall be subject to this contract.

c. The purpose of this contract is management services to include collecting, transporting, recycling, disposing, demilitarizing and de-manufacturing of scrap and recyclable material in an environmentally responsible and compliant manner. This contract does not involve the disposal of hazardous materials (HM) or hazardous waste (HW). Scrap and recyclable materials may include range residue that has been assessed as safe (MDAS = Material Documented as Safe.

d. The objectives of contracting for scrap management services are to ensure compliant scrap disposal management; to reduce the U.S. Government's capital investment (facilities and equipment costs) and infrastructure; to reduce solid waste disposal through increased recycling;

to move property efficiently; to decrease disposal costs; and to maximize economic offsets.

e. The intent of this contract is not to include HW except for DEMIL / MUT / DEMAN of scrap materials such as electronics and sanitation of vehicles, Material Handling Equipment (MHE) and other types of equipment containing batteries, engine oil and other types of fluids.

f. When economically feasible, the Contractor shall recycle scrap material to the greatest extent possible. Scrap material shall be segregated, identified by SCL IAW (IAW) PWS 3.0 and 4.0, and accounted for IAW the CLIN descriptions in the Price Schedule. The Contractor shall report the volume and percentage of scrap material recycled for each scrap CLIN IAW PWS 9.2,

9.3 and 26.0. For reporting purposes under this contract, incineration shall not be included as recycling.

g. The Contractor shall be responsible for the proper disposal of all salable and non-salable scrap materials. The Contract shall be IAW all U.S, International, and Environmental laws and regulations that govern collection, transportation, processing, recycling and disposal of scrap material.

h. The U.S. Government will not seek facility, or equipment permits for regulatory compliance. Therefore, Contractors must seek permits required to de-manufacture electronics on base. If the Contractor proposes changes to current operations that trigger permitting requirements, they will be responsible to obtain those permits at no cost to the government.

i. A list of definitions is provided in Attachment 2.

1.1 Contract Information:

a. Term of the Contract: The contract includes one (1) 30-month base period and one (1) 30-month option period.

b. Contract Type: The contract(s) awarded from this solicitation will be a Firm Fixed Price (FFP), Indefinite Delivery / Indefinite Quantity (IDIQ), Performance-Based, Commercial Service contract.

c. The contract minimum amount for the base period shall be $25,000.00, with no minimum for the option period. The maximum amount for the base and priced option shall be 125% of the estimated value of the period.

d. Task Orders (TO) (see Attachment 3, DD Form 1155) will be issued based upon the unit prices established in the contract price schedule. No TO will be issued unless funds are available. The accounting and appropriation data will be stipulated on each TO. The issuance of a TO shall constitute notice of availability and obligation of funds for the items listed on the TO.

e. All TO quantities are estimated amounts. The Contractor can expect the TO quantities will require an adjustment upward or downward as removals take place and the actual pounds being removed are measured. Therefore, the Government has the unilateral right to increase the TO quantity in those instances where the Government has underestimated the amount of weight that is required to be removed so the Contractor can continue performance. The Government has the unilateral right to decrease the TO weight in those instances where the Government has overestimated the quantity that is required to be removed. In instances of decreasing weight, these decreases are not subject to FAR 52.212-4, termination for convenience coverage. In addition, it is agreed that it is acceptable for the Government to issue TO modification (i.e.

quantity changes, noun descriptions, CLIN changes, adding/deleting lines, extending TO end dates, etc.) unilaterally. The Contractor will be paid for the actual items and quantities removed per the awarded contract price schedule. If upon receipt of a unilateral TO modification, the Contractor does not agree with the change or changes, the Contractor reserves the right to seek resolution with the KO. These modifications are only against TOs. No changes are made to the terms and conditions of the contract.

2.0 CONTRACT LINE-ITEM NUMBER (CLIN) FORMAT AND COMPENSATION

OF SERVICES:

The Price Schedule displays the CLIN, description and estimated quantity (weight) of each type of scrap material available for recycling and / or disposal. These quantities are forecasted for 30-month future generations based on historical data. The U.S. Government Scrap Classification codes (SCL) are listed for each scrap item in a tab at the bottom of the Price Schedule. Information describing the service or type of scrap material, collection / pickup area, and special handling requirements (demilitarization / mutilation and / or destruction, and de-manufacturing) are contained in each CLIN format as follows:

a. The first (1) position is numeric and indicates the base and, first 1st option performance periods.

0 = Base 1 = 1st Option

b. The second, third and fourth (2, 3, 4) positions are alpha-character and numeric combination which indicate service or scrap material for transportation, recycling and disposal (e.g., “A06” is Cardboard). These three (3) positions will match the code descriptions for the standard waste and scrap classification (SCL) codes in the DLA Codes and Terms pocket reference. The SCL codes are affixed at the bottom of the Price Schedule spread sheet and describe in detail the scrap material offered under each SCL.

c. The fifth (5) position is an alpha-character and indicates the DLA Disposition Services site collection/pickup area. If sites are added during the duration of this contract, some characters will represent these additional pickup areas.

DLA Disposition Services Sites:

K = Guam

d. The sixth (6) position indicates special handling requirements as follows:

A = Scrap / Recyclable material. No special handling requirements.

B = DEMIL \ MUT Scrap Material requiring demilitarization and / or destruction IAW PWS 5.0.

I = Incineration IAW PWS 2.3.

2.1 Service Level CLINS:

a. For CLINs 0000KA and 1000KA only, the sixth (6) position differentiates the various levels of service. If other sites are added during the duration of this contract, some characters will represent these additional pickup areas level of service.

A = Full time (40 hrs./wk.), Full Service (Contractor load)

b. The Contractor is responsible for performing all services necessary in connection with establishing and maintaining a scrap material collection site as specified in Attachment 4, including the provision and maintenance of containers.

c. The Contractor shall maintain a neat, clean collection site and shall operate the collection site IAW all Installation laws and DOD requirements specified herein. Except for “oversized items” all scrap property shall be maintained in containers and should not be left stored on the ground or outside of containers overnight. The Contractor may request approval from the COR to palletize or leave irregular items outside the container on case-by-case basis.

The Contractor shall maintain the containers, so the material does not overflow or overhang the containers or does not otherwise create unsafe conditions. Containers must be covered to prevent the collection of rainwater and/or snow. CLINS requiring mutilation and/or demilitarization must be always secured. U.S. Government must have positive control at all times of all keys to the secured containers. The Contractor is responsible for receiving scrap material property from DOD Generators, offloading generator conveyances, any segregating, sorting, or moving property it deems necessary to manage the scrap materials, and for placing the materials into containers.

d. The Contractor is responsible to maintain accurate weights of all scrap accumulations. If there are changes to scrap weights due to segregation, sorting, or moving of property the Contractor must notify the U.S. government of the changes.

e. The Contractor must staff each location so that it can receive turn-ins of material from DOD Generators during each DLA Disposition Services site operating hours. Operating hours for each DLA Disposition Services site are specified in Attachment 4.

f. The Contractor must be able to perform receipt of property Monday through Friday (if it is not a holiday, see PWS 23.4.b.). For material generated at FCS within a 50-mile radius of a Service Level 1 site, Contractor shall be responsible for removal; the U.S. Government will be responsible for loading material onto Contractor’s conveyance.

g. The Contractor may opt to provide loading assistance at staging areas, when adjacent MHE is available (truck equipped with claw crane) to speed up loading and increase removal quantity, at no additional cost to the U.S. Government.

h. The U.S. Government will order these project management services monthly, for each Level 1 Full-Service site listed in Attachment 4, while this contract is in effect. The U.S.

Government has the right to remove or add sites by contract modification.

i. The Contractor shall provide to each site COR an accurate listing of inventory weights for each SCL being managed by the site no later than the 5th calendar day of each month.

2.2 Special Services Demilitarization / Mutilation:

a. Demilitarization (DEMIL) / Mutilation (MUT) CLINs _MUT_B: CLINs identified by

“B”, “D”, “E”, and “F” in the sixth position require DEMIL / MUT. These CLINs shall be ordered by the “pound”. The unit of issue of “pound” will represent a per pound rate. The Contractor must be able to transport the property to an approved facility and perform DEMIL /

MUT of the property during the normal operating hours of the U.S. Government collection sites requesting the removal.

b. The Contractor shall ensure a DEMIL / MUT Certificate is completed and signed by an approved certifier and verifier after the property is destroyed. The Contractor is responsible to provide the approved certifier. The Contractor shall provide written certification that DEMIL / MUT of the property has been accomplished IAW DoD regulations. Disposal of residual material (hazardous waste and / or solid waste) generated during the DEMIL / MUT process and not listed under Category 1 or 2 CLINs is the responsibility of the Contractor. Employees performing the DEMIL / MUT are required to be in possession of all required permits and licenses (for example: torch cutting permit, shredder operator license, crane operator license, forklift operator license) and must comply with all national, international, and prefectural laws.

DEMIL work must be performed at approved facilities IAW PWS 25.0.

2.3 Special Services Incineration:

When CLINs 0C03SI, 1C03SI, and 2C03SI are ordered the Contractor is required to dispose of military Battle Dress Uniforms (BDUs) and Army Combat Uniforms (ACUs) by mandatory incineration. This CLIN may include additional textiles, such as parachutes, at the U.S. Governments request. The Contractor may not recycle, reuse, nor reclaim any items ordered under these CLINs. BDUs and ACUs do not carry a hazardous waste code but have been determined by DoD as requiring incineration due to the inherent offensive / defensive mechanism of these items or because of the demilitarization code affixed to the clothing / textile material. Property/scrap that requires incineration requires 100% surveillance and a mutilation certificate. Property/scrap may also require a DEMIL certificate.

2.4 Inert Munitions Certification:

Material Potentially Presenting an Explosive Hazard (MPPEH) residue that is turned into the Contractor shall be certified and verified as inert by qualified U.S.

Government representatives. Sample of Material Documented as Safe (MDAS) certification language is contained in DOD manual 4160.28-M-V2. This certification must either be on the Disposal Turn- in Document (DTID) or attached to the DTID accompanying the material. A copy of this certification will be provided to the Contractor, and a copy must be maintained physically with the material until final disposal is completed.

3.0 CONTRACTOR RESPOSNSIBILITIES:

a. The Contractor is responsible for performing all services necessary in connection with management of scrap collection sites, transportation, loading/unloading, weighing, removal, sorting property, removing batteries from property, recycling and disposal of scrap materials. If the Contractor inadvertently unloads container not designated for scrap the Contractor personnel shall turn it over to the Contracting Officer Representative (COR). Required Contractor services include all staff, equipment, management of scrap collection sites, documentation, provision and maintenance of containers, and coordination with the COR on the placement of material into containers.

b. All scrap property shall be maintained in containers and will not be left stored on the ground or outside of containers overnight except for “oversized items,” defined in attachment 2.

For material stored on the ground or outside of containers, the Contractor shall maintain that material is in a neat and clean condition to prevent collection of rainwater. The Contractor shall provide enough containers to efficiently remove full containers while ensuring enough containers are available to prevent new generations of property from being stored on the ground or outside of containers overnight.

c. The Contractor shall furnish all equipment and supplies necessary for the performance of this contract. Contractor-furnished equipment, materials and services shall include, but are not limited to the following: containers, vehicles, scales, material-handling equipment (MHE), torches, oxygen, acetylene, plasma cutters, shredders, scrap handlers and spill cleanup supplies.

d. The Contractor shall prepare and submit all reports mandated by the HN Government such as notifications, annual reports, Annual Waste Balance Sheet, required quantity forecasts, proof of recovery or recycling, scrap material logs, and five-year plans. The Contractor must meet reporting requirements established by HN and Prefectural law, international ordinances and regulations that govern collection, transportation, processing, recycling, and disposal of scrap, and other materials generated from the scrap and DEMAN processes. Contractor shall submit reports IAW PWS section 9.0 titled, “Required Reports” and as stated below:

e. All CLINs, other than Service Level CLINS, identified by a B, D, E, F and I in the sixth position of the CLIN require DEMIL / MUT. PWS section 5.0 for additional requirements.

3.1 Management of Scrap Collection Site(s):

a. Includes all staff, equipment, coordination, and documentation necessary to perform the services described below. The U.S. Government plans to issue TOs for management services during the entire period that the contract is in effect subject to adequate funds availability.

However, prospective offerors are reminded that this is an IDIQ type contract, and the quantity of management services specified in the Schedules are estimates only and are not purchased by this contract on the date of award. IAW FAR 52.216-22, entitled “Indefinite Quantity (Oct 1995), the Contractor’s performance shall be made only as authorized by TOs issued IAW the Ordering clause.

b. Containers must be covered except when placing or removing scrap material to prevent collection of rainwater. CLINS requiring DEMIL, MUT and/or DEMAN must be always secured. The Contractor is responsible for removing and replacing full containers within 30 business days after a TO is issued, any extensions must be approved by the KO. The COR can request the Contractor to do more than one (1) removal during the 30 day period. When the COR requests a container removed the Contractor will have five (5) business days to remove container.

c. Contractor is responsible for performing all services necessary in connection with establishing and maintaining a scrap material collection site at locations and operating hours specified in Attachment 4, except for those services provided by the U.S. Government. The contractor shall maintain a neat, clean collection site and shall operate the collection site IAW HN laws and DoD requirements specified herein. The Contractor shall maintain the containers so that material does not overflow, overhang the containers, or otherwise create unsafe conditions.

d. These project services will be ordered in addition to the usual disposal services for services necessary to perform scrap removal, demilitarization (DEMIL) / mutilation (MUT) and de-manufacturing (DEMAN) operations including disposal and recycling CLINs. In addition to receiving the management of scrap collection site fee, the Contractor shall be paid the weight-based (“per pound”) disposal fee for any materials it processes and return a “percent of index” fee to the U.S. Government (where applicable).

e. Segregation is the process of identifying the material for its basic material content.

The basic material content is established by the DLA DS personnel, which includes packing material, i.e., shrink wrap, paper etc. on scrap content. This determination is based on the predominant composition by weight of an item in the best interest of the U.S. Government.

Questionable items will be determined in conjunction with the KO, COR, and Contractor.

f. The Contractor personnel may further break down an item into its individual basic material contents and sort for better scrap grouping in appropriate Category 1 or 2 CLINs.

Further segregation by the Contractor must not negatively influence storage and generator scrap receipt operations and includes the packaging material from scrap. This process is accomplished by the onsite Contractor personnel at no additional cost to the U.S. Government. Scrap material being further segregated shall be stored in appropriate containers. Further segregation shall be completed upon receipt or placed in the original CLIN identified by DLA DS personnel. The Contractor is required to provide the U.S. Government with the exact weight of all scrap as it is added to containers.

g. The Contractor must staff and equip each location so that it can DEMAN material from DoD generating activities and DLA DS Sites in coordination with the COR prior to the start of the work week. The Contractor must be able to perform DEMIL / MUT / DEMAN of property when Service Level 4 CLINs are ordered on a TO. The U.S. Government may order these services monthly if this contract is in effect. The Contractor shall be responsible to staff and equip each site with the appropriate amount of personnel to provide the required services.

During the DEMIL / MUT / DEMAN process, the Contractor shall collect, in U.S. Government-provided containers, any residual hazardous material or hazardous waste generated from these processes that are not listed under Category 1 or 2 CLINs. Once collected, the containers shall be turned over to the U.S. Government for disposal.

3.2 Weighing:

a. Each conveyance shall be weighed before the vehicle is loaded and after loading is complete. All conveyances shall be weighed upon entering the disposal facility and prior to departing the disposal facility. If scales are not available on the military installation, the contractor shall use certified scales closest to the military installation and pay for any fee required at no additional cost to the U.S. Government.

b. Lockable containers may be weighed up to five (5) days prior to the removal for the purposes of obtaining customs clearances. In those instances, a container must be locked and sealed. Seals are applied by the U.S. Government representative. Exceptions are for vehicles, which may also be weighed up to five (5) days prior to the removal.

c. In the case of “demilitarization and mutilation required” material, lockable containers must be used and will be locked and sealed. Seals are applied by the government representative.

Exceptions are for “oversized items” that cannot be fit into a lockable container.

d. The Gross, Tare, and Net weight of each shipment, as well as the seal numbers, shall be recorded on the shipping document, (see Attachment 5, DLA Form 1367). A copy of the weight ticket must be attached to the shipping document. The driver shall inspect the load prior to departure from the U.S. Government’s facility and assure all shipping documents are properly filled out and maintained during shipment.

e. Upon re- weighing of demilitarization and mutilation required material at the contractor’s treatment plant, discrepancies of greater than 5% shall be reported by the U.S.

Government representative immediately to the KO with a detailed written report provided within 72 hours of the discovery.

3.3 Transportation:

The Contractor shall transport all material inside lockable containers except for any oversize items that exceeds the volume or weight capacity of a 40 cubic meter container. The U.S. Government representative, acting as verifier, will escort all oversize items requiring demilitarization.

3.4 Licenses and/or Permits:

The Contractor shall, without additional expense to the U.S. Government, be responsible for obtaining all necessary licenses and/or permits to conduct these services IAW HN, international, and prefectural laws, ordinances and regulations that govern collection, transportation, processing, recycling, and disposal of scrap and DEMAN materials. The Contractor shall maintain all licenses and/or permits during the entire life of the contract. All renewals and/or changes to licenses and/or permits shall be provided to the KO within five (5) calendar days of any renewal and/or change.

3.5 Special Requirements:

The Contractor, at their own expense, is required to attend special training, seminar, instruction, class, etc. provided by the U.S. Government, to perform the work or gain access to the installation. Some examples include but are not limited to: Pass and ID requirements, anti-terrorism/force protection training, Environmental Management System (EMS) policies training, forklift training, DEMIL training and safety training.

3.6 Defense Base Act insurance (DBA):

a. An exception to the CLIN format described above is P7100J, which is the CLIN for DBA insurance coverage. This CLIN appears in the Price Schedule only but includes coverage for all of Guam if ordered.

b. The DBA provides workers compensation type insurance coverage for Contractor employees performing under government contracts outside the Continental U.S. It is intended to be a counterpart to domestic workers compensation coverage and, as such, is the sole recourse for workers who suffer on-the-job injuries or death while engaged in work in foreign locations under government prime contracts and subcontracts. Since an Act is an action required by law, this contract must include the DBA coverage as applicable.

c. DBA Waivers: The DBA allows the Secretary of Labor, upon the recommendation of the head of a department, to waive its application to any contract, subcontract or subordinate contract, work location under such contracts, or classification of employees. The Department of Labor (DOL) will not grant a waiver for citizens or legal residents of the U.S. and employees hired in the U.S., but it will grant waivers for foreign nationals, if acceptable workers compensation benefits are provided by applicable local law. Any U.S. citizen working for the awarded firm will require DBA insurance coverage, since the DBA waiver does not cover these individuals. The DBA insurance CLIN will also be necessary for covering European foreign nationals should the DOL not renew the waiver.

d. DBA CLIN, will only be placed on a TO once in a 12-month period (most DBA coverage is sold in 12-month increments) when it is confirmed DBA insurance coverage is applicable based on the current staff employed by the awarded firm and the status of a current DBA waiver for European foreign nationals. When ordered, DBA CLIN listed in the Guam Price Schedule includes coverage for any other location added to this contract. The CLIN will reimburse Contractors upon confirmation of insurance invoice for actual cost for obtaining/maintaining the DBA insurance when applicable. DBA insurance coverage is sold by companies worldwide, although most firms who provide such coverage are based in the U.S.A listing of firms who do provide such coverage can be accessed at http://www.dol.gov/owcp/dlhwc/lscarrier.htm. Additional information regarding DBA can be referenced at http://www.dol.gov. Offerors who do not include a unit price for DBA insurance may have their proposal considered to be non-responsive and ineligible for award.

4.0 MANAGEMENT OF COLLECTION POINTS:

a. This effort will start on the first business day of the base contract performance period and will entail the establishment of the collection points and placement of Contractor’s containers while performing IAW this contract.

b. The Contractor shall provide containers and remove current inventory of scrap materials and incoming generations once container is full. If not full, within 30 days of issuance of the first TO for this work. Upon completion of current inventory, the Contractor is responsible to perform all other work IAW the performance periods identified within the contract and as specified in PWS 24.0 titled, “Deliveries and Performance.” Workload History for the current contract is provided in Attachment 6 titled, “Workload History” for each DLA DS site.

c. The Contractor shall provide containers and remove current inventory of scrap materials and incoming generations once container is full. If not full, within 30 days of issuance of the first TO for this work. Upon completion of current inventory, the Contractor is responsible to perform all other work in accordance with the performance periods identified within the contract and as specified in PWS. An inventory list will be provided upon request within ten (10) calendar days after contract award date. The updated inventory list may not accurately represent future inventory quantities.

d. The Contractor shall establish efficient scrap collection points at DLA Disposition

Services Guam and at future collection sites as required/requested by the U.S. Government.

Collection points shall be designed to utilize current allocated space, establish optimal efficiencies in collecting, transporting, recycling and disposing of the scrap material in an environmentally compliant manner without triggering the requirement for the U.S. Government to obtain any new permits. The Contractor will be given a 30-day commencement period after contract award to complete design and set up. The U.S. Government has the right to reject any Contractor proposed design scrap collection site.

e. The U.S. Government does not intend to construct permanent fixtures. The collection point should be tailored to the scrap material received and containers shall be sufficient for each type of scrap generated. The objective is to have adequate containers in place to begin the performance of the contract effectively 30 days after the contract award. All additional containers must be in place by the closure of business on the last day of the first work week of the contract base performance period. All containers must be identified by an attached visible magnetic placard with the minimum overall dimensions 18in x 24in with 1.5in lettering and at a minimum the following information in English: CLIN for applicable site (example _A05, _E1L, etc.) and the Basic CLIN description. Additional information may be added as specified by the COR.

f. At DLA Disposition Services site, the scrap yard space utilized will be based on the history of generations and may be reduced to reflect current requirements. While maintaining compliance, the DLA Disposition Service Scrap COR decides how many and what type of containers will be used at each collection point to meet the contract requirements.

g. FCS may be designated after the award of the contract and will be identified by the KO. FCS and scrap materials that are not already identified may be added via contract modification and will include individual CLINs based on location and the types of materials / commodities anticipated. The Contractor is required to load their conveyance at forward collection sites. See PWS 24.2 titled, “Place of Performance” for additional information on places of performance.

5.0 DEMILITARIZATION (DEMIL) / MUTILATION (MUT):

a. The Contractor is responsible to operate the U.S. Government approved offsite demilitarization performance area and to perform required DEMIL/MUT. See the definitions of the two processes in Attachment 2.

b. Employees performing the DEMIL are required to be in possession of all required permits (i.e. torch cutting permits, shredder operator license, etc.) and must comply with all U.S.

regulations applicable. A site-specific plan for the offsite shall be prepared by the contractor and approved by KO within 30 days of contract award. Employees performing DEMIL / MUT must complete all required training and be qualified DEMIL certifiers per U.S. Government requirements; see PWS 2.2, 5.1 and 18.0. Certification will be completed immediately after the DEMIL/MUT is complete. Performance is not complete until the certificates are signed and dated.

c. If it is determined DEMIL/MUT must be accomplished on U.S. Government site(s), a site-specific plan will be prepared by the contractor within five (5) calendar days after issuance of the task order and provided to the COR and DEMIL Coordinator for approval prior to commencing work. DEMIL must be accomplished within the appropriate DLA Disposition Services collection site.
